CONTRACT FOR PROCESSING OF DRIED SCALLOPS
 

　　茲經(jīng)雙方同意甲方委托乙方在食品有限公司工廠加工烘干扇貝柱，所需的原料由甲方提供，其條款如下：

　　(hereinafter called Party A) and (hereinafter called Party B) have agreed that Party B shall process( sorting / grading, packing) dried scallops in FOODS CO., LTD. with all materials supplied by Party A under the following terms and conditions:

　　1.來(lái)料加工的商品和數(shù)量

　　Commodity and quantities for processing with supplied materials :

　　(1)商品名稱: 冷凍扇貝柱(日本產(chǎn)) Goods Name: Frozen scallop meat from Japan;

　　(2)數(shù)量: 共計(jì)200噸　　Quantity: 200 Tons;

　　2.一切所需用的原料由甲方提供，包裝輔料由乙方在在中國(guó)購(gòu)買(mǎi);

　　All materials shall be supplied by Party A ; The packaging materials will be purchased by Party B in China.

　　3.加工費(fèi)：成品每噸3500美元，含包裝費(fèi)用;

　　The processing charge : Usd3500 per m/tons (based on finished products) with the cost of packaging.

　　4.加工所需的原料由甲方運(yùn)至乙方的食品加工廠;

　　The materials required for processing will be delivered by Party A to party B ‘s foods factory ;

　　5.甲方應(yīng)于成品交運(yùn)前一個(gè)月，電匯全部加工費(fèi)用給乙方;

　　Party A should pay Party B by L/C or T/T covering the full amount of processing charges one month before shipment of the finished products;

　　6.乙方應(yīng)在雙方同意的時(shí)間內(nèi)完成加工和交運(yùn)，不得延遲，發(fā)生無(wú)法控制的和不可預(yù)見(jiàn)的情況例外。

　　Party B must complete the processing and effect shipment within the agreed date without delay except in the occurrence of uncontrollable and unforceable events ;

　　7.原料的損耗率：The damage rate of raw materials:

　　加工原料損耗率為 2 %?！he damage rate of raw materials in processing is 2 %.

　　8.甲方提供加工原料，乙方應(yīng)嚴(yán)格按規(guī)定的工藝技術(shù)加工，不得變更成品出成率不得低于23%。;

　　All materials supplied by Party A shall be processed by Party B strictly in accordance with the processing technology without any modification; finished product rate must be over 23%

　　9.技術(shù)服務(wù)：Technical Service:

　　(1)甲方提供加工工藝 (另附)

　　Party A will set processing technology (Reference to Appendix ).

　　(2)甲方同意乙方派遣技術(shù)人員到食品加工廠的要求， 協(xié)助培訓(xùn)乙方的技術(shù)人員，并允許所派技術(shù)人員留在乙方檢驗(yàn)成品。一切費(fèi)用(包括來(lái)回旅費(fèi))概由甲方負(fù)責(zé);

　　Party A agrees to send technicians to foods factory to help training Party B’s technicians at the request of the latter at any time and allows the technicians to remain with Party B for inspection of the finished products. All expenses (including round trip tickets) will be borne by Party A;

　　10.與本合同有關(guān)的一切進(jìn)出口手續(xù)應(yīng)由乙方予以辦理：

　　All import and export formalities in connection with this contract should be handled by Party B;

　　11.加工后的產(chǎn)品成品，乙方應(yīng)運(yùn)交給甲方隨時(shí)指定的國(guó)外買(mǎi)方;

　　All finished products processed by Party B shall be shipped to the foreign buyers appointed by Party A at any time;

　　12.其他條件Other terms and conditions:

　　(1)成品扇貝的商標(biāo)應(yīng)由甲方提供，若出現(xiàn)法律糾紛，甲方應(yīng)負(fù)完全責(zé)任;

　　The trade marks of the finished products shall be supplied by Party A, should there be any legal dispute, Party A shall be held fully responsible;

　　(2)為促進(jìn)出口業(yè)務(wù)，乙方應(yīng)儲(chǔ)備扇貝成品樣品，隨時(shí)可寄往甲方所指定的國(guó)外買(mǎi)主;

　　For promotional purposes, Party B shall prepare samples of finished products at any time and send them to foreign Buyers appointed by Party A;

　　13.本合同一式兩份，甲方與乙方在鑒字后各執(zhí)一份;

　　This contract shall be made in duplicate, Party A and Party B shall, both signing all copies, retain one copy .

　　14.本合同受中華人民共和國(guó)合同法保護(hù);

　　This contract is protected by the Contract Law Of P. R. China
