1. DEFINITIONS定義
In these terms and conditions (the ‘Conditions’), the ‘Company’ or ‘Sarment’ will mean Sarment Pte. Ltd., trading as Sarment Private Limited, and the ‘Customer’ will mean any person, firm, company, corporation or body which places an order with the Company. Please read these Conditions carefully before placing an order. By confirming an order with Sarment you agree that you have read these Conditions and that you accept and agree to be bound by them.
在下列合同條款中,“公司”與“Sarment”均為Sarment Pte. Ltd.,“客戶”可理解為任何向Sarment公司訂購(gòu)葡萄酒的個(gè)人、商號(hào)、公司、企業(yè)或團(tuán)體。訂購(gòu)葡萄酒前,請(qǐng)仔細(xì)閱讀本合同條款。確定與 Sarment簽訂訂單意味著您已閱讀這些條款,接受并同意受其約束。
2. GENERAL總則
The Company shall make every effort to ensure that prices, details and sizes of wine, champagne, and other products offered for sale by us (the ‘Products’) on the website are up to date. Prices are subject to change without prior notice and all orders are subject to the Company’s acceptance at its sole discretion and stock availability.
公司應(yīng)確保及時(shí)更新本網(wǎng)站所售葡萄酒、香檳與其它產(chǎn)品的價(jià)格、尺寸及其它詳細(xì)信息。凡遇價(jià)格變更的,公司不予提前通知;公司視庫(kù)存情況酌情處理所有訂單。
The Company shall make every effort to ensure Products displayed on the website are in stock. If from time to time Products become out of stock, the Company reserves the right to offer alternative product(s) to the Customer of similar value and style.
公司應(yīng)確保網(wǎng)站陳列產(chǎn)品與庫(kù)存信息相對(duì)稱。凡遇不時(shí)出現(xiàn)庫(kù)存短缺情況的,公司保留為客戶提供同價(jià)值、同類型的其它產(chǎn)品的權(quán)利。
All orders are subject to confirmation of final availability and Sarment reserves the right to reject the order in the event that any of the Products or services requested are unavailable. In the event that we are unable to fulfill any of the Products or services in your order we will notify you by phone or email before your requested delivery date.
接單時(shí),應(yīng)確保所有訂單需求產(chǎn)品有庫(kù)存;凡訂單中某些產(chǎn)品或服務(wù)暫遇短缺的,Sarment保留拒絕接單之權(quán)利。凡遇公司不能履行訂單所列產(chǎn)品或服務(wù)之請(qǐng)求的,我們將于您要求的發(fā)貨日期前予以電話或郵件通知。
All sales are subject to our final confirmation. All orders received verbally, by fax or electronic mail are considered final. Unless otherwise agreed by Sarment, no cancellations will be accepted. Prices are subject to change without notice. All Products sold are strictly non-exchangeable and non-refundable except where stated otherwise.
所有葡萄酒訂單須經(jīng)我們最后確認(rèn)。凡通過(guò)口頭、傳真、電子郵件形式獲取的訂單,即視為合同各方最后確認(rèn)的版本。我們不接受取消訂單之行為,凡經(jīng)Sarment同意的除外。價(jià)格變更,無(wú)須另行通知。所有商品一經(jīng)售出,不更換、不退貨,凡另行陳述的除外。
By placing an order, the Customer confirms that he/she is 18 years old or over. It is illegal to sell alcohol to people under the age of 18. A person aged 18 or above (with identification proved) must be present to receive the alcoholic Products or delivery shall be withdrawn.
凡確認(rèn)年滿18歲的客戶,可訂購(gòu)葡萄酒。向18歲以下(不含18歲)的客戶出售酒類產(chǎn)品屬非法行為。年滿18歲(身份得到確認(rèn))的客戶接收所購(gòu)酒精類產(chǎn)品時(shí)須本人在場(chǎng),否則,公司將收回該產(chǎn)品
3. MERCHANDISE DAMAGED DURING OR FROM SHIPPING
運(yùn)輸期間或因運(yùn)輸造成的貨物損毀
All orders are carefully checked by Sarment before delivery to ensure the quality of the Products. It is the receiver’s responsibility to check the condition of any Products received including glassware and accessories, at the time of delivery. The Customer is requested to examine the Products immediately upon delivery for any deficiencies and/or damages. In case of breakage or damage to any packaging, the Customer is advised to reject the Products at that time and/or to make a note on the delivery slip stating the extent of the breakage and that will be used to time stamp the claim. Claims without any note on the delivery slip may be refused by the Company at its sole discretion.
Sarment會(huì)在運(yùn)送產(chǎn)品前仔細(xì)核對(duì)所有訂單,以確保產(chǎn)品品質(zhì)符合訂單要求。收到產(chǎn)品時(shí),收貨人有責(zé)任檢查所有物品(包括玻璃器皿)及其配件有無(wú)損毀??蛻繇氃谑盏疆a(chǎn)品的第一時(shí)間檢查有無(wú)瑕疵或損毀。凡遇包裝損毀的客戶,可于第一時(shí)間拒絕收貨,并在送貨單上標(biāo)明損毀程度,而此說(shuō)明將作為產(chǎn)品索賠依據(jù)。凡送貨單上無(wú)任何損毀說(shuō)明的,公司有權(quán)拒絕支付賠償。
Claims (if any) should be lodged to our relevant national customer service hotline or by email at the time of delivery or at any time not exceeding 24 hours after the time of delivery receipt. The Company may refuse to process a Customer’s claim after delivery if there is a failure to lodge a claim in accordance with these Conditions. Sarment may, at its sole discretion, refuse to accept the return of Products, including corked wines, for any reason, once the Customer or his receiver has signed for the Products.
有關(guān)任何索賠事宜,請(qǐng)于收到產(chǎn)品后的24小時(shí)內(nèi),與SARMENT當(dāng)?shù)剞k公室聯(lián)系或可通過(guò)郵件詢問(wèn)。交貨后,如客戶未能根據(jù)本合同條款之規(guī)定提出索賠申請(qǐng),公司有權(quán)拒絕啟動(dòng)客戶理賠程序。無(wú)論出于何種理由,所售產(chǎn)品(包括有軟木塞氣味的葡萄酒)一經(jīng)客戶或其代收人簽收,Sarment不接受退貨。
Depending on the situation, the Company, at its sole discretion, may offer to the Customer a replacement, a discount, a refund or an account credit to be used for a later purchase. Damaged Products must be returned to us, with a copy of the invoice, within 3 days of the delivery receipt.
公司會(huì)視情況向客戶提供更換、折扣、退款,或?yàn)槠溟_(kāi)設(shè)信用賬戶留作其日后消費(fèi)使用。在收到產(chǎn)品之日起的3日內(nèi),客戶須將損毀情形之產(chǎn)品與發(fā)票一并退回。
A replacement will be granted if the Company, at its sole discretion, deems the claim to be valid. In such a case where the Company deems the claim to be valid, and if the Company chooses to send a replacement Product, the Company will send the replacement Product to the same address within 7 days from the date of the claim’s validity, or within a reasonable number of days from the date of the claim’s validity. Where a return or replacement is not possible because no stock of such Product is available, the Company may, at its sole discretion, either offer a discount or an account credit to be used by that Customer for a later purchase.
如認(rèn)為索賠有效,則公司將同意為客戶提供更換。凡索賠成立,且公司選擇為客戶更換產(chǎn)品的,公司將于索賠生效之日起7日或經(jīng)公司與客戶雙方同意的合理天數(shù)內(nèi),將替代產(chǎn)品寄往先前地址。若因無(wú)庫(kù)存而未能向客戶提供替代產(chǎn)品,公司有權(quán)為客戶提供折扣券或開(kāi)設(shè)信用賬戶以便其日后使用。
4. TITLE所有權(quán)
All risks in the Products shall pass to the Customer upon delivery but Sarment shall retain title in the Products until full payment has been received.
產(chǎn)品發(fā)出后,所有風(fēng)險(xiǎn)轉(zhuǎn)向客戶;但在收到所售產(chǎn)品的全款前,Sarment保留對(duì)這些產(chǎn)品的所有權(quán)。
5. FORCE MAJEURE不可抗力
The Company shall not be liable for any delay or failure in its performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other causes beyond the control of Company.
凡因天災(zāi)、火災(zāi)、洪災(zāi)、大型事故、暴亂、戰(zhàn)爭(zhēng)、政府干預(yù)、禁運(yùn)、罷工、勞工困難、設(shè)備故障或公司可控范圍之外的任何其它原因直接或間接造成的交付延遲或交付失敗,公司無(wú)須對(duì)此承擔(dān)任何責(zé)任。
6. PAYMENT TERMS支付條款
All major credit cards are accepted.
All Product prices are listed in your local currency, unless otherwise stated.
Sarment reserves the right to change the payment terms for any order without prior notice.
我們接受所有常用信用卡支付方式。
上述所有產(chǎn)品價(jià)格均以客戶所在地的幣種結(jié)算,凡另行陳述的除外。
Sarment保留針對(duì)任何訂單修改支付條款(無(wú)須提前通知)的權(quán)利。
7. CUSTOMER DEFAULT客戶違約
If Sarment’s performance of any of its obligations under these Conditions is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (‘Customer Default’):
凡因客戶的任何行為或疏忽,或因其未履行本合同條款規(guī)定之任何相關(guān)義務(wù),從而導(dǎo)致Sarment未能或延遲履行其相應(yīng)義務(wù)的,則視為客戶違約:
(a) Sarment shall without limiting its other rights or remedies have the right to suspend performance of its services or obligations under these Conditions until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations to the extent the Customer Default prevents or delays Sarment’s performance of any of its obligations;
在客戶采取違約補(bǔ)救措施之前,在公司其它權(quán)利或賠償不受限制的前提下,Sarment有權(quán)停止履行本合同條款規(guī)定之服務(wù)或義務(wù),也有權(quán)依據(jù)本客戶違約條款之規(guī)定不履行或延遲履行其應(yīng)盡之義務(wù)。
(b) Where a Customer Default subsists, Sarment shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Sarment’s failure or delay to perform any of its obligations; and
遇客戶違約之情形的,對(duì)于因Sarment未能或延遲履行其任何應(yīng)盡義務(wù)而直接或間接導(dǎo)致客戶承受的損失部分,Sarment無(wú)須對(duì)此承擔(dān)任何責(zé)任。
(c) The Customer shall reimburse Sarment on written demand for any costs or losses sustained or incurred by Sarment arising directly or indirectly from the Customer Default.
凡因客戶違約條款中規(guī)定之情形致使Sarment蒙受直接或間接損失的,客戶應(yīng)對(duì)此部分損失予以賠償。
8. LAW AND JURISDICTION法律及司法權(quán)
The Company shall have the right to make any changes to the provision of the services, and the sale and/or delivery of the Products under these Conditions which are necessary to comply with any applicable law or safety requirement, and the Company shall notify the Customer in any such event.
依照任何可適用的法律或安全規(guī)定,公司有權(quán)對(duì)與本合同條款項(xiàng)下的任何服務(wù)及產(chǎn)品的銷售與運(yùn)輸有關(guān)之條款進(jìn)行更改。凡有此類更改之情形,公司應(yīng)及時(shí)告知客戶。
Sarment may revise these Conditions at any time without prior notice. If any dispute arises, Sarment’s determination shall be final.
Sarment保留無(wú)須事先告知即可于任何時(shí)間修改本合同條款之權(quán)利。凡遇任何爭(zhēng)端,Sarment擁有最后決定權(quán)。
