　　甲方：(被代理人，以下簡(jiǎn)稱(chēng)甲方)

　　Party A: ( Principal Hereinafter referred to as Party A )

　　乙方：(代理人，以下簡(jiǎn)稱(chēng)乙方)

　　Party B: (Agent Hereinafter referred to as Party B)

　　甲方與乙方，雙方經(jīng)友好協(xié)商，特定立本協(xié)議書(shū)，以共同遵守。

　　By friendly negotiation, Party A and Party B conclude the following agreements.

　　1.乙方的責(zé)任和義務(wù)Responsibilities and Obligations of Party B

　　(a) 乙方須保證其是在中華人民共和國(guó)相關(guān)法律條款下允許操作此類(lèi)中間業(yè)務(wù)的公司，否則由此引起的一切后果均由乙方自行負(fù)責(zé)。

　　Party B shall ensure that it is established under the law of PRC and entitled to conduct this kind of business, otherwise any responsibilities arising from that shall be taken by Party B.

　　(b) 乙方負(fù)責(zé)在M/s STEMCORE, MESA DMMCC項(xiàng)目上向第三方推薦購(gòu)買(mǎi)甲方產(chǎn)品，并協(xié)調(diào)甲方和第三方客戶(hù)間的技術(shù)和商務(wù)談判，并及時(shí)向甲方提供其它競(jìng)爭(zhēng)對(duì)手在此項(xiàng)目上的技術(shù)和商務(wù)信息。

　　Party B shall be responsible to introduce the commodities of Party A on the project of M/s STEMCORE, MESA DMMCC. Dubai to a third party, and to coordinate between Party A and the third party about the technical and business discussion, and to provide Party A with technical and business information about the project.

　　(c) 一旦甲方在此項(xiàng)目與第三方簽約，乙方應(yīng)在甲方此項(xiàng)目執(zhí)行過(guò)程中及時(shí)將第三方在此項(xiàng)目上的相應(yīng)信息反饋給甲方。當(dāng)甲方與第三方在合同執(zhí)行，在產(chǎn)品質(zhì)量等級(jí)簽訂，交貨等方面發(fā)生分歧時(shí)，乙方有責(zé)任對(duì)此進(jìn)行協(xié)調(diào)。

　　Once Party A sign a contract with a third party, Party B shall be responsible for the project related information notification to Party A. If Party A and the third party have any disputes concerning the qualification grade or delivery of goods during the contracting time, Party B shall be responsible for the negotiation in between.

　　2.甲方的責(zé)任和義務(wù)Responsibilities and Obligations of Party A

　　(a) 甲方按乙方提供的項(xiàng)目信息中涉及的產(chǎn)品，及時(shí)免費(fèi)向乙方提供產(chǎn)品樣本和產(chǎn)品技術(shù)方案或說(shuō)明，以便乙方能有效的宣傳甲方的產(chǎn)品。

　　Party A shall supply Party B with the goods involved in the project, and supply Party B with product catalogues and technical plans or instructions for free, in order that Party B could advertise the commodities of Party A effectively.

　　(b) 甲方負(fù)責(zé)直接向用戶(hù)提供設(shè)備技術(shù)和商務(wù)報(bào)價(jià)。

　　Party A shall be responsible for providing customer directly with commercial offer and technical support.

　　(c) 甲方負(fù)責(zé)與用戶(hù)簽約，并按合同規(guī)定按期提供合同產(chǎn)品。

　　Party A shall be responsible for signing the contract with customer, and supply the contracting goods within delivery time.

　　(d) 甲方負(fù)責(zé)按本協(xié)議規(guī)定向乙方支付傭金。

　　Party A shall pay the commission to Party B as per this agreement.

　　3.傭金的計(jì)算、支付方式、支付時(shí)間

　　Calculation of Commission, Payment Term, and Payment Time

　　(a)傭金的計(jì)算Calculation of Commission

　　傭金為合同發(fā)票金額的3 %。并且甲方在收到付款發(fā)票后十五天內(nèi)按照比例支付乙方傭金。

　　The commission shall be 3 % (three percent) of contract value. And Party A shall pay the commission within 15 days of receipt of payment from third party on prorate basis.

　　(b)支付方式Payment Term

　　甲方將按照收到第三方所付款項(xiàng)占合同總額的比例，分批向乙方支付等比例的代理費(fèi)。每批付款前，乙方需向甲方提供與甲方每批付款額等額的正式代理費(fèi)發(fā)票。

　　Party A shall pay commission to Party B as per his collection ratio. Before payment, Party B shall provide formal invoice of commission to Party A.

　　(c)支付時(shí)間Payment Time

　　甲方在收到用戶(hù)貨款和乙方相應(yīng)金額正式發(fā)票后兩周內(nèi)將傭金匯往乙方指定的銀行賬戶(hù)。付款賬號(hào)必須與發(fā)票上注明的賬號(hào)收款單位一致。

　　Party A shall pay commission as per invoice value to Party B’s account within two weeks upon receipt of formal invoice from Party B. The payment account and beneficiary must be the same as that on invoice.

　　4.協(xié)議有效期Duration

　　本協(xié)議有效期從協(xié)議生效日起算，直到甲方完成合同收回所有貨款，同時(shí)支付乙方所有傭金。

　　This Agreement shall be valid since the day when it entered into force till the contract is completed by Party A and all payments are received by them and in turn all commission by party B.

　　5.協(xié)議的終止Termination

　　若一方違約，雙方當(dāng)事人爭(zhēng)取及時(shí)解決爭(zhēng)議的問(wèn)題以期雙方滿(mǎn)意。如果在違約方接到書(shū)面通知后30日內(nèi)問(wèn)題仍不能解決，非違約方將有權(quán)書(shū)面通知違約方中止本協(xié)議。

　　In case there is any nonperformance and/or violation of the terms and conditions under this Agreement by either party during the effective period of this Agreement, the parties hereto shall do their best to settle the matter in question as prompt and amicable as possible to mutual satisfaction. Unless settlement is reached within thirty (30) days after notification in writing of the other party, such other party shall have the right to terminate this Agreement.

　　6.不可抗力Force Majeure

　　由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。不可抗力原因消失后，受不可抗力影響的一方應(yīng)該盡快恢復(fù)合同執(zhí)行。

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in written form as soon as possible and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. After disappearance of the force majeure, the affected party shall resume the implementation of the contract as soon as possible.

　　7.責(zé)任限制Limitation of Liability

　　(a)乙方應(yīng)嚴(yán)格遵守甲方隨時(shí)給予的任何指令，而且不得代表甲方做出任何擔(dān)保、承諾以及訂立契約、合同或作其他對(duì)甲方有約束力的行為。對(duì)于乙方違反甲方指令或超出指令范圍所用的一切作為或不作為所造成的任何結(jié)果，乙方自行承擔(dān)責(zé)任，甲方都將不承擔(dān)任何責(zé)任。

　　Party B shall strictly conform to any and all instructions given by Party A from time to time and shall not make any representation, warranty, promise, contract, agreement or do any other act binding Party A. Party A shall not be held responsible for any consequences caused by any acts or failures to act by Party B in excess of or contrary to such instructions, and Party B shall bear such responsibility.

　　(b)乙方同意，甲方不承擔(dān)基于產(chǎn)品責(zé)任上的、法律上的、補(bǔ)償性的或其他基于合同上和法律上的賠償乙方因此造成的無(wú)論何等性質(zhì)的利潤(rùn)損失、收入、生意、資料、生產(chǎn)、機(jī)會(huì)、名譽(yù)、聲譽(yù)或預(yù)計(jì)節(jié)約的或其他任何特殊的、間接的、懲罰性的或后果性的損失或損害的責(zé)任。

　　Party B agrees that Party A shall not be liable in contract, and law under product liability, under statute, under an indemnity or otherwise, to compensate Party B in relation to the subject matter of this Agreement for any loss of profit, revenue, business, contracts, data, production, opportunity, reputation, goodwill or anticipated savings or any special, indirect, punitive or consequential loss or damage of any nature whatever.

　　8.通知義務(wù)Notice

　　甲乙雙方的任何一方如更改其名稱(chēng)、地址、開(kāi)戶(hù)銀行、銀行帳號(hào)時(shí)均應(yīng)及時(shí)通知對(duì)方。甲乙雙方的通信地址、聯(lián)系人和開(kāi)戶(hù)情況如下：

　　Each party shall promptly notify the other party the changes of its name, address, deposit bank and bank account number. The relative information of both Parties is listed as follows:

　　9.全部協(xié)議Entire Agreement

　　本協(xié)議及本協(xié)議的條款和條件構(gòu)成雙方就主題事項(xiàng)達(dá)成的全部協(xié)議和共識(shí)，并取代雙方此前就該等事項(xiàng)達(dá)成的一切口頭或書(shū)面的協(xié)議和共識(shí)。雙方同意任何賣(mài)方報(bào)價(jià)、要約、確認(rèn)或類(lèi)似文件的條款和條件不應(yīng)適用。對(duì)本協(xié)議的任何修改或變更只有經(jīng)雙方簽訂書(shū)面文件后方才有效。

　　This Agreement and the terms and conditions herein constitute the entire agreement and understanding between the Parties with respect to the subject matter herein and therein, and supersede and replace any prior agreements and understanding, whether oral or written, between them with respect to such matter. Both Parties agree that the terms and conditions of any Seller quotation, offer, acknowledgment or similar document shall not apply. The amendment of this Agreement may only be valid upon the written consent of both Parties to this Agreement.

　　10.保密條款Confidentiality

　　除非根據(jù)雙方當(dāng)事人所在國(guó)的司法機(jī)關(guān)的命令或其他強(qiáng)制性法律法規(guī)規(guī)定必須披露本協(xié)議之全部或部分內(nèi)容，協(xié)議雙方同意對(duì)本協(xié)議的內(nèi)容保密。除非雙方中的另外一方書(shū)面同意，否則任何一方均不得向任何第三方直接或間接透露本協(xié)議的商業(yè)或技術(shù)詳細(xì)情況。如果任何一方違反本條規(guī)定，另一方有權(quán)向違約方索賠因此造成的全部直接經(jīng)濟(jì)損失。

　　Both Parties to this Agreement agree to keep its content confidential, unless they are required to disclose this Agreement in whole or in part according to the judicial order or other mandatory provisions of laws and regulations of the country(ies) they located. Any Party will not disclose, directly or indirectly, any commercial or technical details of this Agreement to any third Party unless approved in writing by the other Party. In case of breach of this Article by one Party, the other Party shall have the right to claim against the defaulted Party the full compensation for directly incurred economic losses.

　　11.遵守法律Compliance with Laws

　　在本協(xié)議的接受和履行過(guò)程中，乙方保證其已經(jīng)和將要遵守所有適用的法律和法規(guī)。

　　In acceptance and performance of this Agreement, Party B represents that it has and shall comply with all applicable laws and regulations.

　　12.適用法律和爭(zhēng)議解決Applicable Law and Dispute Resolution

　　(a)本協(xié)議適用中華人民共和國(guó)法律。

　　This Agreement shall be governed by the laws of the People’s Republic of China.

　　(b)凡因本協(xié)議而產(chǎn)生的一切糾紛均應(yīng)首先通過(guò)協(xié)商解決，協(xié)商解決不成的，因本協(xié)議產(chǎn)生的任何糾紛，將交由甲方所在地法院解決。

　　All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted to the authorized court in Party A’s place.

　　13.語(yǔ)言L(fǎng)anguage

　　本協(xié)議以中文和英文兩種文字書(shū)寫(xiě)。中文和英文版本若出現(xiàn)不一致，應(yīng)以英文版本為準(zhǔn)。

　　This Agreement is written both in Chinese and English. In the event of discrepancy between the Chinese and English versions, the English version shall prevail.

　　14.協(xié)議生效Effectiveness of Agreement

　　本協(xié)議一式肆份雙方各執(zhí)貳份具有同等法律效用。本協(xié)議經(jīng)雙方法人代表或授權(quán)人簽字并蓋章后生效。

　　This Agreement shall come into effect immediately after it is signed and stamped by legal representative or authorized person of both parties in two original copies; each party holds one copy.
