  AUCTION REGULATIONS

  第一章 總則Chapter I General Provisions

  第一條 規(guī)則制定Article 1 Governing Law

  本規(guī)則根據(jù)《中華人民共和國拍賣法》及中華人民共和國其他有關(guān)法律、法規(guī)及本公司章程,參照國際通行慣例制定。

  This Conditions of Business (hereinafter referred to as the “Conditions”) are made in accordance with the Auction Law of the People’s Republic of China, other relevant laws implemented in the People Republic of China, regulations of the People’s Republic of China and the Articles of Association of the Company with reference to international general practices.

  第二條 名詞解釋Article 2 Definitions and Interpretation

  本規(guī)則各條款內(nèi),下列詞語具有以下含義:

  The terms used in the Conditions shall have the following meanings:

  (一)“本公司”指拍賣行有限公司;

  (二)“本公司住所地”指 可能變更之工商注冊地址;

  (1) “We/Us/Our/Company” means Guangdong Yuejun Auctions Co., Ltd..

  (2) “the Company’s domicile” means any other registered address which may be changed subsequently.

  (三)“委托人”指委托本公司拍賣本規(guī)則規(guī)定范圍內(nèi)拍賣標(biāo)的的自然人、法人或者其他組織。本規(guī)則中,除非另有說明或根據(jù)文義特殊需要,委托人均包括委托人的代理人;

  (3) “the Seller” means a natural person, legal person or any other organization who consigns the Lot to the Company for auction in accordance with the Conditions. Under the Conditions, the Seller shall include any of its agents unless otherwise provided hereunder or in a particular context.

  (四)“競買人”指參加本公司舉辦的拍賣活動,在本公司登記并辦理了必要手續(xù),根據(jù)中華人民共和國法律規(guī)定具有完全民事行為能力的參加競買拍賣標(biāo)的的自然人、法人或者其他組織。法律、法規(guī)對拍賣標(biāo)的的買賣條件或?qū)Ω傎I人的資格有規(guī)定的,競買人應(yīng)當(dāng)具備規(guī)定的條件或資格。本規(guī)則中,除非另有說明或根據(jù)文義特殊需要,競買人均包括競買人的代理人;

  (4) “the Bidder” means a natural person, legal person or any other organization that has full capacity of civil rights to bid at auction according to provisions of the laws of People’s Republic of China and who has gone through the necessary registration and procedural formalities of the Company. The Bidder shall satisfy all provisions with respect to conditions of sale or qualification of the Bidder. Under the Conditions, the Bidder shall include any of its agents unless otherwise provided hereunder or in a particular context.

  (五)“買受人”指在本公司舉辦的拍賣活動中以最高應(yīng)價購得拍賣標(biāo)的的競買人;

  (六)“拍賣標(biāo)的”指委托人所有或者依法可以處分的委托本公司進(jìn)行拍賣的物品;

  (七)“拍賣日”指在某次拍賣活動中,本公司公布的正式開始進(jìn)行拍賣交易之日;

  (5) “the Buyer” means the person with the highest bid accepted by the auctioneer.

  (6) “Lot” means any item(s) owned by the Seller or disposable according to the laws, and consigned to the Company for auction.

  (7) “Auction Date” means the published date on which the auction will formally begin. In case of any discrepancy between the actual date of auction and the published date, the actual date of auction shall prevail.

  (八)“拍賣成交日”指在本公司舉辦的拍賣活動中,拍賣師以落槌或者以其他公開表示買定的方式確認(rèn)任何拍賣標(biāo)的達(dá)成交易的日期;

  (九)“落槌價”指拍賣師落槌決定或以其他公開表示買定的方式確認(rèn)將拍賣標(biāo)的售予買受人的價格;

  (十)“出售收益”指支付委托人的款項凈額,該凈額為落槌價減去按比率計算的傭金、稅費(fèi)、各項費(fèi)用及委托人應(yīng)支付本公司的其他款項后的余額;

  (8) “Sale Date” means the date on which the auctioneer confirms the sale of any Lot in the auction by dropping his hammer or in any other public manner.

  (9) “Hammer Price” means the amount of the highest bid which shall indicate the conclusion of the auction after being confirmed by the auctioneer dropping the hammer or in any other public manner indicating the completion of a deal.

  (10) “Proceeds of Sale” means the net amount owed to the Seller from the Hammer Prices after deducting commission pro rata, taxes and all expenses and other amounts owed to the Company by the Seller.

  (十一)“購買價款”指買受人因購買拍賣標(biāo)的而應(yīng)支付的包括落槌價、全部傭金、以及應(yīng)由買受人支付的其他各項費(fèi)用的總和;

  (十二)“各項費(fèi)用”指本公司對拍賣標(biāo)的進(jìn)行保險、制作拍賣標(biāo)的圖錄及其他形式的宣傳品、包裝、運(yùn)輸、存儲、保管等所收取的費(fèi)用以及依據(jù)相關(guān)法律、法規(guī)或本規(guī)則規(guī)定而收取的其他費(fèi)用;

  (十三)“保留價”指委托人提出并與本公司在委托拍賣合同中確定的拍賣標(biāo)的最低售價;

  (11) “Purchase Price” means the total amount payable by Buyer for his/her/its bid, including Hammer Price, commission and other expenses payable by the Buyer.

  (12) “Expenses” means charges and expenses including but not limited to expenses with respect to insurance, making catalogue and other public materials, packaging, transportation and storage, and any other expenses pursuant to relevant laws, regulations and provisions hereof.

  (13) “Reserve” means the lowest selling price of Lot raised by the Seller and confirmed with the Company in the consignment auction contract.

  (十四)“參考價”指在拍賣標(biāo)的圖錄或其他介紹說明文字之后標(biāo)明的拍賣標(biāo)的估計售價。參考價在拍賣日前較早時間估定,并非確定之售價,不具有法律約束力;

  (十五)“保管費(fèi)”指委托人、買受人按本規(guī)則規(guī)定應(yīng)向本公司支付的保管費(fèi)用,現(xiàn)行收費(fèi)標(biāo)準(zhǔn)為每日按保留價(無保留價的按約定保險金額)的萬分之三收取。

  (14) “Reference Price” means the price of the Lot provided in the catalogue or other descriptive materials and estimated prior to the auction. The Reference Price is subject to possible changes and cannot be deemed as the fixed sale price, and no legal binding force.

  (15) “Storage Fee” means the fee payable by the Buyer or the Seller under the Conditions relating to storage of the Lot, and the current standard of Storage Fee is equal to 0.3‰ of Reserve (if no Reserve, the agreed insurance amount shall be applied) per day.

  第三條 適用范圍Article 3 Application Scope

  本公司在中華人民共和國法律和政策允許的范圍內(nèi),組織和開展拍賣活動。凡參加本公司組織、開展的文物、藝術(shù)品、珠寶等收藏品的拍賣活動的委托人、競買人、買受人和其他相關(guān)各方均應(yīng)按照本規(guī)則執(zhí)行。

  The Company organizes auctions pursuant to Chinese laws, regulations and policies. The Conditions shall ensure to be binding upon the Seller, the Bidder, the Buyer and any other concerned parties participating in the Company’s auction in relation to the artworks, crafts, jewelry and other cultural relics presented by the auction activities of the Company.

  第四條 特別提示Article 4 Special Notice

  在本公司舉辦的拍賣活動中,競買人的最高應(yīng)價經(jīng)拍賣師落槌或者以其他公開表示買定的方式確認(rèn)時,即表明該競買人成為該拍賣標(biāo)的的買受人。凡參加本公司拍賣活動的委托人、競買人和買受人應(yīng)仔細(xì)閱讀并遵守本規(guī)則,并對自己參加本公司拍賣活動的行為負(fù)責(zé)。如因未仔細(xì)閱讀本規(guī)則而引發(fā)的任何損失或責(zé)任均由行為人自行承擔(dān)。

  When the auctioneer confirms the highest bid by dropping his hammer or in any other public manner, the Bidder with the highest bid shall be the Buyer of the Lot.

  The Seller, the Bidder, the Buyer and other concerned parties participating in the auction should read the Conditions carefully and conform to the provisions hereof. All parties shall be liable for their own actions at auction and any loss caused by failure to read the Conditions carefully.

  第五條 瑕疵擔(dān)保Article 5 Exclusion of Liability

  本公司特別聲明不能保證拍賣標(biāo)的的真?zhèn)渭?或品質(zhì),對拍賣標(biāo)的不承擔(dān)瑕疵擔(dān)保責(zé)任。

  競買人應(yīng)親自審看拍賣標(biāo)的原物,對自己競買拍賣標(biāo)的的行為承擔(dān)法律責(zé)任。

  The Company especially declares that the Company cannot guarantee the genuineness or fakery or the quality of the Lot, and the Company shall not bear the liability for guaranteeing the drawbacks..

  The Bidder and/or his/her/its agent shall bear the responsibility of carrying out his/her/its own inspection and investigations as to the nature of the Lot and shall be liable for his/her/its bid.

  第二章 關(guān)于委托人的規(guī)定Chapter II Conditions Concerning the Seller

  第六條 委托程序Article 6 Consignment Procedures

  委托人委托本公司拍賣其物品時,若為自然人的,應(yīng)持有有效身份證或護(hù)照或中華人民共和國政府認(rèn)可的其他有效身份證件,并與本公司簽署委托拍賣合同;若為法人或者其他組織的,應(yīng)憑有效注冊登記文件、法定代表人身份證明或者合法的授權(quán)委托證明文件,與本公司簽署委托拍賣合同。

  委托人委托本公司拍賣其物品時,即自動授權(quán)本公司對該物品自行進(jìn)行展覽、展示、制作照片、圖示、圖錄或其他形式的影像制品、宣傳品。

  When arranging for consignment, the Seller shall hold a valid identity card or passport or other certificates approved by the competent government of the People’s Republic of China in the case of the Seller being a natural person, who must also sign a contract with the Company. A valid certificate of registration, ID of legal representative or other legal authorization document is required in the case of the Seller being a legal entity or other organization, which must also sign a consignment auction contract with the Company.

  When the Seller consigns the Company for auction, the Company shall be automatically authorized to exhibit, display, make pictures, illustrations, catalogue, or other video images or publicity materials of the Lot.

  第七條 委托人之代理人Article 7 The Seller’s Agent

  委托人委托代理人拍賣物品的,應(yīng)向本公司出具相關(guān)委托證明文件、提供委托人及代理人的合法身份證明,并與本公司簽署委托拍賣合同。委托人及代理人若為自然人的,必須持有有效身份證或護(hù)照或中華人民共和國政府認(rèn)可的其他有效身份證明文件;若為法人或者其他組織的,應(yīng)憑有效注冊登記文件、法定代表人身份證明或者合法的授權(quán)委托證明文件。

  本公司有權(quán)對上述委托事項以本公司認(rèn)為合理的方式進(jìn)行核查。

  When arranging for consignment, the Seller’s agent shall submit to the Company a relevant authorization letter and the Seller and his/her/its agent’s legal identity certificate, and enter into a for consignment auction contract with the Company. The Seller and his/her/its agent shall hold a valid identity card or passport or other certificates approved by the competent government of the People’s Republic of China in the case of a natural person. A valid certificate of registration, ID of legal representative or other legal authorization documents is required in the case of a legal person or other organization.

  The Company reserves the right to examine and amend the above arrangement in any manner the Company considers reasonable.

  第八條 委托人之保證Article 8 The Seller’s Warranties

  委托人就其委托本公司拍賣的拍賣標(biāo)的不可撤銷地向本公司及買受人保證如下:

  (一) 其對該拍賣標(biāo)的擁有完整的所有權(quán)或享有處分權(quán),對該拍賣標(biāo)的的拍賣不會侵害任何第三方的合法權(quán)益,亦不違反相關(guān)法律、法規(guī)的規(guī)定;

  (二) 其已盡其所知,就該拍賣標(biāo)的的來源和瑕疵向本公司進(jìn)行了全面、詳盡的披露和說明,不存在任何隱瞞或虛構(gòu)之處;

  (三) 如果其違反上述保證,造成拍賣標(biāo)的的實(shí)際所有權(quán)人或聲稱擁有權(quán)利的任何第三人提出索賠或訴訟,致使本公司及/或買受人蒙受損失時,則委托人應(yīng)負(fù)責(zé)賠償本公司及/或買受人因此所遭受的一切損失,并承擔(dān)因此而發(fā)生的一切費(fèi)用和支出。

  The Seller hereby makes irrevocable warranties to the Company and the Buyer with respect to the consigned Lot as follows:

  (1) the Seller has complete ownership and legal right to dispose of the Lot. Without prejudice to any legal interest of any third party, the auction of the Lot shall not violate any relevant laws and regulations;

  (2) the Seller has, to the best of its knowledge, made full and complete disclosure and description to the Company with respect to the origin and any flaw or defect of the Lot without any concealment and fabrication; and

  (3) the Seller shall indemnify and hold the Company and/or the Buyer from and against any claims, losses and damages or actions incurred or brought by the actual owner or any third party who claims to be the actual owner of the Lot as well as all expenses and costs incurred in connection therewith, arising out of, or in any way attributable to any breach of the above warranties.

  第九條 保留價Article 9 Reserve

  凡本公司拍賣標(biāo)的未標(biāo)明或未說明無保留價的,均設(shè)有保留價。保留價數(shù)目一經(jīng)雙方確定,其更改須事先征得對方書面同意。

  在任何情況下,本公司不對某一拍賣標(biāo)的在本公司舉辦的拍賣會中未達(dá)保留價不成交而承擔(dān)任何責(zé)任。

  All Lots are offered subject to a Reserve, unless otherwise marked or explained by the Company. The Reserve shall be determined by the Seller and the Company in writing and no modification or amendment of the Reserve shall be binding upon the parties unless subject to prior written consent of the other party.

  In no circumstances, shall the Company accept any liability for failure in sale due to bidding lower than the Reserve at the auction.

  第十條 拍賣前本公司之決定權(quán)Article 10 The Company’s Discretion before Auction

  本公司對下列事宜擁有完全的決定權(quán):

  (一) 通過拍賣標(biāo)的圖錄及/或新聞媒體及/或其他載體對任何拍賣標(biāo)的作任何內(nèi)容說明及/或評價;

  (二) 是否應(yīng)征詢?nèi)魏螌<乙庖?

  (三) 拍賣標(biāo)的在圖錄中插圖的先后次序、位置、版面大小等安排以及收費(fèi)標(biāo)準(zhǔn);拍賣標(biāo)的的展覽/展示方式;拍賣標(biāo)的在展覽/展示過程中的各項安排及所應(yīng)支付費(fèi)用的標(biāo)準(zhǔn);

  (四) 除非本公司與委托人另有約定,本公司對某拍賣標(biāo)的是否適合由本公司拍賣(即最終是否上拍),以及拍賣地點(diǎn)、拍賣場次、拍賣日期、拍賣條件及拍賣方式等事宜擁有完全的決定權(quán)。

  The Company may decide the followings at the Company’s absolute discretion:

  (1) explanation and appraisal of any Lot as produced in the catalogue and/or news media and/or in other ways;

  (2) adoption of expert’s opinion or not;

  (3) the arrangement of the order, location, and page size of illustration of the Lot in the Catalogue and relevant expenses incurred therefore; specific means of exhibition/display of the Lot and all relevant arrangement and expenses incurred therefore.

  (4) unless otherwise agreed by the Seller and the Company, the Company shall at its own discretion decide on whether the Lot is appropriate to be auctioned by the Company (i.e. whether to be auctioned finally) , as well as the place of auction, the scene of auction, the date of auction, the conditions of auction and the manner of auction.

  第十一條 未上拍拍賣標(biāo)的Article 11 Unauctionable Lot

  委托人與本公司簽署委托拍賣合同且將拍賣標(biāo)的交付本公司后,若因任何原因致使本公司認(rèn)為某拍賣標(biāo)的不適合由本公司拍賣的,則委托人應(yīng)自收到本公司領(lǐng)取通知之日起三十日內(nèi)取回該拍賣標(biāo)的(包裝及搬運(yùn)等費(fèi)用自行負(fù)擔(dān)),本公司與委托人之間的委托拍賣合同自委托人領(lǐng)取該拍賣標(biāo)的之日解除。若在上述期限,委托人未取回拍賣標(biāo)的的,則本公司與委托人之間的委托拍賣合同自上述期限屆滿之日即告解除。若在委托拍賣合同解除后七日內(nèi),委托人仍未取回拍賣標(biāo)的的,委托人應(yīng)自委托拍賣合同解除后第八日起每日按本規(guī)則第二條第(十五)款的規(guī)定向本公司支付保管費(fèi)用。若在委托拍賣合同解除后九十日內(nèi),委托人仍未取回拍賣標(biāo)的的,本公司有權(quán)按本規(guī)則第三十條的規(guī)定執(zhí)行。

  After the Seller has signed the consignment auction contract with and delivered the Lot to the Company, if for any reason the Company believes that the Lot is not suitable for auction, the Seller must collect the Lot within thirty days from the date of the Company’s notice being dispatched (fees for the packaging charge and cartage shall be paid by the Seller), the consignment auction contract between the Seller and the Company will cease on the date the Seller collects the Lot. If during the abovementioned period the Seller fails to collect the Lot, the consignment auction contract will automatically cease. If within seven days after the ceasing of the consignment auction contract, the Seller does not collect the Lot, the Seller shall pay the Company Storage Fee according to the standard set forth in Article 2 (15) of the Conditions from eighth day after the ceasing of the consignment auction contract. If the Seller does not collect the Lot within ninety days after the ceasing of the consignment auction contract, the Company has right to deal with according to Article 30 of the Conditions.

  第十二條 拍賣中止Article 12 Suspension of Auction

  如出現(xiàn)下列情況之一,則本公司有權(quán)在實(shí)際拍賣前的任何時間決定中止任何拍賣標(biāo)的的拍賣活動:

  (一) 本公司對拍賣標(biāo)的的歸屬或真實(shí)性持有異議的;

  (二) 第三人對拍賣標(biāo)的的歸屬或真實(shí)性持有異議且能夠提供本公司認(rèn)可的異議所依據(jù)的相關(guān)證據(jù)材料,同時書面表示愿意對中止拍賣活動所引起的法律后果及全部損失承擔(dān)全部法律責(zé)任的;

  The Company may suspend any auction at any time under any one of the following situations:

  (1) the Company has the objection to the ownership and authenticity of the Lot;

  (2) any third party has the objection to the ownership and authenticity of the Lot with undertakings to provide relevant evidence accepted by the Company, make security in writing pursuant to the Company’s provisions and take all legal responsibilities for all legal repercussions and losses due to suspension of auction;

  (三) 對委托人所作的說明或?qū)Ρ疽?guī)則第八條所述委托人保證的準(zhǔn)確性持有異議的;

  (四) 有證據(jù)表明委托人已經(jīng)違反或?qū)⒁`反本規(guī)則的任何條款的;

  (五) 存在任何其他合理原因的。

  (3) the Company has the objection to the explanation of the Seller or the accuracy regarding the Seller’s warranty provided in Article 8;

  (4) the Company has any evidence to prove the Seller has already violated or is to violate any term of the Conditions; and

  (5) any other reasonable causes.

  第十三條 委托人撤回拍賣標(biāo)的Article 13 Withdrawal of Lots by the Seller

  委托人在拍賣日前任何時間,向本公司發(fā)出書面通知說明理由后,可撤回其拍賣標(biāo)的。但撤回拍賣標(biāo)的時,若該拍賣標(biāo)的已列入的圖錄或其他宣傳品已開始印刷,則應(yīng)支付相當(dāng)于該拍賣標(biāo)的保險金額百分之二十的款項并支付其他各項費(fèi)用。如圖錄或任何其他宣傳品尚未印刷,也需支付相當(dāng)于該拍賣標(biāo)的保險金額百分之十的款項并支付其他各項費(fèi)用。

  委托人撤回拍賣標(biāo)的的,應(yīng)在收到本公司領(lǐng)取通知之日起三十日內(nèi)取回該拍賣標(biāo)的。若在該期限內(nèi)未取回拍賣標(biāo)的的,委托人應(yīng)自該期限屆滿后次日起每日按本規(guī)則第二條第(十五)款的規(guī)定向本公司支付保管費(fèi)用。若在該期限屆滿后的九十日內(nèi),委托人仍未取回拍賣標(biāo)的的,本公司有權(quán)按本規(guī)則第三十條的規(guī)定執(zhí)行。

  因委托人撤回拍賣標(biāo)的而引起的任何爭議或索賠均由委托人自行承擔(dān),與本公司無關(guān)。

  The Seller may withdraw the Lot at any time prior to the Auction Date subject to a written notice stating the reasons. In the case that the catalogue or any other public materials of the Lot have begun printing upon the Seller’s withdrawal, the Seller shall pay an amount equal to 20% of the insurance amount of the Lot and other Expenses in connection therewith. In the case that the catalogue or other public materials has not been printed, the Seller shall pay an amount equal to 10% of the insurance amount and other related Expenses.

  In case of withdrawal of the Lot, the Seller shall take the Lot back within thirty days after receiving the notice sent by the Company. If the Seller does not collect the Lot within the foregoing time limit, the Seller shall pay the Company Storage Fee according to the standard set forth in Article 2 (15) of the Conditions from eighth day after the ceasing of the contract. If the Seller does not collect the Lot within ninety days after the foregoing time limit, the Company has right to deal with according to Article 30 of the Conditions.

  No dispute or claim arising out of the Seller’s withdrawal of the Lot shall be born by the Company.

  第十四條 自動受保Article 14 Automatic Insurance

  除委托人另有書面指示外,在委托人與本公司簽署委托拍賣合同且將拍賣標(biāo)的交付本公司后,所有拍賣標(biāo)的將自動受保于本公司投保的保險,保險金額以本公司與委托人在委托拍賣合同中確定的保留價為準(zhǔn)(無保留價的,以拍賣標(biāo)的約定的保險金額為準(zhǔn);調(diào)整拍賣保留價的,以該拍賣標(biāo)的調(diào)整后的保留價為準(zhǔn))。

  此保險金額只適用于向保險公司投保以及在保險事故發(fā)生后向保險公司索賠,并非本公司對該拍賣標(biāo)的價值的保證或擔(dān)保,也不意味著該拍賣標(biāo)的由本公司拍賣,即可售得相同于該保險金額之款項。

  Unless otherwise instructed by the Seller in writing, all Lots will be automatically covered under the insurance applied by the Company as soon as the Seller signs the consignment auction contract with the Company and delivers the Lot to the Company. The insurance amount shall be based on the Reserve agreed by the Seller and the Company in the consignment auction contract (if no Reserve, the insurance amount shall be the one agreed by both parties; if the Reserve is adjusted, the insurance amount shall be adjusted Reserve).

  The insurance amount is only subject to apply for insurance and claim for compensation after the insurance accident occurrence other than the Company’s warranty or security for the value of the Lot, and does not mean that the Seller can be paid such amount equal to the insurance amount by auction held by the Company.

  第十五條 保險費(fèi)Article 15 Insurance Premium

  除委托人與本公司另有約定外,委托人應(yīng)按如下規(guī)則向本公司支付保險費(fèi):

  (一)拍賣標(biāo)的未成交的,支付相當(dāng)于保留價(無保留價的按拍賣標(biāo)的約定保險金額)百分之一的保險費(fèi);

  (二)拍賣標(biāo)的成交的,支付相當(dāng)于落槌價百分之一的保險費(fèi)。

  Unless otherwise agreed by the Seller and the Company, the Seller shall pay an insurance premium according to the following:

  (1) In case of unsold of the Lot, the insurance premium payable by the Seller shall be 1% of the Reserve (if no Reserve, the agreed insurance amount shall be applied).

  (2) In case of sold of the Lot, the insurance premium payable by the Seller shall be 1% of the Hammer Price.

  第十六條 保險期間Article 16 Insurance Period

  如拍賣標(biāo)的拍賣成交,保險期限至拍賣成交日起第三十日止或買受人領(lǐng)取拍賣標(biāo)的之日止(以二者中較早者為準(zhǔn));如拍賣標(biāo)的拍賣未成交,則保險期限至委托人收到本公司告知其領(lǐng)回拍賣標(biāo)的的通知之日起三十日屆滿為止。

  In case of sold of the Lot, the insurance period shall terminate on the earlier expiry of either thirty days after Sale Date or the date when the Buyer collects the Lot. In case of unsold of the Lot, the insurance period shall terminate upon the expiry of thirty days after the Seller has received the Company’s notice to take back the Lot.

  第十七條 委托人安排保險Article 17 Insurance by the Seller

  如委托人以書面形式告知本公司不需投保其拍賣標(biāo)的,則風(fēng)險由委托人自行承擔(dān),且委托人應(yīng)隨時承擔(dān)以下責(zé)任(除非法院或仲裁機(jī)構(gòu)另有裁定):

  (一) 對其他任何權(quán)利人就拍賣標(biāo)的的毀損、滅失向本公司提出的索賠或訴訟做出賠償;

  (二) 對因任何原因造成拍賣標(biāo)的損毀、滅失,而致使本公司或任何權(quán)利人所遭受的全部損失及所支出的全部費(fèi)用承擔(dān)賠償責(zé)任;

  (三) 將本條所述的賠償規(guī)定通知該拍賣標(biāo)的的任何承保人。

  In the event that the Seller notifies the Company not to apply insurance for the Lot in writing, it shall undertake all the risks and the following liabilities (unless otherwise judged by court or arbitration commission):

  (1) to indemnify the Company from and against any claims or actions incurred or brought by any third party with respect to the losses or damages of the Lot;

  (2) to hold the Company and/or any other parties from and against any losses and expenses in relation to the damages and/or losses of the Lot caused by any reason; and

  (3) to notify the terms of indemnity hereunder to any insurer of the Lot.

  第十八條 保險免責(zé)Article 18 Uninsured

  因自然磨損、固有瑕疵、內(nèi)在或潛在缺陷、物質(zhì)本身變化、自燃、自熱、氧化、銹蝕、滲漏、鼠咬、蟲蛀、大氣(氣候或氣溫) 變化、濕度或溫度轉(zhuǎn)變、正常水位變化或其他漸變原因以及因地震、海嘯、戰(zhàn)爭、類似戰(zhàn)爭行為、敵對行為、武裝沖突、恐怖活動、謀反、政變、罷工、暴動、民眾騷亂及核裂變、核聚變、核武器、核材料、核輻射以及放射性污染對拍賣標(biāo)的造成的任何毀損、滅失,以及由于任何原因造成的圖書框架或玻璃、囊匣、底墊、支架、裝裱、插冊、軸頭或類似附屬物的毀損、滅失,本公司不承擔(dān)賠償責(zé)任。

  The Company will not be liable for the damages or losses of the Lot caused by natural wear, inherent flaws, inherent or potential defects, inherent material changes, self-combustion, self-warming, oxidation, rust, leakage, rat-bite, woodworm, changes in atmospheric (climate, temperature or humidity) conditions, changes in normal water level, or other reasons of natural changes or caused by earthquake, tsunami, war, actions similar to war, hostile actions, armed conflicts, terrorism, rebellion, coup, strike, riots, or nuclear fission, nuclear fusion, nuclear weapon, nuclear radiation, or radioactive pollution. The Company will also not take responsibility for any damages to or any losses of frames, glass, drawer, bottom mat, trestle, mounting, insert pages, roller or other similar accessories caused by any reason.

  第十九條 保險賠償Article 19 Insurance Indemnity

  凡屬因本公司為拍賣標(biāo)的所購保險承保范圍內(nèi)的事件或災(zāi)害所導(dǎo)致的拍賣標(biāo)的毀損、滅失,應(yīng)根據(jù)中華人民共和國有關(guān)保險的法律和規(guī)定處理。本公司在向保險公司進(jìn)行理賠,并獲得保險賠償后,將保險賠款扣除本公司費(fèi)用(傭金除外)的余款支付給委托人。

  Any damages or losses of the Lot caused by incidents or disasters covered by insurance the Company purchased for the Lot shall be handled in accordance with Chinese laws and regulations regarding insurance. The Company shall pay insurance indemnities after deducting all expenses incurred by the Company (except for commissions) to the Seller after the Company obtains such indemnities from the insurance company.

  第二十條 競買禁止Article 20 Non-Bidding

  委托人不得競買自己委托本公司拍賣的物品,也不得委托他人代為競買。若違反本條規(guī)定,委托人應(yīng)自行承擔(dān)相應(yīng)之法律責(zé)任,并賠償因此給本公司造成的全部損失。

  The Seller shall not bid for the Lot consigned to the Company by himself/herself/itself, nor authorize any other person to bid on his/her/its behalf. The Seller shall be liable for and indemnify the Company for any losses and damages caused by violation of this provision.

  第二十一條 傭金及費(fèi)用Article 21 Commission and Expenses

  除委托人與本公司另有約定外,委托人同意本公司按落槌價百分之十扣除傭金并同時扣除其他各項費(fèi)用,且認(rèn)可本公司可根據(jù)本規(guī)則第四十六條的規(guī)定向買受人按落槌價百分之十二收取傭金及其他各項費(fèi)用。

  Unless otherwise agreed upon by the Seller and the Company, the Seller shall authorize the Company to deduct 10% of the Hammer Price as commission and any other Expenses.

  The Seller agrees that the Company is entitled to the Buyer’s commission equal to 12% of the Hammer Price and other Expenses payable by the Buyer in accordance with provisions in Article 46 of the Conditions.

  第二十二條 未成交手續(xù)費(fèi)Article 22 Service Fee for Unsold Lot

  如某拍賣標(biāo)的的競買價低于保留價的數(shù)目而未能成交,則委托人授權(quán)本公司向其收取按保留價百分之三計算的未拍出手續(xù)費(fèi),并同時收取其他各項費(fèi)用。

  In case of unsold of the Lot due to bidding lower than the Reserve, the Seller shall authorize the Company to charge the Seller a service fee for unsuccessful auctioning equal to 3% of the Reserve and other expenses payable by the Seller.

  第二十三條 出售收益支付Article 23 Payment Proceeds of Sale

  如買受人已按本規(guī)則第四十七條的規(guī)定向本公司付清全部購買價款,則本公司應(yīng)自拍賣成交日起三十五天后以人民幣的貨幣形式將出售收益支付委托人。

  In the case that the Buyer makes full payment to the Company in accordance with provisions in Article 47 herein, the Company shall pay the Proceeds of Sale to the Seller in RMB currency after thirty-five days from the Sale Date.

  第二十四條 延遲付款A(yù)rticle 24 Deferred Payment

  如本規(guī)則第四十七條規(guī)定的付款期限屆滿,本公司仍未收到買受人的全部購買價款,則本公司將在實(shí)際收到買受人支付的全部購買價款之日起七個工作日內(nèi)(但該時限亦應(yīng)在拍賣成交日起三十五天后)將出售收益支付委托人。

  In the case that the Company do not receive the full payment from the Buyer upon the expiry of the payment period under Article 47 herein, the Company will pay the Sale Proceeds to the Seller within seven working days (meanwhile such payment should be made after thirty-five days of Sale Date as well) after receipt of full payment from the Buyer.

  第二十五條 撤銷交易Article 25 Cancellation

  拍賣成交日起六十天內(nèi),如買受人仍未向本公司付清全部購買價款,委托人向本公司發(fā)出書面通知并經(jīng)本公司同意后,委托人有權(quán)撤銷交易,本公司將在做出同意委托人撤銷交易的決定之日起七個工作日內(nèi)向買受人發(fā)出撤銷交易的通知。如委托人將撤銷交易的通知送達(dá)本公司之時,買受人已經(jīng)付清全部購買價款和/或已經(jīng)辦理完畢提貨手續(xù)的,委托人撤銷交易的通知視為自動廢止,相關(guān)交易應(yīng)按照本規(guī)則第二十四條等規(guī)定繼續(xù)履行,委托人應(yīng)予以必要的配合并不得就此提出任何異議。如委托人撤銷交易,則委托人應(yīng)自收到本公司領(lǐng)取通知之日起三十日內(nèi)取回該拍賣標(biāo)的(包裝及搬運(yùn)等費(fèi)用自行負(fù)擔(dān))。若超過該期限,委托人應(yīng)自該期限屆滿后次日起每日按本規(guī)則第二條第(十五)款的規(guī)定向本公司支付保管費(fèi)用。若在該期限屆滿后的九十日內(nèi),委托人仍未取回拍賣標(biāo)的的,本公司有權(quán)按本規(guī)則第三十條的規(guī)定執(zhí)行。

  In the event that the Buyer does not make full payment to the Company within sixty days of the Sale Date, the Seller has right to cancel the transaction after giving the Company a notice in writing and receiving prior approval from the Company. A cancellation notice is to be dispatched to the Buyer within seven working days after such decision approving the cancellation as made by the Company. In the event that the Buyer makes full payment and/or finishes collection procedure before the service of the cancellation notice of the Seller to the Company, such notice should be deemed to be terminated automatically, and the transaction is to be carried out in accordance with regulations stipulated in Article 24, under which the Seller should cooperate with the Company and under no circumstance raise objection. In the event that the Seller cancels the transaction, the Seller must collect the Lot within thirty days from the date of the Company’s notice being dispatched (fees for the packaging charge and cartage shall be paid by the Seller). In the event the Lot has not been collected within the above period, the Seller shall pay the Company Storage Fee according to the standard set forth in Article 2 (15) of the Conditions from eighth day after the ceasing of the contract. If the Seller does not collect the Lot within ninety days after the foregoing time limit, the Company has right to deal with according to Article 30 of the Conditions.

  第二十六條 代為追索Article 26 Claim on Behalf of the Seller

  如買受人未按本規(guī)則規(guī)定支付全部購買價款,且委托人要求本公司代表其向買受人追索拖欠款項,則委托人應(yīng)向本公司支付由此產(chǎn)生的合理費(fèi)用(包括但不限于訴訟費(fèi)、律師費(fèi)等)。

  If the Buyer does not fully pay the Purchase Price, and the Seller requires the Company to claim for the outstanding payment on behalf of the Seller to the Buyer, the Seller shall undertake reasonable expense arising from it (including but not limited to litigation costs and attorney fee).

  第二十七條 稅項Article 27 Taxes

  如委托人所得應(yīng)向中華人民共和國政府納稅,則由拍賣人按照中華人民共和國政府之相關(guān)法律法規(guī)之規(guī)定,代扣委托人應(yīng)繳納之稅費(fèi),并在繳納完成后將納稅憑證交付給委托人。

  In the case that the Seller has a duty to pay a tax to the government of People’s Republic of China, the auctioneer should withhold and pay the tax to the competent authority in accordance with the relevant laws or administrative regulations of the People’s Republic of China, and the auctioneer should deliver receipt of tax payment to the Seller after payment of the tax.

  第二十八條 本公司之最終決定權(quán)Article 28 The Company’s Discretion

  本公司可視具體情況決定下列事項:

  (一) 同意購買價款以特殊付款條件支付;

  (二) 搬運(yùn)、儲存及投保已出售的拍賣標(biāo)的;

  (三) 根據(jù)本規(guī)則有關(guān)條款,解決買受人提出的索賠或委托人提出的索賠;

  (四) 采取其他必要措施收取買受人拖欠的款項。

  The Company may determine the following matters:

  (1) to agree to special conditions of the payment of the Purchase Price;

  (2) to remove, store and apply for insurance for sold Lot;

  (3) to settle claims brought by the Buyer or the Seller in accordance with relevant terms and conditions herein;

  (4) to take other necessary measures to collect the outstanding payment by the Buyer to the Seller.

  第二十九條 拍賣標(biāo)的未能成交Article 29 Unsold Lot

  如拍賣標(biāo)的未能成交,委托人應(yīng)自收到本公司領(lǐng)取通知之日起三十日內(nèi)取回該拍賣標(biāo)的(包裝及搬運(yùn)等費(fèi)用自行負(fù)擔(dān)),并向本公司支付未拍出手續(xù)費(fèi)及其他各項費(fèi)用。本公司與委托人之間的委托拍賣合同自委托人領(lǐng)取該拍賣標(biāo)的之日解除。若在上述期限,委托人未取走拍賣標(biāo)的的,則本公司與委托人之間的委托拍賣合同自上述期限屆滿之日即告解除。若在委托拍賣合同解除后七日內(nèi),委托人仍未取走拍賣標(biāo)的的,委托人應(yīng)自委托拍賣合同解除后第八日起每日按本規(guī)則第二條第(十五)款的規(guī)定向本公司支付保管費(fèi)用。若在委托拍賣合同解除后九十日內(nèi),委托人仍未取回拍賣標(biāo)的的,本公司有權(quán)按本規(guī)則第三十條的規(guī)定執(zhí)行。

  In the event that the Lot is not sold, the Seller shall take back the Lot within thirty days after receipt of the Company’s notice (packing charges and cartage at the Seller’s own expense) and pay the Company fees for failed auction and all other expenses. The consignment auction contract between the Seller and the Company will cease on the date of collection of the Lot by the Seller. If during the abovementioned period the Seller fails to collect the Lot, the consignment auction contract will automatically cease. If within seven days after the ceasing of the consignment auction contract, the Seller does not collect the Lot, the Seller shall pay the Company Storage Fee according to the standard set forth in Article 2 (15) of the Conditions from eighth day after the ceasing of the contract. If the Seller does not collect the Lot within ninety days after the ceasing of the consignment auction contract, the Company has right to deal with according to Article 30 of the Conditions.

  第三十條 延期取回拍賣標(biāo)的Article 30 Risks and Losses

  委托人應(yīng)對其超過本規(guī)則規(guī)定期限未能取回其拍賣標(biāo)的而在該期限后所發(fā)生之一切風(fēng)險及費(fèi)用自行承擔(dān)責(zé)任。如因拍賣標(biāo)的未上拍、委托人撤回拍賣標(biāo)的、拍賣標(biāo)的未能成交、委托人撤銷拍賣交易等情形導(dǎo)致委托人應(yīng)按本規(guī)則規(guī)定取回拍賣標(biāo)的,委托人卻延期未取回的,則本公司有權(quán)在本規(guī)則規(guī)定的期限屆滿后,以公開拍賣或其他本公司認(rèn)為合適的方式及條件出售該拍賣標(biāo)的,處置所得在扣除本公司因此產(chǎn)生之全部損失、費(fèi)用(保管費(fèi)、保險費(fèi)、搬運(yùn)費(fèi)、公證費(fèi)等)后,若有余款,則余款由委托人自行取回,該余款不計利息。

  無論委托人是否延期取回拍賣標(biāo)的,如委托人要求本公司協(xié)助退回其拍賣標(biāo)的,退回的風(fēng)險及費(fèi)用由委托人承擔(dān),除非特別指明并負(fù)擔(dān)保險費(fèi)外,一般在運(yùn)輸中不予投保。

  The Seller shall take liability for any risk and/or loss that occurs after the period mentioned above in the case of failed retrieval of the Lot within the designated period.

  In the event that the Seller shall take back the Lot in accordance with the Conditions as a result of unauctionable Lot, withdrawal by the Seller, unsold Lot, cancellation of transaction by the Seller and other circumstances, and the Seller fails to do so, the Company has right to public auction or sell the Lot by a proper way and conditions. The amount, which is arising from forgoing disposal by the Company after deducting all loss, expense (Storage Fee, insurance premium, cartage and notarization fee) incurred, shall be collected by the Seller with no interests.

  If the Seller requires the Company to assist in returning the Lot, whatever deferred collection of the Lot or not, the Seller shall be liable for all risks and/or all losses and bear all expenses. Generally, the Company are not responsible for arrangement of transportation insurance unless the Seller specifically instructs the Company to do so and bears the insurance premium.

  第三章 關(guān)于競買人和買受人的規(guī)定

  Chapter III Conditions Concerning the Bidder and the Buyer

  第三十一條 拍賣標(biāo)的圖錄Article 31 Catalogue of Lot

  在本公司舉辦的拍賣活動中,為便于競買人及委托人參加拍賣活動,本公司均將制作拍賣標(biāo)的圖錄,對拍賣標(biāo)的之狀況以文字及/或圖片進(jìn)行簡要陳述。拍賣標(biāo)的圖錄中的文字、參考價、圖片以及其他形式的影像制品和宣傳品,僅供競買人參考,并可于拍賣前修訂,不表明本公司對拍賣標(biāo)的的真實(shí)性、價值、色調(diào)、質(zhì)地、有無缺陷等所作的擔(dān)保。

  At the auction, the Company will prepare a catalogue to introduce the status of the Lot with words and/or pictures for the convenience of Bidders and Sellers. The words, Reference Price, pictures in the catalogue and other images and public materials are only references for Bidders and are subject to revision before auction. The Company provides no guarantee for the authenticity, value, tone, quality or for any flaw or defect of any Lot.

  第三十二條 圖錄之不確定性Article 32 Uncertainty of Catalogue

  因印刷或攝影等技術(shù)原因造成拍賣標(biāo)的在圖錄及/或其他任何形式的圖示、影像制品和宣傳品中的色調(diào)、顏色、層次、形態(tài)等與原物存在誤差者,以原物為準(zhǔn)。

  本公司及其工作人員或其代理人對任何拍賣標(biāo)的用任何方式(包括證書、圖錄、狀態(tài)說明、幻燈投影、新聞載體、網(wǎng)絡(luò)媒體等)所作的介紹及評價,均為參考性意見,不構(gòu)成對拍賣標(biāo)的的任何擔(dān)保。本公司及其工作人員或其代理人毋需對上述之介紹及評價中的不準(zhǔn)確或遺漏之處負(fù)責(zé)。

  本公司及其工作人員或其代理人對拍賣標(biāo)的任何說明中引述之出版著錄僅供競買人參考。本公司不提供著錄書刊等資料之原件或復(fù)印件,并保留修訂引述說明的權(quán)利。

  In case that the tone, color, graduation and shape shown in catalogue and/or any other illustrations, images and public materials differs from those of the original Lot due to print, photograph and other technical reasons, the original shall take precedence.

  Any statement and appraisal in any way (including but not limited to the certificate, catalogue, status explanation, slide show and news media) of any Lot made by the Company and its employees or its agents are only for reference and should not relied on as any guarantee for the Lot. The Company and its employees or agents shall undertake no liability for any inaccuracy or omission in the statements and appraisals mentioned above.

  The publications quoted in any explanation of the Lot by the Company and its staff or its agent are only reference for the Buyer. The Company shall not provide the original or copy of such publications and other materials, and reserve the right to modify such quotation in explanation.

  第三十三條 競買人之審看責(zé)任Article 33 Inspection by Bidders

  本公司特別聲明,不能保證拍賣標(biāo)的的真?zhèn)渭?或品質(zhì),對拍賣標(biāo)的不承擔(dān)瑕疵擔(dān)保責(zé)任。競買人及/或其代理人有責(zé)任自行了解有關(guān)拍賣標(biāo)的的實(shí)際狀況并對自己競買某拍賣標(biāo)的的行為承擔(dān)法律責(zé)任。

  本公司鄭重建議,競買人應(yīng)在拍賣日前,以鑒定或其他方式親自審看擬競買拍賣標(biāo)的之原物,自行判斷該拍賣標(biāo)的的真?zhèn)渭?或品質(zhì),而不應(yīng)依賴本公司拍賣標(biāo)的圖錄、狀態(tài)說明以及其他形式的影像制品和宣傳品之表述做出決定。

  The Company especially declares that the Company cannot guarantee the genuineness or fakery or the quality of the Lot, and the Company shall not bear the liability for guaranteeing the drawbacks. The Bidder and/or his/her/its agents shall inspect and investigate the actual status of the Lot and take liability for his/her/its bidding.

  The Company strongly advises the Bidders to personally inspect the original Lot on which they intend to bid before the Auction Date by identification or other methods. Bidders shall judge the genuineness or fakery or the quality of the Lot by themselves rather than relying on the Company’s catalogue, status explanation and other images and public materials of the Lot.

  第三十四條 競買人登記Article 34 Registration of Bidders

  競買人為自然人的,應(yīng)在拍賣日前憑有效身份證或護(hù)照或中華人民共和國認(rèn)可的其他有效身份證件填寫并簽署登記文件;競買人為法人或者其他組織的,應(yīng)在拍賣日前憑有效的注冊登記文件、法定代表人身份證明或者合法的授權(quán)委托證明文件填寫并簽署登記文件,領(lǐng)取競買號牌。

  The Bidder shall register and receive a paddle affixed with number before the Auction Date with a valid identity card, or passport or other certificates approved by the People’s Republic of China in the case of a natural person, or with a valid certificate of registration, ID of legal representative or other legal authorization certificates in the case of a legal entity or other organization.

  第三十五條 競買號牌Article 35 Paddle Affixed With Number

  本公司鄭重提示,競買號牌是競買人參與現(xiàn)場競價的唯一憑證。競買人應(yīng)妥善保管,不得將競買號牌出借他人使用。一旦丟失,應(yīng)立即以本公司認(rèn)可的書面方式辦理掛失手續(xù)。

  無論是否接受競買人的委托,凡持競買號牌者在拍賣活動中所實(shí)施的競買行為均視為競買號牌登記人本人所為,競買人應(yīng)當(dāng)對其行為承擔(dān)法律責(zé)任,除非競買號牌登記人本人已以本公司認(rèn)可的書面方式在本公司辦理了該競買號牌的掛失手續(xù),并由拍賣師現(xiàn)場宣布該競買號牌作廢。

  The Company seriously notices that the paddle affixed with number is the only evidence of the Bidder’s participation in bid. Each Bidder shall take good care of his or her paddle affixed with number and may not lend it to any third person. In case of losing such paddle, the Bidder shall go through the procedure for report of losing in the form of writing agreed by the Company.

  The person holding the paddle is deemed to be the registered owner of the paddle, whatever he/or she is entrusted by the Bidder or not. The Bidder shall be liable for using his or her paddle bid in the auction process, unless the Bidder goes through the procedure for report of losing in the form of writing agreed by the Company and such paddle affixed number has been cancelled by the auctioneer’s announcement in the auction process.

  第三十六條 競買保證金Article 36 Guarantee Money

  競買人參加本公司拍賣活動,應(yīng)在領(lǐng)取競買號牌前交納競買保證金。競買保證金的數(shù)額由本公司在拍賣日前公布。若競買人未能購得拍賣標(biāo)的的,則該保證金在拍賣結(jié)束后五個工作日內(nèi)全額無息返還競買人;若競買人成為買受人的,則該保證金自動轉(zhuǎn)變?yōu)橹Ц杜馁u標(biāo)的購買價款的定金。

  The Company will charge a guarantee money before the Bidder receives paddle affixed with number. The amount of guarantee money will be announced before Auction Date. The Company will refund all the guarantee money mentioned above with no interest to the Bidder within five working days after auction in case that the Bidder fails in auction. In the event that the Bidder becomes to be the Buyer, the guarantee money will automatically turn to be deposit as part of the Purchase Price payable by the Buyer.

  第三十七條 本公司之選擇權(quán)Article 37 The Company’s Option

  本公司有權(quán)酌情拒絕任何人參加本公司舉辦的拍賣活動或進(jìn)入拍賣現(xiàn)場,或在拍賣會現(xiàn)場進(jìn)行拍照、錄音、攝像等活動。

  The Company may forbid anyone from participating in auction, admission to the premises, taking a picture, making a sound recording or making a video recording during auction, as the case maybe.

  第三十八條 異常情況處理Article 38 Abnormal Events

  當(dāng)拍賣現(xiàn)場出現(xiàn)異常情況影響拍賣活動正常進(jìn)行時,本公司有權(quán)根據(jù)實(shí)際情況做出相應(yīng)處理,直至?xí)和E馁u活動。如拍賣現(xiàn)場出現(xiàn)任何爭議,本公司有權(quán)予以協(xié)調(diào)解決。

  In case of any abnormal events affecting the success of the auction process, the Company has the right to take necessary actions as the case may be, even terminate the auction process. In the case that any dispute arises at auction, the Company has right to mediate and settle.

  第三十九條 以當(dāng)事人身份競買Article 39 Bidding as Principal

  除非某競買人在拍賣日前向本公司出具書面證明并經(jīng)本公司書面認(rèn)可,表明其身份是某競買人的代理人,否則每名競買人均被視為競買人本人。

  Any person who bids shall be deemed as principal, unless the Bidder represents to the Company a written certificate showing that it is the agent of a principal and is also subject to the Company’s approval in written form before Auction Date.

  第四十條 委托競投Article 40 Authorized Bids

  競買人應(yīng)親自出席拍賣會。如不能出席,可采用書面形式委托本公司代為競投。本公司有權(quán)決定是否接受上述委托。

  委托本公司競投之競買人應(yīng)在規(guī)定時間內(nèi)(不遲于拍賣日前二十四小時)辦理委托手續(xù),向本公司出具書面委托競投授權(quán)書,并應(yīng)根據(jù)本規(guī)則第三十六條之規(guī)定同時繳納競買保證金。

  委托本公司競投之競買人如需取消委托授權(quán),應(yīng)不遲于拍賣日前二十四小時書面通知本公司。

  The Bidder shall attend the auction personally; otherwise it may give the Company an authorization in writing to bid on his/her/its behalf. The Company shall have the right to but no obligation to accept such authorization.

  The Bidder who intends to give the Company an authorization to bid on his/her/its behalf shall present the Company with a written authorization letter and hand in guarantee money in accordance with the provisions in Article 36 herein within certain period (not later than twenty-four hours before Auction Date).

  The Bidder who entrusts the Company to bid on his/her/its behalf shall inform the Company of bid cancellation in writing not later than twenty-four hours before Auction Date.

  第四十一條 委托競投之免責(zé)Article 41 Non-liability of Authorized Bids

  鑒于委托競投系本公司為競買人提供的代為傳遞競買信息的免費(fèi)服務(wù),本公司及其工作人員對競投未成功或代理競投過程中出現(xiàn)的疏忽、過失或無法代為競投等不承擔(dān)任何責(zé)任。

  Since authorized bid shall be the free service on transferring the bid message on behalf of the Bidder provided by the Company to the Bidder, the Company and its employees shall not be liable for any failure in bidding or any negligence or fault in the authorized bids. Bidders shall attend the auction in person to assure the success of bidding.

  第四十二條 委托在先原則Article 42 Principle of Priority

  若兩個或兩個以上委托本公司競投之競買人以相同委托價對同一拍賣標(biāo)的出價且最終拍賣標(biāo)的以該價格落槌成交,則最先將委托競投授權(quán)書送達(dá)本公司者為該拍賣標(biāo)的的買受人。

  In the event that two or more Bidders entrust the Company to bid on their behalf for the same Lot with the same authorized price, and finally succeed by dropping the hammer at such price, the Bidder whose authorization certificate was first delivered to the Company shall be the Buyer of the Lot.

  第四十三條 拍賣師之決定權(quán)Article 43 Auctioneer’s Discretion

  拍賣師有權(quán)代表本公司提高或降低競價階梯、拒絕任何競買,在出現(xiàn)爭議時,將拍賣標(biāo)的重新拍賣。

  The auctioneer is entitled to represent the Company and to increase or decrease the bidding ladder, refuse any bidding, or restart auction in case of any dispute arising.

  第四十四條 影像顯示板及貨幣兌換顯示板Article 44 Screen of Video Images

  本公司為方便競買人,可能于拍賣中使用影像投射或其他形式的顯示板,所示內(nèi)容僅供參考。無論影像投射或其他形式的顯示板所示之?dāng)?shù)額、拍賣標(biāo)的編號、拍賣標(biāo)的圖片或參考外匯金額等均有可能出現(xiàn)誤差,本公司對因此誤差而導(dǎo)致的任何損失不承擔(dān)任何責(zé)任。

  At some auctions, there will be a video screen or other screens in operation for the convenience of Bidders, which is only for reference. However, there may be errors in amounts, numbers or pictures of the Lot, or in foreign exchange rate on the screen. The Company shall not be liable for any losses and damages caused by such errors.

  第四十五條 拍賣成交Article 45 Successful Bid

  最高應(yīng)價經(jīng)拍賣師落槌或者以其他公開表示買定的方式確認(rèn)時,該競買人競買成功,即表明該競買人成為拍賣標(biāo)的的買受人,買受人應(yīng)當(dāng)簽署成交確認(rèn)書/拍賣筆錄。

  When the highest bidding is confirmed by dropping the auctioneer’s hammer or in other public manners, the Bidder with the highest bidding succeeds in the bid which means that the Bidder becomes to be the Buyer and the Buyer shall sign the writing confirmation/auction minutes.

  第四十六條 傭金及費(fèi)用Article 46 Remuneration and Expenses

  競買人競買成功后,即成為該拍賣標(biāo)的的買受人。買受人應(yīng)支付本公司相當(dāng)于落槌價百分之十二的傭金,同時應(yīng)支付其他各項費(fèi)用,且認(rèn)可本公司可根據(jù)本規(guī)則第二十一條的規(guī)定向委托人收取傭金及其他各項費(fèi)用。

  The Bidder will be deemed as the Buyer of the Lot after succeeding in bidding and shall pay the Company a remuneration equal to 12% of Hammer Price and other Expenses and acknowledge that the Company is entitled to charge commission and other costs payable by the Seller in accordance with Article 21 hereof.

  第四十七條 付款時間Article 47 Payment

  拍賣成交后,買受人應(yīng)自拍賣成交日起三十日內(nèi)向本公司付清購買價款并領(lǐng)取拍賣標(biāo)的。若涉及包裝及搬運(yùn)費(fèi)用、運(yùn)輸保險費(fèi)用、出境鑒定費(fèi)等,買受人需一并支付。

  The Buyer shall make full payments in a lump sum to the Company within thirty days after the Sale Date and take the Lot back. The Buyer shall also undertake packaging charges, cartage, transportation insurance premium and export appraisal fee (if any).

  第四十八條 支付幣種Article 48 Currency

  所有價款應(yīng)以本公司指定的貨幣支付。如買受人以本公司指定的貨幣以外的其他貨幣支付,應(yīng)按買受人與本公司約定的匯價折算或按照中國人民銀行于買受人付款日前一個工作日公布的人民幣與該幣種的匯價折算。本公司為將買受人所支付之該種外幣兌換成人民幣所引致之所有銀行手續(xù)費(fèi)、傭金或其他費(fèi)用,均由買受人承擔(dān)。

  All payments shall be made in the currency designated by the Company. In the event that the Buyer makes payments in currency other than the designated one, the currency shall be converted at the rate agreed upon by the Buyer and the Company or at the rate announced by People’s Bank of China one working day prior to the payment. The Buyer shall reimburse the Company for any bank charges, commission and other expenses for converting the currency into RMB.

  第四十九條 所有權(quán)轉(zhuǎn)移Article 49 Passing of Title

  買受人全額支付購買價款后,即獲得拍賣標(biāo)的的所有權(quán)。

  The Buyer will acquire ownership of the Lot after having paid the full Purchase Price.

  第五十條 風(fēng)險轉(zhuǎn)移Article 50 Transfer of Risks

  競買成功后,拍賣標(biāo)的的風(fēng)險于下列任何一種情形發(fā)生后(以較早發(fā)生日期為準(zhǔn))即由買受人自行承擔(dān):

  (一) 買受人領(lǐng)取所購拍賣標(biāo)的;或

  (二) 買受人向本公司支付有關(guān)拍賣標(biāo)的的全部購買價款;或

  (三) 拍賣成交日起三十日屆滿。

  After a successful bid, any Lot purchased shall be entirely at the Buyer’s risk as early as one of the following conditions is met:

  (1) the Buyer collects the Lot purchased; or

  (2) the Buyer pays to the Company full Purchase Price for the Lot; or

  (3) expiry of thirty days after Sale Date.

  第五十一條 領(lǐng)取拍賣標(biāo)的Article 51 Collection

  買受人須在拍賣成交日起三十日內(nèi)前往本公司住所地或本公司指定之其他地點(diǎn)領(lǐng)取所購買的拍賣標(biāo)的。若買受人未能在拍賣成交日起三十日內(nèi)領(lǐng)取拍賣標(biāo)的,則逾期后對該拍賣標(biāo)的的相關(guān)保管、搬運(yùn)、保險等費(fèi)用均由買受人承擔(dān),且買受人應(yīng)對其所購拍賣標(biāo)的承擔(dān)全部責(zé)任。即使該拍賣標(biāo)的仍由本公司或其他代理人代為保管,本公司及其工作人員或其代理人對任何原因所致的該拍賣標(biāo)的的毀損、滅失,不承擔(dān)任何責(zé)任。

  The Buyer shall collect the purchased Lot at the Company’s domicile or other place appointed by the Company no later than thirty days after Sale Date. In case of failure to do so, the Buyer shall be solely responsible for all risks and losses of the Lot and bear all expenses for storage, cart and insurance in connection therewith due to delay. Nevertheless the Lot is still preserved by the Company or any other agents, the Company and its employees or its agents shall not be liable for any losses and damages of the Lot caused by any reason.

  第五十二條 包裝及搬運(yùn)Article 52 Package and Transportation

  本公司工作人員應(yīng)買受人要求代為包裝及處理購買的拍賣標(biāo)的,僅視為本公司對買受人提供的服務(wù),本公司可酌情決定是否提供此項服務(wù),若因此發(fā)生任何損失均由買受人自行承擔(dān)。在任何情況下,本公司對因任何原因造成的玻璃或框架、囊匣、底墊、支架、裝裱、插冊、軸頭或類似附屬物的損壞不承擔(dān)責(zé)任。此外,對于本公司向買受人推薦的包裝公司及裝運(yùn)公司所造成的一切錯誤、遺漏、損壞或滅失,本公司亦不承擔(dān)責(zé)任。

  The Company may arrange packing and handling of the purchased Lot on behalf of the Buyer as the case may be on its request and the Buyer shall be liable for any loss arising from such arrangements. In no circumstances shall the Company take any liability for any damages or losses of glass, frames, drawer, bottom mat, trestle, mounting, insert pages, roller or other similar accessories arising out of any reason. In addition, the Company shall undertake no liability for any fault, omissions, damages or losses caused by the packers or carriers recommended by the Company.

  第五十三條 拍賣標(biāo)的出境Article 53 Export of Lot

  根據(jù)《中華人民共和國文物保護(hù)法》及其他法律、法規(guī)規(guī)定,限制帶出中華人民共和國國境的拍賣標(biāo)的,本公司將在拍賣標(biāo)的圖錄或拍賣會現(xiàn)場予以說明。

  根據(jù)《中華人民共和國文物保護(hù)法》及其他法律、法規(guī)規(guī)定,允許帶出中華人民共和國國境的拍賣標(biāo)的,買受人應(yīng)根據(jù)中華人民共和國有關(guān)規(guī)定自行辦理出境手續(xù)。

  The Company will explain in the catalogue or at the auction those Lots which are prohibited to be exported pursuant to the Protection Law of Cultural Relics of the People’s Republic of China and other relevant laws and regulations.

  The Buyer shall be responsible for applying for an export license in accordance with laws of the People’s Republic of China for the Lot permitted to be exported pursuant to the Protection Law of Cultural Relics of the People’s Republic of China and other relevant laws and regulations.

  第五十四條 未付款之補(bǔ)救方法Article 54 Remedies for Non-payment

  若買受人未按照本規(guī)則第四十七條的規(guī)定足額付款,本公司有權(quán)采取以下之一種或多種措施:

  (一)拍賣成交后,若買受人未按照本規(guī)則規(guī)定時間繳付購買價款,競買保證金(定金)不予退還,同時還應(yīng)按照本規(guī)則規(guī)定承擔(dān)相應(yīng)責(zé)任;買受人以同一競買號牌同時拍得多件拍品的,拍賣成交后,若買受人未按照規(guī)定時間支付任一拍賣標(biāo)的購買價款,則全部競買保證金(定金)不予退還,同時還應(yīng)按照本規(guī)則規(guī)定承擔(dān)相應(yīng)責(zé)任;

  In the case that the Buyer fails to make full payment within the period provided in Article 47 herein, the Company shall be entitled to exercise one or more of the following remedies:

  (1) If following a successful bid the Buyer fails to make payment within the stipulated period under the Conditions, the Buyer will lose the right to request the Company to refund the guarantee money (the deposit) and the Company shall keep the guarantee money (the deposit). Besides which, the Buyer shall also undertake any liability may occur in accordance with the Conditions; In the event that the Buyer fails to pay any one Purchase Price of the Lot on time according to the Conditions after successful bidding on several Lots with the same one paddle affixed with number, all of guarantee money (the deposit) shall not be refunded and the Buyer shall undertaker relevant responsibilities in accordance with the Conditions.

  (二)在拍賣成交日起三十日內(nèi),如買受人未向本公司付清全部購買價款,本公司有權(quán)委托第三方機(jī)構(gòu)代為向買受人催要欠付的全部或部分購買價款;

  (三)在拍賣成交日起三十日內(nèi),如買受人仍未足額支付購買價款,本公司則自拍賣成交日后第三十一日起就買受人未付款部分按照日息萬分之三收取利息,直至買受人付清全部款項之日止,買受人與本公司另有協(xié)議者除外;

  (四)對買受人提起訴訟,要求賠償本公司因其違約造成的一切損失,包括因買受人遲付或拒付款項造成的利息損失;

  (2) If within thirty days after a successful bid the Buyer fails to pay the Company the Purchase Price, the Company shall have the right to entrusting third party to collect all or part of the default payment from the Buyer;

  (3) charge the Buyer an interest at a rate of 0.3‰ per day on the due and unpaid amount from thirty-first day after Sale Date until such payment is made fully, to the extent it remains fully unpaid within thirty days after Sale Date, unless otherwise agreed by the Buyer and the Company;

  (4) commence lawsuit proceedings against the Buyer for any damages caused by the Buyer’s breach of contract, including but not limited to the losses of interest on deferred or unpaid payment by the Buyer.

  (五)留置本公司向同一買受人拍賣的該件或任何其他拍賣標(biāo)的,以及因任何原因由本公司占有該買受人的任何其他財產(chǎn)或財產(chǎn)權(quán)利,留置期間發(fā)生的一切費(fèi)用及/或風(fēng)險均由買受人承擔(dān)。若買受人未能在本公司指定時間內(nèi)履行其全部相關(guān)義務(wù),則本公司有權(quán)根據(jù)中華人民共和國相關(guān)法律法規(guī)之規(guī)定處分留置物。處分留置物所得不足抵償買受人應(yīng)付本公司全部款項的,本公司有權(quán)另行追索;

  (5) exercise a lien on the purchased Lot or other properties of the Buyer which may be in the Company’s possession for any reason. The Buyer is responsible for all expenses or risks that occur during the period of lien. In case the Buyer fails to perform all relevant obligations herein within the period the Company designates, the Company shall have the right to dispose of such property in accordance with relevant laws and regulations. In the case the proceeds cannot cover the amount outstanding, the Company is entitled to claim the balance;

  (六)在拍賣成交日起六十日內(nèi),如買受人仍未向本公司付清全部購買價款的,本公司有權(quán)視具體情況撤銷或同意委托人撤銷在同一或任何其他拍賣中向同一買受人售出的該件或任何其他拍賣標(biāo)的的交易,并保留追索因撤銷該筆或任何其他交易致使本公司所蒙受全部損失的權(quán)利;

  (6) in the event that the Buyer does not make full payment to the Company within sixty days from the Sale Date, the Company is authorized to cancel or approve the Seller to cancel the sale of the Lot and/or other Lots sold to the same Buyer at this auction or any other auctions as applicable, and reserve the right to claim any losses caused by such cancellation.

  (七)經(jīng)征得委托人同意,本公司可按照本規(guī)則規(guī)定再行拍賣或以其他方式出售該拍賣標(biāo)的。原買受人除應(yīng)當(dāng)支付第一次拍賣中買受人及委托人應(yīng)當(dāng)支付的傭金及其他各項費(fèi)用并承擔(dān)再次拍賣或以其他方式出售該拍賣品所有費(fèi)用外,若再行拍賣或以其他方式出售該拍賣標(biāo)的所得的價款低于原拍賣價款的,原買受人應(yīng)當(dāng)補(bǔ)足差額。

  (7) carry out a re-sale of the Lot by public auction or other ways according to the Conditions subject to the consent of the Seller. The original Buyer shall be liable to the Seller for the remuneration/commission and other Expenses occurred at such auction as well as all Expenses for re-sale by public auctions or other ways. In addition, the original Buyer shall also be liable for the difference, if the Purchase Price actually received by the Seller for re-sale by public auctions or other ways of such Lot is lower than the original Purchase Price that would have been receivable therein had the Buyer made the full payments.

  第五十五條 延期領(lǐng)取拍賣標(biāo)的之補(bǔ)救方法

  Article 55 Remedies for Deferred Collection

  若買受人未能按照本規(guī)則第四十七條規(guī)定的時間領(lǐng)取其購得的拍賣標(biāo)的,則本公司有權(quán)采取以下之一種或多種措施:

  (一)將該拍賣標(biāo)的儲存在本公司或其他地方,由此發(fā)生的一切費(fèi)用(包括但不限于自拍賣成交日起的第三十一日起按本規(guī)則第二條第(十五)款的規(guī)定計收保管費(fèi)等)及/或風(fēng)險均由買受人承擔(dān)。在買受人如數(shù)支付全部購買價款后,方可領(lǐng)取拍賣標(biāo)的(包裝及搬運(yùn)費(fèi)用、運(yùn)輸保險費(fèi)用、出境鑒定費(fèi)等自行負(fù)擔(dān));

  In case the Buyer fails to collect the purchased Lot within the period provided in Article 47 herein, the Company shall be entitled to exercise one or more of the following remedies:

  (1) arrange storage of the Lot at the Company or any other places at Buyer’s risk and expense(including but not limited to the Storage Fee according to the standard set forth in Article 2 (15) of the Conditions from thirty-first day after the Sale Date). The Buyer shall not collect the Lot unless the full Purchase Price is paid (packaging charges, cartage, transportation insurance premium and export appraisal fee for which the Buyer is responsible);

  (二)買受人應(yīng)對其超過本規(guī)則規(guī)定期限未能領(lǐng)取相關(guān)拍賣標(biāo)的而在該期限屆滿后所發(fā)生之一切風(fēng)險及費(fèi)用自行承擔(dān)責(zé)任。如買受人自成交日起的九十日內(nèi)仍未領(lǐng)取拍賣標(biāo)的的,則本公司有權(quán)以公開拍賣或其他本公司認(rèn)為合適的方式及條件出售該拍賣標(biāo)的,處置所得在扣除本公司因此產(chǎn)生之全部損失、費(fèi)用(包裝及搬運(yùn)費(fèi)用、運(yùn)輸保險費(fèi)用、出境鑒定費(fèi)、保管費(fèi)、公證費(fèi)等)后,若有余款,則由買受人自行取回,該余款不計利息。

  (2) The Seller shall take liability for any risk and/or loss that occurs after the period mentioned above in the case of failed retrieval of the Lot within the designated period. In the event that the Seller shall take back the Lot within ninety days after Sale Date in accordance with the Conditions, the Company has right to public auction or sell the Lot by a proper way and conditions. The amount, which is arising from forgoing disposal by the Company after deducting all loss, expense (packaging charges, cartage, transportation insurance premium and export appraisal fee, Storage Fee, notarization fee) incurred, shall be collected by the Seller with no interests.

  第四章 其他Chapter IV Miscellaneous

  第五十六條 國家優(yōu)先購買權(quán)Article 56 State Pre-emption Right

  政府有關(guān)部門對拍賣標(biāo)的行使國家優(yōu)先購買權(quán)時,按國家法律及政府有關(guān)決定執(zhí)行,相關(guān)各方應(yīng)予接受并給予必要的配合。

  When the relevant department of the government exercises the state pre-emption right, related parties shall implement according to the laws and related decision of the government, acknowledge and provide necessary cooperation.

  第五十七條 保密責(zé)任Article 57 Confidentiality

  本公司有義務(wù)為委托人、競買人及買受人保守秘密(中華人民共和國法律另有規(guī)定的除外),并根據(jù)中華人民共和國法律和本規(guī)則維護(hù)委托人、競買人、買受人和本公司的正當(dāng)權(quán)益不受侵害。

  The Company shall be obligated to maintain the confidentiality of any information provided to the Company (except otherwise prescribed by laws of People’s Republic of China), and indemnify all legal rights of Seller, Bidder, Buyer and the Company against any damages according to the relevant laws and regulations of the People’s Republic of China.

  第五十八條 鑒定權(quán)Article 58 Identification

  本公司認(rèn)為需要時,可以對拍賣標(biāo)的進(jìn)行鑒定。鑒定結(jié)論與委托拍賣合同載明的拍賣標(biāo)的的狀況不符的,本公司有權(quán)變更或者解除委托拍賣合同。

  The Company may identify the Lot if necessary and as the case may be, at the Company’s own discretion. In case of any discrepancy with respect to the status of such Lot between the identification and the consignment auction contract, the Company shall be entitled to modify or rescind the consignment auction contract.

  第五十九條 著作權(quán)Article 59 Copyright

  委托人授權(quán)本公司對其委托本公司拍賣的任何物品制作照片、圖示、圖錄或其他形式的影像制品和宣傳品,本公司依法享有上述照片、圖示、圖錄或其他形式的影像制品和宣傳品的著作權(quán),有權(quán)對其依法加以使用。

  The Seller authorizes the Company that the Company shall take photographs, make illustrations, catalogues or other images and public materials relating to the Lot consigned to the Company for auction and shall have the copyright for such photographs, illustrations, catalogue or other images and public materials mentioned above.

  第六十條 拍賣無效之賠償責(zé)任Article 60 Compensation for Invalidation of Auction

  因相關(guān)人原因?qū)е屡馁u交易無效的,則相關(guān)人應(yīng)承擔(dān)賠償責(zé)任,以彌補(bǔ)本公司的全部損失。賠償標(biāo)準(zhǔn)以該拍賣交易有效時本公司可得利益為準(zhǔn)。

  In the event that the auction is invalid as the result of related person’s reason, such related person shall undertake responsible for compensation to cover all loss of the Company. The standard of compensation shall be the Company’s acquirable interest in case of valid auction.

  第六十一條 通知Article 61 Notice in Written

  競買人及委托人均應(yīng)將其固定有效的通訊地址和聯(lián)絡(luò)方式以競買登記文件、委托拍賣合同或其他本公司認(rèn)可的方式告知本公司,若有改變,應(yīng)立即書面告知本公司。本規(guī)則中所提及之通知,僅指以信函或傳真形式發(fā)出的書面通知。如以郵遞方式發(fā)出,一旦本公司將通知交付郵遞單位,則視為本公司已發(fā)出該通知,同時應(yīng)視為收件人已按正常郵遞程序收到該通知。如以傳真方式發(fā)出,則傳真發(fā)送當(dāng)日為收件人收到該通知日期。

  Both the Bidder and Seller shall notify the Company of their valid and regular means of communication and address in the bid registration documents, consignment auction contract and other form agreed by the Company. No change in any of the particulars will be effective until it has been notified in writing as soon as possible. All notices referred in this agreement shall be in writing and shall be delivered by post or transmitted by fax. A notice sent by post shall be deemed to have been sent on the date the Company gives it to the post office and received by the addressee via normal mail service. A notice sent by fax, shall be deemed to be received on the date when it is faxed.

  第六十二條 可分割性Article 62 Severability

  如本規(guī)則之任何條款或部分因任何理由被有權(quán)機(jī)構(gòu)認(rèn)定為無效、不合法或不可強(qiáng)制執(zhí)行,本規(guī)則其他條款或部分仍然有效,相關(guān)各方應(yīng)當(dāng)遵守、執(zhí)行。

  If any provision or part of the Conditions is deemed to be invalid, unlawful or unenforceable by a competent agency, the Conditions shall be ineffective to the extent of such unlawfulness or unenforceability without invalidating or affecting the validity or enforceability of the remaining provisions of the Conditions.

  第六十三條 爭議解決Article 63 Settlement of Disputes

  凡因依照本規(guī)則參加本公司拍賣活動而引起或與之有關(guān)的任何爭議,相關(guān)各方均應(yīng)向本公司住所地人民法院提起訴訟。解決該等爭議的準(zhǔn)據(jù)法應(yīng)為中華人民共和國法律。

  If any dispute arises from or is related to participation in the auction pursuant to the Conditions, all concerned parties shall submit such dispute to a competent Chinese court of the place where the Company has its domicile unless the Parties have agreed otherwise. Such dispute shall be governed by Chinese laws.

  第六十四條 語言文本Article 64 Language

  本規(guī)則以中文為標(biāo)準(zhǔn)文本,英文文本為參考文本。

  中文文本如與英文文本有任何不一致之處,以中文文本為準(zhǔn)。

  The Chinese version of the Conditions shall be the standard version. The English version is only for reference. In case of any discrepancy between the Chinese version and English version, the Chinese version shall prevail.
