　　The Buyer 買方: (Hereinafter called the Buyer) (在下文中稱為買方)

　　The parties hereto agree to perform the contract between them under the following Terms and Conditions:

　　合同各方約定遵守以下條款和內(nèi)容：

　　This contract is made by and between the Buyer and the Seller whereas the Buyer agrees to buy the Metallurgical Grade Trihydrate Bauxite, Malaysia origin (hereinafter called GOODS)Buyer’s Contract No. Seller’s Contract No. from the Seller and the Seller agrees to sell the GOODS to the Buyer on the terms and conditions stated below:

　　本合同是由買方和賣方之間共同訂立的，按照本合同中規(guī)定的以下條款，買方同意從賣方處

　　購(gòu)買鋁土礦(鋁土礦是指冶金級(jí)三水鋁土礦，原產(chǎn)地馬來(lái)西亞，以下稱為貨物)賣方同意

　　出售貨物給買方。

　　Article 1 – QUANTITY第一條: 數(shù)量

　　Total quantity: (+/-10%, at Seller’s Option) wet metric ton of GOODS.

　　DMT: Dry Metric Ton, means wet weight minus free moisture, measurement by metric ton.

　　WMT: Wet Metric Ton, means wet weight including free moisture, measurement by metric ton .

　　貨物總數(shù)量為濕噸并含10%溢短裝由賣方選擇

　　干噸干公噸，是濕噸減掉自由水的公噸數(shù)

　　濕噸濕公噸，是濕噸包含自由數(shù)的公噸數(shù)

　　Article 2 – GOODS / QUALITY第二條貨物/質(zhì)量

　　Metallurgical Grade Trihydrate Bauxite, Malaysia Origin, with the following chemical specification:

　　原產(chǎn)地為馬來(lái)西亞的貨物符合如下規(guī)格：

　　Article 3 – PRICE 價(jià)格

　　3.1 Unit Price 單價(jià)

　　The unit price for the GOODS is USD per dry metric ton CIF Port in accordance with provisions of INCOTERMS 2010 (USD or US$, means the lawful currency of the United States of America).

　　貨物的基準(zhǔn)價(jià)格是到岸價(jià)， 港美金每干噸。(以下稱為單價(jià)，依照國(guó)際商會(huì)的2010 通則)

　　3.2 Unit Price Adjustments 價(jià)格調(diào)整

　　The unit price shall be adjusted based on Certificate of Quality issued by China Certification & Inspection Group Co, Ltd /or its subsidiary co.(CCIC) or the average between the CCIC China and SGS China (Article 6) in discharging port and as per below contents.

　　價(jià)格調(diào)整：?jiǎn)蝺r(jià)將根據(jù)中國(guó)認(rèn)證&檢驗(yàn)集團(tuán)有限公司或其附屬公司(CCIC)在卸貨港出具的質(zhì)量證或者根據(jù)卸貨港中國(guó)CCIC 與中國(guó)SGS 的平均值(依據(jù)第六條中的規(guī)定)按照如下標(biāo)準(zhǔn)進(jìn)行調(diào)整。

　　Al2O3: 三氧化二鋁:

　　1) If Al2O3 > 45PCT, the unit price shall be increased by USD 2.00/DMT for every 1PCT higher than 45 PCT, fraction pro rata

　　2) If Al2O3 = 45PCT, the unit price shall not be adjusted.

　　3) If 44PCT ≤ Al2O3 < 45 PCT, the unit price shall be decreased by USD 2.00/DMT for every 1PCT lower than 45PCT, fraction pro rata

　　4) If Al2O3 < 44PCT, the Buyer has the option to reject the cargo or to decrease the unit price by USD 4.00/DMT for every 1PCT lower than 44PCT, fraction pro rata

　　SiO2: 二氧化硅

　　1) If SiO2 < 5 PCT, the unit price shall be increased by USD2.00/DMT for every 1PCT lower than 5 PCT, fraction pro rata.

　　2) If SiO2 =5 PCT, the unit price shall not be adjusted.

　　3) If 5 PCT < SiO2≤ 6 PCT, the unit price shall be decreased by USD2.00/DMT for every 1PCT higher than 5PCT, fraction pro rata

　　4) If SiO2 > 6 PCT, decrease the unit price by USD4.00/DMT for every 1PCT higher than 6 PCT, fraction pro rata

　　5) If SiO2 > 7 PCT, the Buyer has the option to reject the cargo or Renegotiate the rewards and punishment standard.

　　1) 當(dāng)三氧化二鋁> 45% 時(shí), 高于45%的每1% 單價(jià)升高2.00 美金/干噸，不足按比例計(jì)算

　　2) 當(dāng)三氧化二鋁= 45% 時(shí), 單價(jià)無(wú)調(diào)整

　　3) 44% ≤ 當(dāng)三氧化二鋁< 45% 時(shí), 低于45%的每1% 單價(jià)降低2.00 美金/干噸，不足按比

　　例計(jì)算

　　4) 當(dāng)三氧化二鋁< 44% 時(shí), 買方有權(quán)拒收貨物或?qū)π∮?4% 的每百分之一單價(jià)降低4.00

　　美金/干噸，不足按比例計(jì)算二氧化硅:

　　1) 當(dāng)二氧化硅< 5% 時(shí), 低于5% 的每1% 單價(jià)升高2.00 美金/干噸，不足按比例計(jì)算

　　2) 當(dāng)二氧化硅= 5% 時(shí), 單價(jià)無(wú)調(diào)整

　　3) 當(dāng)5% < 二氧化硅≤ 6% 時(shí), 高于5% 的每1% 單價(jià)降低2.00 美金/干噸，不足按比例計(jì)

　　算

　　4) 當(dāng)二氧化硅> 6% 時(shí), 對(duì)高于6%的每百分之一單價(jià)降低4.00 美金/干噸，不足按比例計(jì)

　　算

　　5) 當(dāng)二氧化硅> 7% 時(shí), 買方有權(quán)拒收貨物或重新商議獎(jiǎng)罰標(biāo)準(zhǔn)。

　　Article 4 – DELIVERY TERMS AND TIME OF DELIVERY 第四條交貨條款和交貨時(shí)間

　　CIF China main port成本加運(yùn)費(fèi)加保險(xiǎn)費(fèi)，中國(guó)北方主要港口

　　Loading port: Malaysia裝貨港：馬來(lái)西亞

　　Discharging port: North China Main Port卸貨港：中國(guó)北方主要港口

　　Shipment: on or before 30th July, 2016 2016 年7 月30 日前裝運(yùn)

　　ARTICLE 5– WEIGHT DETERMINATION第五條: 重量確認(rèn)

　　5.1 Each GOODS shipment shall be weighed at the loading port and certified by shipmaster and SGS Malaysia according to the draft of the vessel, the cost of such inspection will be for the Seller. Weight thus weighed shall be hereinafter called Seller’s invoice weight, the Buyer has the right to be present or dispatch third party to be present to evidence the loaded quantity determinate at loading port.

　　每船貨物將在裝貨港由船長(zhǎng)與馬來(lái)西亞SGS 根據(jù)船的吃水測(cè)量重量，測(cè)量費(fèi)用由賣方承擔(dān)。如此測(cè)量的重量稱為賣方的發(fā)票重量，買方有權(quán)出席或者派第三方出席監(jiān)督裝貨港的重量測(cè)定。

　　5.2 At discharging port: Final weight determination of the GOODS shall be decided by China Certification & Inspection Group Co, Ltd /or its subsidiary co. (CCIC) or the average between the CCIC China and SGS China at discharging port, the cost of CCIC China will be for the Buyer，and the cost of SGS China will be for the Seller. Final dry weight is based on actual weight measurement mentioned in Certificate of Weight issued by CCIC China or the average between the CCIC China and SGS China at discharging port minus actual free moisture shown in Certificate of Quality issued by CCIC or the average of the free Moisture between the CCIC China and SGS China at discharging Port.

　　在卸貨港：最終貨物的重量將由中國(guó)認(rèn)證&檢驗(yàn)集團(tuán)有限公司/或其附屬公司(CCIC)在卸

　　貨港或者中國(guó)CCIC 與中國(guó)SGS 的平均值來(lái)確定，其中中國(guó)CCIC 費(fèi)用由買方承擔(dān),中國(guó)SGS 費(fèi)用由賣方承擔(dān)。最終的干噸數(shù)按照中國(guó)CCIC 在卸貨港出具的重量證上的實(shí)際重量數(shù)或者中國(guó)CCIC 與中國(guó)SGS 的平均值減掉中國(guó)CCIC 在卸貨港出具的質(zhì)量證上的自由水分?jǐn)?shù)或者中國(guó)CCIC 與中國(guó)SGS 的平均值的結(jié)果。

　　ARTICLE 6– SAMPLING AND ANALYSIS 第六條: 質(zhì)量檢驗(yàn)

　　6.1 Sampling and analysis will be carried out at Seller’s expense by SGS Malaysia during loading at the loading port. The Buyer may, at Buyer’s expense, have its representatives present at the time of sampling and analysis.

　　在裝港取樣分析由SGS Malaysia 施行，并由賣方承擔(dān)檢驗(yàn)成本。買方有權(quán)到場(chǎng)或派第

　　三方到取樣分析現(xiàn)場(chǎng)，相關(guān)費(fèi)用由買方自行承擔(dān)。

　　6.2 Notwithstanding the foregoing, in order to ensure a fair inspection, after arrival of the vessel, the seller will commission SGS China to conduct sampling. Sampling and analysis will be carried out independently by CCIC China and SGS China at the discharging port. Subject to paragraph 6.3 below, the CCIC China result shall be the basis of the Final Settlement. All expenses in connection with such sampling and analysis by CCIC China shall be on the Buyer's account. The sample taken for analysis shall be in 3 parts and sealed, one sampled for analysis by CCIC China, one sampled for analysis by SGS China, and one retained for the purpose of an umpire analysis (sampled by SGS China), if required, to be analysed by an independent ISO-approved laboratory . The third party analysis cost to be borne by the losing party.

　　盡管前有所述，為保證檢驗(yàn)的公平，貨物到卸港后，賣方委托SGS China 進(jìn)行取樣/檢驗(yàn)。卸港取樣以及分析由CCIC China 和SGS China 單獨(dú)實(shí)施。除6.3 所述情況，此CCIC China 分析結(jié)果為最終結(jié)算依據(jù)。與CCIC China 有關(guān)的取樣分析成本由買方承擔(dān)。測(cè)試及測(cè)試樣品總共有3 份并妥善封好, CCIC China 取的一份作為CCIC China 的分析之用, SGS China 取的一份作為SGS China 的分析之用,一份(SGS China 取的一份)會(huì)保留以備日后可能需要的獨(dú)立ISO 認(rèn)可的仲裁分析之用。其仲裁費(fèi)用敗訴方承擔(dān)。

　　6.3 If the CCIC China discharge port results are above or below the rejection level, or the difference between CCIC China and SGS China analysis results at discharge port are over 0.5 % (inclusive of 0.5%) for Al2O3, SiO2, or moisture, the seller can choose either using the average between the CCIC China and SGS China discharge port as the final basis, or can choose to challenge CCIC China discharge port results and use umpire sample results as the final settlement.

　　If the difference is less than 0.5% (exclusive of 0.5%), the discharging port CCIC China report as a basis for final settlement.

　　如果CCIC China 卸港檢驗(yàn)結(jié)果超過(guò)拒收值，或卸港CCIC China 與SGS China 檢驗(yàn)結(jié)

　　果之間AL2O3, SIO2, 水分任一指標(biāo)檢差值在0.5% 以上(包含0.5%)，賣方可以選擇按卸港CCIC China 與SGS China 的檢驗(yàn)報(bào)告中的平均值作為最終結(jié)算依據(jù), 或者賣方可以選擇以仲裁樣品化驗(yàn)結(jié)果作為最終結(jié)算依據(jù)。如果相差在0.5%內(nèi)(不含0.5%)，將卸港CCIC China 報(bào)告作為最終結(jié)算依據(jù)。

　　ARTICLE 7 – PAYMENT 第七條: 付款

　　Payment of the Upon Signing payment, Provisional Invoice and, if relevant, the Final Invoice, shall be paid by T/T in accordance with this Agreement.

　　定金、首款和尾款都是以美元為貨幣，電匯支付.

　　7.1 50% Payment

　　Initial Invoice (Initial Payment) amounting to 50% of the total value shall be paid to the seller upon the cargo loaded on the barges reach 24000 ton. The total value calculated based the contract stated price (USD 40.00) without adjustment, and the dry weight calculated on the basis of the quantity stated in the contract (55,000.00 MT) minus the maximum free moisture content stated in the contract (15%).

　　首付款在賣方駁船裝貨數(shù)量到24000 噸，買方支付賣方50%貨款，總貨款計(jì)算：價(jià)格為合同規(guī)定價(jià)格:40 美元無(wú)任何價(jià)格調(diào)整，數(shù)量為合同規(guī)定濕噸數(shù)量(55,000 噸)減去合同規(guī)定最大水分(15%)。

　　7.2 Provisional Documents for Balance 40% Payment 40%臨時(shí)貨款支付單據(jù)：

　　a. The Seller’s signed provisional commercial invoice in three originals for 40% of shipped goods value, indicating contract No. ,vessel name, chemical composition, the dry weight calculated on the basis of the B/L weight minus maximum free moisture content stated in the contract (15%), based on the base price without price adjustment.

　　b. Full set (3/3) of original clean on board Bill of Lading made out to order, blank endorsed, marked freight prepaid.

　　c. Certificate of Weight issued by SGS Malaysia at loading port.

　　d. Certificate of Quality issued by SGS Malaysia at loading port, indicating respective chemical specifications: AL2O3, SIO2, FE2O3, FREE MOISTURE, L.O.I., SIZE.

　　e. Certificate of Origin

　　f. Certificate of insurance.

　　a. 賣方簽字的首款商業(yè)發(fā)票，正本三份，發(fā)票顯示40%的無(wú)任何調(diào)整的貨物金額，并顯示合同號(hào)，船名，化學(xué)成分分析，干噸重量為提單上顯示的重量減掉合同中顯示的最大水分(15%)，價(jià)格為基礎(chǔ)價(jià)格，沒(méi)有獎(jiǎng)金和罰金。

　　b. 全套清潔正本已裝船提單，空白背書，受益人憑指示，運(yùn)費(fèi)已付。

　　c. 在裝貨港SGS Malaysia 出具的重量證書。

　　d. 在裝貨港SGS Malaysia 出具的質(zhì)量證書，并分別顯示各種成份含量。

　　e. 原產(chǎn)地證書。

　　f. 保險(xiǎn)單。

　　7.3 Balance 10% Final Payment value (i.e. final goods value after price adjustment based on CCIC China or the average between the CCIC China and SGS China (According to Article 6) calculated as per Article 3, minus upon 40% payment and 50% provisional payment in Article 7.1 and Article 7.2) will be paid upon presentation of following documents:

　　余款在賣方提交以下單據(jù)后支付(最終貨款依據(jù)卸港中國(guó)CCIC 出具的質(zhì)量、重量證或者中國(guó)CCIC 與中國(guó)SGS 的平均值并且按條款3 所做的價(jià)格調(diào)整，并減去7.1 條款7.2 條款中支付的40%和50%貨款)：

　　a. The Seller’s signed final commercial invoice including price adjustment calculated based on Certificate of Quality issued by CCIC China or the average quality between the CCIC China and SGS China (According to Article 6) at discharging port and as per Article 3, indicating contract no., vessel name, chemical composition, dry weight calculated based on the Certificates of Weight issued by CCIC China or the average weight between the CCIC China and SGS China (According to Article 6) at discharging port showing final goods value after price adjustment, minus the 40% payment and 50% provisional payment in Article 7.1 and Article 7.2.

　　b. Scanned copy of Certificate of Quality issued by SGS China at Discharging Port China. 7.3 10% a. 由賣方簽字的最終商業(yè)發(fā)票，并在發(fā)票中顯示合同號(hào)，船名，化學(xué)成分分析等。

　　b. 在卸貨港由SGS China 簽發(fā)的質(zhì)量證書掃描件。

　　7.4 If the final goods value after price adjustment calculated as per Article 3 and based on certificate of quality and certificate of weight issued by CCIC China or the average between CCIC China and SGS China at discharging port is less than the provisional payment amount in article 7.2 the balance shall be returned to the buyer within 5 working days after copy of certificate of quality/weight sent by the buyer by email/or fax to the seller, and relative debit note issued by the buyer to the seller required.

　　如果依據(jù)中國(guó)CCIC 的報(bào)告或者中國(guó)CCIC 與中國(guó)SGS 的平均值的報(bào)告并且按照本合同第三條價(jià)格調(diào)整后得到的最終貨款比第7.2 條計(jì)算后首款發(fā)票金額低，賣方應(yīng)在買方通過(guò)郵件或傳真書面通知后5 個(gè)工作日內(nèi)把低出部分貨款匯到買方指定賬戶.

　　7.4 Seller’s bank information 賣方銀行資料:

　　Article 8 -- Chartering and Discharging Terms 第八條租船及卸貨條款

　　Buyer to provide port details and discharge terms, as well as port agency contacts.

　　賣方提供港口資料，港口代理的聯(lián)絡(luò)方式及卸貨條款。

　　Discharging terms to be provided by the seller. 卸貨條款由賣方提供。

　　ARTICLE 9 – FORCE MAJEURE 第九條不可抗力

　　9.1 If strike, fire, riots, accidents, weather, war, embargoes, orders or regulations or acts of any governmental authority, prevent or hinder or delay delivery by the Seller or receipt by the Buyer, this contract shall be deemed suspended so long as delivery by the Seller or receipt by the Buyer is prevented or hindered or delayed by such cause orcontingency. The party affected by the occurrence of an event of Force Majeure shall immediately advise the other in writing.

　　一旦發(fā)生罷工，火災(zāi)，暴動(dòng)，意外，天氣災(zāi)害，戰(zhàn)爭(zhēng)，港口禁運(yùn)，延期，政府授權(quán)的命

　　令、規(guī)定或者行動(dòng)，或任何超出買方、賣方控制范圍的事件，此類事件阻礙或者延遲賣方發(fā)貨、買方收貨，本合同將延續(xù)直至賣方可以發(fā)貨或者買方可以收到貨物。并且受影響一方應(yīng)立即書面通知對(duì)方。

　　ARTICLE 10 – NOTICE 第十條: 通知

　　10.1 All notice given under this contract shall be in writing or Email, and shall be addressed to the parties at the addresses set forth below or at such other addresses as each party may from time to time notify the other:

　　本合同項(xiàng)下所有的通知都需要以書面形式或電子郵件形式進(jìn)行，經(jīng)由以下列明的地址：

　　10.2 If one party sends Email, the other party has received the Email as one party sends

　　successfully.

　　如以電子郵件發(fā)送，任何一方發(fā)送成功即視為另一方已經(jīng)收到該電子郵件。

　　Article 11-- DEFAULT RESPONSIBILITY 第十一條違約責(zé)任

　　Whatever happens, if the vessel cannot be shipped before the latest date of shipment, and each one day exceed the latest date of shipment, the seller shall pay the buyer USD 0.1/DMT. If the vessel cannot be shipped within 10 days beyond the latest date of shipment the buyer has the right to cancel the contract at sole discretion and the buyer does not need to pay any compensation or penalty to the seller. The effectiveness of Article 11 shall prevail Article 8.

　　不論何種原因，如賣方未能在最遲裝運(yùn)期之前發(fā)船，每超出1 天，賣方將向買方支付每日美元/干噸的違約金。如賣方超最遲裝運(yùn)期10 天仍沒(méi)有發(fā)船，買方有權(quán)單方面解除合同,且不需向賣方支付任何賠償金或違約金。本條款效力優(yōu)先于第八條之規(guī)定。

　　ARTICLE 12 – TITLE AND RISK第十二條貨物風(fēng)險(xiǎn)

　　12.1 The risk shall pass from the seller to the buyer as per incoterms 2010.

　　貨物風(fēng)險(xiǎn)轉(zhuǎn)移依據(jù)《國(guó)際貿(mào)易術(shù)語(yǔ)通則2010》。

　　ARTICLE13 – ASSIGNMENT第十三條: 轉(zhuǎn)讓

　　13.1 Neither party may without the prior written consent of the other assign this contract or any of its right or obligations hereunder to any third party. Any such purported assignment shall be avoided.

　　如果沒(méi)有提前預(yù)先通知另一方，任何一方不得委托，指派，分包，抵押，指示或者轉(zhuǎn)讓其本協(xié)議項(xiàng)下的權(quán)利義務(wù)。

　　ARTICLE 14 – ENTIRE CONTRACT: MODIFICATION第十四條: 合同效力及修改

　　14.1 This contract constitutes the entire agreement between the Seller and the Buyer concerning the subject matter hereof. All previous documents, undertakings and agreement, whether verbal, written or otherwise. Between the parties concerning the subject matter hereof are hereby cancelled and shall not affect or modify. Any modifications of this contract shall be made by written agreement between the parties. If there is any conflict between English and Chinese, Chinese will prevail.

　　本合同涵蓋了雙方認(rèn)可的條款和要義，合同簽訂之前文字或者口頭的約定或文件無(wú)效。

　　對(duì)本合同的任何修改需要雙方同意。如果本合同發(fā)生任何中英文解釋上的沖突，則本合同以中文為準(zhǔn)。

　　ARTICLE 15 – GOVERNING LAW AND ARBIRATION第十五條: 適用法律與仲裁

　　15.1 The parties hereto shall undertake all efforts to amicably settle any disagreement or dispute arising from or in connection with this agreement. The claimed party (hereinafter called the Petitioner) should send a dated notice to another party (hereinafter called the Respondent) indicate the dispute or disagreement and its character.

　　由本合同而引起的，受到影響的一方，即申訴一方，應(yīng)向應(yīng)訴方提供有日期的通知。

　　15.2 Either party can submit the disputes or disagreements which cannot be amicably settled within 60 days to The China International Economic and Trade Arbitration Commission (CIETAC) for arbitration. The governing law is the current laws and regulations of the CHINA.

　　當(dāng)分歧爭(zhēng)端60 天內(nèi)不能得到友好解決時(shí)，任何一方可到中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員請(qǐng)求仲裁。適用法律為中華人民共和國(guó)現(xiàn)行法律法規(guī)。

　　15.3 The arbitrator’s adjudication shall be final and binding, and the arbitration fee shall beborne by the losing party.

　　仲裁結(jié)果視為最后結(jié)果，敗訴一方承擔(dān)費(fèi)用。

　　In WITNESS WHEREOF, the parties hereto have executed this contract as of the date first above written.

　　本協(xié)議相關(guān)各方已于下述日期正式簽署本協(xié)議,以昭信守。
