　　甲方：服務(wù)外包有限公司 (以下簡(jiǎn)稱甲方)

　　Party A: Service (hereinafter referred to as Party A)

　　乙方：信息技術(shù)有限公司 (以下簡(jiǎn)稱乙方)

　　Party B: SYKES Co., Ltd; (hereinafter referred to as Party B)

　　合同各方本著互惠互利的原則，經(jīng)過(guò)友好協(xié)商，訂立以下合作協(xié)議條款如下：

　　Based on the principles of mutual benefit and through friendly negotiations, Party A and Party B hereby enter into this Cooperative Agreement on the following terms and conditions:

　　一、甲方義務(wù) PARTY A’S RESPONSIBILITIES

　　1.1 甲方根據(jù)乙方具體需求，甲方承建理工學(xué)院第四樓層裝修工程。甲方承擔(dān)所有成本，包括但不限于材料費(fèi)、人工費(fèi)等。甲方必須確保裝修結(jié)果符合乙方實(shí)際運(yùn)營(yíng)需求及各項(xiàng)法規(guī)要求。

　　Party A shall, according to Party B's specific requirements, be responsible for integrated basic decorations on the fourth floor of Building of Institute of Technology. Party A shall bear all costs and expenses arising therefrom, including but not limited to materials purchase and labor costs etc. Party A shall ensure the result of decoration meets the requirement of Party B's actual operation and complies with all relevant laws and regulations.

　　1.2 甲方應(yīng)于 日前提供經(jīng)乙方確認(rèn)的，由專業(yè)設(shè)計(jì)單位制作的整套合格施工圖紙;裝修圖紙請(qǐng)參見(jiàn)附件二

　　Party A shall provide a complete set of construction drawings which are drawn by a professional design company and confirmed by Party B no later than . Please check Appendix 2 for Decoration Drawings.

　　1.3 甲方將于 日前按要求完成第一期裝修中的4樓的部分運(yùn)營(yíng)區(qū)域(具體運(yùn)營(yíng)區(qū)域見(jiàn)附件三)并交付乙方驗(yàn)收使用;于 日前按要求完成4樓剩余全部裝修，經(jīng)乙方評(píng)估后書(shū)面確認(rèn)合格后方可視為通過(guò)驗(yàn)收。

　　Party A shall, prior to , complete part of operation area of 4th Floor in the First Phase Decoration (the specific operation area is described in Appendix 3) as required and deliver to Party for inspection and use; and shall complete the remaining decoration work on the 4th Floor, which shall only be deemed to have been accepted after Party B’s assessment and written confirmation of acceptance. Please check Appendix 3 for Appointed Area.

　　1.4 甲方應(yīng)確保裝修所用材料均符合環(huán)保要求，對(duì)人體健康無(wú)害。甲方應(yīng)提供相關(guān)書(shū)面證明。

　　Party A shall ensure that all materials used in decoration comply with environmental protection requirements and do no harm to human health. Party A shall provide Party B with relevant written certificates.

　　1.6 由于甲方在施工生產(chǎn)過(guò)程中違反有關(guān)安全操作規(guī)程和消防條例，導(dǎo)致發(fā)生安全或火災(zāi)事故，甲方應(yīng)承擔(dān)由此引發(fā)的一切經(jīng)濟(jì)損失。如因甲方責(zé)任，不能按期開(kāi)工或中途無(wú)故停工，影響工期，工期不順延。

　　Party A shall be liable for all losses resulting from safety or fire accidents due to Party A’s violation of safe operation procedures and fire prevention rules during construction and production. In case the commencement of decoration is delayed or suspended without cause and the progress of the project is affected thereby due to Party A’s fault, the time of completion of work shall not be postponed.

　　1.7甲方根據(jù)乙方實(shí)際需求及指示開(kāi)啟并完成裝修工作，但乙方應(yīng)當(dāng)提前90天通知甲方以保證甲方有足夠合理的時(shí)間完成裝修。

　　Party A shall commence and complete the decoration work as per Party B’s actual requirements and instructions, provided, however, Party B shall give Party A a 90 days’ notice to ensure Party A has reasonably sufficient time to complete the decoration work.

　　二、乙方義務(wù) PARTY B’S RESPONSIBILITIES

　　2.1乙方于本協(xié)議簽訂之日起10日內(nèi)將包含房間隔斷，內(nèi)部裝修要求等的平面圖提供給甲方。

　　Party B shall, within 10 days of execution of the Agreement, provide to Party A the plan view of room partitioning and interior decoration requirements.

　　2.2乙方每月向甲方分期償付上述場(chǎng)地裝修成本。支付金額與支付期限參照主合同附件5裝修費(fèi)用分期支付金額與期限表。

　　Party B shall indemnify Party A for the above-mentioned decoration cost on a monthly basis. Please refer to Sums for Installment Payment of Decoration Cost and Payment Period attached thereto as Appendix 5 for sums to be paid and payment period thereof.

　　三、材料供應(yīng)SUPPLY OF MATERIALS

　　甲方提供的材料：另擬補(bǔ)充附件<甲方提供材料、設(shè)備表>

　　甲方負(fù)責(zé)采購(gòu)供應(yīng)的材料、設(shè)備，應(yīng)符合設(shè)計(jì)施工要求的合格產(chǎn)品，并應(yīng)按時(shí)供應(yīng)到現(xiàn)場(chǎng)。乙方發(fā)現(xiàn)甲方提供的材料、設(shè)備有質(zhì)量問(wèn)題或規(guī)格差異，應(yīng)及時(shí)向甲方提出，甲方仍要求使用的，由此造成工程損失，責(zé)任由甲方承擔(dān)。

　　Material provided by Party A: (see the annex: Table of Materials to be provided by the Owner). If Party A acquires materials for the project, it should first check with Party B that the materials match to the design requirements, and once the materials are in the care of Party B, then Party B is responsible for the materials. If Party A requires some materials which do not fit to the design then it shall be the responsibility of Party A to pay any additional costs incurred by Party B.

　　四、工程質(zhì)量及驗(yàn)收 QUALITY AND ACCEPTANCE OF WORKS

　　4.1 本工程應(yīng)符合<建筑裝飾工程技術(shù)規(guī)程>和市建設(shè)行政主管部門(mén)制定的其它地方標(biāo)準(zhǔn)\質(zhì)量評(píng)定驗(yàn)收標(biāo)準(zhǔn)。

　　The execution of this project must be consistent with the Architectural and Engineering Rules of the city administrative departments responsible for the development of buildings and local standards and quality evaluation acceptance criteria.

　　4.2 甲方提供的材料、設(shè)備質(zhì)量不合格而影響工程質(zhì)量，其返工費(fèi)用由甲方承擔(dān)，工期相應(yīng)順延。

　　If materials provided by Party A for the construction do not meet the necessary requirements, Party A shall bear responsibility for any resulting delays in the completion in the project.

　　4.3 在施工過(guò)程中，甲方提出設(shè)計(jì)修改意見(jiàn)及增減工程項(xiàng)目，須提前與乙方聯(lián)系，在雙方簽訂<工程項(xiàng)目變更單>后，方能進(jìn)行該項(xiàng)目的施工、因此影響工程竣工日期的，責(zé)任由甲方承擔(dān)。凡甲方私自與施工人員商定更改施工內(nèi)容、增加施工項(xiàng)目所引起的一切后果，甲方自負(fù)，給乙方造成損失的，甲方應(yīng)予賠償。

　　If, during the construction, Party A wishes to propose a change to the design, he should sign a Change of Project with Party B and must assume responsibility for resulting delays or increase in costs. If Party A secretly attempts to change to design directly with the construction personnel and this action causes loss to Party B, then Party A must compensate Party B for this loss.

　　4.4

　　工程驗(yàn)收：乙方負(fù)責(zé)理隱蔽工程和中間工程的檢查與驗(yàn)收手續(xù)。由乙方組織專門(mén)人員進(jìn)行驗(yàn)收。一切理隱蔽工程和中間工程的質(zhì)量由乙方負(fù)責(zé)。

　　The standard of work. It is the responsibility of Party B to make sure that all construction works are carried out to the requirements of the design and to make sure that all internal walls and hidden construction parts are to the required standard.

　　4.5 工程竣工：乙方完工后即應(yīng)通知甲方驗(yàn)收，甲方應(yīng)在竣工當(dāng)日組織驗(yàn)收，并辦理驗(yàn)收移交手續(xù)，雙方簽<工程質(zhì)量驗(yàn)收單>。如果甲方在規(guī)定時(shí)間內(nèi)不能組織驗(yàn)收，須及時(shí)通知乙方，另定驗(yàn)收日期。如通過(guò)竣工驗(yàn)收，甲方應(yīng)承認(rèn)原竣工日期，并承擔(dān)因此造成的乙方的看管費(fèi)用和其他相關(guān)費(fèi)用。

　　Project completion. Party B must notify Party A when the project is complete and ready for inspection by Party A. After inspection both parties must sign an Engineering Quality Acceptance document. If Party A is not available to inspect the construction site on the completion date, he must notify Party B of the soonest available date. Where Party A is not available on the completion date to retake custody of the location, he must pay any extra costs incurred by Party B.

　　4.6 工程保修期一年。工程竣工驗(yàn)收后甲、乙雙方簽署<工程保修單>，憑保修單實(shí)行保修，保修期一年，從竣工驗(yàn)收簽章之日起算。

　　One year warranty. After completion of the work and signing of the Single Warranty, there shall be a one year warranty on the construction.

　　五、安全生產(chǎn)和防火SAFE PRODUCTION AND FIRE REGULATIONS

　　施工圖紙和施工說(shuō)明應(yīng)符合防火防事故的要求，主要包括電氣線路等管道暢通、合格。乙方在施工中應(yīng)采取必要的安全防護(hù)和消防措施，保障作業(yè)人員及相鄰關(guān)系的安全,防止相鄰單位的管道堵塞、滲漏水、停電、物品毀壞等事故發(fā)生。

　　Construction drawings and construction must be in line with fire prevention regulations, and accident prevention requirements. This includes electrical circuits and pipelines. Party B shall take measures to ensure the safety of workers and neighbors at the constructions site and must prevent leakage of water, interruptions of power and damage to property.

　　六、違約責(zé)任LIABILITY FOR BREACH OF CONTRACT

　　6.1 由于甲方原因?qū)е卵悠陂_(kāi)工或中途停工，工期順延。

　　If Party A causes any delays to the completion of this project, then the scheduled completion date should be adjusted accordingly.

　　6.2 由于乙方原因逾期竣工的，每逾期一天，乙方向甲方支付工程造價(jià)0.1‰(大寫(xiě):千分之一)的違約金。

　　If Party B causes any delay to the completion of this project, then Party B must pay to Party A a fee of 0.1‰ ( in words: 1/1000)of the total overall project fee for each day beyond the scheduled completion date.

　　七、糾紛處理方式DISPUTES

　　因工程質(zhì)量雙方發(fā)生爭(zhēng)議時(shí)，憑本合同文本向有關(guān)行業(yè)協(xié)會(huì)申請(qǐng)調(diào)解，也可向所在區(qū)、縣建設(shè)行政主管部門(mén)或消費(fèi)者協(xié)會(huì)投訴。當(dāng)事人不愿通過(guò)協(xié)商、調(diào)解解決、或協(xié)商、調(diào)解不成時(shí)，可以按照本合同約定向--上海仲裁委員會(huì)申請(qǐng)仲裁--人民法院提起訴訟。

　　If there is a dispute between the parties, this contract should be submitted to the relevant trade association for mediation and also to the host district and county building departments in charge of administrative complaints, or to consumer associations. if, after negotiation, mediation and/or consultation, the parties have failed to reach an agreement, then the dispute should be submitted to the--Shanghai Arbitration Commission--filed as a lawsuit.

　　八、合同變更和解除AMENDMENT AND TERMINATION

　　8.1 合同經(jīng)雙方簽字生效后，雙方必須嚴(yán)格遵守。任何一方要求變更合同內(nèi)容或解除合約，由雙方協(xié)商解決，經(jīng)雙方簽字確認(rèn)后生效。

　　After this contract is signed it must be strictly adhered to. After the contract is signed, neither party can leave the contract without agreement of the other party.

　　8.2 本合同一式兩份，甲、乙雙方各執(zhí)1份，合同附件為本合同的組成部分，具有同等的法律效力。

　　This contract will be printed and signed in duplicate and each party shall keep a copy.

　　九、其它約定 FINAL CLAUSES

　　9.1 如遇不可抗力因素，工期順延。

　　In the event of force majeure, this contract will be delayed and resume as soon as practicably possible.

　　9.2 其他未在本合同內(nèi)規(guī)定的事項(xiàng)雙方協(xié)商解決。

　　If any matters arise which are not covered within this contract, they shall be dealt with by mutual consultation between the two parties.
