BANK GUARANTEE FOR CONTRACT PERFORMANCE GUARANTEE BOND

　　WHEREAS it is a condition of the Contract that the SELLER shall provide a guarantee of a bank for a sum of US$ _____ (US Dollar ______ Only) to the BUYER on or before _____ to ensure the BUYER of the due and faithful performance of the entire Contract by the SELLER;

　　鑒于合同中有規(guī)定，賣(mài)方應(yīng)當(dāng)在在____日或之前向買(mǎi)方提供金額為US$ ____(____美元整)的銀行擔(dān)保，以向買(mǎi)方確保賣(mài)方可以適當(dāng)?shù)牟⑶艺\(chéng)信的履行整個(gè)合同;

　　AND WHEREAS the Bank under instructions from the SELLER has agreed to give in favor of the BUYER this Guarantee for payment of the said Guaranteed Amount on demand, without demur, as hereinafter appearing.

　　還鑒于銀行按照賣(mài)方的說(shuō)明，已經(jīng)同意以買(mǎi)方為受益人給出保函，以便在今后違約出現(xiàn)時(shí)一經(jīng)要求就支付上述擔(dān)保金額，并且不持異議。

　　THIS GUARANTEE WITNESSETH AS FOLLOWS: 本保函做如下保證：

　　1. The Bank hereby unconditionally and irrevocably and without any qualification whatsoever undertakes, agrees, covenants as primary obligator and not as surety merely, to make payment to the BUYER on its first written demand without any claim, objection, set-off, protest or demur whatsoever and without any recourse to the SELLER notwithstanding any intimation or direction to the contrary or any objection, such sum or sums of money amounting to US$ ____ (US Dollar __ Only) for firm shipments at any time up to _____ (hereinafter referred to as the Term).

　　銀行在此無(wú)條件的、不可撤銷的并且沒(méi)有任何限制條件的保證、同意并且立約作為截止于____(以下稱為保函期限)的確定批次貨物的金額達(dá)US$ _____(____美元整)的上述款項(xiàng)或貨幣的首要義務(wù)人，但不是主要的擔(dān)保人，在收到第一次的書(shū)面要求時(shí)就付款給買(mǎi)方，不加以任何要求、反對(duì)、抵消、抗議或異議，亦不向賣(mài)方進(jìn)行追索，即使通知或說(shuō)明任何的相反意見(jiàn)或異議。

　　This Guarantee shall not be affected by any change in the constitution of or by any reason of winding up of the SELLER or any merger, amalgamation or absorption of the SELLER with any other company or companies nor shall this Guarantee be prejudiced by any merger, amalgamation or absorption of BUYER Order for supply of imported coal of 50,000 metric ton ± 10% MT on FOB Mother Vessel basis with any company or companies but shall be available for and by the company formed as a result of merger, amalgamation and absorption.

　　本保函不因賣(mài)方組成結(jié)構(gòu)的變更或停業(yè)清算或與其他公司進(jìn)行的任何重組、并購(gòu)或并入而受到影響，也不因?yàn)橘?gòu)買(mǎi)方與其他公司的重組、并購(gòu)或并入后形成的公司所獲得的以FOB Mother Vessel 為條件交付50,000 公噸(± 10% MT)進(jìn)口煤的訂單而使本保函受到影響。

　　2. The neglect or forbearance of the BUYER in enforcing any payment of the money intended to be secured hereof, or the giving of time by the BUYER to the SELLER for the payment under the Contract, shall in no way absolve the Bank from its liability hereunder.

　　如買(mǎi)方疏怠其付款責(zé)任、或延遲向賣(mài)方支付本合同項(xiàng)下貨款，則銀行不得免予承擔(dān)責(zé)任。

　　3. The demand shall consist only of an original letter issued by BUYER stating that the SELLER has failed to fulfill its obligations under the Contract. Such demand made by the BUYER on the Bank shall be conclusive and binding, notwithstanding any difference or dispute between the BUYER and the SELLER or any difference or dispute pending before any Court, Tribunal, Arbitrator or any other authority. Such demand may be made to the Bank or its branch in ____ Seoul, Korea whereupon the Bank shall immediately make such payment through the branch in ______. The Bank shall have made all necessary arrangements for such payments to be made through its branch/bank correspondent in ____.

　　買(mǎi)方提出付款要求時(shí)僅需出示原件以說(shuō)明賣(mài)方未履行本合同項(xiàng)下義務(wù)。買(mǎi)方向銀行提出的付款要求為最終要求且具有約束力，無(wú)論買(mǎi)賣(mài)雙方之間是否存在分歧或在任何法院、法庭、仲裁機(jī)構(gòu)或其它機(jī)構(gòu)存在分歧或未解決的爭(zhēng)端。這一付款要求向銀行或其_____分行提出，屆時(shí)，銀行立即通過(guò)_____分行支付費(fèi)用。為了支付款項(xiàng)，銀行通過(guò)其_____分行/往來(lái)銀行做了必要的準(zhǔn)備工作。

　　4. The Bank undertakes not to revoke this Guarantee during the Term, without the previous written consent of the BUYER and further agrees that this Guarantee herein contained shall continue to be enforceable during the period that would be taken by the SELLER for satisfactory performance and fulfillment of its obligations in all respects under the Contract. For this purpose, the Bank shall, extend the term of this Guarantee for further period(s) of six months at a time (Extended Term(s)) upon receipt of written request(s) from the SELLER on whose behalf this Guarantee is issued. The Bank covenants and declares that if the SELLER does not renew this Guarantee, at any time for further period(s) of six months at a time (Extended Term(s)), not less than thirty (30) days prior to the expiry of the Term or the Extended Term(s) as the case may be, so as to keep the same valid till the discharge by the SELLER of all its obligations under the Contract, then the entire amount under this Guarantee shall become forthwith due and payable upon the expiry of the Term or the Extended Term as the case may be and the Bank shall on its own, without any demand from the BUYER, during the Claim Period, without demur pay the full amount of this Guarantee to the BUYER.

　　如未獲得買(mǎi)方事先書(shū)面批準(zhǔn)，銀行在保函有效期內(nèi)不得撤回?fù)?dān)保，并進(jìn)一步同意保函在此期間繼續(xù)有效，以保證賣(mài)方完全履行本合同項(xiàng)下義務(wù)。鑒于此，銀行收到委托開(kāi)立保函的賣(mài)方書(shū)面提出要求時(shí)將此保函期限延長(zhǎng)六個(gè)月(延期)。銀行立約并聲明：如賣(mài)方未在有效期內(nèi)或延期期限截止30(三十)天內(nèi)提出本保函一次性延長(zhǎng)六個(gè)月期限，則有效期保留至賣(mài)方履行完畢本合同項(xiàng)下義務(wù)為止，這種情況下，本保函有效期截止或延期時(shí)限截止時(shí)本保函項(xiàng)下總費(fèi)用由銀行支付，無(wú)需由買(mǎi)方提出付款要求。在提出索賠要求期間，銀行向買(mǎi)方支付本保函全額費(fèi)用，不得提出抗辨。

　　5. Nothing contained in the Contract nor any change, amendment in the terms and conditions contained therein nor the termination thereof shall release the Bank of its obligations under these presents.

　　本合同未盡事宜及合同條款條件發(fā)生變更與修改、或合同終止均不免除銀行應(yīng)當(dāng)承擔(dān)的責(zé)任。

　　6. The Bank agrees that the BUYER, at its option, shall be entitled to enforce this Guarantee against the Bank as a principal debtor, in the first instance without proceeding against the SELLER and notwithstanding any security or other guarantee that the BUYER may have in relation to the SELLER's liabilities under the Contract.

　　銀行同意買(mǎi)方可自行決定其是否在法院第一審中未經(jīng)針對(duì)賣(mài)方的程序而將銀行作為其主債務(wù)人執(zhí)行保函，無(wú)論買(mǎi)方是否與賣(mài)方本合同項(xiàng)下責(zé)任之間存在抵押或其他擔(dān)保。

　　Notwithstanding anything to the contrary contained in this Guarantee, the Bank hereby irrevocably and unconditionally waives any and all rights it may now or hereafter have under any agreement or at law or in equity, to assert any claim against or seek subrogation, contribution, indemnification or any other form of reimbursement from the BUYER for any payment made by the Bank under or in connection with this Guarantee.

　　即便有異議或反對(duì)， 本保函下的銀行不可撤銷無(wú)條件的免除現(xiàn)在或今后持有的任何一種權(quán)利不論是源于衡平法、普通法或合同，本保函下或相關(guān)銀行不應(yīng)具有代位權(quán)、補(bǔ)償權(quán)、免除權(quán)或其他任何形式的買(mǎi)方求償權(quán)或讓買(mǎi)方付款的權(quán)利。

　　7. Notwithstanding anything stated to the contrary, the liability of the Bank, as herein contained, shall be irrevocable during the Term or Extended Terms, if any.

　　即便有異議或反對(duì)，本協(xié)議所包含的銀行職責(zé)，在有效期或延長(zhǎng)期限內(nèi)(若有的話)為不可撤銷的。

　　8. Unless a demand to enforce a claim under this Guarantee is made against the Bank within three (3) months from the expiry of the Term or the Extended Terms, if any, (Claim Period) all the rights of the BUYER under this Guarantee shall be forfeited and the Bank shall be released and discharged from all liabilities thereafter.

　　除非在本保函有效期或延長(zhǎng)期限(若有)，期滿后三(3)個(gè)月內(nèi)(索賠期)向銀行提出索賠，否則解除本保函下買(mǎi)方的所有權(quán)利并豁免銀行的所有責(zé)任。

　　9. This Guarantee shall be governed by and construed in accordance with the laws of ___ (without regard to its principles of conflict of laws). The courts in ____ alone shall have exclusive jurisdiction in relation hereto.

　　本保函應(yīng)接受____法律的管轄并按之解釋(排除其法律沖突的原則)。____法院對(duì)其有獨(dú)立審判權(quán)。

　　10. The Bank hereby declares that it has power to issue this Guarantee and the undersigned have the full power to approve execution delivery and the performance of the Guarantee.

　　銀行在此聲明其有權(quán)開(kāi)立保函且簽署人有權(quán)本保函的執(zhí)行。

　　11. This PERFORMANCE BOND is Transferable, and the Transfer Bank shall be The Issuing Bank.

　　本保函為可轉(zhuǎn)讓的，轉(zhuǎn)讓行須為開(kāi)證行。
