AGREEMENT ON REGISTRATION OF FREIGHT AGENT

　　甲方：Party A:

　　茲有甲方向乙方咨詢并委托乙方全權(quán)代理申請(qǐng)企業(yè)營(yíng)業(yè)執(zhí)照的相關(guān)事宜。具體細(xì)節(jié)如下：(本協(xié)定全部按人民幣結(jié)算)

　　Party A consults and entrusts party B, and undertakes now to engage Party B in applying on its behalf business license with detailed terms and conditions as below: (RMB is the only currency used in this Agreement)

　　一、代理項(xiàng)目：注冊(cè)外資國(guó)際貨運(yùn)代理公司

　　Registration project: registration foreign invested international freight Agent Company

　　二、 甲方責(zé)任：甲方需提供真實(shí)有效的注冊(cè)所需材料。甲方負(fù)責(zé)的事宜包括：銀行開戶手續(xù)及費(fèi)用(人民幣及外幣)，需股東到銀行開戶,發(fā)票專管員的培訓(xùn)，印花稅，申請(qǐng)發(fā)票及相關(guān)許可證由甲方負(fù)責(zé)和支出費(fèi)用。

　　Party A’s liability: Party A shall provide valid and true materials for application purpose. Party A shall also be responsible for: paying bank account opening fee (RMB and foreign currency); attending training for invoice administrator; paying for stamp tax and expense arising from buying invoice and any other license/permit.

　　三、 乙方責(zé)任：乙方負(fù)責(zé)的事宜包括：企業(yè)名稱核準(zhǔn)通知書、外商投資批準(zhǔn)證書、營(yíng)業(yè)執(zhí)照、稅務(wù)登記證、組織機(jī)構(gòu)代碼證、一套公司章、國(guó)際貨代備案證、外匯備案證等。乙方有責(zé)任在查名后(并材料齊全的情況下) 個(gè)工作日辦理完所有的注冊(cè)手續(xù)。(除特殊原因需要延長(zhǎng)時(shí)間外，但必須與甲方協(xié)商.在代理注冊(cè)過程中因特殊原因?qū)е碌拇碜?cè)服務(wù)時(shí)間延后或項(xiàng)目終止審批，乙方不承擔(dān)相應(yīng)的法律和經(jīng)濟(jì)責(zé)任。)如乙方未能辦理完成相關(guān)手續(xù)，則乙方必須退還預(yù)付款(扣除國(guó)家或有關(guān)部門收取的費(fèi)用，并出具相應(yīng)的憑證)。

　　Party B’s liability: Party B shall be responsible for: Notification for the Approval of Company Name, Certificate for the Approval of Foreign Investment, Business License, Tax Registration Certificate, Certificate of Organization Code, a full set of company stamps, Registration Certificate for International Freight Agency, Registration Certificate for Foreign Exchange. Party B has the liability to finish all registration work within working days after the new company’s name is confirmed to be available (all application materials are duly provided). (Except for special reasons no time extension will be approved. Party B will negotiate, in case of an exception, with Party A, in the registration process for special causes of agency services or termination of the project approval time delay; Party B shall not bear the corresponding legal and economic responsibility). If Party B fails in finishing registration application, Party B shall refund the prepaid amount by Party A (deducting any expense or fee already charged by government organs, and issue to Party A a receipt.)

　　Balance: shall be due after Party A receives the official documents and certificates of the finished registration.

　　五、甲乙雙方須按以上約定各負(fù)其責(zé)，本協(xié)議一式二份，雙方各持一份 。

　　This contract has two duplicated copies, one for each party.

　　六、備注：甲方新設(shè)立公司在領(lǐng)取稅務(wù)登記證次月時(shí)，請(qǐng)甲方自行安排會(huì)計(jì)人員申報(bào)納稅，若需乙方提供代理做帳報(bào)稅服務(wù)，另收取代理記賬服務(wù)費(fèi)RMB800元/月。請(qǐng)選擇經(jīng)營(yíng)范圍:

　　Note: party A sets up new company in the next month when the tax registration certificate is received, Party A arrange for accountants to declare tax accountant, if party B provides tax services agency to prepare account, another charge acting book-keeping services fee RMB800 yuan / month. 　　五、說明(Remark)：

　　1、 第1，2項(xiàng)由代理放起草，投資方最終確定。

　　Item 1,5,8,11,12 will be drafted by agent, and finally confirmed by investors.

　　2、 第3，4，6項(xiàng)在申請(qǐng)企業(yè)名稱核準(zhǔn)時(shí)也將使用。

　　Applying company name will use item 2,3,14.

　　外商投資國(guó)際貨運(yùn)代理公司注冊(cè)資本最低為500萬人民幣(或相當(dāng)?shù)拿澜?，注冊(cè)時(shí)可以是零注冊(cè)，3個(gè)月內(nèi)實(shí)到注冊(cè)資本20%，2年內(nèi)實(shí)到注冊(cè)資本全部。(可申請(qǐng)延續(xù))

　　The registration capital of new International Freight Forwarder Company is 1 million$, it can be zero registration, the registration capital could be 20% within 3 months, the whole payment will be complete within two year.(The payment could be postponed.)

　　3、 公司投資與中外合資中的第4項(xiàng)備注：

　　Remark of ‘company investment’ and ‘Sino-foreign joint’:

　　香港公司由中國(guó)法律服務(wù)(香港)有限公司委托中國(guó)委托公證人(律師樓律師)公證。

　　Hong Kong Company is notarized by China Law Service (Hong Kong) Co.,ltd. which entrusted by China Commission Notary(the lawyer).

　　臺(tái)灣公司由臺(tái)灣法院公證處公證，再由?；鶗?huì)證明。

　　Taiwan Company is notarized by Taiwan Court and then certificated by the Straits Exchange Foundation.

　　其它國(guó)家的公司由當(dāng)?shù)胤ㄔ汗C，再由中國(guó)駐當(dāng)?shù)氐念I(lǐng)事館鑒定。

　　Japanese Company is notarized by local court and then appraised by Chinese local consulate.

　　六、需要信息(The information needed):

　　以上人員身份證明復(fù)印件(要本人簽字)、簡(jiǎn)歷;

　　The person mentioned above need the copy articles of identification (which need signatures of their own) and CV.

　　備注：法定代表人、財(cái)務(wù)照片2張、住宅電話、工作電話、手機(jī)。

　　Remark: The legal person of investors and the person of Financial Affairs need two photos, phone numbers of address, office and mobile.
