甲乙雙方經(jīng)友好協(xié)商決定，甲方為乙方的經(jīng)紀(jì)人。雙方同意按照以下列條款簽訂合同，并嚴(yán)格遵守。有關(guān)合約內(nèi)容如下：

Party A is the agent of Party B through friendly negotiation. Both sides agree to sign the contract according to the following terms and will strictly abide by. The relevant contract contents are as follows:

一、合同內(nèi)容One： The content of the contract

乙方聘請(qǐng)甲方為經(jīng)紀(jì)人，在合同期間由甲方全權(quán)代理乙方涉及到與演藝有關(guān)的商業(yè)或非商業(yè)活動(dòng)，以及與乙方公眾形象有關(guān)的活動(dòng)。乙方為此支付甲方經(jīng)紀(jì)費(fèi)用。

Party B retain Party A as the broker. During the period of contract, Party A will be the sole agency of Party B, including all commercial or non-commercial performing activities and activities relate to Party B's public image. Party B shall pay Party A the brokerage fee.

二、合同期限 TWO:  The contract period

為期兩年，自簽約后立即生效，開(kāi)始期以簽約當(dāng)天日期為準(zhǔn)。

The contract will last for two years. It will take effect immediately after signing, the beginning date is the signing date.

三、合同期內(nèi)，甲方應(yīng)有的權(quán)利和應(yīng)盡的義務(wù)：

THREE: During the contract period, Party A shall have the following rights and obligations.

1、甲方應(yīng)努力通過(guò)各種新聞媒體及其他方式宣傳乙方，盡可能地提高乙方的知名度，通過(guò)強(qiáng)有力的宣傳運(yùn)作獲得最佳效果，使乙方建立、保持良好的公眾模特形象。

Party A shall propagate Party B through various of news media and other means to enhance Party B's public prestige; to get the best effects through powerful propaganda and operation so that Party B can establish, maintain the good public model image.

2、甲方在合同期間獨(dú)家擁有乙方之名稱、肖像及聲音的商業(yè)和非商業(yè)的公眾活動(dòng)代理權(quán)，并擁有乙方活動(dòng)演出以及拍攝的照片或影視作品版權(quán)。

Party A has the sole agency rights of Party B, relate to the commercial and non commercial public activities including the name, portrait and voice of Party B. Party A has the copyright of Party B's activities performance, photos and TV works.

3、甲方有權(quán)安排乙方的所有演藝工作并作為乙方的委托代理人簽署有關(guān)演藝合同，但合同內(nèi)容應(yīng)征得乙方的同意。

合同期間，甲方對(duì)乙方日程、企劃、定位、籌備、訓(xùn)練、攝影、錄象、制作、宣傳、演出等一切與演藝活動(dòng)相關(guān)之活動(dòng)擁有最終決定權(quán)，乙方在力所能及的范圍內(nèi)不得借故拖延或拒絕。甲方有權(quán)要求乙方參加由甲方安排的演藝活動(dòng)，但是必須充分考慮到乙方的身心狀況和勞動(dòng)強(qiáng)度，在乙方可以勝任的情況下，乙方應(yīng)參加甲方安排的演藝活動(dòng)。

Party A as the entrusted agent has the right to arrange all the performance work and sign the relevant performing contract for Party B, but the content of the contract should get the consent of party B.

During the period of contract, Party A has the final decision right to Party B's activities relevant to its schedule, planning, positioning, preparation, training, photography, video, production, publicity and performance. Party B shall not delay or refuse Party A as his or her capacity allows. Party A has the right to request Party B join the performing activities in fully consideration of the mental state and labor intensity of Party B. If Party B is competent for the activities, he or she should attend the performing activities arranged by Party A.

4、乙方從事商業(yè)性演藝或非商業(yè)性演藝活動(dòng)的有關(guān)工作酬勞，如果第三方拖欠、欠款或拒付時(shí)，甲方應(yīng)盡力協(xié)助追討，并承擔(dān)相應(yīng)的損失比例，但不負(fù)責(zé)賠償。

About the relevant working reward of Party B's commercial or non-commercial performing activities：if the third party is in arrears, or refusal of payment, Party A shall assist to recover and undertake the corresponding loss ratio, but Party A is not responsible for the compensation.

5、甲方安排乙方在重要場(chǎng)合演出或參加其他活動(dòng)時(shí)，甲方有義務(wù)派出宣傳人員陪同前往，以保障宣傳效果。

When Party A arrange Party B to act in important occasions or take part in other activities, Party A has the obligation to send propagandist accompanied in order to ensure the publicity effect.

6、甲方應(yīng)向乙方提供有效的聯(lián)系方式，包括微信、手機(jī)號(hào)等，以便乙方可以立即與甲方取得聯(lián)系。

Party A should provide effective contact methods including wechat and telephone number etc to Party B, so that Party B can immediately get in touch with Party A.

四、合同期內(nèi)，乙方應(yīng)有的權(quán)利和應(yīng)盡的義務(wù)：

FOUR: During the contract period, Party B shall have the following rights and obligations.

1、乙方在合同期內(nèi)，應(yīng)根據(jù)甲方的安排進(jìn)行演藝活動(dòng)。

During the contract period, Party B shall carry out performing activities according to party A's arrangement.

2、乙方有權(quán)參加與其本人有關(guān)的歌曲創(chuàng)作、制作、宣傳、演出等一切與演藝事業(yè)有關(guān)的相關(guān)活動(dòng)的企劃過(guò)程并了解收支情況，表達(dá)個(gè)人意愿。但是一經(jīng)甲乙雙方商定確認(rèn)，乙方必須遵守，按照甲方提出的方案安排日程、企劃、定位、籌備、訓(xùn)練、錄音、錄象、宣傳等內(nèi)容，不得借故拖延或拒絕。

Party B has the right to participate in the planning process of activities that are relevant to his or her acting career, know the situation of income and expenditure and express his or her own individual will including activities of songwriting, production, promotion and performance and so on. But as long as agreed by both parties' confirmation, party B should obey the contract. Party B shall arrange the schedule, planning, positioning, preparation, training, video                                           recording, picture recording and publicity, etc according to party A's proposal, without special reason, should not delay or refuse on purpose.

3、未經(jīng)甲方同意，乙方不得為以商業(yè)目的在甲方指定范圍以外的個(gè)人或機(jī)構(gòu)參與活動(dòng)演出和拍攝等商業(yè)活動(dòng)，不得以任何目的、任何形式擅自參加商業(yè)或非商業(yè)公眾活動(dòng)，不得向任何個(gè)人或機(jī)構(gòu)提供與商業(yè)或非商業(yè)公眾活動(dòng)，不得向任何個(gè)人或機(jī)構(gòu)提供與商業(yè)或非商業(yè)演出、形象展示有關(guān)的照片，不得擅自實(shí)施整形手術(shù)（包括面部、身體、發(fā)型等）。

Without the consent of party A, party B shall not participate the commercial activities with the business objectives outside the designated scope of party A. Party A shall not participate the performing and shooting activities organized by other individuals or institutions; Party B shall not join in public activities of commercial or non commercial; Party B shall not offer commercial or non-commercial activities for any individuals or institutions; Party B shall not offer any pictures that are relevant to commercial or non-commercial performance, or image presentation to individuals or institution. Party B shall not carry out plastic surgery(including the face, body, hair and so on) without noticing party A.

4、在甲方安排的演出、攝影、錄象、拍攝專(zhuān)輯、制作宣傳片等活動(dòng)中，資金應(yīng)由甲方負(fù)責(zé)安排，乙方應(yīng)全力配合甲方。

During the activities of performance, photography, videoing, albums photography, propaganda film making arranged by party A, party A shall responsible for the funds, Party B shall fully cooperate with Party A.

5、乙方在其非演出等情況下發(fā)生的收入歸乙方所有，與甲方無(wú)關(guān)。如乙方的受贈(zèng)、繼承、買(mǎi)賣(mài)有價(jià)證券、個(gè)人投資等。

The income gets in the case of non-performing situation by party B shall be party B's individual assets and has nothing to do with party A. For instance, the endowment, inheritance, securities trading and individual investment of party B , etc.

6、乙方應(yīng)向甲方提供有效的聯(lián)系方式，包括微信、手機(jī)號(hào)等，以便甲方可以立即與乙方取得聯(lián)系。

Party B should provide effective contact methods including wechat and telephone number etc to Party A, so that Party A can immediately get in touch with Party B.

7、乙方有權(quán)在涉及公民的基本權(quán)力和義務(wù)的領(lǐng)域內(nèi)享有權(quán)力、承擔(dān)義務(wù)，對(duì)此甲方不得干涉。

Party B has the right to enjoy the right and carry the obligation in the field involving the basic rights and duties of citizens, party A shall not interfere.

8、乙方有權(quán)按照《勞動(dòng)法》等有關(guān)法律、法規(guī)的規(guī)定享有勞動(dòng)、義務(wù)以及休息的權(quán)力。如果因?yàn)檠菟囀聵I(yè)的特殊要求需要加班加點(diǎn)的，乙方有權(quán)進(jìn)行合理的休息。

Party B has the right and obligation of labor and rest according to the relevant laws and regulation in the labor laws. Party B has the right to make reasonable rest in the event that the acting career has special requirement and need work overtime.

9、乙方應(yīng)自尊、自重、自愛(ài)，在甲方的協(xié)助下慎重對(duì)待自己的言行，以使自身的公眾形象得到盡可能的維護(hù)和提高。乙方在向新聞媒體以及任何個(gè)人、機(jī)構(gòu)公布自身的隱私、立場(chǎng)、觀點(diǎn)時(shí)，應(yīng)事先征得甲方的同意。

Party B shall be self-esteem, self-respect and self-regard, treat his or her words carefully and seriously with the help of party A to make his or her public image get maintained and improved as much as possible. party B shall seek the consent of party A before he or she announce his or her privacy, stand point and point of view to any news media individuals, or institutions .

10、在合同期間，乙方不得聘請(qǐng)任何除甲方之外的任何第三方擔(dān)任其演藝事業(yè)的經(jīng)紀(jì)人。

During the contract period, party B shall not employ any other third party as his or her career agent except party A.

11、乙方有權(quán)對(duì)自身的企劃、定位、外型等事宜提出建議并與甲方協(xié)商解決。

Party B has the right to give suggestions about matters related to his or her own planning, positioning and appearance and solve these matters in consultation with party A.

12、乙方將承擔(dān)保密義務(wù)，確保任何與甲方合作的內(nèi)部事務(wù)不以任何形式、渠道對(duì)外公布。

Party B shall undertake the obligation to keep confidential. To ensure the internal affairs that cooperation with party A will not leak to the public in any forms.

13、乙方如果因?yàn)椴豢煽沽ν顺鲅菟囀聵I(yè)，復(fù)出后應(yīng)繼續(xù)聘請(qǐng)甲方擔(dān)任經(jīng)紀(jì)人，除非甲方拒絕或因個(gè)人問(wèn)題不能繼續(xù)勝任。

If party B quit acting career because of irresistible force ,when he or she comeback should still employ party A as his or her agent, unless party A refuse or isn't competent due to personal problems.

五、酬金、稅費(fèi)FIVE: The remuneration, Taxes and Duties

乙方從事商業(yè)或非商業(yè)演出活動(dòng)及有關(guān)工作之酬勞（限于貨幣、實(shí)物等），應(yīng)有甲方代為收取并支付相關(guān)個(gè)人所得稅。如遇乙方自行收取酬勞之情況時(shí)，乙方同樣在收取酬金后兩周內(nèi)主動(dòng)支付甲方。如果出席活動(dòng)，甲方付給乙方活動(dòng)費(fèi)用為每場(chǎng)    元，如果是拍攝等其他工作，甲乙雙方協(xié)同報(bào)價(jià)，但報(bào)給客戶的總費(fèi)用不低于     元，收入甲乙雙方五五分成；

The remuneration(limited to money, in kind, etc.) of party B's engaging in commercial or non-commercial performance activities and related works should be charged by party A instead and pay the personal income tax. In the case of party B receive the remuneration in person, party B also should pay for party A initiatively. If attending activities, party A shall pay party B 1000 RMB for each activity. If shooting or other work, party A and party B shall collaborative bidding. The total costs noticed to the customers shall not less than 1500 RMB, both parties share 50% of the total profit.

六、合同的變更和解除SIX: The modification and rescission of the contract.

1、如因甲方原因使得不能繼續(xù)為乙方提供經(jīng)紀(jì)服務(wù)時(shí)，乙方有權(quán)終止本合同。

If it is on party A's account can't offer broking service for party B, party B has the right to terminate the contract.

2、如因甲方原因使得乙方的演藝事業(yè)受到不應(yīng)有的負(fù)面影響時(shí)，乙方有權(quán)決定繼續(xù)或解除本合同。

If it's on party A's account that make party B's acting career suffer the unworthy negative effect, party B has the right to continue or cutout the contract.

3、甲乙雙方可以協(xié)商變更或解除本合同。變更時(shí)應(yīng)采取書(shū)面形式。

The contract can be changed or terminated through negotiation by both parties. The change should take the form of writing.

4、如因乙方原因使得其不再適合從事演藝事業(yè)（身體、名譽(yù)等遭受損害），甲方有權(quán)解除本合同。

If it's for party B's account that make he or she no longer suitable for the acting career,for instance, the body or reputation damage, party A has the right to terminate the contract.

5、合同期內(nèi)，乙方如因意外使身體或外型受到傷害并影響其外在形象時(shí)，甲方有權(quán)決定繼續(xù)或終止本合同。

During the contract period, if party B damage his or her body or appearance accidently and affect his or her public image, party A has the right to continue or terminate the contract.

6、甲方不得以任何方式作出有損乙方公眾形象的行為，否則，乙方有權(quán)決定繼續(xù)或終止本合同。

Party A should not make any behavior in any way to damage party B's public image. Otherwise, party B has the right to continue or terminate the contract.

七、違約責(zé)任SEVEN: Liability for breach of the contract.

甲乙雙方應(yīng)本著友好合作之原則進(jìn)行合作，一旦出現(xiàn)糾紛，應(yīng)盡可能地協(xié)商解決，但是發(fā)展到只能用終止合同的辦法才能解決問(wèn)題時(shí)，應(yīng)該按照以下方式處理：

Party A and party B should collaborate following the principle of friendly cooperation, Once blowing up disputes, both parties should solve these disputes by negotiation as much as possible. While once the disputes can be solved only by terminating the contract, the following principle should be observed.

1、合同期內(nèi)，甲乙雙方中任何一方如不能誠(chéng)實(shí)履行合同及違反合同條款時(shí)，視違約情節(jié)，按照下列條款單獨(dú)或并處：

During the contract period, if any party can't fulfill the contract honestly or breach any terms of the contract, should be penalized alone or simultaneously according to the following default status:

1）延遲或停止違約方一切或者部分演藝、宣傳等運(yùn)作活動(dòng)；

Delay or stop all or part activities of the breaching party. Such as, activities of performance, propaganda, etc.

2）將部分演出收入全部繳付守約方；All performance income belongs to the observant party.

3）罰款，罰款金額按照簽約以來(lái)歷年累計(jì)收入總額的300%計(jì)算，并繼續(xù)履行合同；

Fine, the amount of the fine should be 300% of the total revenue of the accumulated income over the years since the signing date. Then continue fulfilling the contract.

4）終止合同，違約方應(yīng)賠償守約方人民幣兩萬(wàn)元整。

Terminate the contract. The breaching party should pay the observant party 20000 RMB.

八、糾紛解決方式EIGHT: Dispute resolution

甲乙雙方之間的任何合同糾紛，雙方應(yīng)協(xié)商解決，協(xié)商不成的，雙方同意以訴訟方式予以解決。

Any contract disputes between party A and party B shall be solved by negotiation. If negotiation fails,both parties can resolve the problem through litigation.

九、合同份數(shù)及效力 NINE：Copies and validity of contract

本合同一式兩份甲乙雙方各執(zhí)一份。合同自甲乙雙方簽字后生效。本合同效力溯及至簽約日。

The contract has two copies, each party keep one original. The contract will take effect immediately since both parties’ signing.
