PURCHASE CONTRACT OF WHITE SUGAR

　　買方：BUYER: 以下簡(jiǎn)稱買方Hereinafter referred to as the Buyer.

　　經(jīng)買賣雙方友好協(xié)商，同意按照以下條款買賣白糖

　　The two parties have mutually agreed on the sales and purchase of White sugar under the following terms and conditions:

　　第一條：商品名稱，規(guī)格，數(shù)量，裝運(yùn)及單價(jià)

　　Article 1. Commodity, Specifications, Quantity, Shipment and Unit price

　　1) 商品：泰國(guó)白糖Commodity: Thailand White sugar

　　2) 規(guī)格 Specifications：

　　質(zhì)量：Quality Pol(%)≥99.7; Rs(%)≤0.15;

　　水份Moisture(%)≤0.052; 色度 Chromaticity(IU)≤100.

　　以上規(guī)格(/條款)為買賣雙方協(xié)商同意。

　　the specifications are as per the sample agreed by both parties.

　　3)數(shù)量：5000.00噸(貨物將被裝進(jìn)___整箱20'集裝箱，每箱凈重25噸。)

　　Quantity:_5000.00MTS (Cargoes will be stuffed into __ 20’ containers FCL, 25 MTs Net/Container)

　　4)價(jià)格：?jiǎn)蝺r(jià)2856.60.00元/噸， CIF 欽州保稅港。 總金額:14,283,000.00元。

　　4) Unit Price: RMB2856.60 .00/MT, CIF Qinzhou bonded port, China

　　Total Value: RMB14,283,000.00.

　　裝貨港：泰國(guó)林查班港。Loading Port : linchaban City Port,Thailand

　　部分裝運(yùn)：允許。轉(zhuǎn)運(yùn)：允許。 Partial Shipment: Allowed Transshipment: Allowed

　　第二條：包裝，商標(biāo)，檢驗(yàn)及保險(xiǎn)Article 2: Packing, Marking, Inspection and Insurance

　　包裝：以單層PP袋包裝，每袋50公斤，兩端封口處應(yīng)雙縫。要適合出口和海運(yùn)。

　　商標(biāo)：賣方應(yīng)在包裝袋上打上買家確認(rèn)商標(biāo)。

　　檢驗(yàn)：在裝貨港的重量/品質(zhì)/數(shù)量/包裝/貨物狀況等證書(shū)由泰國(guó)簽發(fā)，檢驗(yàn)費(fèi)用由賣方承擔(dān)。如果檢驗(yàn)機(jī)構(gòu)發(fā)現(xiàn)貨物與合同所述不符，賣方必須在裝貨前更換，由此產(chǎn)生的費(fèi)用和時(shí)間延誤由賣方承擔(dān)。如果在卸貨港有政府強(qiáng)制檢查的，則由買方負(fù)責(zé)。

　　保險(xiǎn):保險(xiǎn)費(fèi)用由買方承擔(dān)。

　　熏蒸：貨物裝箱后須進(jìn)行熏蒸，由賣方負(fù)責(zé)，并最終在裝貨港簽發(fā)熏蒸證書(shū)。

　　Packing：In single PP bags of 50 kgs net. Double stitching at mouth and bottom. All to be suitable for export and sea transportation.

　　Marking：Bag marking should be confirmed by the buyer.

　　Inspection：Final and binding at load port for Weight / Quality / Quantity / Packing / Conditions of Goods as per the certificates issued by the authority of Thailand. Cost of inspection to be at Seller’s account. If the inspection company does not find the cargo to be as per contractual specifications before loading then the sound cargo must be replaced at Seller’s expense and time. Compulsory government inspection, if any, on the goods at discharge port(s), shall be for Buyer’s account.

　　Insurance：Insurance to be arranged by the Buyer.

　　Fumigation：Fumigation is to be effected after completion of stuffing cargoes onto containers at Seller’s account. Certificate of fumigation issued at load port to be final.

　　第三條：檢驗(yàn)檢疫標(biāo)準(zhǔn)，驗(yàn)收 Article 3: Inspection and quarantine standards and acceptance

　　檢驗(yàn)檢疫標(biāo)準(zhǔn)：賣方的貨物不符合中國(guó)國(guó)家質(zhì)量監(jiān)督檢驗(yàn)檢疫機(jī)構(gòu)的標(biāo)準(zhǔn)，買方無(wú)條件拒收或退貨，所產(chǎn)生的一切實(shí)際費(fèi)用(例：運(yùn)雜費(fèi)、檢驗(yàn)檢疫費(fèi)、含已支付貨款等)的損失，由賣方賠償給買方。

　　驗(yàn)收：貨物的色澤與賣方提供的樣板一致為合格驗(yàn)收標(biāo)準(zhǔn)。

　　Article 3：In the event of specification not in accordance to China importation regulatory, buyer reserved the rights to return the cargos to seller at the expense of seller(e.g. specification charges, customer charges).

　　For acceptance: The color of the goods is in agreement with the sample provided by the buyer for acceptance.

　　第四條：交貨條款 Article 4: Terms of delivery

　　根據(jù)2000年國(guó)際貿(mào)易術(shù)語(yǔ)以FOB泰國(guó)林查班港交付。離開(kāi)泰國(guó)港口岸前，裝貨港的碼頭處理費(fèi)(THC)由賣方承擔(dān)。所有的進(jìn)口關(guān)稅、征費(fèi)、卸貨港碼頭處理費(fèi)(THC)，由買方承擔(dān)。

　　Delivery shall be performed on the basis of FOB LCB THAILANG as per Incoterms 2000. All cost before the vessel depart the Thailand port and terminal handling charges (THC) at loading port shall be borne by the seller. All import duties, taxes, levies and terminal handling Qinzhou bonded port, China charges (THC) at discharge port, other charges outside Vietnam to be for Buyer’s account.

　　第五條：付款方式：Article 5: Payment

　　第六條：所需文件Article 6. Documents required

　　1) 2 份簽名正本合同

　　2) 全套已裝船清潔海運(yùn)提單,提單收貨人為憑指示(TO THE ORDER), 背書(shū)給賣方銀行, 通知人是開(kāi)證申請(qǐng)人,標(biāo)明運(yùn)費(fèi)到付。

　　3) 已簽字的商業(yè)發(fā)票，1份正本，3份副本

　　4) 已簽字的包裝單，1份正本，3份副本。

　　5) 由原產(chǎn)地商會(huì)簽發(fā)的原產(chǎn)地證書(shū)，1份正本，3份副本。

　　6) 由泰國(guó)農(nóng)業(yè)和農(nóng)村發(fā)展的植物保護(hù)部門簽發(fā)的植物檢疫證書(shū)，1份正本，3份副本。

　　7) 熏蒸公司簽發(fā)的熏蒸證書(shū)，1份正本，3份副本。

　　8) 簽發(fā)的貨物品質(zhì)/數(shù)量證書(shū),并注明生產(chǎn)日期，1份正本，3份副本。

　　9) 簽發(fā)的包裝證書(shū)，并指明生產(chǎn)日期，1份正本，3份副本。

　　10) 集裝箱清潔證書(shū)，1份正本，3份副本。

　　11) 簽發(fā)的理貨證書(shū)，1份正本，3份副本。

　　12) 簽發(fā)的收成年度證書(shū)，1份正本，3份副本。

　　13) 簽發(fā)的非轉(zhuǎn)基因證書(shū)，1份正本，3份副本。

　　14) 簽發(fā)的化學(xué)物殘留證書(shū)，1份正本，3份副本。

　　15) 簽發(fā)的水分證書(shū)，1份正本，3份副本。

　　16) 裝船發(fā)貨后05天內(nèi)按買方要求寄出全部文件。

　　17) 賣方應(yīng)在提單日后一個(gè)工作日內(nèi)以電子郵件或傳真的方式通知買方船名、裝船數(shù)量、預(yù)計(jì)到中國(guó)的日期及提單日期等。

　　18) 提供包裝袋彩圖(正反面)，包裝袋注明生產(chǎn)日期

　　-可接受第三方單據(jù)文件

　　-可接受除了日期、數(shù)量、價(jià)格以外的拼寫(xiě)錯(cuò)誤。

　　1) Signed Contract in 2 original

　　2) Full Set of Clean on BoardOcean Bills of Lading, made out TO THE ORDER Seller’s Bank, notify Buyer, marked Freight.

　　3) Signed commercial invoice in 1 original and 3 copies.

　　4) Packing List in 1 original and 3 copies.

　　5) Certificate of origin issued by the Chamber of Commerce and Industry of country of origin in 1 original and 3 copies.

　　6) Phytosanitary certificate issued by Plant Protection Department of Ministry of Agriculture and Rural Development in 1 original and 3 copies.

　　7) Fumigation certificate issued by Fumigation Company in 1 original and 3 copies.

　　8) Certificates of Quality and Weight in 1 original and 3 copies

　　9) Certificate of Packing and indicate the production date in 1 original and 3 copies.

　　10) Certificate of Container Cleanliness in 1 original and 3 copies.

　　11) Tally certificate，in 1 original and 3 copies.

　　12) Certificate of Crop year certificate in 1 original and 3 copies.

　　13) Certificate of Non-GMO certificate in 1 original and 3 copies.

　　14) Certificate of Pesticide residues in 1 original and 3 copies.

　　15) Moisture certificate in 1 original and 3 copies.

　　16) Send out all documents according to the buyer within 05 days after BL date.

　　17) The seller advise the Buyer name of vessel, quantity shipped, ETA to China and B/L date by email or fax within one working day after B/L date.

　　18) Provide the packing bag in color(front and back side) with Date of Production.

　　- Third party documents to be acceptable.

　　- Spelling mistakes in documents except on date, quantity, value to be acceptable.

　　第七條：不可抗力Article 7: Force majeure.

　　本合同遵循國(guó)際商會(huì)關(guān)于不可抗力(豁免條款)的慣例(國(guó)際商會(huì)出版物第421號(hào))。

　　The force majeure (exemption clause) of the International Chamber of Commerce (ICC publication No. 421) is hereby incorporated in this contract.

　　第八條：爭(zhēng)議解決Article 8: Arbitration

　　若買賣雙方任何一方就合同的部分條款不能達(dá)成一致協(xié)議時(shí)，這些爭(zhēng)議應(yīng)該按照谷物與飼料貿(mào)易協(xié)會(huì)(GAFTA 125)規(guī)定的在倫敦或欽州通過(guò)仲裁解決。

　　Should any dispute arise between the contracting parties to which no agreement can be reached, these disputes shall be settled by arbitration, which shall take place in London or Qinzhou as per GAFTA 125.

　　第九條：法律管轄Article 9: Governing law

　　雙方必須清楚了解，在合同內(nèi)未提及的且與GAFTA 120規(guī)定不沖突的條款和條件都符合GAFTA倫敦第125號(hào)文件以及其仲裁規(guī)則。

　　All other terms and conditions as per GAFTA 120 where not in conflict with terms contained herein including arbitration rule number 125 of the GAFTA London of which both parties admit full notice and knowledge.

　　第十條：再出口Article 10: Re-export

　　本合同中的商品不允許再出口到馬來(lái)西亞、印度尼西亞、孟加拉國(guó)、菲律賓、伊拉克、東帝汶和古巴市場(chǎng)。如果買方想再出口到越南集中市場(chǎng)包括: 印尼、馬來(lái)西亞、孟加拉國(guó)、菲律賓、伊拉克、東帝汶和古巴, 他們必須得到賣方同意。賣方需在得到泰國(guó)工商部門的批準(zhǔn)后才能同意買方將貨物再出口到這些國(guó)家。

　　The mentioned goods in the signed contract do not permit to re-sell in Malaysia, Indonesia, Bangladesh, Philippines, Iraq, East Timor and Cuba markets .If the buyer want to re-export to the Vietnam concentrates markets including: Indonesia, Malaysia, Bangladesh, Philippines, Iraq, East Timor and Cuba, they have to get the seller’s acceptance. The seller’s are just able to accept the buyer re-export to these markets after obtaining approval from the ministry of industry and trade of Thailand

　　第十一條：異議索賠Article 11: Claim

　　如果貨物品質(zhì)、數(shù)量、重量發(fā)現(xiàn)與合同規(guī)定不符，除了在途的品質(zhì)重量的一般自然變化以及損失，應(yīng)由輪船公司或者保險(xiǎn)公司負(fù)責(zé)外，買方有權(quán)在貨物到達(dá)目的口岸后30天以內(nèi)對(duì)貨物的品質(zhì)、數(shù)量、重量提出賠償要求。但需提供經(jīng)賣方同意的公證行的檢驗(yàn)證明。如責(zé)任屬于賣方者，賣方于收到異議20天內(nèi)答復(fù)買方并提出處理意見(jiàn)

　　Discrepancy and claims: if the quality of the goods, quantity, weight be found not in conformity with the provisions of the Contract, except in the way of quality and weight general natural changes and losses shall be borne by the insurance company, shipping company responsible for the goods, the Buyer shall have the right to arrive at the destination port within30 days after the goods on the quality, quantity, weight of the goods put in a claim for compensation. But the need to provide proof of Surveyor approved by the Sellers. If the responsibility of the seller, the Seller to receive the objection within 20 days reply to the Buyer and put forward the suggestion.

　　第十二條：其他條款A(yù)rticle 12: Other conditions

　　買方負(fù)責(zé)申請(qǐng)進(jìn)口執(zhí)照，賣方負(fù)責(zé)申請(qǐng)出口執(zhí)照。

　　本合同的任何修改和/或補(bǔ)充只有在雙方書(shū)面形式簽字后方有效。所有在本合同簽訂前進(jìn)行的談判應(yīng)視為無(wú)效。任何一方在未經(jīng)另一方事先書(shū)面同意時(shí)不能將本合同的權(quán)利和義務(wù)轉(zhuǎn)讓給任何第三方。所有發(fā)生在中國(guó)以外的稅收和費(fèi)用，應(yīng)由賣方承擔(dān)。

　　合同一式兩份，買賣雙方各持一份，傳真或郵件,本合同中文、英文均具有同等效力。

　　The Buyer will be responsible for arranging import license and the Seller will be responsible for arranging export license.

　　Any amendments and/or supplement to this contract shall be valid only if they are made in writing and signed by both parties. All correspondences and negotiation which have taken place prior to the signing of this contract shall be considered null and void. Neither party shall be entitled to transfer its right and obligation under this contract to any third party without the prior consent of other party in writing. All occurred outside China's duty and fees, paid by the seller.

　　This contract is made in two copies with equal legal value through fax or email, each party keeps one copy.
