　　The Institute of____, Chinese Academy of Sciences, (Hereinafter referred to as Party A) wishes to engage the service of Dr. ____ (Hereinafter referred as Party B) as a Visiting Scholar for one year. The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated in it.

　　Party B chooses Mr./Ms.____ as his/her co-researcher, and is required carry out the co-research actively.

　　6. 甲方支付乙方薪酬人民幣___元/月，另外給予乙方___元用于住房補助，___元用于醫(yī)療和社會保險。詳細約定見來訪者待遇協(xié)議附件

　　Party B's monthly stipend will be ￥___ yuan RMB. There will be additional ￥___ yuan RMB per month for accommodation and ￥___ yuan RMB per month for the medical and social insurances. ( more details refer to the attached pages)

　　7. 甲方的義務(wù)：Party A's Obligations

　　1) 向乙方介紹中國有關(guān)法律、法規(guī)和甲方有關(guān)工作制度以及中國有關(guān)外國專家的管理規(guī)定。

　　Party A shall introduce to Party B the laws, decrees and relevant regulations enacted by the Chinese government, the Party A' work system and regulations concerning administration of foreign experts.

　　2) 對乙方的工作進行指導(dǎo)、檢查和評估。

　　Party A shall conduct direction, supervision and evaluation of Party B's work.

　　3) 向乙方提供必要的工作和生活條件。

　　Party A shall provide Party B with necessary working and living conditions.

　　4) 按時支付乙方的報酬。Party A shall pay Party B's salary regularly by the month.

　　8. 乙方的義務(wù)：Party B’s Obligations:

　　1) 遵守中國的法律、法規(guī)，不干預(yù)中國的內(nèi)部事務(wù)。

　　Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in China's internal affairs.

　　2) 遵守甲方的工作制度和中國有關(guān)外國專家的管理規(guī)定，接受甲方的工作安排、業(yè)務(wù)指導(dǎo)、檢查和評估。未經(jīng)甲方書面同意，不得在甲方以外的其他單位兼職。

　　Party B shall observe Party A's work system and regulations concerning administration of foreign experts and shall accept Party A's arrangement, direction, supervision and evaluation in regard to his/her work. Without Party A's written consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.

　　3) 認真開展本合同所約定的研究工作，保證科研工作質(zhì)量。

　　Party B shall complete the tasks agreed on schedule and guarantee the quality of work.

　　4) 尊重中國的宗教政策。

　　Party B shall respect China's religious policy, and shall not conduct religious activities incompatible with the status of an expert.

　　5) 遵守中國相關(guān)技術(shù)和科研保密規(guī)定，不從事與訪問學(xué)者身份不符的活動。

　　Party B shall observe China’s security stipulations about the relevant technology and research, and shall not conduct any activities incompatible with the status of an expert.

　　6) 尊重中國人民的道德規(guī)范和風(fēng)俗習(xí)慣。

　　Party B shall respect the Chinese people's moral standards and customs.

　　9. 乙方在其受聘期科研工作基礎(chǔ)上所產(chǎn)生的科研成果所有權(quán)歸甲方，并享受甲方有關(guān)科研成果的獎勵。訪問期間取得的論文、專著、專利等科研成果均應(yīng)標注受中國科學(xué)院‘外籍青年訪問學(xué)者獎學(xué)金計劃’資助。詳細約定見科研成果歸屬協(xié)議附件

　　The right of production, including the copyright of paper, patents etc. based upon the contract work belongs to Party A. Party B is entitled to the reward policy or publication in place at Party A. Publication in refereed journals is highly encouraged. Part B should acknowledge the Fellowship as follows: "supported by the CAS Research Fellowship for International Young Researchers " ( more details refer to the attached agreement on the right of production)

　　10. 乙方在聘期內(nèi)享受中國官方假期。另外，可根據(jù)乙方本國特有的節(jié)日，享受累計不超過5日的特殊假期。

　　Party B will enjoy the official holidays in China during the contract period. In addition, Part B will be entitled to holidays not exceeding 5 days, based on his/her domestic country's custom.

　　11. 乙方請假須向甲方提交書面申請，病假需憑醫(yī)院證明。假期在10日以內(nèi)薪金照發(fā)。乙方因病不能繼續(xù)本合同規(guī)定的工作時，雙方可通過協(xié)商解除聘用關(guān)系。

　　Written application is prerequisite for absence from duty, for sick absence the application shall be presented with proof from hospital. Payment during sickness absence within 10 days is issued at normal rate. If the Party B is unable to continue the employment due to health problem, the contract can be terminated on basis of negotiation on merits of each case.

　　12. 合同的變更、解除和終止：Revision, Cancellation and Termination of the Contract:

　　1) 雙方應(yīng)信守合同，未經(jīng)雙方一致同意，任何一方不得擅自更改、解除和終止合同。

　　Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

　　2) 經(jīng)當事人雙方協(xié)商同意后，可以變更、解除和終止合同。在未達成一致意見前，仍要嚴格履行合同。

　　3) 甲方在下述條件下，有權(quán)以書面形式通知乙方解除合同：

　　i. 乙方不履行合同或者履行合同義務(wù)不符合約定內(nèi)容，經(jīng)甲方指出并協(xié)商后仍不改正的;

　　Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.

　　ii. 根據(jù)醫(yī)生診斷，乙方在病假連續(xù)30天后不能恢復(fù)正常工作的;

　　According to the doctor's diagnosis, Party B cannot resume normal work after a continued 30-day sick leave.

　　4) 乙方在下述情況下，有權(quán)以書面形式通知甲方解除合同：

　　Party B has the right to cancel the contract with a written notice to Party A under the following conditions:

　　i. 甲方未按合同約定提供乙方必要的工作和生活條件;

　　Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

　　ii. 甲方未按時支付乙方報酬。Party A has not paid Party B as scheduled.

　　13. 當事人一方不履行合同或者履行合同義務(wù)不符合約定內(nèi)容，即視為違約。違約方應(yīng)當向另一方支付____美元的違約金。乙方因不可抗力事件要求解除合同，需出具有關(guān)機構(gòu)證明，經(jīng)甲方同意后，離華的費用自理;乙方若無故解除合同，除離華費用自理外，還應(yīng)當向甲方支付違約金。甲方因不可抗力事件要求解除合同, 經(jīng)乙方同意后，離華費用由甲方負擔(dān);甲方若無故解除合同，除負擔(dān)乙方離華費用外，還應(yīng)當向乙方支付違約金。

　　Breach Penalty: When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$_____ (or the equivalent in RMB￥____). If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A's consent, and pay its own return expenses; If Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A. If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party B's return expenses; if Party A cancels the contract without valid reason, it should pay Party B's return expenses and pay a breach penalty to Party B.

　　14. 本合同附件____為合同不可分割的一部分，與合同具有同等效力。

　　15. 本合同自雙方簽字之日起生效，合同期滿、雙方不再續(xù)訂聘用合同的，聘用關(guān)系自行終止。合同期滿后，甲方發(fā)給乙方半個月薪金作為離職補貼費。當事人一方要求簽訂新的聘用合同，必須在本合同期滿前90天向另一方提議協(xié)商延期事宜，經(jīng)雙方協(xié)商同意后簽訂。乙方合同期滿后，在華逗留期間的一切費用自理。

　　This contract takes effect on the date signed by both parties and will automatically expire when the contract ends. Party A shall pay half-month salary to Party B as an allowance. If either of the two parties asks for a new contract, it should forward its request to another party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent. Party B shall bear all expenses incurred when staying on after the contract expires.

　　16. 爭議解決：當事人雙方發(fā)生合同糾紛時，盡可能通過協(xié)商或者調(diào)解解決。若協(xié)商調(diào)解無效，雙方均可以通過法律程序解決。

　　The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can appeal for legal procedure.
