CONTRACT OF COAL TRADE FRONTIER DELIVERY

　　1.附錄主題Subject of the Appendix.

　　賣方承諾交付給買方俄羅斯動力煤以下簡稱貨物，且買方承諾接受并支付該貨物。

　　The Seller undertakes to deliver to the Buyer Russian Steam Coal hereinafter referred to as the Goods, and the Buyer undertakes to accept and pay for such Goods.

　　2. 貨物質(zhì)量The Quality of Goods

　　2.1. 合同附錄№30下可交付貨物的質(zhì)量須符合以下品質(zhì)特征

　　The quality of the Goods to be delivered under the Appendix №30 being the part of the Goods deliverable under the contract shall correspond to the following quality characteristics:

　　3.發(fā)貨量及時(shí)間，交付條件Volume and period of dispatch of the Goods. Terms of delivery.

　　3.1根據(jù)附錄№xx賣家承諾將貨物從始發(fā)站按以下的量和時(shí)間進(jìn)行發(fā)貨。

　　年 月噸數(shù)： 噸(賣家可以選擇有 %的上下浮動)準(zhǔn)確的鐵路計(jì)劃，確切的派遣月份將由 公司不遲于派遣日的5天前宣布。

　　Under the Appendix №30 the Seller undertakes to dispatch the Goods from the Departure stations during the following period and in the following quantity:

　　December 2014 Tonnage: 10 x0 000 MTS +/-5PCT xPCT in Seller’s Option.

　　The exact railway plan for the relevant Month of dispatch shall be declared by SUEK AG no later than 5 (Five) calendar days prior to the first day of dispatch

　　3.2 貨物派遣日期以及貨物量將以始發(fā)站托運(yùn)收據(jù)的每個印章日期為準(zhǔn)。

　　The date of dispatch and quantity of the Goods shall be determined as per the date of the stamp of the Departure station on Consignment Notes.

　　3.3 年 月噸數(shù)表明在條款1中的貨物將在中國琿春跨境站位置在卡梅紹娃婭/琿春俄羅斯-中國邊境(發(fā)貨點(diǎn)或貨物損失或損壞風(fēng)險(xiǎn)轉(zhuǎn)移點(diǎn))

　　The Goods of the December 2014 Tonnage indicated in Clause 1 herein shall be delivered on terms of DAP cross-border station Hunchun (China) at the Kamishovaya/Hunchun Russian-Chinese border (hereinafter referred to as the delivery point or Point of the risk of the Goods’ loss or damage transfer).

　　3.4 貨物的重量以合同條款2.2為準(zhǔn)

　　Weight of Goods determined as per clause #2.2 of the Contract

　　4.貨物的價(jià)格和費(fèi)用 The Price and Cost of the Goods.

　　在目的地交貨條款中(跨境站在 邊境) ,適用于 年貨物噸數(shù)的價(jià)格將定為USD 每公噸，基于低熱值為 Kcal/Kg接收時(shí)加權(quán)平均質(zhì)量且每月基本規(guī)模按比例分配。

　　The price as applicable to the Goods of December 2014 Tonnage shall be USD 55.00 (Fifty Five and 00/100Cents) per metric ton on the terms of DAP cross-border station Hunchun (China) at the Russian-Chinese border on the basis of Net Calorific Value 5400-5700 kcal/kg as received on weighted average quality and monthly basis scale prorate.

　　買家將確保軌道車從中國回歸俄羅斯境內(nèi)(在軌道車到達(dá) 后一天內(nèi))，如果不這么做，買家原則上同意向賣家支付每天USD /公噸的罰金。這種處罰不是在按照比例分配的基礎(chǔ)上，而是僅以一天為基礎(chǔ)。

　　The buyer shall ensure the return of Russian railcars from the territory of Republic of China to the territory of Russian Federation within 1 (one) calendar day from the day of transfer of the railcars to China’s territory, if fail to do so, Buyer agrees in principle to pay to the Seller a penalty at the rate of USD 0.75/metric ton/per day. This penalty shall be not be bared on a prorata basis, but instead on a full day basis only.

　　5.支付條款Terms of payment.

　　5.1 交付在附錄№ 貨物支付如下所示

　　The payment for the Goods, deliverable under the Appendix №30, to be effected as follows:

　　買家將預(yù)付 年 月貨物100%的貨款，通過電匯匯款給賣家指定的賬戶：

　　The Buyer shall prepay 100% of value of Goods of the December 2014 Tonnage by means Telegraphic Transfer remittance to account nominated by Seller as per the following order:

　　派遣日第一天算起提前5天，賣家將為買家提供一張 年 月貨物100%預(yù)付貨款的發(fā)票。

　　5 calendar days before 1st day of dispatch Seller shall issue a prepayment invoice to Buyer for 100% of value of Goods of November 2014 Tonnage.

　　買家將憑發(fā)票于派遣日第一天算起提前3天支付。

　　Buyer shall pay against invoice latest by 3 calendar days before 1st day of dispatch.

　　在賣家沒有完成部分或全部發(fā)放煤炭的義務(wù)的情況下，是由于俄羅斯出口鐵路運(yùn)輸計(jì)劃未確認(rèn)，那么賣家有責(zé)任在收到買家要求的五個工作日后，將沒有運(yùn)輸?shù)呢浳锏念A(yù)付金還給賣家。

　　In case the Seller did not fulfill partly or fully its obligations to deliver coal, due to non-confirmation of the export carriage plan of railway transportation by Russian, then the Seller is obliged to return to Buyer prepayment amount for non-delivered Goods within 5 working days after receipt of relevant Buyers request.

　　在運(yùn)輸月末賣家將提供以下文檔給買家

　　質(zhì)量證書，由SGS依據(jù)始發(fā)站的抽樣出具

　　重量證書，由SGS依據(jù)托運(yùn)說明中的數(shù)據(jù)出具

　　結(jié)算發(fā)票或欠款單據(jù)

　　發(fā)貨車廂明細(xì)(excel表格)

　　原產(chǎn)地證書

　　Seller shall provide following Documents to Buyer after the end of the month of delivery:

　　Certificate of quality, issued by SGS basis on sampling performed at departure station

　　Certificate of weight, issued by SGS basis on data from consignment notes

　　Balance Invoices or credit notes

　　List of delivered railcars (in excel form)

　　Certificate of origin

　　6.價(jià)格調(diào)整Price adjustment

　　6.1商品最終價(jià)格應(yīng)按照如下方式確定：

　　Final price of the Goods shall be determined subject to the following:

　　6.1.1如果以低熱值作為收到每列已派遣火車裝載貨物的依據(jù)，在目前的附件中是高于或低于5400千卡/千克.那么沒有質(zhì)量調(diào)整

　　In case weighted average calorific value on as received basis of each batch of the goods the Goods dispatched under the present Appendix is above or equal to 5400 kcal/kg, then there shall be no quality adjustment.

　　6.1.2 如果，然而收到每列火車裝載貨物的低熱值將依據(jù)附件№xx低于6000kcal/kg，那么將按照以下公式進(jìn)行雙倍懲罰

　　If, however, the weighted average Net Calorific Value on As Received Basis of each batch of the goodsthe Goods dispatched under the present Appendix № 30 shall be below 5400 kcal/kg then a double penalty shall apply as per the following formula and the price shall be adjusted as follows: Padj = P ((6000 – (6000 – fact) × 2) / 6000kcal/kg)

　　7.其他Miscellaneous.

　　附件№xx是合同中的一個組成部分， 年 月 日生效，雙方簽署日期即生效，直到當(dāng)事人履行合同及附件№ 的義務(wù)。

　　The Appendix №30 is an integral part of the Contract and comes into force from 21 November 2014, regardless the moment of its signing by both Parties will be valid till the fulfillment by the Parties of the obligations under the Contract and Appendix №30.

　　所有其他條款，在附件№xx中未規(guī)定，應(yīng)按合同中規(guī)定的內(nèi)容。在和合同與附件№xx中規(guī)定有任何不一致的情況下，以附件№ 為準(zhǔn)。

　　All other terms, not stipulated by the Appendix №30 shall correspond to the provisions of the Contract. In case of any discrepancies between the provisions of the Appendix №30 and the Contract, the terms of the Appendix №30 shall prevail.

　　附件是在雙方平等下簽訂，每方一份。

　　The Appendix №30 is made in two equal counterparties, one original for each Party.
