　　5.2 The several documents forming the Contract are to be taken as mutually explanatory of one another, but in case of ambiguities or discrepancies the same shall be explained and adjusted by the Owner’s Representative who shall thereupon issue to the Contractor instructions thereon and in such event, unless otherwise provided in the Contract, the priority of the documents forming the Contract shall be as follows:

　　6.1 Four copies of the Drawings shall be provided to the Contractor free of charge. The Contractor shall make at his own cost any further copies required by him. Unless it is strictly necessary for the purposes of the Contract, the Drawings, Specification and other documents provided by the Owner shall not, without the consent of the Owner’s Representative, be used or communicated to a third party by the Contractor. Upon issue of the Acceptance Certificate, the Contractor shall return to the Owner’s Representative all Drawings, Specification and other documents provided under the Contract.

　　應(yīng) 免 費 提 供 給 承 包 商 四 套 圖 紙。 承 包 商 需 要 更 多 復(fù) 制 件 時， 其 費 用 自 行 負 擔(dān)。 除 非 為 執(zhí) 行 合 同 絕 對 需 要， 承 包 商 在 未 經(jīng) 業(yè) 主 代 表 同 意 的 情 況 下， 不 得 將 業(yè) 主 提 供 的 圖 紙， 規(guī) 范 和 其 他 文 件 用 于 第 三 方 或透露給 第 三 方。 在 頒 發(fā) 驗 收 證 書 時， 承 包 商 應(yīng) 將 根 據(jù) 合 同 提 供 的 全 部 圖 紙， 規(guī) 范 和 其 它 文 件 退 還 給業(yè)主代表。

　　One Copy of Drawings to be Kept on Site現(xiàn) 場 要 保 留 的 一 套 圖 紙

　　6.2 One copy of the Drawings, shall be kept by the Contractor on the Site and the same shall at all reasonable times be available for inspection and use by the Owner’s Representative.

　　一 套 圖 紙 應(yīng) 由 承 包 商 保 留 在 現(xiàn) 場， 該 套 圖 紙 應(yīng) 可 隨 時 提 供 給 業(yè) 主 代 表 檢 查 和 使 用。

　　Supplementary Drawings and Instructions補 充 圖 紙 和 指 示

　　7.1 The Owner’s Representative shall have authority to issue to the Contractor, from time to time, such supplementary Drawings and instructions as shall be necessary for the purpose of the proper and adequate execution and completion of the Works and the remedying of any defects therein. The Contractor shall carry out and be bound by the same.

　　為 使 工 程 合 理 而 正 確 地 施 工 和 竣 工， 以 及 為 修 補 其 中 的 任 何 缺 陷， 業(yè) 主 代 表 應(yīng) 有 權(quán) 不 時 向 承 包 商 發(fā) 出 此 類 補 充 圖 紙 和 指 示。 承 包 商 應(yīng) 貫 徹 執(zhí) 行 并 受 其 約 束。

　　Permanent Works Designed by Contractor由 承 包 商 設(shè) 計 的 永 久 工 程

　　7.2 Where the Contract expressly provides that part of the Permanent Works shall be designed by the Contractor, he shall submit to the Owner’s Representative, for approval:

　　Such drawings, specifications, calculations and other information as shall be necessary to satisfy the Owner’s Representative as to the suitability and adequacy of that design, and

　　為 使 業(yè) 主 代 表 對 該 項 設(shè) 計 的 適 用 性 和 完 備 性 感 到 滿 意 所 必 需 的 圖 紙， 規(guī) 范， 計 算 結(jié) 果 以 及 其 它 資 料， 以 及

　　Operation and maintenance manuals together with drawings of the Permanent Works as completed , in sufficient detail to enable the Owner to operate, maintain, dismantle, reassemble and adjust the Permanent Works incorporating that design. The Works shall not be considered to be completed until such operation and maintenance manuals, together with drawings on completion, have been submitted to and approved by the Owner’s Representative.

　　Responsibility Unaffected by Approval批 準(zhǔn) 不 影 響 責(zé) 任

　　7.3 Approval by the Owner’s Representative, in accordance with Sub-Clause 7.2, shall not relieve the Contractor of any of his responsibilities under the Contract.

　　8.1 The Contractor shall, with due care and diligence, complete the Works and remedy any defects therein in accordance with the provisions of the Contract. The Contractor shall provide all superintendence, labor, materials, Plant, Contractor's Equipment and all other things, whether of a temporary or permanent nature, required in and for such completion and remedying of any defects, so far as the necessity for providing the same is specified in or is reasonably to be inferred from the Contract.

　　承 包 商 應(yīng) 按 照 合 同 的 各 項 規(guī) 定， 以 應(yīng) 有 的 精 心 和 努 力 完 成 該 項 工 程， 并 修 補 其 任 何 缺 陷。 承 包 商 應(yīng) 為 該 工 程 的 竣 工 以 及 為 修 補 其 任 何 缺 陷 而 提 供 所 需 的 不 管 是 臨 時 還 是 永 久 性 的 全 部 的 工 程 監(jiān) 督， 勞 務(wù)， 材 料， 工 程 設(shè) 備 以 及 其 它 物 品， 只 要 提 供 上 述 物 品 的 必 要 性 在 合 同 內(nèi) 已 有 規(guī) 定 或 可 以 從 合 同 中 合 理 地 推 論 得 出。

　　The Contractor shall give prompt notice to the Owner’s Representative, of any error, omission, fault or other defect in the design of or Specification for the Works which he discovers when reviewing the Contract or executing the Works.

　　承 包 商 在 檢 查 合 同 或 施 工 過 程 中 發(fā) 現(xiàn) 任 何 設(shè) 計 或 工 程 規(guī) 范 中 的 錯 誤、 缺 省 或 其 他 問 題 時 應(yīng) 立 即 給 予 業(yè) 主 代 表 通 知。

　　Site Operations and Methods of Construction現(xiàn) 場 作 業(yè) 和 施 工 方 法

　　8.2 The Contractor shall take full responsibility for the adequacy, stability and safety of all Site operations and methods of construction. Where the Contract expressly provides that part of the Permanent Works shall be designed by the Contractor, he shall be fully responsible for that part of such Works, notwithstanding any approval by the Owner’s Representative.

　　承 包 商 應(yīng) 對 所 有 現(xiàn) 場 作 業(yè) 和 施 工 方 法 的 完 備， 穩(wěn) 定 和 安 全 負 全 部 責(zé) 任。凡 是 合 同 中 明 確 規(guī) 定 由 承 包 商 設(shè) 計 的 部 分 永 久 工 程，盡 管 有 業(yè) 主 代 表 的 任 何 批 準(zhǔn)， 承 包 商 應(yīng) 對 該 部 分 工 程 負 全 部 責(zé) 任。

　　Performance Security履 約 擔(dān) 保

　　9.1 Within 21 days of the date of the Agreement, the Contractor shall obtain and provide to the Owner, security for his proper performance of the Contract. This security shall be in the sum of 10% of the Contract Price and shall be in the form indicated in Attachment 3 to these Conditions or in such other form as may be agreed between the Owner and the Contractor. The institution providing such security shall be subject to the approval of the Owner. The cost of complying with the requirements of this Clause shall be borne by the Contractor.

　　9.2 The performance security shall remain valid until successful completion of the Defects Liability Period.

　　Claims under Performance Security根 據(jù) 履 約 擔(dān) 保 的 索 賠

　　9.3 Prior to making a claim under the performance security the Owner shall, in every case, notify the Contractor stating the nature of the default in respect of which the claim is to be made.

　　在 任 何 情 況 下， 業(yè) 主 在 按 照 履 約 擔(dān) 保 提 出 索 賠 之 前， 皆 應(yīng) 通 知 承 包 商， 說 明 導(dǎo) 致 索 賠 的 違 約 性 質(zhì)。

　　Sufficiency of Tender投 標(biāo) 書 的 完 整 性

　　10 The Contractor shall be deemed to have satisfied himself as to the correctness and sufficiency of the Tender which shall cover all his obligations under the Contract and all matters and things necessary for the proper execution and completion of the Works and the remedying of any defects therein.

　　應(yīng) 當(dāng) 認 為 承 包 商 對 自 己 的 投 標(biāo) 書 的 正 確 性 與 完 備 性 是 滿 意 的， 所 有 這 些 應(yīng) 包 括 了 他 根 據(jù) 退 還 應(yīng) 當(dāng) 承 擔(dān) 的 全 部 義 務(wù) 以 及 該 工 程 的 正 確 實 施， 竣 工 和 修 補 其 任 何 缺 陷 所 必 需 的 全 部 有 關(guān) 事 宜。

　　Work to be in Accordance with Contract遵 照 合 同 工 作

　　11 Unless it is legally or physically impossible, the Contractor shall execute and complete the Works and remedy any defects therein in strict accordance with the Contract to the satisfaction of the Owner’s Representative. The Contractor shall comply with and adhere strictly to the Owner’s Representative's instructions on any matter, whether mentioned in the Contract or not, touching or connecting the Works. The Contractor shall take instructions only from the Owner’s Representative.

　　除 法 律 上 或 實 際 上 不 可 能 做 到 者 外， 承 包 商 應(yīng) 嚴 格 按 照 合 同 進 行 工 程 施 工 和 竣 工， 并 修 補 其 任 何 缺 陷， 以 達 到 業(yè) 主 代 表 滿 意 的 程 度。 在 涉 及 或 關(guān) 系 到 該 項 工 程 的 任 何 事 項 上， 無 論 這 些 事 項 在 合 同 中 寫 明 與 否， 承 包 商 都 要 嚴 格 遵 守 與 執(zhí) 行 業(yè) 主 代 表 的 指 示。 承 包 商 應(yīng) 當(dāng) 只 從 業(yè) 主 代 表 處 取 得 指 示。

　　Programme to be Submitted應(yīng) 提 交 的 進 度 計 劃

　　12.1 The Contractor shall, within 14 days of the date of the Agreement, submit to the Owner’s Representative for his consent a programme, in such form and detail as the Owner’s Representative shall reasonably prescribe, for the execution of the Works. The Contractor shall, whenever required by the Owner’s Representative, also provide in writing for his information a general description of the arrangements and methods, which the Contractor proposes to adopt for the execution of the Works.

　　承 包 商 應(yīng) 于 協(xié) 議 簽 訂 日 的 14 日 內(nèi)，以 業(yè) 主 代 表 規(guī) 定 的 適 當(dāng) 格 式 和 詳 細 程 度，向 業(yè) 主 代 表 遞 交 一 份 工 程 進 度 計 劃， 以 取 得 業(yè) 主 代 表 的 同 意。 無 論 業(yè) 主 代 表 何 時 需 要， 承 包 商 還 應(yīng) 以 書 面 形 式 提 交 一 份 對 其 進 行 工 程 施 工 所 擬 采 用 的 安 排 和 方 法 的 總 說 明， 以 供 參 考。

　　Revised Programme修 訂 的 進 度 計 劃

　　12.2 If at any time it should appear to the Owner’s Representative that the actual progress of the Works does not conform to the programme to which consent has been given under Sub-Clause 12.1, the Contractor shall produce, at the request of the Owner’s Representative, a revised programme showing the modifications to such programme necessary to ensure completion of the Works within the Time for Completion.

　　無 論 何 時，如 果 在 業(yè) 主 代 表 看 來 工 程 的 實 際 進 度 不 符 合 第12.1 款 中 已 經(jīng) 同 意 的 進 度 計 劃， 承包商應(yīng)依業(yè)主代表的要求提供一份經(jīng)修改的進度表，表 明 為 保 證 工 程 按 期 竣 工 而 對 原 進 度 計 劃 所 作 的 修 改。

　　Contractor not Relieved of Duties or Responsibilities

　　不 解 除 承 包 商 的 義 務(wù) 或 責(zé) 任

　　12.3 The submission to and consent by the Owner’s Representative of such programmes or the provision of such general descriptions shall not relieve the Contractor of any of his duties or responsibilities under the Contract.

　　向 業(yè) 主 代 表 提 交 并 經(jīng) 其 同 意 的 上 述 進 度 計 劃 或 提 供 的 上 述 一 般 說 明，并 不 解 除 合 同 規(guī) 定 的 承 包 商 的 任 何 義 務(wù) 或 責(zé) 任。

　　Contractor's Superintendent承 包 商 的 監(jiān) 督

　　13 The Contractor shall provide all necessary superintendence during the execution of the Works and as long thereafter as the Owner’s Representative may consider necessary for the proper fulfilling of the Contractor's obligations under the Contract. The Contractor shall appoint an authorized representative approved of by the Owner’s Representative, which approval may at any time be withdrawn, to give his whole time to the superintendence of the Works. Such authorized representative shall receive, on behalf of the Contractor, instructions from the Owner’s Representative.

　　只 要 業(yè) 主 代 表 認 為 是 為 正 確 履 行 合 同 規(guī) 定 的 承 包 商 義 務(wù) 所 必 需 時， 承 包 商 應(yīng) 在 工 程 的 施 工 期 間 及 其 后 提 供 一 切 必 要 的 監(jiān) 督。 承 包 商 應(yīng) 指 定 一 位 授 權(quán) 的 代 表 并 需 經(jīng) 業(yè) 主 代 表 批 準(zhǔn)， 該 代 表 需 用 其 全 部 時 間 對 該 工 程 進 行 監(jiān) 督。 上 述 批 準(zhǔn) 可 由 業(yè) 主 代 表 隨 時 撤 回。 該 授 權(quán) 代 表 應(yīng) 代 表 承 包 商 接 受 業(yè) 主 代 表 的 指 示。

　　If approval of the representative is withdrawn by the Owner’s Representative, the Contractor shall, as soon as is practicable, having regard to the requirement of replacing him as hereinafter mentioned, after receiving notice of such withdrawal, remove the representative from the Works and shall not thereafter employ him again on the Works in any capacity and shall replace him by another representative approved by the Owner’s Representative.

　　Contractor's Employees承 包 商 的 雇 員

　　14 The Contractor shall provide on the Site in connection with the execution and completion of the Works and the remedying of any defects therein:

　　承 包 商 應(yīng) 向 現(xiàn) 場 提 供 與 工 程 施 工 和 竣 工 以 及 修 補 其 任 何 缺 陷 有 關(guān) 的 下 述 人 員：

　　Only such technical assistants as are skilled and experienced in their respective callings and such foreman and leading hands as are competent to give proper superintendence of the Works, and

　　熟 悉 他 們 各 自 行 業(yè) 的， 有 經(jīng) 驗 的 技 術(shù) 助 理 及 有 能 力 對 工 程 進 行 正 確 監(jiān) 督 的 工 長 和 領(lǐng) 班， 以 及

　　Such skilled, semi-skilled and unskilled labor as is necessary for the proper and timely fulfilling of the Contractor's obligations under the Contract.

　　為 使 承 包 商 恰 當(dāng) 并 按 期 履 行 合 同 義 務(wù) 所 需 要 的 此 類 熟 練 的， 半 熟 練 的 技 工 和 普 工。

　　Owner’s Representative at Liberty to Object 業(yè) 主 代 表 有 權(quán) 反 對

　　15 The Owner’s Representative shall be at liberty to object to and require the Contractor to remove forthwith from the Works any person provided by the Contractor who, in the opinion of the Owner’s Representative, misconducts himself, or is incompetent or negligent in the proper performance of his duties, or whose presence on Site is otherwise considered by the Owner’s Representative to be undesirable, and such person shall not be again allowed upon the Works without the consent of the Owner’s Representative. Any person so removed from the Works shall be replaced as soon as possible.

　　Safety, Security and Protection of the Environment安 全， 保 衛(wèi) 和 環(huán) 境 保 護16 The Contractor shall, throughout the execution and completion of the Works and the remedying of any defects therein:

　　在 工 程 施 工， 竣 工 及 修 補 其 任 何 缺 陷 的 整 個 過 程 中， 承 包 商 應(yīng) 當(dāng)：

　　Have full regard for the safety of all persons entitled to be upon the Site and keep the Site (so far as the same is under his control) and the Works (so far as the same are not completed or occupied by the Owner) in an orderly state appropriate to the avoidance of danger to such persons.

　　高 度 重 視 所 有 授 權(quán) 駐 在 現(xiàn) 場 的 人 員 的 安 全， 并 保 持 現(xiàn) 場( 在 其 管 理 的 整 個 范 圍 內(nèi)) 和 過 程( 包 括 所 有 尚 未 竣 工 的 和 尚 未 由 業(yè) 主 占 用 的 工 程) 的 井 然 有 序， 以 免 發(fā) 生 人 身 事 故;

　　Provide and maintain at his own cost all lights, guards, fencing, warning signs and watching, when and where necessary or required by the Owner’s Representative or by any duly constituted authority, for the protection of the Works or for the safety and convenience of the public or others, and

　　為 了 保 護 工 程， 或 為 了 公 眾 的 安 全 和 方 便， 或 為 了 其 它 原 因， 在 確 有 必 要 的 時 間 和 地 點， 或 在 業(yè) 主 代 表 或 任 何 有 關(guān) 當(dāng) 局 提 出 要 求 時， 自 費 提 供 并 保 持 一 切 照 明， 防 護， 圍 欄， 警 告 信 號 和 看 守; 以 及

　　Take all reasonable steps to protect the environment on and off the Site and to avoid damage or nuisance to persons or to property of the public or others resulting from pollution, noise or other causes arising as a consequence of his methods of operation.

　　采 取 一 切 合 理 的 步 驟， 以 保 護 現(xiàn) 場 及 其 附 近 的 環(huán) 境， 并 避 免 由 其 施 工 方 法 引 起 的 污 染， 噪 聲 或 其 它 后 果 對 公 眾 造 成 人 身 或 財 物 方 面 的 傷 害 或 妨 礙。

　　Care of Works工 程 的 照 管

　　17.1 The Contractor shall take full responsibility for the care of the Works and materials and Plant for incorporation therein from the Commencement Date until the date of issue of the Acceptance Certificate for the Whole of the Works, when the responsibility for the said care shall pass to the Owner.

　　從 工 程 開 工 日 期 起 直 到 頒 發(fā) 整 個 工 程 的 驗 收 證 書 的 日 期 止， 承 包 商 應(yīng) 對 工 程 以 及 材 料 和 待 安 裝 的 工 程 設(shè) 備 等 的 照 管 負 完 全 責(zé) 任。 照 管 工 程 的 責(zé) 任 應(yīng) 隨 接 收 證 書 一 起 移 交 給 業(yè) 主。

　　Responsibility to Rectify Loss or Damage彌 補 損 失 或 損 壞 的 責(zé) 任

　　17.2 If any loss or damage happens to the Works, or any part thereof, or materials or Plant for incorporation therein, during the period for which the Contractor is responsible for the care thereof, from any cause whatsoever, other than the risks defined in Sub-Clause 17.3, the Contractor shall, at his own cost, rectify such loss or damage so that the Permanent Works conform in every respect with the provisions of the Contract to the satisfaction of the Owner’s Representative. The Contractor shall also be liable for any loss or damage to the Works occasioned by him in the course of any operations carried out by him for the purposes of complying with his obligations under Clause 44 and 45.

　　在 承 包 商 負 責(zé) 照 管 期 間， 如 果 工 程 或 其 任 何 部 分 或 待 用 的 材 料 或 設(shè) 備 出 現(xiàn) 任 何 損 失 或 損 壞， 除 第17.3 款 限 定 的 風(fēng) 險 情 況 外， 不 論 出 于 什 么 原 因， 承 包 商 均 應(yīng) 自 費 彌 補 此 類 損 失 或 損 壞， 以 使 永 久 工 程 在 各 方 面 符 合 合 同 的 規(guī) 定， 達 到 業(yè) 主 代 表 滿 意 的 程 度。 按 照 第44 條 和 第45 條 對 承 包 商 責(zé) 任 的 規(guī) 定， 承 包 商 亦 應(yīng) 對 他 在 進 行 作 業(yè) 過 程 中 造 成 的 對 工 程 的 任 何 損 失 或 損 壞 承 擔(dān) 責(zé) 任。

　　Owner's Risks業(yè) 主 的 風(fēng) 險

　　17.3 The Owner's risks are:業(yè) 主 的 風(fēng) 險 是 指：

　　(a) War, hostilities (whether war be declared or not), invasion, act of foreign enemies,

　　戰(zhàn) 爭、 敵 對 行 動( 不 論 宣 戰(zhàn) 與 否)、 入 侵、 外 敵 行 動;

　　(b) Rebellion, revolution, insurrection, or military or usurped power, or civil war,

　　叛 亂、 革 命、 暴 動， 或 軍 事 政 變 或 篡 奪 政 權(quán)， 或 內(nèi) 戰(zhàn);

　　(c) Ionizing radiations, or contamination by radio-activity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radio-active toxic explosive or other hazardous properties of any explosive nuclear assembly or nuclear component thereof,

　　由 于 任 何 核 燃 料 或 核 燃 料 燃 燒 后 的 核 廢 物、 放 射 性 毒 氣 爆 炸， 或 任 何 爆 炸 性 核 裝 置 或 成 分 的 其 他 危 險 性 能 所 引 起 的 離 子 輻 射 或 放 射 性 污 染;

　　(d) Pressure waves caused by aircraft or other aerial devices traveling at sonic or supersonic speeds,

　　以 音 速 或 超 音 速 飛 行 的 飛 機 或 其 他 飛 行 裝 置 產(chǎn) 生 的 壓 力 波;

　　(e) Riot, commotion or disorder, unless solely restricted to employees of the Contractor or of his Subcontractors and arising from the conduct of the Works,

　　暴 亂、 騷 亂 或 混 亂， 但 對 于 完 全 局 限 在 承 包 商 或 其 分 包 商 雇 傭 人 員 中 間 且 是 由 于 從 事 本 工 程 而 引 起 的 此 類 事 件 除 外;

　　(f) Loss or damage due to the use or occupation by the Owner of any Section or part of the Permanent Works, except as may be provided for in the Contract,

　　由 于 業(yè) 主 使 用 或 占 用 合 同 規(guī) 定 提 供 給 他 的 以 外 的 任 何 永 久 工 程 的 區(qū) 段 或 部 分 而 造 成 的 損 失 或 損 害;

　　(g) Loss or damage to the extent that it is due to the design of the Works, other than any part of the design provided by the Contractor or for which the Contractor is responsible, and

　　應(yīng) 工 程 設(shè) 計 不 當(dāng) 而 造 成 的 損 失 或 損 壞， 而 這 類 設(shè) 計 又 不 是 由 承 包 商 提 供由 承 包 商 負 責(zé) 的;

　　(h) Any operation of the forces of nature against which an experienced contractor could not reasonably have been expected to take precautions.

　　一 個 有 經(jīng) 驗 的 承 包 商 通 常 無 法 預(yù) 測 和 防 范 的 任 何 自 然 力 的 作 用。

　　Insurance of Works and Contractor's Equipment工 程 和 承 包 商 設(shè) 備 的 保 險

　　18 The Contractor shall, without limiting his or the Owner's obligations and responsibilities under Clause 17, insure the Contractor's Equipment and other things brought onto the Site by the Contractor, for a sum sufficient to provide for their replacement at the Site.

　　在 不 限 制 第17 條 中 規(guī) 定 的 承 包 商 和 業(yè) 主 的 義 務(wù) 和 責(zé) 任 的 條 件 下， 承 包 商 應(yīng) 投 保 其 運 至 現(xiàn) 場 的 承 包 商 的 設(shè) 備 和 其 他 物 品， 以 得 到 一 筆 足 夠 在 現(xiàn) 場 能 重 置 這 些 設(shè) 備 和 物 品 的 金 額。

　　Damage to Persons and Property人 身 或 財 產(chǎn) 的 損 害

　　19 The Contractor shall, indemnify the Owner against all losses and claims in respect of:

　　承 包 商 應(yīng) 保 障 業(yè) 主 免 于 承 受 以 下 有 關(guān) 的 任 何 損 失 或 索 賠：

　　Death of or injury to any person, or任 何 人 員 的 死 亡 或 受 傷; 或 者

　　Loss of or damage to any property (other than the Works),

　　任 何 財 產(chǎn) 的 損 失 或 損 害( 除 工 程 之 外)。

　　Which may arise out of or in consequence of the execution and completion of the Works and the remedying of any defects therein, and against all claims, proceedings, damages, costs, charges and expenses whatsoever in respect thereof or in relation thereto.

　　上 述 人 員 傷 亡 或 財 產(chǎn) 損 失 可 來 自 于 工 程 執(zhí) 行 及 竣 工 過 程 當(dāng) 中， 以 及 來 自 于 與 工 程 相 關(guān) 的 任 何 修 補 過 程 中， 包 括 所 有 的 索 賠、 訴 訟 程 序、 損 壞、 成 本 及 任 何 與 此 相 關(guān) 的 費 用。

　　Third Party Insurance第 三 方 保 險

　　20.1 The Contractor shall, without limiting his obligations and responsibilities under Clause 19, insure, in the joint names of the Contractor and the Owner, against liabilities for death of or injury to any person or loss of or damage to any property (other than the Works) arising out of the performance of the Contract.

　　在 不 限 制 第19 條 規(guī) 定 的 承 包 商 義 務(wù) 和 責(zé) 任 的 條 件 下， 承 包 商 應(yīng) 以 承 包 商 和 業(yè) 主 的 聯(lián) 合 名 義， 對 由 于 履 行 合 同 引 起 的 任 何 人 員 的 死 亡 或 任 何( 工 程 以 外) 財 產(chǎn) 的 損 失 或 損 害 進 行 責(zé) 任 保 險，

　　Minimum Amount of Insurance保 險 的 最 低 數(shù) 額

　　20.2 Such insurance shall be for at least the amount of Rmb 1,000,000 per occurrence with unlimited occurrences.

　　此 保 險 金 額 每 次 至 少 應(yīng) 為 人 民 幣1,000,000 元， 且 保 險 次 數(shù) 不 限。

　　Cross Liabilities

　　交 叉 責(zé) 任 20.3 The insurance policy shall include a cross liability clause such that the insurance shall apply to the Contractor and to the Owner as separate insured.

　　保 險 單 中 應(yīng) 包 括 一 條 交 叉 責(zé) 任 條 款， 使 該 保 險 對 分 別 保 險 的 承 包 商 和 業(yè) 主 均 適 用。

　　Accident or Injury to Workmen人 員 的 事 故 或 受 傷

　　21.1 The Owner shall not be liable for or in respect of any damages or compensation payable to any workman or other person in the employment of the Contractor or any Subcontractor. The Contractor shall indemnify and keep indemnified the Owner against all such damages and compensation, and against all claims, proceedings, damages, costs, charges, and expenses whatsoever in respect thereof or in relation thereto.

　　業(yè) 主 對 承 包 商 或 任 何 分 包 商 雇 傭 的 任 何 工 人 或 其 他 人 員 的 任 何 損 害 賠 償 或 補 償 支 付 不 承 擔(dān) 責(zé) 任。 承 包 商 應(yīng) 保 障 并 持 續(xù) 保 障 業(yè) 主 不 承 擔(dān) 一 切 損 害 賠 償 和 補 償， 以 及 與 此 有 關(guān) 的 一 切 索 賠、 訴 訟、 損 害 賠 償 費、 訴 訟 費、 指 控 費 及 其 他 開 支。

　　Insurance Against Accident to Workmen人 員 的 事 故 保 險

　　21.2 The Contractor shall insure against such liability and shall continue such insurance during the whole of the time that any persons are employed by him on the Works.

　　承 包 商 應(yīng) 對 他 為 此 工 程 雇 傭 的 任 何 人 員 進 行 此 種 責(zé) 任 保 險， 并 應(yīng) 在 全 部 雇 傭 期 間 內(nèi) 持 續(xù) 上 述 保 險。

　　Evidence and Terms of Insurances保 險 證 據(jù) 和 條 款

　　22.1 The Contractor shall provide evidence to the Owner prior to the start of work at the Site that the insurances required under the Contract have been effected. The Contractor shall effect all insurances for which he is responsible with insurers and terms approved by the Owner.

　　承 包 商 應(yīng) 在 現(xiàn) 場 工 作 開 始 之 前 向 業(yè) 主 提 供 證 據(jù)， 說 明 按 照 合 同 要 求 投 保 的 保 險 已 經(jīng) 生 效。承 包 商 應(yīng) 根 據(jù) 業(yè) 主 批 準(zhǔn) 的 條 件， 在 承 包 人 處 投 保 其 負 責(zé) 的 所 有 保 險 項 目。

　　Remedy on Contractor's Failure to Insure對 承 包 商 未 辦 保 險 的 補 救 辦 法22.2 If the Contractor fails to effect and keep in force any of the insurances required under the Contract, then and in any such case the Owner may effect and keep in force any such insurances and pay any premium as may be necessary for that purpose and from time to time deduct the amount so paid from any monies due or to become due to the Contractor, or recover the same as a debt due from the Contractor.

　　如 果 承 包 商 未 曾 按 合 同 要 求 進 行 任 何 投 保 并 保 持 其 有 效，則 在 任 何 此 種 情 況 下， 業(yè) 主 均 可 以 進 行 任 何 此 等 保 險 并 保 持 其 有 效， 支 付 為 此 目 的 的 可 能 需 要 的 任 何 保 險 費， 并 可 隨 時 從 任 何 應(yīng) 付 的 或 將 付 給 承 包 商 得 的 款 項 中 扣 除 上 述 支 付 的 費 用， 或 視 為 到 期 債 款 向 承 包 商 收 回 上 述 費 用。

　　Compliance with Policy Conditions遵 守 保 險 單 的 條 件

　　23 In the event that the Contractor or the Owner fails to comply with conditions imposed by the insurance policies effected pursuant to the Contract, each shall indemnify the other against all losses and claims arising from such failure.

　　如 果 承 包 商 或 業(yè) 主 未 能 遵 守 根 據(jù) 合 同 生 效 的 保 險 單 規(guī) 定 的 條 件， 責(zé) 任 方 應(yīng) 保 障 另 一 方 免 受 此 類 失 誤 而 造 成 的 一 切 損 失 和 索 賠。

　　Compliance with Statutes, Regulations遵 守 法 令、 規(guī) 章

　　24 The Contractor shall conform in all respects, including by the giving of all notices and the paying of all fees, with the provisions of:

　　承 包 商 應(yīng) 在 一 切 方 面， 包 括 發(fā) 出 所 有 的 通 知 和 交 納 所 有 的 費 用， 均 應(yīng) 遵 守 下 列 規(guī) 定：

　　Any National or State Statute, Ordinance, or other Law, or any regulation, or bye-law of any local or other duly constituted authority in relation to the execution and completion of the Works and the remedying of any defects therein, and

　　與 該 工 程 的 施 工、 竣 工 以 及 修 補 其 任 何 缺 陷 有 關(guān) 的 任 何 國 家 的 或 州 的 法 規(guī)、 法 令 或 其 它 法 律 條 例， 或 任 何 地 方 或 其 它 正 式 合 法 當(dāng) 局 的 實 施 細 則; 以 及

　　The rules and regulations of all public bodies and companies whose property or rights are affected or may be affected in any way by the Works,

　　其 財 產(chǎn) 或 權(quán) 利 受 到 或 可 能 受 到 該 工 程 以 任 何 方 式 影 響 的 公 共 團 體 和 公 司 的 規(guī) 章 制 度。

　　And the Contractor shall keep the Owner indemnified against all penalties and liability of every kind for breach of any such provisions.

　　承 包 商 應(yīng) 保 證 業(yè) 主 免 于 承 擔(dān) 由 于 違 反 上 述 任 何 此 類 規(guī) 定 的 任 何 罰 款 和 責(zé) 任。

　　Patent Rights專 利 權(quán)

　　25 The Contractor shall save harmless and indemnify the Owner from and against all claims and proceedings for or on account of infringement of any patent rights, design trademark or name or other protected rights in respect of any Contractor's Equipment, materials or Plant used for or in connection with or for incorporation in the Works and from and against all damages, costs, charges and expenses whatsoever in respect hereof or in relation thereto.

　　承 包 商 應(yīng) 保 護 和 保 障 業(yè) 主 免 于 承 擔(dān) 由 于 工 程 所 用 的 或 與 工 程 有 關(guān) 的 或 供 工 程 使 用 的 任 何 承 包 商 的 設(shè) 備、 材 料 或 工 程 設(shè) 備 方 面 侵 犯 任 何 專 利 權(quán)、 設(shè) 計 商 標(biāo) 或 名 稱 或 其 它 受 保 護 的 權(quán) 利 而 引 起 的 一 切 索 賠 和 訴 訟， 并 應(yīng) 保 護 和 保 障 業(yè) 主 免 于 承 擔(dān) 由 此 導(dǎo) 致 或 與 此 有 關(guān) 的 一 切 損 害 賠 償 費、 訴 訟 費、 指 控 費 和 其 它 費 用，

　　Interference with Traffic and Adjoining Properties

　　26 All operations necessary for the execution and completion of the Works and the remedying of any defects therein shall, so far as compliance with the requirements of the Contract permits, be carried on so as not to interfere unnecessarily or improperly with:

　　在 符 合 合 同 要 求 所 許 可 的 范 圍 內(nèi)， 在 進 行 工 程 的 施 工 竣 工 以 及 修 補 其 任 何 缺 陷 所 必 需 的 一 切 操 作 時， 不 應(yīng) 給 下 列 各 方 帶 來 不 必 要 和 不 適 當(dāng) 的 干 擾：

　　The convenience of the public, or 公 眾 的 便 利; 或 者

　　he access to, use and occupation of public or private roads and footings to or of properties whether in the possession of the Owner or of any other person.

　　公 用 道 路 或 私 人 道 路， 以 及 通 往 或 屬 于 業(yè) 主 或 任 何 他 人 所 有 財 產(chǎn) 的 人 行 道 的 進 入、 使 用 或 占 用。

　　The Contractor shall save harmless and indemnify the Owner in respect of all claims, proceedings, damages, costs, charges and expenses whatsoever arising out of, or in relation to, any such matters insofar as the Contractor is responsible therefore.

　　承 包 商 應(yīng) 保 護 和 保 障 業(yè) 主 免 于 承 擔(dān) 由 承 包 商 負 責(zé) 的 上 述 事 項 所 導(dǎo) 致 的 或 與 之 有 關(guān) 的 一 切 索 賠、 訴 訟、 損 害 賠 償 費、 訴 訟 費、 指 控 費 及 其 它 費 用。

　　Avoidance of Damage to Roads避 免 損 壞 道 路

　　27.1 The Contractor shall use every reasonable means to prevent any of the roads or bridges communicating with or on the routes to the Site from being damaged or injured by any traffic of the Contractor or any of his Subcontractors and, in particular, shall select routes, choose and use vehicles and restrict and distribute loads so that any such extraordinary traffic as will inevitably arise from the moving of materials, Plant, Contractor's Equipment or Temporary Works from and to the Site shall be limited, as far as reasonably possible, and so that no unnecessary damage or injury may be occasioned to such roads and bridges.

　　承 包 商 應(yīng) 采 取 一 切 合 理 的 措 施， 防 止 承 包 商 或 其 任 何 分 包 商 破 壞、 損 壞 通 往 現(xiàn) 場 的 道 路、 橋 梁 和 現(xiàn) 場 道 路。 任 何 不 可 避 免 的 運 輸 車 輛， 在 運 輸 原 材 料、 設(shè) 備、 承 包 商 設(shè) 備 或 臨 時 工 作 到 現(xiàn) 場 或 離 開 現(xiàn) 場 時， 應(yīng) 選 擇 可 能 的 路 線， 合 理 運 送 和 利 用 車 輛， 現(xiàn) 場 和 分 擔(dān) 車 輛 的 載 重， 避 免 不 必 要 的 對 道 路 和 橋 梁 的 破 壞 或 損 壞。

　　Transport of Contractor's Equipment or Temporary Works

　　承 包 商 設(shè) 備 或 臨 時 工 程 的 運 輸

　　27.2 The Contractor shall be responsible for and shall pay the cost of strengthening any bridges or altering or improving any road communicating with or on the routes to the Site to facilitate the movement of Contractor's Equipment or Temporary Works and the Contractor shall indemnify and keep indemnified the Owner against all claims for damage to any such road or bridge caused by such movement, including such claims as may be made directly against the Owner, and shall negotiate and pay all claims arising solely out of such damage.

　　為 了 便 利 承 包 商 的 設(shè) 備 或 臨 時 工 程 的 運 輸， 承 包 商 應(yīng) 負 責(zé) 對 通 往 現(xiàn) 場 或 位 于 通 往 現(xiàn) 場 路 線 上 的 任 何 橋 梁 的 加 固 或 道 路 的 改 建 或 改 善， 并 支 付 其 費 用， 并 且 承 包 商 應(yīng) 保 障 并 持 續(xù) 保 障 業(yè) 主 免 于 承 擔(dān) 由 于 此 類 運 輸 造 成 任 何 橋 梁 和 道 路 損 害 而 引 起 的 一 切 索 賠， 包 括 可 能 直 接 向 業(yè) 主 提 出 的 此 類 索 賠， 承 包 商 應(yīng) 出 面 談 判 并 支 付 純 粹 由 此 類 損 害 而 引 起 的 一 切 索 賠。

　　Opportunities for Other Contractors為 其 他 承 包 商 提 供 機 會

　　28.1 The Contractor shall, in accordance with the requirements of the Owner’s Representative, afford all reasonable opportunities for carrying out their work to:

　　根 據(jù) 業(yè) 主 代 表 的 要 求， 承 包 商 應(yīng) 為 下 述 人 員 從 事 其 工 作 提 供 一 切 合 理 的 機 會：

　　(a) Any other contractors employed by the Owner and their workmen,

　　業(yè) 主 所 雇 傭 的 任 何 其 他 承 包 商 及 其 工 人;

　　(b) The workmen of the Owner, and業(yè) 主 的 工 人; 以 及

　　(c) The workmen of any duly constituted authorities who may be employed in the execution on or near the Site of any work not included in the Contract or of any contract which the Owner may enter into in connection with or ancillary to the Works.

　　28.2 The Contractor shall, on the written request of the Owner’s Representative make available to any such other contractor, or to the Owner or any such authority, any roads or other temporary service on site.

　　承 包 商 應(yīng) 按 業(yè) 主 代 表 提 出 的 書 面 要 求 提 供 給 上 述 任 何 其 他 承 包 商 或 業(yè) 主 或 任 何 此 類 機 構(gòu) 使 用 任 何 道 路 或 現(xiàn) 場 的 其 他 臨 時 設(shè) 施。
