SALE CONTRACT OF SUBMERSIBLE MIXER

　　買方：The Buyers:

　　雙方同意按下列條款由賣方出售，買方購(gòu)進(jìn)下列貨物：

　　The Sellers agree to sell and the Buyers agree to buy the under-mentioned goods on the terms and conditions stated below:

　　1. 貨物名稱、規(guī)格、產(chǎn)地、數(shù)量、單價(jià)和金額：

　　3. 包裝:貨物應(yīng)裝在適宜長(zhǎng)途運(yùn)輸并且能適應(yīng)氣候變化、防濕、防震、防銹的紙箱(木箱)中。由于包裝不良所引起的任何損失, 或由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損, 賣方都應(yīng)承擔(dān)一切損失和相關(guān)費(fèi)用。包裝箱內(nèi)應(yīng)放置一整套操作指南。

　　Packing:To be packed in carton(s) or wooden case, Suitable for long distance transportation and to change of climate, well protected against moisture and shocks. The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing. One full set of operation instructions concerned shall be enclosed in the case(s).

　　8. 裝 運(yùn) Shipment:

　　1、賣方應(yīng)在合同規(guī)定的裝運(yùn)期內(nèi)將貨物發(fā)往目的地。

　　The Sellers shall ship the goods within the shipment time from the port of shipment to the place of destination.

　　3、在運(yùn)輸途中發(fā)生的貨物丟失或破損均由賣方或賣方指定的承運(yùn)方承擔(dān)責(zé)任。

　　The Seller or the carrier specified by the sellers shall be liable for all of the risk of damage or loss of goods during the process of transportation.

　　9. 裝運(yùn)通知: 賣方在貨物裝運(yùn)后,應(yīng)在兩天內(nèi)傳真或郵件或電話同時(shí)買方。

　　Shipping Advice: The Sellers shall within 2 days upon the completion of the loading of the goods, advise by fax or mail or telephone to the buyer.

　　10. 品質(zhì)保證Guarantee of Quality:

　　1、保證貨物系全新，未曾用過(guò)，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。

　　The Sellers shall guarantee that the goods are brand new, unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract.

　　2、賣方并保證本合同訂貨在正確安裝、正確使用的情況下，自貨物到驗(yàn)收合格之日起12個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好。

　　The seller shall guarantee that the goods run well within 12 months after receiving qualified goods based on correct installation and usage.

　　3、如發(fā)生質(zhì)量問(wèn)題，需要將損壞部件寄往賣方，賣方應(yīng)將其迅速修理并返還。

　　The buyers send the parts which are broken to the sellers. The sellers should repair it and send it back to the buyers quickly.

　　11. 檢驗(yàn)Inspection:

　　在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同規(guī)定相符的證明書。

　　The manufactures shall before making delivery, make a precise and comprehensive inspection of goods as regards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the paying bank for negotiation /collection of payment but shall not be considered as final in respect of quality, specifications, performance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.

　　12. 不可抗力: 無(wú)論在商品制造或裝運(yùn)或轉(zhuǎn)運(yùn)期間, 如有不可抗力事件發(fā)生, 賣方將不對(duì)由此而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時(shí), 賣方應(yīng)立即將不可抗力事件通知買方, 并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下, 賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過(guò)十周, 買方有權(quán)撤銷合同,買方在銀行所支付的費(fèi)用由賣方承擔(dān).

　　Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers shall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Seller’s inability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers.

　　13. 仲 裁 ：一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)執(zhí), 應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達(dá)成協(xié)議, 則應(yīng)提交法院裁決。

　　Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted to Court for ajudication

　　14. 本合同正本一式二份，合同雙方各持一份。 合同的中英文本如有解釋不一致處，以中文為準(zhǔn)。本合同經(jīng)雙方簽署后生效。

　　This contract is made in Chinese/English with equal validity, but the discords on the contract are to be explained with the Chinese version. The Buyer, the Seller, will hold two original ones of these Contracts respectively and they will come into effect being signed by both parties.
