2.4 LICENSES, PERMITS AND APPROVALS 許可和批準

　　The Company shall: 公司應：

　　(a) make or cause to be made at its own expense and in a timely manner application for all Governmental Approvals and Required Consents (Applications) and make diligent effort to obtain and maintain these approvals through out the Term. The Company’s obligations under this sub-Section (a) also apply to all Applications required as the result of the expiry, lapse or revocation of any Governmental Approval;

　　自費并及時申請政府批準和所需批準(申請)，并在本協(xié)議期限內努力獲得和維持上述許可，公司在本款項下的義務應同樣適用于因政府批準 期滿、失效或撤銷時所需要的所有申請;

　　(b) ensure that all Applications (i) are in the form, if any, prescribed by Law; (ii) include to the best of the Company’s knowledge and belief, after having made due enquires, complete and accurate information to satisfy the substantive and procedural requirements of all applicable Law; and (iii) are submitted together with (or supported by, in due course) the fee and/or form of financial security, if any, prescribed by Law;

　　確保所有的申請(i)符合法律規(guī)定的形式，如有，(ii)盡公司所知，并進行應有的查詢，信息準確完整，滿足適用法律的實質和程序要求，(iii)一并提交法律規(guī)定的費用和/或金融擔保;

　　(c) diligently pursue all Applications and comply with and procure that the Contractor Group comply with all legal requirements of each relevant Governmental Authority which are required to be fulfilled prior to the grant of the relevant Governmental Approval; and

　　確保所有的申請遵守并保證承包商小組遵守相關政府機關在授予許可前的法律要求;及

　　(d) comply with and shall use all reasonable endeavors to procure that the Contractor Group comply with such terms and conditions throughout the Term (whether expressly stated in the relevant Governmental Approval or made applicable to it by an applicable Law).

　　EDC shall cooperate with the Company in promoting and supporting all Applications made by the Company, including providing such reasonable assistance as may be requested by the Company in writing, so as to expedite the consideration thereof by the appropriate Governmental Authority provided that the Applications submitted by the Company are in material compliance with this Section.

　　柬埔寨電力公司應與公司合作，推動和支持公司的申請，包括根據公司的書面要求提供合理協(xié)助，加快相應政府機關的審議，前提是公司提交的申請實質性遵守了本條規(guī)定。

　　2.5 DUTY TO PROVIDE ELECTRICITY供電責任

　　Subject to and in accordance with the terms of this Agreement and in consideration of EDC’s agreement to pay the Electricity Payments to the Company on the terms and conditions described in Section 8, the Company shall, from and after the Commercial Operation Date and thereafter throughout the Term maintain, repair, and operate each Unit and the Project as required by Prudent Utility Practices, and all applicable Law to ensure the Company shall make available and deliver and transfer to EDC electricity at the Metering Point in accordance with Dispatch Instructions issued by EDC except:

　　根據本協(xié)議并考慮到EDC同意根據第8條規(guī)定的條款條件向公司支付電費，公司應自商業(yè)運行日期起并在協(xié)議期限內依據審慎應用慣例和適用法律維護、修理和運行機組和項目，確保公司按照EDC簽發(fā)的調度指示在計量點向EDC供電。下列情形除外：

　　(a) during periods of Planned Outages or Short Term Maintenance Outages or unscheduled maintenance, permissible delays and other downtime; or

　　在計劃停機、短期維護停機或非計劃維護期間，允許的延誤及其他的停機時間;或者

　　(b) where necessary due to an Emergency or to avoid an imminent risk of injury to persons or material damage to property including any equipment comprising the Project; or

　　由于緊急事件或為避免人身傷害或財產(包括項目設備)損失的迫切危險，而采取的必要停機;或

　　(c) to the extent that the Company is relieved of its obligations as a result of an event of Force Majeure,

　　因不可抗力事件，公司被免除責任。

　　Provided that this Section 2.5 shall not require the Company to maintain levels or values better than those specified in the Specifications presented under Schedule 2 or outside the Technical Limits as presented under Schedule 3.

　　2.6 COMPLIANCE WITH THE CAMBODIAN GRID CODE遵守柬埔寨電網規(guī)范

　　The Company shall comply with the Cambodian Grid Code as it relates to the provision of the Net Electrical Output, subject to any variations therefrom previously granted to the Company by EDC in writing.

　　公司應遵守柬埔寨電網規(guī)范關于凈發(fā)電量的規(guī)定，并遵守EDC書面授予公司的變更。

　　2.7 TRANSMISSION SYSTEM AND SUBSTATION UPGRADES輸電系統(tǒng)和變電站升級

　　EDC undertakes to attend to all issues required so as to allow the Company to timely construct, test and commission the Interconnection Facilities, and for each Unit to be dispatched on the Commercial Operation Date or for Provisional Operation. EDC

　　負責處理所需事宜，以便公司按時建設、測試和試運行互連設備，使機組能夠在商業(yè)運行日或臨時運行時接受電網調度。

　　2.8 SALE OF SURPLUS POWER OF THE PROJECT TO THIRD PARTIES向第三方銷售項目剩余電力

　　The Company will be allowed to sell the surplus power of the Project to third party with the prior approval of EDC during the Term. 在期限內，經EDC事先同意，公司可以向第三方銷售項目剩余電力。

　　3. TERM, CONDITIONS PRECEDENT AND EFFECTIVE DATE期限、先決條件和生效日期

　　3.1 COMMENCEMENT AND DURATION OF THE TERM 期限的開始及持續(xù)時間

　　The duration and validity of this Agreement (hereinafter referred to as the Term) shall commence on the date hereof and shall continue for a period of thirty (30) years from the Commercial Operation Date of each phase of the Project, unless earlier terminated in accordance with this Agreement and IA.

　　本協(xié)議的有效期(以下稱為期限)從本協(xié)議生效之日起至各期商業(yè)運行30年(從各期商業(yè)運行日期起算)止，除非根據本協(xié)議和實施協(xié)議提前終止。

　　3.2 CONDITIONS PRECEDENT先決條件

　　(i) Conditions Precedent to EDC’s Obligations 柬埔寨電力公司(EDC)義務的先決條件

　　Except as may be waived off by EDC, it shall be a condition precedent to the effectiveness of EDC’s obligations under this PPA that EDC has received the EDC Documents from the Company, except that EDC shall as of the Agreement Date be obligated to (i) use best efforts to assist the Company to achieve the Effective Date, and (ii) provide copies of all the documents required under Section 3.5 of this Agreement to the Company by the date or dates required under Section 3.5; and (iii) comply with the requirements of Section 3.3(b) below. Except as provided in this Section 3.2(i) and Section 3.3(b) below, EDC’s obligations hereunder shall commence on the Effective Date.

　　除非柬埔寨電力公司(EDC)放棄，EDC在本PPA項下義務生效的前提條件是EDC收到公司提交的EDC文件，但EDC應在本協(xié)議簽署后(i) 盡最大努力協(xié)助公司實現生效日期，(ii)按照第3.5條規(guī)定的日期，向公司提交本協(xié)議第3.5條要求的所有文件副本，(iii) 遵守第3.3(b)條的要求。除了第3.2(i)和第3.3(b)的規(guī)定外，EDC在本協(xié)議項下的其他義務應自生效日期起開始履行。

　　(ii) Conditions Precedent to the Company’s Obligations公司義務的先決條件

　　Except as may be waived off by the Company, it shall be a condition precedent to the effectiveness of the Company’s obligations under this PPA that the Company has received the Company Documents from EDC, except that the Company shall as of the Agreement Date be obligated to use best efforts to (i) achieve the Effective Date, including to achieve Financial Closing, and (ii) provide copies of the documents required under Section 3.4 of this Agreement to EDC by the date or dates set forth in this Agreement. Except as provided in this Section 3.2(ii) and Section 3.3(b) below, the Company’s obligations hereunder shall commence on the Effective Date.

　　除非公司放棄，公司在本PPA項下義務生效的前提條件是公司收到EDC提交的公司文件，但公司應在本協(xié)議簽署后(i) 盡最大努力實現生效日期包括實現融資關閉，(ii)按照本協(xié)議規(guī)定的日期，向EDC提交本協(xié)議第3.4條要求的所有文件副本。除了第3.2(ii)和第3.3(b)的規(guī)定外，公司在本協(xié)議項下的其他義務應自生效日期起開始履行。

　　3.3 EFFECTIVE DATE生效日期

　　(a) The effective date (the Effective Date) of this Agreement shall be the date by which EDC has confirmed to the Company that it has received or (where permitted) waived its right to receive the EDC Documents and the Company has confirmed to EDC that it has received or (where permitted) waived its right to receive the Company Documents, the Implementation Agreement and the RGC Guarantee.

　　本協(xié)議的生效日期即柬埔寨電力公司(EDC)向公司確認收到EDC文件或放棄該權利(如允許)，并且公司向埔寨電力公司(EDC)確認收到公司文件、實施協(xié)議和柬埔寨政府擔?；蚍艞壴摍嗬?如允許)之日。

　　(b) The obligations set out in Section 2.3 (a) (progress reports), 2.4 (Licenses, Permits and Approvals), 3.3 (Effective Date), 3.6 (Survival of Rights and Obligations), 4.1 (Application for Required Consents), 4.2(a)-(d) (Obligations pre-Commissioning), 16 (Resolution of Disputes), 18 (Notices and Approvals), 19 (Assignment; Transfers) and 21.4 (Confidentiality) shall arise on the date of this Agreement.

　　第2.3(a)條(進度報告)、第2.4條(許可和批準)、第3.3條(生效日期)、第3.6條(權利義務的存續(xù))、第4.1條(申請所需批準)、第4.2(a)-(d) 條(預試運的義務)、第1 6條(爭議解決)、第1 8條(通知和批準)、第1 9條(轉讓)和第21.4條(保密)規(guī)定的義務應從本協(xié)議簽署之日起生效。

　　(c) If the Effective Date has not occurred within twelve (12) months of the date of this Agreement and has not been extended by mutual agreement of the Parties, then either of EDC or the Company may by written notice to the other Party which shall become effective seven (7) days after receipt by the other Party of such notice determine that this Agreement shall cease, whereupon:

　　如生效日期未能在本協(xié)議簽署之日起12個月內實現，并且雙方未達成協(xié)議延長此日期，則EDC或公司可書面通知另一方終止本協(xié)議。該通知在另一方收到之日起7天后生效，屆時：

　　(i) EDC shall cancel and return the Development Security (subject to Section 8.5) (a) together with all documents provided by the Company to EDC for the purposes of the Project; and

　　柬埔寨電力公司(EDC)應取消并返還開發(fā)擔保(根據第8.5(a)條)，并返還公司為本項目提供給柬埔寨電力公司(EDC)的所有文件; 以及

　　(ii) the Company shall return to EDC all of the documents that were provided by EDC to the Company for the purposes of the Project.

　　Provided that if by such date, the Company has not completed and delivered all of the EDC Documents but is diligently pursuing the completion of such EDC Documents for delivery to EDC, then and in such an event, EDC shall have an option to extend the deadline for the Effective Date of the Project.

　　(d) The Company shall use its reasonable endeavors to take all such actions as may be necessary to obtain and to deliver to EDC each of the EDC Documents within the time period specified in this Agreement and (where no time period is stipulated) without delay. The Company shall promptly comply with its obligations under this Agreement so as to enable EDC to obtain the Company Documents. The Company shall notify EDC promptly upon satisfaction or (where permitted) waiver of the Company Documents.

　　在本協(xié)議規(guī)定的期限內，獲取和向EDC交付EDC文件，如未規(guī)定期限不得拖延。公司應適當遵守本協(xié)議項下的義務，以便EDC獲得公司文件。公司應在對公司文件滿意或放棄(如允許)時立即通知EDC。

　　(e) EDC shall use its reasonable endeavors to take all such actions as may be necessary to obtain and to deliver to the Company Documents within the time period specified in this Agreement and (where no time period is stipulated) without delay. EDC shall promptly comply with its obligations under this Agreement so as to enable the Company promptly upon satisfaction or (where permitted) waiver of the EDC Documents to timely fulfill the conditions precedent on its part to be fulfilled.

　　在本協(xié)議規(guī)定的期限內，獲取和向公司交付公司文件，如未規(guī)定期限不得拖延。EDC應適當遵守本協(xié)議項下的義務，以便公司能夠迅速對EDC文件滿意或作出放棄(如允許)，從而按時實現其應實現的先決條件。

　　(f) If a Party (the requesting Party) believes that the other Party (the recipient Party) may either be delaying or failing to comply with the obligations on the part of the recipient Party under the Sections referred to in Section 3.3 (b) (as the case may be), the requesting Party shall be entitled (but not required) to give notice to the recipient Party, requesting it to provide an Information Notice. An Information Notice shall specify in reasonable detail:

　　如果一方(請求方)認為另一方(收件方)延遲或未能遵守在第3.3 (b)條規(guī)定的收件方的義務(視情況而定)，請求方有權(但非義務)向收件方發(fā)出通知，要求其提供信息通知。信息通知應詳細說明合理的細節(jié)：

　　(i) all significant steps the recipient Party has taken to comply with its obligations under the Sections referred to in Section 3.3(b) as the case may be);

　　收件方為遵守其在第3.3(b)條項下的義務而采取的所有主要步驟，視情況而定;

　　(ii) the results of such step; 這些步驟的結果;

　　(iii) the reasons for any delay in obtaining the relevant Company Document or the EDC Document (as the case may be) in accordance with this Agreement; and

　　延誤依照本協(xié)議獲取有關的公司文件或EDC文件的原因(視情況而定); 以及

　　(iv) the course of action the recipient Party has taken to comply with its obligations under the Sections referred to in Section 3.3(b) (as the case may be);

　　The recipient Party shall provide the Information Notice to the requesting Party within seven (7) days of receipt of a notice under this Section 3.3(f).

　　(g) Provided that the Company has complied with all of its material obligations then due hereunder other than those prevented by actions of EDC or a Governmental Authority, if the Company has not received the Company Documents by the deadline for the Effective Date (as may be extended by EDC and the Company) without regard to other deliverables, EDC will reimburse the Company for its documented Project-related costs and expenditures incurred between the date of the PPA and the date of termination ot the PPA less any of such amounts that have been reimbursed by MIME, such amount not to exceed the original amount of the Development Security.

　　在公司遵守了所有本協(xié)議項下的實質性義務(受EDC或政府機關行為妨礙的部分除外)的條件下，如果公司在生效日期截止日期(可由EDC和公司延長)未收到公司文件且不考慮其他交付物，EDC將賠償公司自PPA簽署之日至PPA終止之日所發(fā)生的有記錄的項目相關成本和費用(減去已經由MIME償還的金額)，該金額不超出開發(fā)擔保的初始金額。

　　3.4 EDC DOCUMENTS EDC文件

　　The documents (EDC Documents) and items to be delivered by the Company to EDC in form and substance reasonably acceptable to EDC shall be as set out in this Section 3.4 on or before the Effective Date unless otherwise waived by EDC:

　　公司應在生效日期或之前以EDC合理接受的形式向EDC提交下列文件(EDC文件)，除非EDC放棄：

　　(a) a copy, certified as a true copy by a duly authorized officer of the Company of the articles of incorporation (or equivalent documents) of the Company;

　　經由公司正式授權人員證明的真實公司章程(或同等文件)副本一份;

　　(b) a copy, certified as a true copy by a duly authorized officer of the Company of resolutions passed by the Board of Directors authorizing the execution, delivery and performance by the Company of this Agreement and any other agreement or document to be executed and delivered in respect hereof;

　　經由公司正式授權人員證明的董事會決議真實副本一份，該決議授權公司簽署和執(zhí)行本協(xié)議以及其他相關協(xié)議或文件;

　　(c) the Development Security; 開發(fā)擔保;

　　(d) a copy of the executed Construction Contract including all plans, drawings and specifications (but excluding any financial information of a commercially sensitive nature) and all security documents provided by the Construction Contractor pursuant thereto, substantially in accordance with the Construction Proposal;

　　已簽署的施工合同副本一份，包括所有的計劃、圖紙和規(guī)范(但不包括任何商業(yè)敏感性質的財務資料)和由承包商按照施工合同規(guī)定及施工計劃提供的所有擔保文件;

　　(e) a copy of the proposed Operations and Maintenance Plan;建議運行和維護計劃副本一份

　　(f) a copy of all Required Consents and, if any have not yet been obtained, a list of such Required Consents that have not been obtained as of the date of Financial Closing, together with evidence that they have been applied for and a summary of the terms and conditions upon which they are expected to be granted in due course and the date on which the Company expects them to be granted;

　　所有所需批準的副本一份，如果尚未獲得，應提供一份融資關閉時還未獲得的所需批準的清單，連同已經申請批準的證據以及預期經過合理程序獲得該批準的條款條件和公司獲得該批準的時間。

　　(g) a description of the Company’s ownership structure; 公司股權結構的描述;

　　(h) copies of the Financing Agreements and the written Financing Plan; and

　　融資協(xié)議和書面融資計劃副本;以及

　　(i) confirmation in writing from the Company that Financial Closing has occurred.

　　公司對融資關閉的書面確認。

　　3.5 COMPANY DOCUMENTS 公司文件

　　The documents and items to be delivered by EDC to the Company in form and substance reasonably satisfactory to the Company shall be as set out in this Section 3.5 (the Company Documents):

　　EDC應以公司合理接受的形式向公司提交下列文件(公司文件)：

　　a) a certified copy of Royal Decree No. NS/RD/0396/10 dated March 9, 1996 and any amendments thereto;

　　1996年3月9日第NS/RD/0396/10皇家法令及其修訂案的核證副本一份

　　b) a certified copy of the sub Decree referred to in Royal Decree No. NS0396/10, article No. 1, dated March 9, 1996 and any amendments thereto, including any EDC Charter, etc. setting out EDC’s authority, rights, terms and conditions to operate as a statutory authority; and

　　1996年3月9日第NS/RD/0396/10皇家法令第一號的二級法令及其修訂案的核證副本一份，包括規(guī)定EDC作為法定機構運行的職權、權利、條款和條件的EDC章節(jié);

　　c) written confirmation from the EDC board of directors advising that the Managing Director of EDC has the capacity and authority on behalf of EDC to execute, deliver and perform this Agreement and any other agreement or document to be executed and delivered on behalf of EDC by him, all within sixty (60) days of the Agreement Date.

　　EDC董事會的書面確認，授權EDC的管理董事代表EDC簽署、交付和執(zhí)行本協(xié)議以及在本協(xié)議簽署之日起60天內代表EDC簽署和交付其他協(xié)議或文件。

　　3.6 SURVIVAL OF RIGHTS AND OBLIGATIONS權利和義務的存續(xù)

　　After the Effective Date of this Agreement, notwithstanding anything to the contrary contained in this Agreement, the expiry or termination of this Agreement (except its ceasing to have effect under Section 3.3 (c)), shall not affect any rights or obligations which may have accrued prior to such expiry or termination and shall not affect obligations of the Parties under this Agreement which are expressed to arise upon expiry or termination or to continue after expiry or termination, (including the obligations of the Parties set out in Sections 11 (Indemnity and Liability), 15 (Defaults and Termination), 16 (Resolution of Disputes), 19 (Assignment; Transfers) and 21 (Miscellaneous Provisions), save for Section 3.3 (g) which will survive in all cases.

　　在本協(xié)議生效日期后，盡管本協(xié)議中有相反規(guī)定，本協(xié)議的期滿或終止(除非根據第3.3條停止生效)不得影響各方在本協(xié)議期滿或終止前已產生的任何權利或義務，也不得影響在期滿或終止時產生或在其后存續(xù)的義務(包括第11條(賠償及責任)、第15條(違約和終止)、第16條(爭論的解決)、第19條(轉讓)和第21條(其他規(guī)定)中規(guī)定的各方義務)，但是第3.3(g)條應在任何情況下存續(xù)。

　　3.7 EXTENSION OF THE COMMERCIAL OPERATION DATES商業(yè)運營日期的延后

　　(a) The Commercial Operation Date of this Phase shall be extended Day for Day where the Company has suffered a delay in designing, constructing and/or testing any Unit solely as a result of:如果公司僅因下列原因遭受任何機組的設計、施工和/或試驗延誤，本期商業(yè)運營日期應按日延后：

　　(i) Any request made by EDC to defer an inspection or test pursuant to Schedule 5; and/or;

　　EDC要求推遲附件5規(guī)定的檢查或試驗;和/或

　　(ii) the occurrence of an event of Force Majeure; and/or發(fā)生不可抗力事件;和/或

　　(iii) any breach or Default by EDC under this Agreement or the Direct Agreement; and/or

　　EDC違反本協(xié)議或直接協(xié)議;和/或

　　(iv) any delay in energizing the Interconnection Facilities and the PROJECT Switchyard that prevents the export of power from the PROJECT after the Scheduled Energization Date, EDC’s inability to provide back-feed power to the PROJECT to synchronize or to dispatch a Unit so as to allow for timely completion of testing and commissioning of that Unit; and/or

　　互聯設施和項目開關站通電的延誤，導致項目無法在計劃通電日期后輸出電力，EDC無法向項目提供倒送電以同步或調度機組按時完成機組試驗和調試;和/或

　　(v) and/or any delay, breach or failure by any Governmental Authority to perform under or in a manner consistent with the Implementation Agreement, the RGC Guarantee or to issue or comply with the RGC Guarantee or related Direct Agreement; and/or

　　就履行或遵守實施協(xié)議、RGC擔?；蚝灠l(fā)和遵守RGC擔?；蛳嚓P直接協(xié)議，政府機關存在延誤、違約或未能履約;和/或

　　(vi) any Change in Law or imposition of currency controls by the National Bank of Cambodia that impairs the Company’s ability to undertake the Project.

　　(b) The Company shall give EDC prompt notice of any right it may have to an extension of the required Commercial Operation Date of this Phase under Section 3.7(a) and shall use all reasonable endeavors to reduce such delay.

　　公司應立即通知EDC其有權根據第3.7(a)條延后本期商業(yè)運營日期，并應盡所有努力減少該延誤。

　　4. PRE-COMMISSIONING AND COMMISSIONING 預調試和調試

　　4.1 APPLICATION FOR REQUIRED CONSENTS申請所需批準

　　The Company shall apply for the Required Consents within four (4) months of the date of this Agreement and shall make diligent efforts to obtain the same following application, at all times in reliance upon and in a manner consistent with the Implementation Agreement.

　　公司應在本協(xié)議簽署之日起4個月內申請所需批準，并應盡力依據實施協(xié)議獲得后續(xù)的所需批準。

　　4.2 OBLIGATIONS PRE-COMMISSIONING 預調試的義務

　　The Company shall submit to EDC for its prior approval the documents/information specified in this Section 4.2 on or before the dates specified and shall supplement and update all such documents in a timely manner as such information is amended, modified or superseded.

　　公司應在規(guī)定日期或之前向EDC提交本條規(guī)定的文件信息以獲得其批準，公司應在上述信息變更、修改或替換后及時補充和更新所有文件。

　　EDC’s approval shall be required in respect of such documents and information together with any material amendments or modifications thereof and shall be granted in accordance with this Section 4. EDC’s approval should not be unreasonably withheld or delayed. Where EDC is entitled to withhold its consent and notifies the Company accordingly, the Company shall revise the documents/information in question without delay and resubmit them to EDC for its approval or, if it disagrees with the requested revision, refer the matter for dispute resolution in accordance with this Section 4.2. Where EDC is entitled to withhold its consent, EDC’s failure to so notify the Company within thirty (30) days of submittal of any such documents or information shall be deemed to constitute approval thereof. Any Dispute arising under this Section 4.2 (a), (b), (c) (d) and/or (e) and Section 4.3 shall be determined in accordance with Section 16.

　　EDC應根據第4條的規(guī)定批準此類文件和信息以及其重要變更或修改。EDC 不得無理地拒絕或拖延批準。如果EDC 有權保留其許可并相應通知公司，公司應立即修訂有異議的文件信息并重新提交EDC批準，或者如果公司不同意被要求的修改應將該事項根據本條提交爭議解決。如果EDC有權保留許可，EDC未能在公司提交文件或信息后的30日內通知公司則應視為已批準。任何由第4.2(a), (b), (c) (d) 和或 (e) 條和第4.3條引起的爭議應根據第16條決定。

　　The set of documents to be submitted by the Company is as follows: 公司應提交下列文件：

　　(a) Proposed Contractor and Construction Proposals 擬議承包商和施工方案

　　Within six (6) months of the date hereof, details of the proposed Contractors in relation to the proposed Construction Proposal. The proposed Construction Proposal shall set out the conceptual design of the Project; describe environmental, health and safety aspects of the design consistent with the Standards and Cambodian law, and specify the major plant and equipment to be incorporated and provide reasonable evidence that the manufacturers of such plant and equipment comply with the criteria relating to manufacturers set out in the Specifications.

　　在本協(xié)議簽署6個月內，提交與擬議施工方案相關的擬議承包商的詳細信息。擬議施工方案應列明項目的概念設計;說明設計的環(huán)境、健康和安全方面符合標準和柬埔寨法律，列明計劃使用的主要設備并提供合理證據證明設備制造商符合規(guī)范中規(guī)定的相關標準。

　　The Company shall also provide EDC with generator manufacturer’s capability curves, relay types, and proposed relay settings within two hundred seventy (270) days after the date of Financial Closing for review and comment by EDC. Within ninety (90) days of receiving such materials, EDC shall inform the Company, in writing, as to whether the proposed relay types and relay settings are acceptable. If these are not found to be acceptable to EDC, the Company agrees to comply with all reasonable requests of EDC to provide acceptable relay types and relay settings that are compatible with EDC System and consistent with Prudent Utility Practices. All information must be submitted in a manner reasonably acceptable to EDC, particularly the generator data, which shall be used for the EDC’s inspections and transient stability analysis.

　　公司還應在融資關閉之日起的270天內向EDC提交發(fā)電機制造商容量曲線、繼電器類型和擬用繼電器組件以供EDC審查和評論。在收到這些資料的90天內，EDC應書面告知公司這些擬用繼電器類型和組件是否可用。如果EDC不接受，公司同意遵照EDC的合理要求提供可接受的與EDC系統(tǒng)兼容并符合審慎應用慣例的繼電器類型和組件。所有信息尤其是發(fā)電機數據應以EDC合理接受的方式提交，用于EDC的檢查和暫態(tài)穩(wěn)定度分析。

　　EDC’s approval shall be granted:

　　(i) in respect of the proposed Construction Proposal, provided that it fully complies with the Specifications, Prudent Utility Practices and the terms of this Agreement;

　　關于擬議施工方案，前提是完全遵照規(guī)范、謹慎應用慣例和本協(xié)議條款;

　　(ii) in respect of the proposed Contractor, where the Company has provided EDC with evidence that it is a contractor of sound financial standing, possesses the necessary resources to complete the work, offers appropriate security for the performance of its obligations and has a proven track record in designing and constructing plants similar in size and nature to the Project to the Standards.

　　關于擬議承包商，如果公司已向EDC提供證明，證明承包商財務狀況良好、具備完成工作所需的資源、提交履行義務的適當擔保，并提供設計和建造同類型電廠的業(yè)績。

　　(b) Proposed Operation & Maintenance Plan and O&M Contractor

　　擬議運行&維護計劃和運行&維護承包商

　　Within six (6) months of the date hereof, details of the proposed O&M Contractor and the proposed Operations and Maintenance Plan. The proposed Operations and Maintenance Plan shall set out in reasonable detail how the Company intends to operate and maintain the Project.

　　在本協(xié)議簽署之日起6個月內，提交擬議運行&維護計劃和運行&維護承包商的詳細信息。擬議運行&維護計劃應列明公司計劃運行和維護項目的合理細節(jié)。

　　EDC’s approval shall be granted:

　　EDC應授予批準：

　　(i) in respect of the proposed Operations and Maintenance Plan, if it is consistent with Prudent Utility Practices and the terms of this Agreement; and

　　關于擬議運行&維護計劃，前提是完全遵照謹慎應用慣例和本協(xié)議條款;

　　(ii) in respect to the O & M Contractor, if it has the required skills, qualifications, experience and financial capabilities to perform the contract in a satisfactory manner, and in accordance with the terms and conditions of this Agreement.

　　關于擬議O&M承包商，如果其具備根據本協(xié)議條款條件履約所需的技能、資質、經驗和財務能力。

　　(c) Proposed Financing Plan 擬議的融資計劃

　　Within six (6) months of the date hereof, the Company shall submit to EDC the proposed Financing Plan. The Proposed Financing Plan shall set out in reasonable detail:

　　自本協(xié)議之日起的3個月內，公司應向EDC提交擬議融資計劃，該計劃需合理地闡述：

　　The Financing Plan shall be accompanied by evidence reasonably satisfactory to EDC of the fact that the Company or one or more of the Major Owners or Upstream Owners has a credit standing enabling it to provide, directly or indirectly, the total amount of Equity to be contributed by shareholders in the Company as contemplated by Sub Section (ii) hereinabove.

　　與融資計劃一并提交EDC合理滿意的證據，證明公司、主要業(yè)主或上級業(yè)主的信用情況能夠直接或間接地提供上述第(ii)項所述的公司股東認購的全部股權金額。

　　EDC’s approval shall be granted in respect of the proposed Financing Plan, if it is consistent with the foregoing requirements. 如其能滿足上述要求，EDC應授予批準。

　　(d) Preliminary Fuel Procurement Plan初始燃料采購計劃

　　(i) Within six (6) months of the date hereof, the proposed Preliminary Fuel Procurement Plan. The Preliminary Fuel Procurement Plan shall include the folloing:

　　在本協(xié)議簽署之日起6個月內提交擬議初始燃料采購計劃，應包含以下內容：

　　(A) draft terms of the request for proposals to be sent to prospective Fuel Suppliers and/or Fuel Transporters, if applicable, by the Company (containing the terms upon which the Company requires Fuel to be supplied and transported to the respective Site) (an RFP); and

　　公司向燃料供應商和/或燃料運輸商發(fā)送的投標建議書(簡稱RFP)的條款草稿(包括公司要求將燃料供應和運輸到現場的條款);

　　(B) a list of the proposed Fuel Suppliers and Fuel Transporters to whom the Company intends to send such RFP; and

　　公司計劃發(fā)送該RFP的擬定燃料供應商和燃料運輸商的名單;和

　　(C) detailed procedures for evaluating each reponse to an RFP, including any assumptions that would be used, such as discount rates for net present value analysis.

　　評估對RFP的回復的詳細程序，包括可能使用的任何假設，比如凈現值分析的貼現率;

　　(ii) Each RFP shall state that the Qualified Fuel Supplier who has satisfied all of the minimum requirements of the relevant RFP will be selected based on the cost per kilocalorie LHV of coal plus the cost of delivery to the Site and shall require that each proposal shall state the LHV of coal offered or the HHV of coal, total moisture content and hydrogen content of the coal offered and that the LHV of coal will be calculated according to the formula stated in Schedule 17, Part B.

　　每份RFP應說明滿足相關RFP所有最低要求的合格燃料供應商將基于煤每千卡低熱值成本和運輸成本選擇，并要求各方案說明煤的低熱值或高熱值、總水分含量和氫含量，煤的低熱值將按照附錄17，B部分的表格計算。

　　(iii) For any RFP, EDC shall be entitled to require alternative terms to be contained in the RFP (so long as such terms reasonably reflect applicable market practices and pricing mechanisms) and other prospective Fuel Suppliers and/or Fuel Transporters who fulfill the minimum requirements to whom an RFP is required to be sent and the Company shall incorporate provisions to reflect compliance with Prudent Utility Practices and the Company’s Fuel requirements and provided that nothing herein shall be construed to allow EDC the right to require the Company to accept such Fuel Supplier or such terms and conditions which are not in compliance with Prudent Utility Practices and the Coal Specifications in Schedule 2, Paragraph D.

　　EDC有權要求在RFP中加入其它條款(該條款應合理反映適用的市場規(guī)范和價格機制)以及要求向其他滿足最低要求的燃料供應商和/或燃料運輸商發(fā)送RFP，公司應加入反映其遵守審慎應用慣例和公司燃料要求的條款，本條規(guī)定的內容不得視為EDC有權要求公司接受該燃料供應商或不符合審慎應用慣例和附錄2，D段煤炭規(guī)范的條款和條件。

　　(d) Testing Schedule 試驗計劃

　　Not later than sixty (60) days prior to the scheduled commencement of the Commissioning Tests, a detailed preliminary start-up and testing schedule for the Project in accordance with Schedule 5, which shall be confirmed as final not later than thirty (30) days prior to commencement of the Commissioning Tests.

　　至少在計劃開始調試試驗前的60天，依照附錄5提交詳細的初步啟動和試驗計劃，該計劃應在開始調試試驗30天前確定為最終版。

　　(e) Operating Procedures 運行大綱

　　Not later than ninety (90) Days prior to the date of Provisional Operation of the First Unit, a copy of a draft of written operating procedures, consistent with EDC’s existing system operation and maintenance procedures, to serve as the basis for the Operating Procedures to be jointly developed pursuant to Section 4.6.

　　至少在第一臺機組臨時運行日期前90天，提交符合EDC現有系統(tǒng)運行和維護程序的書面運行大綱初稿，作為根據第4.6條準備的運行大綱的基礎。

　　4.3 FUEL PROCUREMENT PLAN燃料采購計劃

　　(a) On finalization of the form of the RFP and prospective Fuel Suppliers and/or Fuel Transporters in accordance with Section 4.2 (d), the Company shall issue the first RFP to provide the fuel and/or transportation services to the prospective Fuel Suppliers and Fuel Transporters.在根據第4.2(d)條確定RFP格式后，公司應向預期燃料供應商和燃料運輸商發(fā)送關于提供燃料和/或運輸服務的第一版RFP。

　　(b) The Company shall promptly review the bids from all the Fuel Suppliers and/or Fuel transporters for the supply and/or transportation of Fuel and rank them to determine the most favorable bids (the Most Favorable Bids) when considering all factors, including price (based on LHV of caol), Fuel Transportation Contracts, and compliance with the RFP requirements and the Specifications. In ranking the bids received, the Company shall, in consultation with EDC, consider (i) initial price and escalation indices and the net present value of the cost of fuel over the term of the proposed agreement (analyzed on a cost per kilocalorie LHV basis), )ii) anticipated costs from supply interruptions, (iii) the commercial terms and conditions proposed by such suppliers, and (iv) the benefit of any additional related services to be provided by such supplier such as financial, technical or other services directly related to the supply and/or transportation of Fuel.公司應立即審查所有燃料供應商和/或燃料運輸商的投標文件，并排名決定最優(yōu)報價，評標時應考慮所有條件，包括價格(基于低熱值)、燃料運輸合同、符合RFP要求和規(guī)范。進行報價排名時，公司應與EDC商討，考慮：(i)在協(xié)議期限內的初始價格、調價指數和燃料成本的凈現值(基于每千卡低熱值成本分析) (ii)預期供應中斷成本;(iii)供應商建議的商務條款和條件;(iv)供應商可提供的額外相關服務，如直接與供應和/或運輸燃料相關的財務、技術或其他服務。

　　(c) The Company and EDC shall, in consultation with EAC, and subject to Section 5.10(d), select the Most Favorable Bid or Most Favorable Bids based on the ranking of Qualified Fuel Suppliers and/or Fuel Transporters and afterwards the Company shall promptly enter into one or more Long-Term Fuel Contracts / Fuel Transportation Contracts with such Qualified Fuel Suppliers / Fuel Transporters as contemplated by the RFP. If the Company requires multiple Long-Term Fuel Contracts for its needs, a bid from a Qualified Fuel supplier that meets the requirements of the relevant RFP and the specifications of the next lower rank shall also be a Most favorable Bid (after selection of all higher ranking bids) for that procurement exercise until the Company’s Coal Supply and/or transportation needs have been satisfied.

　　公司和EDC應與EAC協(xié)商，并根據5.10(d)條，從合格燃料供應商和/或燃料運輸商中選擇最優(yōu)報價，隨后公司應盡快與該合格燃料供應商/燃料運輸商簽訂長期燃料合同/燃料運輸合同。如果公司需要簽署多份長期燃料合同，符合RFP規(guī)范要求的下一級合格燃料供應商的報價應被視為最優(yōu)報價(在篩選所有上一級報價后)，直到滿足公司的燃料供應和/或運輸需求。

　　The Company shall submit to EDC the copies of the Fuel Supply Agreements and Fuel Transportation Contracts at last 10 months prior to the Scheduled Energization Date.公司應至少在計劃通電日前10個月向EDC提交燃料采購協(xié)議和燃料運輸合同副本。

　　(d) In connection with the issuance of, and evaluation of resposes to, any RFP under this Section and Section 5.10, the following procedures will apply:

　　(i) Within ninety (90) days after the proposed deadline for any RFP, the Company shall schedule for completion by such date any clarifying meetings, site visits or other matters with bidders. The Company shall give EDC ten (10) days’ written notice of any such event and EDC shall be entitled to attend at its cost.

　　在任何RFP的計劃截止期后90天內，公司應計劃與投標人相關的澄清會、現場參觀和其他事宜。公司應提前十天通知EDC且EDC有權自費參加。

　　(ii) Within one hundred twenty (120) days of the proposal deadline for an RFP, the Company shall prepare and submit a draft bid ranking report to EDC. The draft bid ranking report shall contain pertinent details of any calculations and assessments made for purposes of evaluation and the grounds for disqualification of any bidder.

　　(iii) Within fifteen (15) working days of the submission of the draft bid ranking report, EDC and the Company shall finalize the bid ranking report.

　　(iv) After EDC and the Company have agreed on the final bid ranking report and before the Company executes any binding related Long-Term Fuel Contract, EDC shall submit the final bid ranking report to EAC for EAC’s reviw of the agreed final bid ranking report and EAC’s response within seven (7) working days of the date of submission.

　　(v) All parties shall act reasonably in connection with their roles in conducting and evaluating any RFP to, and responses from, prospective Fuel Suppliers and/or Fuel Transporters.
