　　CAMBODIA INTERNATIONAL INVESTMENT DEVELOPMENT GROUP CO., LTD, a Company incorporated under the laws of the Kingdom of Cambodia, with Company registration number INV. 565/98P, with its principal office located at #17, Street 55, Sangkat Chaktomouk, Khan Daun Penh, Phnom Penh, Kingdom of Cambodia, including its successors in title and permitted assignees (the Company) of the other part {each a (Party) and collectively the (Parties)}. 柬埔寨國(guó)際投資發(fā)展集團(tuán)有限公司，依據(jù)柬埔寨王國(guó)的法律成立，公司注冊(cè)編號(hào)為INV. 565/98P，法定地址位于柬埔寨金邊khan daum penh，Sangkat Chaktomouk ，55大街17號(hào)，其中包括其他部分的其繼承人和法定許可的受讓人(以下簡(jiǎn)稱公司){分別為(Party)以及合稱為(Parties)。

　　RECITALS序言

　　WHEREAS:鑒于：

　　1. The Royal Government of Cambodia (RGC) represented by the Ministry of Industry, Mines and Energy (MIME) encourage and support a major role for a private sector power developers to meet the electricity demand of Cambodia. MIME intends to get implemented the 270 MW (Installed Capacity) Coal Fired Power Plant Project (the Project) in the Preah Sihanouk Province, Cambodia and authorized the Company to conduct the feasibility study at its own cost in accordance with MIME’ s letter. The Company submitted the feasibility study report in August 2010. MIME has requested the Company to submit the technical and financial proposal for the development of the Project on a Build- Own- Operat (BOO) basis.由礦業(yè)能源工業(yè)部(MIME)為代表的柬埔寨皇家政府(RGC)支持了一個(gè)私營(yíng)企業(yè)開(kāi)發(fā)商來(lái)滿足柬埔寨的電力需求。MIME打算在西哈努克省實(shí)施270MW(裝機(jī)容量)燃煤電廠項(xiàng)目(以下簡(jiǎn)稱項(xiàng)目)，根據(jù)MIME函件其授權(quán)公司自負(fù)費(fèi)用進(jìn)行可行性研究。公司于2010年8月提交可行性報(bào)告。MIME要求公司在建設(shè)-擁有-運(yùn)營(yíng)(以下簡(jiǎn)稱BOO)基礎(chǔ)上提交開(kāi)發(fā)該項(xiàng)目的技術(shù)和財(cái)務(wù)方案。

　　2. The RGC through its Letter of Announcement by the Council of Ministers No. 1458 dated 03 October 2007 has approved in principal for the Company to conduct the feasibility study for 400-500 MW Coal Fired Power Plant Project in the province of Preah Sihanouk.

　　柬埔寨皇家政府RGC通過(guò)部長(zhǎng)理事會(huì)于2007年10月03日發(fā)表的第1458號(hào)通告函，原則上一致同意公司開(kāi)展在西哈努克省400-500MW燃煤電廠項(xiàng)目的可行性研究。

　　3. The RGC through its Letter of Announcement by the Council of Ministers No. 1874dated 31 December 2007 has approved in principal for the Company to conduct the feasibility study for additional capacity of 200 MW Coal Fired Power Plant of the above 500 MW Project in the province of Preah Sihanouk.

　　柬埔寨皇家政府RGC通過(guò)部長(zhǎng)理事會(huì)于2007年12月31日發(fā)表的第1874號(hào)通告函，原則上一致同意公司就上述西哈努克省500MW項(xiàng)目的額外200MW容量燃煤電廠進(jìn)行可行性研究。

　　4. The RGC through its Letter of Announcement by the Council of Ministers No. 404 dated 07 April 2010 has accorded approval for the implementation of 100-300 MW Coal Fired Power Plant in the Phase 1 of the 700 MW (Net) Project in the province of Preah Sihanouk.

　　柬埔寨皇家政府RGC通過(guò)部長(zhǎng)理事會(huì)于2007年4月7日發(fā)表的第404號(hào)通告函，一致同意在西哈努克省實(shí)施700MW(凈)項(xiàng)目的一期100-300MW燃煤電廠項(xiàng)目

　　5. The Company has responded to MIME’s solicitation of RFP and the Company has accepted MIME’s offer in accordance with the terms and conditions set forth in this Agreement and the Implementation Agreement. Electricite du Cambodge (‘EDC) a wholly State-Owned Limited Liability Company estabilished under Royal Decree No. CHS/RD/0396/10 dated March 9, 1996, undertakes to purchase energy from the Company under a long-term Power Purchase Agreement (PPA or the Agreement) entered into between EDC and the Company.

　　公司已經(jīng)對(duì)MIME就RFP的詢價(jià)做出回應(yīng)，并同意依照在本協(xié)議和實(shí)施協(xié)議中訂立的條款和條件接受MIME的邀請(qǐng)。柬埔寨電力公司(EDC), 一個(gè)于1996年3月9日在第 CHS/RD/0396/10號(hào)皇家法令下成立的國(guó)有有限責(zé)任公司承諾依照在柬埔寨電力公司(EDC)和該公司之間簽訂的長(zhǎng)期電力購(gòu)買協(xié)議(PPA或協(xié)議)從該公司購(gòu)買能源。

　　6. The Company desires and intends to make available and sell to EDC, and EDC desires and intends to purchase from the Company, the Contracted Capacity and the associated Net Electrical Output from the Project, pursuant to the terms and conditions of this Agreement. The Company is entering into an agreement with the RGC concerning certain incentives and assistance to be provided by RGC in relation to the Project (Implementation Agreement).

　　該公司愿意并打算向柬埔寨電力公司(EDC)提供和出售能源，EDC愿意并打算依照本協(xié)議的條款和條件在認(rèn)購(gòu)或支付的基礎(chǔ)上從本項(xiàng)目購(gòu)買能源。公司與RGC就涉及該項(xiàng)目的由RGC提供激勵(lì)和援助已經(jīng)達(dá)成協(xié)議(實(shí)施協(xié)議)。

　　NOW THEREFORE, in consideration of the mutual benefits to be derived and the representation and, warranties, conditions and promises herein contained and intending to be legally bound hereby, each of EDC AND THE COMPANY HEREBY AGREES AS FOLLOWS:

　　有鑒于此，在考慮到相互從此項(xiàng)目中的受益及代表性和擔(dān)保、在此包含的條件和承諾以及將來(lái)的合法約束，因此柬埔寨電力公司(EDC)和該公司同意如下：

　　1. INTERPRETATION定義

　　In this Agreement (including the Recitals and Schedules), unless otherwise stated:

　　在本協(xié)議(包括序言和附錄)中, 除非另有規(guī)定：

　　(a) the headings and paragraph numbering are for convenience only and shall be ignored in construing this Agreement;

　　(b) the singular includes the plural and vice versa; 單數(shù)包括復(fù)數(shù)，反之亦然;

　　(c) references to natural persons include bodies corporate and partnerships;

　　(d) references to any Law shall be construed as a reference to the same as it may have been, or may from time to time be, amended, modified or re-enacted;

　　(e) references to this Agreement shall be construed as a reference to this Agreement (including all Supplemental Agreements) as amended from time to time in accordance with the terms of this Agreement;

　　(f) references to Sections and Schedules are, unless the context otherwise requires, references to Sections of, and Schedules to, this Agreement;

　　(g) the word including is to be construed as being at all times followed by the words without limitation, unless the context otherwise requires;

　　(h) a requirement that a payment be made or action be completed on a day which is not a Business Day shall be construed as a requirement that the payment be made or action be taken on the next following Business Day;

　　(i) if there is any inconsistency between (i) the requirements of Prudent Utility Practices and applicable Law or (ii) any requirements of this Agreement and any other requirements of this Agreement, the Company’s obligation will be to comply with the most stringent requirements.

　　2. PROJECT DEVELOPMENT AND OPERATIONAL APPROVALS 項(xiàng)目開(kāi)發(fā)和運(yùn)營(yíng)許可

　　2.1 PROJECT DEVELOPMENT項(xiàng)目開(kāi)發(fā)

　　2.1.1 The Company undertakes to: 公司將承擔(dān)：

　　(a) finance and construct, test and commission the Project in accordance with this Agreement so as to achieve the Commercial Operation Dates;

　　根據(jù)本協(xié)議籌措資金及建造、測(cè)試和試運(yùn)行本項(xiàng)目，以便按期實(shí)現(xiàn)商業(yè)運(yùn)營(yíng)

　　(b) construct and complete the Project such that it may at the Commercial Operation Date and at any date of commencement of Provisional Operation and at all times thereafter operate in compliance with all applicable Law, applicable Standards and the Cambodian Grid Code;

　　建設(shè)和完成本項(xiàng)目，以實(shí)現(xiàn)項(xiàng)目能在商業(yè)運(yùn)營(yíng)日期和臨時(shí)性運(yùn)行日期及此后的時(shí)間遵守適用的法律、標(biāo)準(zhǔn)和柬埔寨電網(wǎng)規(guī)范運(yùn)行;

　　(c) cause the Project to be designed and constructed according to the specifications and the Construction schedule;

　　依照工程規(guī)范和施工計(jì)劃設(shè)計(jì)和建造;

　　(d) connect the Project to the EDC System in cooperation with EDC; and

　　與柬埔寨電力公司合作將項(xiàng)目與柬埔寨電力公司(EDC)電網(wǎng)系統(tǒng)連接，以及

　　(e) construct the Interconnection Facilities and transfer them to EDC. 建設(shè)并網(wǎng)設(shè)施并移交給柬埔寨電力公司。

　　2.1.2 EDC undertakes to: 柬埔寨電力公司將承擔(dān)：

　　(a) construct and complete the Preah Sihanouk Province Terminal Substation prior to Energization Date;在通電日前建造完成西哈努克省終端變電站;

　　(b) ensure that the Company has all access to sites, rights-of-way, applicable Governmental Approvals and imported equipment so as to enable the Company to construct, commission and then transfer the Interconection Facilities to EDC on the Energization Date; and確保公司獲得進(jìn)入現(xiàn)場(chǎng)的通行權(quán)，適用的政府批準(zhǔn)和進(jìn)口設(shè)備，以便公司能夠建設(shè)、調(diào)試并網(wǎng)設(shè)備并在通電日前將互連設(shè)備移交給EDC;同時(shí)

　　2.2 THE PROJECT 項(xiàng)目

　　A) The Project Capacity will be developed in two phases: 該項(xiàng)目分兩期完成：

　　B) Main Componets of Phase 1 of the Project will comprise of: 項(xiàng)目一期主要包括：

　　The Project is more specifically described in Schedule 2 and Schedule 4 of this Agreement. 本項(xiàng)目詳述見(jiàn)附錄2和4

　　C) The design of the Project is the responsibility of the Company under the IA and this PPA. The Company shall prepare the design and specifications of the Project in accordance with internationally accepted engineering standards and practice, as well as the operational requirements for coal-fired power plants. The PROJECT shall be designed to achieve an economic operation life of 30 years.

　　公司負(fù)責(zé)根據(jù)實(shí)施協(xié)議和本購(gòu)電協(xié)議設(shè)計(jì)項(xiàng)目。公司應(yīng)依據(jù)國(guó)際公認(rèn)的工程標(biāo)準(zhǔn)和規(guī)范以及燃煤電站運(yùn)行要求準(zhǔn)備本項(xiàng)目的設(shè)計(jì)和規(guī)范。項(xiàng)目設(shè)計(jì)經(jīng)濟(jì)運(yùn)營(yíng)期應(yīng)為30年。

　　Notwithstanding any provision herein to the contrary, the Project will be in accordance with the Specifications.

　　如本協(xié)議有相反規(guī)定，項(xiàng)目應(yīng)遵守規(guī)范。

　　2.3 PROGRESS REPORTS進(jìn)度報(bào)告

　　The Company shall submit for review by EDC progress reports in a form reasonably acceptable to EDC:

　　公司應(yīng)按柬埔寨電力公司(EDC)可合理接受的格式，提交進(jìn)度報(bào)告供其審查：

　　(a) commencing fifteen (15) days after the end of the first full calendar month after the date of this Agreement and thereafter within fifteen (15) days after the close of each calendar month prior to the Effective Date. These progress reports shall contain details of the Company’s progress in obtaining the EDC Documents;

　　在本協(xié)議簽署后至生效日期前，每個(gè)日歷月結(jié)束的15天內(nèi)提交進(jìn)度報(bào)告。內(nèi)容應(yīng)包括公司獲得EDC文件進(jìn)展的細(xì)節(jié);

　　(b) commencing fifteen (15) days after the end of the first full calendar month after the Effective Date and thereafter on the first Business Day of each calendar month until the Construction Commencement Date. The first of these progress reports shall contain a detailed project design and construction schedule (including milestones) and each of the progress reports shall discuss in detail the Company’s efforts towards meeting the project milestones set out in the Construction Schedule and such other information as EDC may reasonably require; and

　　在生效日期后至施工開(kāi)始日期前，每個(gè)日歷月結(jié)束的15天內(nèi)提交進(jìn)度報(bào)告。第一個(gè)進(jìn)度報(bào)告應(yīng)包含一個(gè)詳細(xì)的項(xiàng)目設(shè)計(jì)和施工計(jì)劃表(包括里程碑)，每個(gè)進(jìn)度報(bào)告應(yīng)詳細(xì)說(shuō)明公司為了達(dá)到在施工計(jì)劃表中列出的項(xiàng)目里程碑，而采取的措施以及柬埔寨電力公司(EDC)合理要求的其他信息;

　　(c) commencing on the Construction Commencement Date and thereafter on the first Business Day of each calendar month until the Commercial Operation Date. These progress reports shall include notification to EDC of any material changes to the Construction Schedule referred to in Section 2.3(b).

　　在施工開(kāi)始日期，及以后直至商業(yè)運(yùn)營(yíng)日期前的每個(gè)日歷月的第一個(gè)營(yíng)業(yè)日提交進(jìn)度報(bào)告。內(nèi)容應(yīng)包括發(fā)給柬埔寨電力公司(EDC)的關(guān)于第2.3(b)中的施工計(jì)劃變更的通知。
