　　1. GENERAL一般性規(guī)定

　　Unless otherwise agreed in writing, all sold and delivered Products (Products) by Wacker Chemicals (China) Co.,Ltd. or any of its affiliates registered in People’s Republic of China (Wacker) to any of its Purchaser (Purchaser) shall be exclusively governed by the following General Terms and Conditions of Sale (GTC). Other provisions, in particular the Purchaser’s general terms and onditions shall not apply, even if Wacker has not explicitly rejected such conditions or Wacker is aware that contrary or deviating terms and conditions exist.

　　除另有書(shū)面約定外，瓦克化學(xué)(中國(guó))有限公司或任何一個(gè)其在中國(guó)的關(guān)聯(lián)公司(瓦克)與購(gòu)買方(購(gòu)買方)間的所有產(chǎn)品(產(chǎn)品)銷售及交付只受下列一般銷售條件(一般銷售條件)的約束。即使瓦克沒(méi)有明示拒絕或瓦克知曉存在與瓦克的一般銷售條件相矛盾或偏離的條款，其他條款(特別是購(gòu)買方的一般條款)也都不適用。

　　2. ORDER訂單

　　Orders including the orders placed by the Purchaser through Login4more system of Wacker are only valid if such orders have been confirmed by Wacker in writing. Any additional verbal agreements, supplements and modifications are also only valid if they have been confirmed in writing. Written form shall include letter, email, facsimile and electronic data interchange.

　　訂單(含購(gòu)買方通過(guò)瓦克login4more 系統(tǒng)下的訂單)只有經(jīng)瓦克書(shū)面確認(rèn)后方為有效。任何其他的口頭協(xié)議、增補(bǔ)和修改也只有在經(jīng)書(shū)面確認(rèn)時(shí)方為有效。書(shū)面形式包括信件、電子郵件、傳真及電子數(shù)據(jù)交換。

　　3. DELIVERY, ACCEPTANCE, RISK TRANSFER交付、接受、風(fēng)險(xiǎn)轉(zhuǎn)移

　　3.1 If Wacker delivers the Products on the agreed delivery date, the Purchaser is obligated to accept such Products. In case that Wacker fails to deliver Products on the agreed delivery date, the Purchaser agrees to grant Wacker of a grace period of 30 days after the expiry of such agreed delivery date. Within such grace period, Wacker is entitled to deliver Products with a one-day prior notice. Only if Wacker still fails to deliver Products after the expiry of such grace period, Wacker shall be in default from the next day of the expiry of the grace period.

　　瓦克在約定的交付日期交付產(chǎn)品的，購(gòu)買方應(yīng)予以接收。如果瓦克不能在約定的交付日期交付產(chǎn)品的，在約定交付日期屆滿后購(gòu)買方同意給予瓦克30 天的寬限期。在寬限期內(nèi)，瓦克有權(quán)提前1 天通知購(gòu)買方后交付產(chǎn)品。只有在寬限期屆滿后仍不能交付產(chǎn)品的，瓦克才應(yīng)自寬限期屆滿之日起承擔(dān)相應(yīng)的違約責(zé)任。

　　3.2 Wacker shall be entitled to make partial deliveries provided that the acceptance of such partial deliveries is reasonable for the Purchaser and, in particular, if the delivery of the remaining Products ordered is ensured and no significant additional expenditure or additional cost arise for the Purchaser as a result thereof (unless Wacker agrees to bear such cost). Each partial delivery may be invoiced separately.

　　如果接受分批交付的產(chǎn)品對(duì)購(gòu)買方而言是合理的，并且，特別是瓦克保證交付剩余訂購(gòu)的產(chǎn)品同時(shí)購(gòu)買方不會(huì)因此承擔(dān)重大的額外支出或費(fèi)用(除非瓦克同意承擔(dān)上述費(fèi)用)，那么瓦克有權(quán)進(jìn)行分批交付。瓦克可以為每批交付的產(chǎn)品單獨(dú)開(kāi)具發(fā)票。

　　3.3 If the Products are not taken by the Purchaser on the agreed delivery date, the Purchaser shall be charged the additional cost arising as a result, such as container rental cost and other storage cost.

　　如果購(gòu)買方逾期沒(méi)有收取產(chǎn)品，購(gòu)買方應(yīng)承擔(dān)因此而產(chǎn)生的額外的費(fèi)用，例如集裝箱租賃費(fèi)用和其他的儲(chǔ)存費(fèi)。

　　3.4 Risk transfer of Products, delivery, other obligations and fees are upon the agreed incoterms rule (Incoterms. 2010) setout in effective order.

　　產(chǎn)品的風(fēng)險(xiǎn)轉(zhuǎn)移、交付、其他義務(wù)和費(fèi)用的承擔(dān)根據(jù)生效的訂單中的約定的貿(mào)易術(shù)語(yǔ)(國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則®2010)確定。

　　4. PRICE價(jià)格

　　Unless otherwise agreed, the price of Products shall be set out in the order signed by Wacker and the Purchaser.

　　除非另有約定，產(chǎn)品的價(jià)格依據(jù)雙方簽署的訂單而定。

　　5. PAYMENT, DEFAULT OF PAYMENT支付、遲延支付

　　5.1 Payments shall be made in Renminbi Yuan if the Purchaser is an entity registered in the People’s Republic of China (PRC) as long as this is required under the PRC law, or made in a convertible foreign currency stipulated by Wacker if the Purchaser is registered outside the PRC.

　　如果購(gòu)買方為在中華人民共和國(guó)(中國(guó))注冊(cè)的實(shí)體，并且如果中國(guó)法律要求，付款應(yīng)采用人民幣。如果購(gòu)買方在中國(guó)之外注冊(cè)，付款則應(yīng)采用瓦克規(guī)定的可兌換外幣進(jìn)行。

　　5.2 In case that the Purchaser fails to make payment on time, Wacker shall be entitled to claim default interest at the rate of 0.2‰ per day. The right to claim further damages shall remain unaffected.

　　如果購(gòu)買方到期未付款，則應(yīng)支付違約利息。違約利息的費(fèi)率為日萬(wàn)分之二。瓦克保留要求進(jìn)一步損害賠償?shù)臋?quán)利。

　　5.3 If the Purchaser falls in arrears with at least two payments arising from the business relationship with Wacker, all of its effective payment obligations from all business relationships with Wacker shall become due and payable immediately. In addition, Wacker is entitled to demand advance payment for outstanding deliveries or the granting of suitable security, or Wacker has right to cancel the order without any liability

　　如果購(gòu)買方拖欠了兩期或兩期以上貨款，那么購(gòu)買方應(yīng)立即支付所有因其與瓦克的商業(yè)關(guān)系而產(chǎn)生的未到期的貨款。另外瓦克有權(quán)要求購(gòu)買方對(duì)此后的交付支付預(yù)付款或提供適當(dāng)?shù)膿?dān)保，購(gòu)買方不支付或不提供擔(dān)保的，瓦克有權(quán)解除訂單且不承擔(dān)任何責(zé)任。

　　6. FORCE MAJEURE不可抗力

　　In the event that Wacker is unable to fulfill its contractual duties as a result of force majeure (e.g. war, terrorism, insurgence, natural catastrophes, fire) or due to other unforeseeable circumstances for which Wacker bears no responsibility (e.g. strikes or lawful lockouts, operation or transport interruptions, difficulties with the procurement of raw material, inadequate delivery from suppliers), the agreed delivery date shall be extended by the duration of the obstruction plus an appropriate resumption time. Wacker shall notify the Purchaser as soon as possible of the start and expected end of such circumstances. If the obstruction lasts six months or longer, Wacker and the Purchaser shall be entitled to rescind the contract.

　　如果瓦克因不可抗力(例如戰(zhàn)爭(zhēng)、恐怖襲擊、暴動(dòng)、自然災(zāi)害、火災(zāi))或其他無(wú)法預(yù)見(jiàn)且非瓦克責(zé)任造成的事件(例如罷工或合法的停工、運(yùn)營(yíng)或運(yùn)輸中斷、采購(gòu)原材料困難、供應(yīng)商供貨不適當(dāng))而不能履行合同義務(wù)的，約定的交付期應(yīng)當(dāng)延長(zhǎng)到該不可抗力或事件結(jié)束后，并應(yīng)增加恢復(fù)供貨所需的合理時(shí)間。瓦克應(yīng)盡快通知購(gòu)買方上述不可抗力或事件發(fā)生的時(shí)間和預(yù)計(jì)的結(jié)束時(shí)間。 如果上述不可抗力或事件持續(xù)6 個(gè)月或更長(zhǎng)的，雙方有權(quán)解除合同。

　　7. QUALITY OF GOOD, INFORMATION產(chǎn)品質(zhì)量、信息

　　7.1 As regards the quality of Products, only the agreed specification shall apply. Except for the warranty provided above, Wacker disclaims any and all other express or implied warranties with respect to the Products, and any warranty of merchantability or fitness for a particular purpose is expressly disclaimed.

　　產(chǎn)品的質(zhì)量應(yīng)符合雙方約定的技術(shù)規(guī)格。除此之外，瓦克對(duì)任何所有其它明示或暗示的關(guān)于產(chǎn)品的保證不負(fù)責(zé)任，并明確表示對(duì)任何適銷保證或?yàn)槟骋惶厥饽康闹m宜性不負(fù)任何責(zé)任。

　　7.2 Information provided by Wacker in writing, verbally or in any other form with regard to suitability, including application, processing or another use, as well as technical support offered are rendered to the best of Wacker’s knowledge; however, all of the above shall be deemed non-binding information only. The information shall not release the Purchaser from verifying on its own behalf the suitability of Products delivered by Wacker for the intended purposes. Application, processing and any other use of the Products are beyond Wacker’s control and shall therefore be the Purchaser’s responsibility.

　　瓦克以書(shū)面形式、口頭或其他形式提供的關(guān)于適用性的信息，特別是關(guān)于產(chǎn)品適用性、加工和使用以及技術(shù)支持，是盡自己最大能力組織匯編。但是，上述信息不具有約束力，購(gòu)買方仍應(yīng)自行驗(yàn)證產(chǎn)品目的的適宜性。由于超出了瓦克控制范圍，購(gòu)買方應(yīng)自行對(duì)產(chǎn)品的適用、加工和其他的使用負(fù)責(zé)。

　　8. INSPECTION檢驗(yàn)

　　The Purchaser shall (i) inspect the product name, quantity, package and other external defect of delivered Products on the date of receipt, and (ii) inspect the quality and other internal defect of such delivered Products within 14 days after receipt of such Products (Inspection Term). In case of any defect, the Purchaser shall within the Inspection Term inform Wacker in writing of such defects and specify the defect. Otherwise, the delivered Products shall be deemed to conform to the agreed specification. In the event that Products have been used by the Purchaser partially or in full, such Products shall be deemed to conform to the agreed specification.

　　購(gòu)買方應(yīng)在(i)收到產(chǎn)品后當(dāng)天對(duì)瓦克交付的產(chǎn)品的名稱、數(shù)量、包裝及其他外觀瑕疵進(jìn)行檢驗(yàn),并(ii)在收到產(chǎn)品后14 天內(nèi)對(duì)瓦克交付的產(chǎn)品的質(zhì)量和其他隱蔽瑕疵進(jìn)行檢驗(yàn)(檢驗(yàn)期間)。在檢驗(yàn)期間發(fā)現(xiàn)瑕疵的，購(gòu)買方應(yīng)在檢驗(yàn)期內(nèi)書(shū)面通知瓦克并指明產(chǎn)品瑕疵。逾期未檢查或未通知的，視為瓦克的產(chǎn)品符合雙方的約定。如果購(gòu)買方已經(jīng)使用了部分或全部的產(chǎn)品，那么視為瓦克的產(chǎn)品符合雙方的約定。

　　9. LIABILITY責(zé)任

　　9.1 In the case that Wacker is in breach, Wacker shall remedy the defect or bear the liability in following manners: (i) replacement of non-conforming Products; or (ii) return the price of the such non-conforming Products; or (iii) compensate Purchaser for its actual direct damage, but such compensation shall not exceed the maximum damage which Wacker can foresee when concluding the contract. Such maximum damage is the purchase price of the specific quantity of such defective Products. Wacker shall not be liable for any consequential damages, which include but are not limited to loss of profit, loss of interest, liabilities of Purchaser to any third party, loss of work, loss of downtime, loss of brand, loss of market value of product, loss of customers, loss of opportunity, loss ofreputation, loss of the price, and enforcement cost for compensation (including, without limitation, lawyer’s fee, litigation costs).

　　如果瓦克違約，瓦克將通過(guò)如下方式進(jìn)行補(bǔ)救或承擔(dān)責(zé)任：(i)更換不符合要求的產(chǎn)品;或(ii)退還相應(yīng)數(shù)量產(chǎn)品的購(gòu)買價(jià)款; 或(iii)對(duì)購(gòu)買方實(shí)際的直接損害進(jìn)行賠償，但支付額不超過(guò)瓦克在簽訂合同時(shí)預(yù)見(jiàn)的最大損失。瓦克在簽訂合同時(shí)預(yù)見(jiàn)的最大損失為被指控造成損害的相應(yīng)數(shù)量瓦克產(chǎn)品的購(gòu)買價(jià)款。瓦克對(duì)購(gòu)買方的間接損失不予賠償，間接損失包括但不限于利潤(rùn)損失、利息損失、購(gòu)買方對(duì)第三方的責(zé)任、停工停產(chǎn)損失、品牌損失、客戶損失、市場(chǎng)損失、機(jī)會(huì)損失、聲譽(yù)損失、產(chǎn)品的市價(jià)跌落損失和實(shí)現(xiàn)賠償?shù)馁M(fèi)用(包括但不限于：律師費(fèi)、訴訟費(fèi)等)。

　　9.2 In case that Purchaser fails to perform its obligations partially of or in full (including canceling the valid order, refusing to accept the delivered Products), WACKER may (i) ask Purchaser to continue to perform its obligations, or (ii) rescind the order. Should Wacker rescind the order due to breach by Purchaser, Purchaser shall pay to Wacker the liquidated damage which equals to the total price of the ordered Products.

　　如果購(gòu)買方部分或全部不履行合同義務(wù)(包括單方解除生效的訂單、拒絕接受貨物)， 瓦克可以要求購(gòu)買方繼續(xù)履行合同義務(wù)，也可以解除訂單。如果瓦克因購(gòu)買方違約行為解除生效的訂單，購(gòu)買方應(yīng)向瓦克支付相當(dāng)于該批產(chǎn)品購(gòu)買價(jià)款的違約金。

　　10. RESERVATION OF OWNERSHIP所有權(quán)保留

　　Products that have been sold remain Wacker’s sole property until all outstanding payments to Wacker have been paid in full by the Purchaser.

　　售出產(chǎn)品的所有權(quán)在購(gòu)買方付清貨款前仍保留為瓦克所有。

　　11. APPLICABLE LAW, JURISDICTION AND LANGUAGE適用法律、管轄權(quán)和語(yǔ)言

　　11.1 Exclusively the laws of the PRC shall apply between the parties. The application of the 1980 United Nations convention on Contracts for the International Sale of Products is expressly excluded.

　　雙方之間應(yīng)僅適用中華人民共和國(guó)法律。1980年聯(lián)合國(guó)國(guó)際貨物銷售合同公約明示排除適用。

　　11.2 Except other agreed, If no settlement can be reached through consultation within ninety (90) days after either party has given written notice to the other party of the existence of a dispute requesting the commencement of consultations under this article, the dispute may be submitted to the People’s Court of Wacker’s domicile for litigation.

　　除雙方另有約定外，如果在一方書(shū)面通知另一方爭(zhēng)議的存在并要求根據(jù)本條款開(kāi)始協(xié)商后九十(90)天內(nèi)，雙方無(wú)法通過(guò)協(xié)商解決爭(zhēng)議，該爭(zhēng)議可提交瓦克住所地人民法院訴訟解決。

　　11.3 This GTC is made in English and Chinese. In case of any discrepancies between the two versions, the Chinese version shall prevail.

　　本一般銷售條件以中英文書(shū)就。如果兩種文本不一致，應(yīng)以中文為準(zhǔn)。
