目的港船上交貨運(yùn)輸和卸貨

DAP DELIVERIES – TRANSPORTATION AND DISCHARGE
1. 買方設(shè)施Buyer's Facilities
1.1 買方設(shè)施的設(shè)計(jì)和容量需符合協(xié)議中LNG 的卸載、儲(chǔ)存和處理要求。買方設(shè)施需包括
但不限于如下設(shè)備:
Buyer's Facilities shall be of appropriate design and sufficient capacity to enable the unloading, storage and processing of LNG in accordance with an Agreement. Buyer's Facilities shall include, without limitation, the following:
(a) 符合國際標(biāo)準(zhǔn)的靠泊設(shè)施,需能夠接收各艘經(jīng)批準(zhǔn)的LNG 船舶,并滿足相關(guān)LNG 船舶在滿載狀態(tài)下安全抵達(dá)、安全停泊、安全卸載、并安全離泊的要求;
berthing facilities that comply with International Standards and are capable of receiving each approved LNG Ship and to which such LNG Ship can safely reach fully laden, at which such LNG Ship can lie safely berthed and discharge safely afloat at all times and from which such LNG Ship can safely depart;
(b) 卸貨設(shè)施,需能夠以約一萬(10,000)立方米/小時(shí)的接收速率向滿載LNG 船接收LNG;unloading facilities capable of receiving LNG at an approximate rate of ten thousand (10,000) cubic metres per hour from a fully laden LNG Ship;
(c) 閃蒸氣回流系統(tǒng),需能夠把必要的天然氣量轉(zhuǎn)移至各艘經(jīng)批準(zhǔn)的LNG 船,以使LNG 按照相關(guān)LNG 船舶設(shè)計(jì)和/或LNG 船舶的良好操作所需的速度、壓力和溫度實(shí)現(xiàn)安全卸載;a vapour return system of sufficient capacity to transfer to each approved LNG Ship quantities of Natural Gas necessary for the safe unloading of LNG at such rates, pressures and temperatures required by the design of such LNG Ship and/or good operating practice with respect to such LNG Ship;
(d) LNG 儲(chǔ)罐,其容量需保證,當(dāng)各艘經(jīng)批準(zhǔn)的LNG 船舶到達(dá)時(shí),能夠接收并完全儲(chǔ)存相關(guān)LNG 貨品;
LNG storage tanks of adequate capacity to receive and fully store the relevant LNG Cargo upon arrival of each approved LNG Ship;
(e) 與各艘經(jīng)批準(zhǔn)的LNG 船舶進(jìn)行必要的電子郵件、傳真、電話和無線電通信所需的聯(lián)絡(luò)系統(tǒng);和
appropriate systems for necessary e-mail, facsimile, telephone and radio communications with each approved LNG Ship; and
(f) 應(yīng)急停車系統(tǒng)。emergency shut down systems.
1.2 買方需保證,買方設(shè)施需符合銷售備忘錄之日有效的,與根據(jù)相關(guān)協(xié)議進(jìn)行每艘LNG
船舶的接收、LNG 的卸載相關(guān)的所有要求和規(guī)范。
Buyer warrants that Buyer's Facilities meet all applicable requirements and regulations, which are in force at the applicable Sale Memorandum Date, for reception of each LNG Ship and the unloading of LNG under the applicable Agreement.
2. LNG 船權(quán)利與義務(wù)LNG Ship Rights and Obligations
2.1 每批LNG 貨品需通過銷售備忘錄中指定的LNG 船舶在卸貨港進(jìn)行交付。
Each LNG Cargo shall be delivered at the Discharge Port on the LNG Ship(s) named in the Sale
Memorandum.
2.2 除銷售備忘錄中另行明確規(guī)定以外,銷售備忘錄中指定的LNG 船舶需認(rèn)定為(i)已經(jīng)
由買賣雙方批準(zhǔn),(ii)與買方設(shè)施兼容。如果買方在銷售備忘錄中保留了對銷售備忘錄中制定的LNG 船舶進(jìn)行檢驗(yàn)或批準(zhǔn)的權(quán)利,上述檢驗(yàn)需及時(shí)實(shí)施,同時(shí)上述批準(zhǔn)不得予以無理拒絕或推遲。
Unless otherwise expressly stated in a Sale Memorandum, the LNG Ship(s) named in the Sale Memorandum shall be deemed (i) to have been approved by Buyer and Seller and (ii) to be compatible with Buyer's Facilities. If Buyer has reserved the right in the Sale Memorandum to inspect and approve a LNG Ship(s) named in the Sale Memorandum, such inspection shall be performed in a timely manner and such approval shall not be unreasonably withheld or delayed.
2.3 賣方可以向買方建議將類似載貨能力的代用LNG 船舶(以下簡稱代用LNG 船舶)用來對LNG 船舶進(jìn)行替換。只有在買方得到合理機(jī)會(huì)對代用LNG 船舶進(jìn)行檢驗(yàn)或批準(zhǔn)的情況下,賣方才可以使用相關(guān)代用LNG船舶。買方對代用LNG 船舶的批準(zhǔn)不得予以無理拒絕或推遲。通過買方批準(zhǔn)的代用LNG 船舶需成為本協(xié)議中所有用途的相關(guān)LNG 貨品的運(yùn)輸船舶,買賣雙方需對認(rèn)定的每日閃蒸率進(jìn)行適當(dāng)調(diào)整。
Seller may propose to Buyer to use a substitute LNG ship ("Substitute LNG Ship") of similar cargo capacity to the LNG Ship being replaced. Seller's use of such Substitute LNG Ship shall not
be permitted until Buyer has been given a reasonable opportunity to inspect and approve such vessel. Buyer's approval of a Substitute LNG Ship shall not be unreasonably withheld or delayed. A Substitute LNG Ship that is approved by Buyer shall become the LNG Ship for the relevant LNG Cargo for all purposes under the Agreement, and Seller and Buyer shall discuss an appropriate adjustment to the Deemed Daily Boil-Off Rate.
2.4 根據(jù)附件C 第2.2 和2.3 條進(jìn)行的LNG 船舶檢驗(yàn)所產(chǎn)生的費(fèi)用需由買方承擔(dān)。任何相

LNG ship inspections pursuant to Sections 2.2 and 2.3 of this Schedule C above shall be at Buyer's expense. Any such inspection shall not relieve Seller of any obligations it has to Buyer pursuant to Section 2.5 of Schedule C. If a LNG carrier is reasonably rejected by Buyer, the Parties shall consult and cooperate with a view to agreeing upon a course of action which will permit the Agreement to be performed. Seller shall not make or permit any modification of a LNG Ship after the Sale Memorandum Date which would cause the LNG Ship to be incompatible with Buyer's Facilities.
2.5 賣方需在銷售備忘錄日期以及任何協(xié)議的整個(gè)協(xié)議期內(nèi)確保,每艘LNG 船需:
Seller shall ensure that at the Sale Memorandum Date and throughout the period of the relevant
Agreement, each LNG Ship shall be:
(a) 符合銷售備忘錄中規(guī)定的最大和最小總?cè)萘恳?
of a maximum and minimum gross volumetric capacity stated in the Sale Memorandum;
(b) 裝有與卸貨港和買方設(shè)施進(jìn)行通訊的適當(dāng)系統(tǒng),包括LNG 卸載正常需要的所有船岸通訊系統(tǒng);
equipped with appropriate systems for communication with the Discharge Port and Buyer's Facilities, including all ship-shore communication systems normally required for the discharge of LNG;
(c) 參加了船東保賠協(xié)會(huì)的保險(xiǎn),包括LNG 船的標(biāo)準(zhǔn)污染責(zé)任保險(xiǎn);
entered for insurance with a P&I Club, including pollution liability standard for LNG ships;
(d) 裝有可在卸貨港進(jìn)行系泊、解纜和運(yùn)送LNG 的適當(dāng)設(shè)施;
equipped with adequate facilities for mooring, unmooring and handling LNG at the Discharge Port;
(e) 在建造和維護(hù)時(shí)遵守在LNG 船舶分級方面具備先前經(jīng)驗(yàn)的國際船級社協(xié)會(huì)會(huì)員的規(guī)章制度,并符合船舶登記國的相關(guān)條約、法律,以及LNG 船合理審慎的作業(yè)者需遵守的任何其他法律、建議和指導(dǎo)原則;
constructed and maintained in accordance with the rules and regulations of, and maintained in class with, a member of the International Association of Classification Societies that has prior experience in classifying LNG carriers, and in compliance with applicable treaties, laws of the country of vessel registry, and any other laws, recommendations and guidelines with which a Reasonable and Prudent Operator of LNG carriers would comply;
(f) 在操作時(shí)遵守國際標(biāo)準(zhǔn)和船舶登記國的相關(guān)法律,包括(i)與適航性、設(shè)計(jì)、安全、環(huán)境保護(hù)、導(dǎo)航和其它操作事宜相關(guān)的法律;和(ii)政府機(jī)關(guān)對在卸貨港進(jìn)行LNG 運(yùn)輸和卸載所需的LNG 船舶的所有許可和批復(fù);
operated in compliance with International Standards and applicable laws of the country of vessel
registry, including (i) those that relate to seaworthiness, design, safety, environmental protection, navigation, and other operational matters, and (ii) all permits and approvals from governmental authorities for LNG carriers that are required for the transportation and discharge of LNG at the Discharge Port;
(g) 配備具有經(jīng)驗(yàn)和能力的操作員、指揮員和船員,以上人員需(i)在國際LNG 或油船操作方面具備適當(dāng)資質(zhì)和經(jīng)驗(yàn),受過相關(guān)培訓(xùn),并達(dá)到國際海事組織(IMO)最低標(biāo)準(zhǔn),(ii)可以與監(jiān)管當(dāng)局和買方設(shè)施操作員用英語進(jìn)行書面或口頭交流;(iii)同意禁止在LNG 船上使用毒品或飲酒的政策(該政策為買方所合理接受);以及
manned with skilled and competent operators, officers and crew who (i) are suitably qualified, trained and experienced in international LNG or oil ship operations and qualified to a minimum of IMO standards, (ii) are able to communicate with regulatory authorities and operators at Buyer's Facilities in written and spoken English, and (iii) have subscribed to a policy, reasonably acceptable to Buyer, precluding the use of drugs or alcohol aboard a LNG carrier; and
(h) 在操作時(shí)按照與國際海事組織(IMO)用于LNG 卸載的船岸安全檢查表相一致,且在卸貨操作開始前得到買方書面同意的計(jì)劃進(jìn)行。
operated in accordance with a plan that is consistent with the IMO's Ship/Shore Safety Checklist for discharging LNG and which has been agreed in writing with Buyer before the commencement of unloading operations.
2.6 在任何銷售備忘錄實(shí)施之前,買方需向賣方提供一份卸貨點(diǎn)處有效的接收站規(guī)范。賣方需遵守買方提供的相關(guān)接收站規(guī)范,或者向買方取得對上述規(guī)范的豁免(無論是在相關(guān)銷售備忘錄日之前或之后取得上述豁免)。賣方聲明并保證,在相關(guān)銷售備忘錄日,每艘LNG 船需符合相關(guān)政府或港口當(dāng)局對在卸貨港所在國水域范圍內(nèi)進(jìn)行操作的所有有效的相關(guān)要求以及適用的國際要求,或取得上述要求的豁免。賣方需確保,賣方承運(yùn)方的船長或任何代表對卸貨港或買方設(shè)施就LNG 船舶靠泊方面所要求的使用條件(或類似文件)予以實(shí)施,只要上述責(zé)任或義務(wù)限制在通常情況下或在合理的商業(yè)條款下不存在歧視,對所有使用上述卸貨港和買方設(shè)施的LNG 船舶均適用,并為國際保賠協(xié)會(huì)集團(tuán)所接受。
Prior to the execution of any Sale Memorandum, Buyer shall provide Seller with a copy of the Terminal Rules then in effect at the discharge location. Seller shall either comply with the relevant Terminal Rules as provided by Buyer, or shall have obtained a waiver of such from Buyer (whether such waivers are obtained before or after the Sale Memorandum Date). Seller represents and warrants that as at the Sale Memorandum Date each LNG Ship will meet or has obtained valid waivers in respect of all applicable governmental or port authority requirements for operation in the waters of the country of the Discharge Port as well as all applicable international requirements which are then in force. Seller shall ensure that the master, or other representative of Seller's Transporter executes any conditions of use (or similar document) required by the Discharge Port or Buyer's Facilities in connection with the berthing of the LNG Ship, provided that such obligations and liability limits are applied on a non-discriminatory basis to all LNG ships using such Discharge Port and Buyer's Facilities and are acceptable to the International Group of Protection and Indemnity Clubs, in either case in the ordinary course and on commercially reasonable terms.
2.7 如果有LNG 船舶在進(jìn)行安全靠泊時(shí)需要拖輪、引航員、護(hù)航艦或其它支援船的協(xié)助, 或以任何形式需要使用上述人員或設(shè)施,則相關(guān)人員或設(shè)施的協(xié)助或使用所產(chǎn)生的相關(guān)風(fēng)險(xiǎn)和費(fèi)用由賣方單獨(dú)承擔(dān),除非銷售備忘錄中另行約定。在賣方需要拖輪、引航員、護(hù)航艦或其它支援船的協(xié)助時(shí),買方應(yīng)予以合理協(xié)助。
If a LNG Ship requires assistance from or the use in any manner of tugs, pilots, escort vessels or other support vessels in connection with the safe berthing of such LNG Ship, such assistance or use shall be at the sole risk and expense of Seller unless agreed otherwise in the Sale Memorandum. Buyer shall provide Seller with all reasonable assistance in securing assistance from tugs, pilots, escort vessels or other support vessels such as Seller may require.
3. 卸貨港作業(yè)Discharge Port Operations
3.1 買方需負(fù)責(zé)接貨碼頭的操作或促成他人進(jìn)行操作,以使每艘LNG 船能夠盡量快速高效
地進(jìn)行卸貨作業(yè),同時(shí),買方需在每艘LNG 船根據(jù)銷售備忘錄中的卸貨安排進(jìn)行快速維修和離泊時(shí)提供協(xié)助。在每批LNG 貨品進(jìn)行卸貨時(shí),LNG 船舶需要向買方設(shè)施返回一定量的天然氣,回流的天然氣量需能確保LNG 船舶在相關(guān)速度、壓力和溫度的情況下能夠?qū)崿F(xiàn)LNG 的安全卸載。
Buyer shall operate, or cause to be operated, the receiving terminal so as to permit unloading of each LNG Ship as quickly and efficiently as reasonably possible, and shall cooperate in prompt servicing and departure of such LNG Ship pursuant to the unloading schedule in the Sale Memorandum. During unloading of each LNG Cargo, the Buyer's Facilities shall return to the LNG Ship Natural Gas in such quantities as are necessary for the safe unloading of the LNG at such rates, pressures and temperatures as may be required by the LNG Ship.
3.2 在買方的協(xié)助下,賣方需在保障安全高效的情況下負(fù)責(zé)實(shí)施,或促成他方實(shí)施每艘LNG 船舶的靠泊作業(yè)。買賣雙方需根據(jù)相關(guān)銷售備忘錄中的卸貨安排,在靠泊完成后,通過合作開始卸貨作業(yè)或促成他方開始卸貨作業(yè),并需通過合作完成卸貨作業(yè)或促成他方完成卸貨作業(yè),并盡可能保證卸貨作業(yè)的安全和效率。
Seller shall berth each LNG Ship or cause it to be berthed as safely and expeditiously as reasonably possible in cooperation with Buyer. In accordance with the unloading schedule in the Sale Memorandum, Buyer and Seller shall cooperate to commence unloading or cause it to be commenced upon completion of berthing and complete unloading or cause it to be completed as safely and expeditiously as reasonably possible.
3.3 買賣雙方需通過合理努力,避免LNG 船舶在買方設(shè)施的靠泊過程中與其它LNG 船發(fā)
生沖突。如果有LNG 船在其交付窗口期進(jìn)入卸貨港,買方需通過合理努力,確保該LNG 船比其他LNG 船舶相比具備優(yōu)先權(quán),除非有其他也在計(jì)劃中的交付窗口期之內(nèi)的LNG 船在之前到達(dá),且由于惡劣天然條件或其它不可抗力原因正在等待卸貨。對于在交付窗口期之前或之后抵達(dá)卸貨港的LNG 船舶,買方需通過合理努力,促使卸貨港設(shè)施運(yùn)營方盡快接收該船舶。如果發(fā)生兩艘LNG 船舶在相似時(shí)間到達(dá)卸貨港,且兩艘船均在各自的時(shí)間計(jì)劃范圍以外,則采用先來后到的船運(yùn)行業(yè)常規(guī)慣例。
Buyer and Seller shall use reasonable endeavours to avoid any conflict with other LNG ships in berthing a LNG Ship at Buyer's Facilities. If a LNG Ship arrives at the Discharge Port within its Delivery Window, Buyer shall use reasonable endeavours to ensure that such LNG Ship shall have priority over other LNG carriers except in the case that the other ship, having arrived within its scheduled delivery window and is waiting due to Adverse Weather Conditions or other Force Majeure reasons. Buyer shall use reasonable endeavours to cause the operator of the Discharge Port facilities to accept as soon as possible a LNG Ship that arrives at the Discharge Port prior to or after the Delivery Window. If a LNG Ship and another LNG carrier are due to arrive at the Discharge Port at a similar time and both vessels are outside their respective schedules, then the normal shipping industry practice of "first come, first served" shall apply.
3.4 在卸貨完成后,賣方需在買方協(xié)作之下,盡可能安全高效地完成每艘LNG 船舶的離泊
作業(yè)。
Seller shall cause each LNG Ship to depart as safely and expeditiously as reasonably possible from the berth after completion of unloading in cooperation with Buyer.
3.5 賣方在對實(shí)際可卸載的LNG 上限量(在LNG 船船長和買方設(shè)施運(yùn)營方確定的操作公
差范圍內(nèi)),并對(從裝貨港駛往卸貨港的途中產(chǎn)生的)閃蒸量,LNG 船在卸貨完成后所需保留的留底貨量予以考慮后,在保障安全合理的前提下在卸貨港進(jìn)行每艘LNG 船的卸貨。
Seller shall cause each LNG Ship to be discharged at the Discharge Port as fully as is safely and reasonably practicable after taking into account the maximum amount of LNG that can practically be discharged (within the operational tolerance established by the master of the LNG Ship and the operator of Buyer's Facilities), allowing for boil-off (resulting from the voyage between the Loading Port and the Discharge Port) and the Heel to be retained by the LNG Ship after discharge.
3.6 買方需承擔(dān)LNG 船舶在卸貨港進(jìn)行移泊所產(chǎn)生的所有費(fèi)用,除非移泊作業(yè)是由于賣方
和/或賣方承運(yùn)方的行為或不作為而導(dǎo)致的。
Buyer shall pay all charges which are payable by reason of the LNG Ship having to shift berth at the Discharge Port, unless such shifting is a result of Seller's and/or Seller's Transporter's action or inaction.
4. 通知Notices
4.1 對于根據(jù)本總協(xié)議交付給買方的每批LNG 貨品,賣方需向買方,或促使LNG 船船長
向買方發(fā)出如下通知:
With respect to each LNG Cargo to be delivered to Buyer pursuant to this Master Agreement, Seller shall give, or cause the master of the LNG Ship to give, to Buyer, the following notices:
(a) 當(dāng)LNG 船離開裝貨港(并駛往卸貨港)時(shí),需發(fā)出第一個(gè)通知,告知上述離泊日期、時(shí)間,以及LNG 船舶預(yù)計(jì)到達(dá)卸貨港的時(shí)間(以下簡稱預(yù)計(jì)到達(dá)時(shí)間)。如果預(yù)計(jì)到達(dá)時(shí)間變動(dòng)超過十二(12)個(gè)小時(shí),LNG船船長需立即將正確的預(yù)計(jì)到達(dá)時(shí)間通知買方;
a first notice, which shall be sent either upon the departure (for the Discharge Port) of the LNG Ship from the Loading Port stating the time and date of such departure, and the estimated time of arrival of the LNG Ship at the Discharge Port (the "ETA"). If this ETA changes by more than twelve (12) hours, the LNG Ship's master shall promptly give notice of the corrected ETA to Buyer;
(b) 在LNG 船到達(dá)卸貨港之前一百二十(120)小時(shí),需發(fā)出第二個(gè)通知,對預(yù)計(jì)到達(dá)時(shí)間進(jìn)行更新和確認(rèn)。如果預(yù)計(jì)到達(dá)時(shí)間變動(dòng)超過十二(12)個(gè)小時(shí),LNG 船船長需立即將正確的預(yù)計(jì)到達(dá)時(shí)間通知買方;
a second notice, updating or confirming the ETA, which shall be sent one hundred and twenty (120) hours prior to arrival at the Discharge Port. If this ETA changes by more than twelve (12) hours, the LNG Ship's master shall promptly give notice of the corrected ETA to Buyer;
(c) 在LNG 船到達(dá)卸貨港之前七十二(72)小時(shí),需發(fā)出第三個(gè)通知,對預(yù)計(jì)到達(dá)時(shí)間進(jìn)行更新和確認(rèn)。如果預(yù)計(jì)到達(dá)時(shí)間變動(dòng)超過六(6)個(gè)小時(shí),LNG 船船長需立即將正確的預(yù)計(jì)到達(dá)時(shí)間通知買方;
a third notice, updating or confirming the ETA, which shall be sent seventy-two (72) hours prior to arrival at the Discharge Port. If this ETA changes by more than six (6) hours, the LNG Ship's master shall promptly give notice of the corrected ETA to Buyer;
(d) 在LNG 船到達(dá)卸貨港之前四十八(48)小時(shí),需發(fā)出第四個(gè)通知,對預(yù)計(jì)到達(dá)時(shí)間進(jìn)行更新和確認(rèn)。如果預(yù)計(jì)到達(dá)時(shí)間變動(dòng)超過六(6)個(gè)小時(shí),LNG 船船長需立即將正確的預(yù)計(jì)到達(dá)時(shí)間通知買方;
a fourth notice, updating or confirming the ETA, which shall be sent forty-eight (48) hours prior to arrival at the Discharge Port. If this ETA changes by more than six (6) hours, the LNG Ship's master shall promptly give notice of the corrected ETA to Buyer;
(e) 在LNG 船到達(dá)卸貨港之前二十四(48)小時(shí),需發(fā)出第五個(gè)通知,對預(yù)計(jì)到達(dá)時(shí)間進(jìn)行更新和確認(rèn)。如果預(yù)計(jì)到達(dá)時(shí)間變動(dòng)超過一(1)個(gè)小時(shí),LNG 船船長需立即將正確的預(yù)計(jì)到達(dá)時(shí)間通知買方;
a fifth notice, updating or confirming the ETA, which shall be sent twenty-four (24) hours prior to arrival at the Discharge Port. If this ETA changes by more than one (1) hour, the LNG Ship's master shall promptly give notice of the corrected ETA to Buyer;
(f) 當(dāng)LNG 船到達(dá)引航員登船點(diǎn),并做好了靠泊和卸載LNG 的所有準(zhǔn)備工作時(shí), 需發(fā)出準(zhǔn)確就緒通知書(以下簡稱準(zhǔn)確就緒通知書)。
notice of readiness when the LNG Ship has arrived at the PBS and the LNG Ship is ready to berth and to unload LNG in all respects ("Notice of Readiness").
上述條款中涉及的通知需以傳真或電子郵件的方式發(fā)出。
The notices referred to above shall be sent either by facsimile or email.
4.2 賣方根據(jù)附件C 第4.1(a)條發(fā)出的通知中需包括:LNG 船舶在買方設(shè)施處需卸載的
LNG 估計(jì)量(單位為立方米),以及可能會(huì)影響LNG 船舶在港口表現(xiàn)的任何操作性缺陷。賣方根據(jù)附件C第4.1 條發(fā)出的后續(xù)各個(gè)通知需包括以上信息的任何實(shí)質(zhì)性變化。
Seller's notice under Section 4.1(a) of Schedule C shall state the estimated volume, expressed in cubic metres, of LNG which is to be unloaded from the LNG Ship at Buyer's Facilities and any operational deficiencies which may affect the LNG Ship's port performance. Each further notice given by Seller under Section 4.1 of Schedule C above shall include details of any significant change in such information.
5. 滯期和過度蒸發(fā)量Demurrage and excess boil-off
5.1 LNG 船舶卸貨時(shí)所用時(shí)長(以下簡稱卸貨時(shí)長)需從以下時(shí)間中的最早時(shí)間點(diǎn)算

Laytime used in unloading a LNG Ship ("Laytime") shall begin to count upon the earlier of (i) the LNG Ship being all fast in the berth, (ii) six (6) hours after the tendering of the Notice of Readiness, if the LNG Ship tenders Notice of Readiness within the Delivery Window, or (iii) 0600 hours Local Time on the first day of the Delivery Window, if the LNG Ship arrives prior to such date, and shall end when the last unloading arm is disconnected and the LNG Ship is cleared for departure and able to depart.

Laytime at the Discharge Port shall be thirty (30) hours.

In the event Laytime exceeds Allowed Laytime, Buyer shall pay Seller, or to Seller's Transporter's account if so directed by Seller, demurrage at the daily rate stated in the Sale Memorandum. The Parties undertake that demurrage is the sole and exclusive compensation payable if Laytime exceeds Allowed Laytime. However, if such delay also affects the delivery of subsequent LNG Cargoes to Buyer scheduled in accordance with the Sale Memorandum or any other Sale Memorandum entered into pursuant to this Master Agreement, Seller and Buyer shall consult in good faith to modify the Delivery Window in respect of such subsequent LNG Cargoes so as to facilitate delivery of such LNG Cargoes.

For computation of demurrage to be paid by Buyer, any time lost as a result of any of the following shall be added to Allowed Laytime:

the fault of Seller, the Transporter, the LNG Ship or its master, crew, owner or operator;
(b) 不可抗力;Force Majeure;

time during which normal operation at the Discharge Port is prohibited by law, regulation or decree;

compliance by the LNG Ship with Discharge Port regulations, unless such compliance is necessitated by the failure of Buyer or Buyer's servants or agents to comply with this Master Agreement.

Without prejudice to Seller's right to receive demurrage in accordance with Section 5.3 of Schedule C, if any problem occurs or is foreseen to occur so as to cause delay to a LNG Ship in berthing, unloading and/or departing which results or is expected to result in Laytime exceeding Allowed Laytime, Buyer and Seller shall discuss the problem in good faith and use reasonable endeavours to minimise such delay and, at the same time, cooperate with each other to identify measures which can be adopted to reduce or to avoid the occurrence of any similar delay in the future.

If a LNG Ship is delayed in the commencement of unloading for reasons attributable to Buyer or Buyer's servants or agents for twenty-four (24) hours after the earlier of (i) the LNG Ship being all fast in the berth, (ii) six (6) hours after the tendering of the Notice of Readiness, if the LNG Ship tenders Notice of Readiness within the Delivery Window, or (iii) 0600 hours Local Time on the first day of the Delivery Window, if the LNG Ship arrives prior to such date, then Buyer shall pay Seller an amount, on account of excess boil-off, equal to the Contract Price multiplied by the MMBtus of excess boil-off. The MMBtus of excess boil-off shall be calculated by multiplying the Nominal Quantity by the Deemed Daily Boil-Off Rate in the Sale Memorandum and multiplying the product by the number of days (including partial days) between the time when excess boil-off commences as determined in this Section 5.6 and the time when unloading begins.

Buyer shall pay such invoice in accordance with Section 11.4(b).

If the unloading of a LNG Ship is not completed within the Allowed Laytime and such delay is the fault of Seller, and, as a result, another LNG carrier is delayed in unloading, Seller shall reimburse Buyer for documented costs reasonably incurred by Buyer as a direct result of such delay, including demurrage payable in respect of such LNG carrier, provided that Seller shall not be required to reimburse Buyer for any amount in excess of the duration of the delay multiplied by the demurrage rate in the Sale Memorandum.

Seller shall supply, operate and maintain, or cause to be supplied, operated and maintained, suitable gauging devices for the LNG tanks of the LNG Ship, as well as pressure and temperature measuring devices and all other measurement or testing devices that are incorporated in the structure of such LNG Ship or customarily maintained on board ship.
6.2 買方需提供、操作并維護(hù),或促成他方提供、操作并維護(hù),收集交付LNG 的連續(xù)樣本

Buyer shall supply, operate and maintain, or cause to be supplied, operated and maintained, devices required for collecting continuous samples and for determining quality and composition of the delivered LNG and all other measurement or testing devices that are necessary to perform the measurement and testing required hereunder at Buyer's Facilities.

Each device provided for in this Section 6 shall be of a design that has been proven in service in an existing LNG trade, unless otherwise agreed by the Parties as provided below. Any devices provided for in this Section 6 not previously used in an existing LNG trade shall be chosen by agreement of the Parties and shall be such as are, at the time of selection, the most accurate and reliable in their practical application. The required degree of accuracy of such devices shall be agreed upon and verified by the Parties in advance of their use, and such degree of accuracy shall be verified by independent surveyors jointly appointed by Buyer and Seller. All such devices shall be subject to approval by classification societies or by the appropriate governmental authority of the country in which the Discharge Port is located and/or the country in which the Loading Port is located, as applicable.

The Parties shall cooperate closely in the design, selection and acquisition of devices to be used for measurements and tests under this Section 6 so that, as far as possible, measurements and tests
may be conducted in either United States units of measurement or metric units of measurement. In the event that it becomes necessary to make measurements and tests using different systems or units of measurement, the Parties shall establish mutually agreed conversion tables. Measurement devices shall be calibrated in the United States units or metric units set out in the table below.
6.5 賣方需為LNG 船的每個(gè)儲(chǔ)罐向買方提供一份,或促成他方向買方提供一份如附件E 第

Seller shall furnish to Buyer, or cause Buyer to be furnished with, a certified copy of tank gauge tables as described in Section 2 of Schedule E for each tank of the LNG Ship.

Volumes of LNG delivered at the Delivery Point under this Agreement shall be determined by gauging the LNG in the tanks of the LNG Ship(s) immediately before and after unloading. Gauging the liquid in the tanks of the LNG Ship(s) and the measuring of liquid temperature, vapour temperature and vapour pressure in each LNG tank and the trim and list of the LNG Ship(s) and atmospheric pressure shall be performed, or caused to be performed, by Seller before and after unloading. Copies of gauging and measurement records shall be furnished to Buyer. Gauging devices shall be selected, and measurements shall be effected, in accordance with the procedures set forth in the Terminal Rules or, in the absence of such procedures, with the procedures set forth in Sections 3 and 4 of Schedule E.

Representative samples of the LNG delivered at the Delivery Point shall be obtained or caused to be obtained by Buyer and provided to Seller in accordance with the procedures set forth in the Terminal Rules or, in the absence of such procedures, with the procedures set forth in Section 5 of Schedule E. Such sample shall be analysed, or caused to be analysed by Buyer, in accordance with the procedures set forth in the Terminal Rules or, in the absence of such procedures, with the procedures set forth in Section 5 of Schedule E in order to determine the Btu content, the molar fraction of the hydrocarbons and other components in the sample.

行核實(shí)。The quantity of Btus unloaded at the Discharge Port shall be calculated by Buyer in accordance with the procedures set forth in the Terminal Rules or, in the absence of such procedures, with the procedures set forth in Section 6 of Schedule E and shall be verified by the jointly appointed independent surveyors.

All measurements, gauging and analyses provided for in Sections 6.6 to 6.8 of Schedule C above shall be witnessed and verified by the jointly appointed independent surveyors. Prior to effecting such measurements, gauging and analyses, the Party responsible for such operations shall notify the representatives of the other Party and the independent surveyors, allowing such representative and independent surveyors a reasonable opportunity to be present for all operations and computations; provided, however, that the absence of the representative of the other Party after notification and reasonable opportunity to attend shall not prevent any operation or computation from being performed. The results of the verifications by the independent surveyors shall be made available promptly to each Party. All records of measurements and the computation results shall be preserved by the Party responsible for effecting such measurements and held available to the other relevant Party for a period of not less than one (1) year after such measurements and computations have been completed, or if longer until any dispute between the Parties relating in any way to such
measurements and computations has been finally resolved (by agreement or court proceedings
or arbitration or otherwise).
6.10 各相關(guān)方應(yīng)按照雙方約定的時(shí)間間隔對相關(guān)計(jì)量裝置的精度測試和查驗(yàn)。對于LNG 船

Each relevant Party shall test and verify the accuracy of the applicable gauging devices at intervals to be agreed between the Parties. In the case of gauging devices on the LNG Ship(s), such tests and verifications shall take place during scheduled dry-docking periods. Each Party, at its own cost and risk, shall have the right to inspect at any time the gauging devices installed by the other Party, provided that the other Party shall be notified reasonably in advance. Testing shall be performed using methods recommended by the manufacturer or any other method agreed upon by Buyer and Seller. Tests shall be witnessed and verified by the jointly appointed independent surveyors. Either Party shall have the right to have representatives present to witness measurements, sampling and testing of devices and LNG.
6.11 允許偏差需根據(jù)接收站規(guī)范中的規(guī)定,如果沒有偏差方面的相關(guān)規(guī)定,則按照附件E

Permissible tolerances shall be as set forth in the Terminal Rules or, in the absence of such tolerances, as set forth in Sections 2 and 3 of Schedule E. Where the inaccuracy of a device is found to exceed the permissible tolerances, the device, if possible, shall be adjusted accordingly and recordings and computations made on the basis of those recordings shall be corrected with respect to any period of error that is definitely known or agreed by the Parties. All the invoices issued during such period of error shall be amended accordingly to reflect such correction and an adjustment in payment shall be made between Seller and Buyer within fifteen (15) Business Days of such adjustment. In the event that the period of error is neither known nor agreed, corrections shall be made for each delivery made during the last half of the period since the date of the most recent calibration of the inaccurate device. However, the provisions of this Section 6.11 shall not be applied to require the modification of any disputed invoice that has been finally resolved pursuant to Section 11.6.

All costs and expenses for testing and verifying measurement devices shall be borne by the Party who is testing or verifying the devices unless the testing is conducted at the request of the other Party and such testing does not disclose errors or inaccuracies which require correction in such measurement devices, in which event, the Party requesting such testing or verification shall bear such costs; provided, however, that representatives of the Parties attending such tests and verifications shall do so at the cost and risk of the Party they represent.

Should no Terminal Rules be in force and available to the Parties in writing, the procedure and guidelines specified below shall be applicable for determining such LNG quantity delivered.

在使用任何LNG 船舶之前,相關(guān)方需(a)在LNG 船舶的儲(chǔ)罐從未進(jìn)行校準(zhǔn)的情況下,安排經(jīng)由協(xié)議雙方約定的業(yè)內(nèi)公認(rèn)的權(quán)威機(jī)構(gòu)對相關(guān)儲(chǔ)罐進(jìn)行校準(zhǔn),或(b)在LNG 船舶的儲(chǔ)罐進(jìn)行過校準(zhǔn)的情況下,提供由協(xié)議雙方約定的業(yè)內(nèi)公認(rèn)的權(quán)威機(jī)構(gòu)進(jìn)行相關(guān)校準(zhǔn)的證明。
Prior to the utilization of any LNG Ship, the relevant Party shall (a) in the case of a LNG Ship the tanks of which have never been calibrated, arrange for such tanks to be calibrated for volume against level by an industry recognized authority agreed by the Parties or (b) in the case of a LNG Ship the tanks of which have previously been calibrated, provide evidence of such calibration by an industry recognized authority agreed by the Parties.
儲(chǔ)罐的校準(zhǔn)需根據(jù)國際LNG 進(jìn)口商組織(GIIGNL)發(fā)布的LNG 交接計(jì)量(2011 版)進(jìn)行準(zhǔn)備。
Calibration of the tanks shall be prepared in accordance with methods described in the LNG Custody Transfer published by GIIGNL, 2011 edition.
校準(zhǔn)證書中需聲明, 液位計(jì)表的確定以不確定性小于0.2% 為依據(jù)。
Calibration certificates shall state that the tank tables are determined with an uncertainty less than 0.2%.
3. 計(jì)量裝置的選擇Selection of Gauging Devices
3.1 液位計(jì)量裝置Liquid Level Gauging Devices
每艘LNG 船中的各個(gè)LNG 儲(chǔ)罐均應(yīng)配備一主一輔兩個(gè)液位計(jì)量裝置。
Each LNG tank of each LNG Ship shall be equipped with a main and an auxiliary liquid level gauging device.
主要液位計(jì)量裝置的計(jì)量誤差需為+/- 5 毫米,輔助液位計(jì)量裝置的計(jì)量誤差需為+/- 7.5 毫米。
The measurement uncertainty of the main liquid level gauging devices shall be +/- 5 millimetres and of the auxiliary liquid level gauging devices shall be +/- 7.5 millimetres.
3.2 溫度計(jì)量裝置Temperature Gauging Devices
每艘LNG 船中的各個(gè)LNG 儲(chǔ)罐均應(yīng)配備至少五(5)個(gè)溫度計(jì)量裝置,安裝于上述LNG 儲(chǔ)罐縱軸處或其附近。上述溫度傳感器需一對一進(jìn)行備用:在上述溫度傳感器附近安裝備用傳感器,供應(yīng)急使用。在-165oC 到-145oC 溫度范圍內(nèi),溫度計(jì)量裝置的計(jì)量誤差需不超過0.2oC,在-145oC 到45oC 溫度范圍內(nèi),溫度計(jì)量裝置的計(jì)量誤差需不超過1.5oC。
Each LNG tank of each LNG Ship shall be equipped with a minimum of five (5) temperature gauging devices located on or near the vertical axis of such LNG tank. These temperature sensors shall have 100% back up redundancy in the form of spare sensors, for emergency use mounted adjacent to such temperature sensors. The measurement uncertainty of the temperature gauging devices shall be no greater than 0.2oC at -165o to -145oC and no greater than 1.5oC at -145oC to 45oC.
對所有完全浸入液體的計(jì)量裝置所測得的溫度值進(jìn)行算術(shù)平均,并四舍五入至0.1°C, 從而得出液體的平均溫度。對所有非完全浸入液體的計(jì)量裝置所測得的溫度值進(jìn)行算數(shù)平均,并四舍五入至0.1°C,從而得出蒸發(fā)氣的平均溫度。
The average temperature of the liquid will be obtained by the arithmetic mean value of the temperatures taken by all measuring devices fully immersed in liquid and rounded to 0.1°C. The average temperature of the vapour will be obtained by the arithmetic mean value of the temperatures taken by all measuring devices not fully immersed in liquid and rounded to 0.1°C.
3.3 壓力計(jì)量裝置Pressure Gauging Devices
每艘LNG 船中的各個(gè)LNG 儲(chǔ)罐均應(yīng)配備配備一臺(tái)絕對壓力計(jì)量裝置。對所有壓力計(jì)量裝置所測得的壓力值進(jìn)行算術(shù)平均,從而得出平均蒸發(fā)氣壓力。平均壓力值需四舍五入至1 mbar。
Each LNG tank of each LNG Ship shall have one absolute pressure gauging device. The average vapour pressure will be determined by the arithmetic mean value of the pressures obtained by all pressure gauging devices. The value will be rounded to the nearest 1 mbar.
壓力計(jì)量裝置的計(jì)量誤差需為整個(gè)計(jì)量范圍的正負(fù)百分之一( +/- 1% ) 。
The measurement accuracy of the pressure gauging device shall be plus or minus one percent (+/-
1%) of full-scale.
3.4 計(jì)量裝置精度的驗(yàn)證Verification of Accuracy of Gauging Devices
計(jì)量裝置的精度需要進(jìn)行驗(yàn)證,如果有任何裝置出現(xiàn)的誤差超出允許公差以外,則需要根據(jù)附件B 第7.11 條或附件C 第6.11 條(視情況而定)對記錄值和計(jì)算值予以更正。
Gauging devices shall be verified for accuracy, and any inaccuracy of a device exceeding the permissible tolerance shall require correction of recordings and computation in accordance with the terms of Section 7.11 of Schedule B or Section 6.11 of Schedule C, whichever applicable.
4. 計(jì)量過程Measurement Procedures
LNG 的交付量(立方米)及其溫度和壓力需采用LNG 船的儀表根據(jù)國際LNG 進(jìn)口商
組織(GIIGNL)發(fā)布的LNG 交接計(jì)量(2011 版)中描述的方法進(jìn)行計(jì)量。
The quantity in cubic metres and the temperature and the pressure of the delivered LNG shall be
measured with the LNG Ship instrumentation in accordance with the methods described in the LNG Custody Transfer published by the GIIGNL, 2011 edition. 5. LNG 組分的確定Determination of LNG Composition
交付LNG 的平均組分,(i)裝運(yùn)港船上交貨時(shí),采用賣方設(shè)施的儀表,以及(ii)目的港船上交貨時(shí),采用買方設(shè)施的儀表,根據(jù)國際LNG 進(jìn)口商組織(GIIGNL)發(fā)布的LNG 交接計(jì)量(2011 版)中描述的方法進(jìn)行測定。
The mean composition of the delivered LNG is determined (i) in the case of a FOB delivery, utilizing Seller's Facilities' instrumentation and (ii) in the case of a DAP delivery, utilizing Buyer's Facilities' instrumentation in either case in accordance with the methods described in the LNG Custody Transfer published by the GIIGNL, 2011 edition.
交付過程中的蒸發(fā)氣回流需在能量平衡中予以考慮。返回船舶的氣相回流的平均組分,(i)裝運(yùn)港船上交貨時(shí),采用賣方設(shè)施的儀表,以及(ii)目的港船上交貨時(shí),采用買方設(shè)施的儀表,根據(jù)國際LNG 進(jìn)口商組織(GIIGNL)發(fā)布的LNG 交接計(jì)量(2011 版)中描述的方法進(jìn)行確定,或通過其它方法或以經(jīng)驗(yàn)為依據(jù)的常數(shù)進(jìn)行確定。
The vapour return during the delivery operations shall be taken into account in the energy balance. The mean composition of the vapour phase return to the ship shall be determined (i) in the case of a FOB delivery, utilizing Seller's Facilities' instrumentation and (ii) in the case of a DAP delivery, utilizing Buyer's Facilities' instrumentation in either case in accordance with the methods described in the LNG Custody Transfer published by the GIIGNL, 2011 edition or determined by other means or taken as constant determined by experience.
6. 交付LNG 的BTU 量的確定Determination of BTU Quantity of LNG Delivered
6.1 LNG 密度LNG Density
LNG 密度需采用《NBS 技術(shù)說明(第1030 號(hào))》(1980 年12 月版)中的Klosek McKinley 方法計(jì)算得出。
The LNG density shall be calculated by use of the method of Klosek McKinley from NBS Technical Note 1030, December 1980.
摩爾質(zhì)量需采用ISO 6976-2005 中的方法進(jìn)行確定,密度單位需為kg/m3,計(jì)算結(jié)果保留小數(shù)點(diǎn)后兩位有效數(shù)字。
The molar mass shall be determined by use of the method ISO 6976-2005, units of density shall be in kg/m3 and calculation results shall be given with 0.01 significant figures.
6.2 總熱值Gross Heating Value
(i) 總熱值(基于質(zhì)量)Gross Heating Value (Mass)
總熱值(基于質(zhì)量)需采用ISO 6976-2005 中的方法進(jìn)行計(jì)算,并以十五攝氏度(15°C)作為燃燒參比條件,單位需為MJ/kg,計(jì)算結(jié)果保留小數(shù)點(diǎn)后兩位有效數(shù)字。
The Gross Heating Value (Mass) shall be calculated by use of the method ISO 6976-2005 with combustion reference conditions of fifteen degrees Celsius (15°C) and units of MJ/kg and 0.01 significant figures.
(ii) 總熱值(基于體積)Gross Heating Value (Volumetric)
總熱值(基于體積)需作為理想氣體采用ISO 6976-2005 中的方法進(jìn)行計(jì)算,并以十五攝氏度(15°C)作為燃燒參比條件,單位需為MJ/kg, 計(jì)算結(jié)果保留小數(shù)點(diǎn)后兩位有效數(shù)字。The Gross Heating Value (Volumetric) shall be calculated as Ideal gas by use of the method ISO 6976- 2005 with combustion reference conditions of fifteen degrees Celsius (15°C), stated in units of MJ/m3 and 0.01 significant figures.
6.3 交付能量Energy delivered
交付能量值需根據(jù)國際LNG 進(jìn)口商組織(GIIGNL)發(fā)布的LNG 交接計(jì)量(2011 版) 中提出的下列公式進(jìn)行計(jì)算:
The quantity of the energy delivered shall be calculated in accordance with the following formula given in the LNG Custody Transfer published by the GIIGNL, 2011 edition:
E = (Vlng * Dlng * GCVlng) - E 氣體置換
Vlng = LNG 的卸貨量(m3)the volume of LNG unloaded (m3)
Dlng = 卸載LNG 的密度(單位kg/m3)(根據(jù)本附件中第6.1 條)
the density of the LNG unloaded in kg/m3 as referenced in Section 6.1 of this Schedule
GCVlng = 卸載LNG 的總熱值(單位MJ/kg)(根據(jù)本附件中第6.2(i) 條)
the gross calorific value of the LNG unloaded in MJ/kg as referenced in Section 6.2(i) of this schedule
E 氣體置換= 卸載過程中,LNG 船舶接收的天然氣能量(單位MMBtu), 作為轉(zhuǎn)移LNG 的置換LNG
the energy of the gas received by the LNG vessel, in MMBTU, when unloading as a replacement of the LNG transferred
