　　Delivery: MT799 followed by SWIFT MT-760 and Hardcopy to be delivered via Bank-bonded courier within seven (7) banking days

　　遞送方式： 在收到MT-760后的七個(gè)銀行工作日內(nèi)，以MT-799方式把BG復(fù)印本通過(guò)銀行專用信派方式郵遞至對(duì)方銀行。

　　TRANSACTION PROCEDURES 交易流程

　　1 . partyA and partyB execute, sign and initiate the Deed of Agreement, with full personal information, true corporate, Bank officer’s name, Tel No., e-mail and Bank coordinates. Thereinto, partyB must provide the Board of Directors Resolution, A4 color passport copy of account signatory’s, which thereby automatically becomes a full commercial recourse contract.

　　雙方在立契出讓同意書上簽名蓋章, 連同真實(shí)的公司/或個(gè)人資料、銀行官員姓名、電話、電郵及銀行坐標(biāo), 其中乙方必須提供董事會(huì)決議、賬戶簽字人護(hù)照A4彩色副本后, 此同意書將立刻成為合法的合約。

　　2. Within 72 banking hours from the signing of this Agreement, the partyA will instruct his Bank Officers to partyB Bank Officer confirm partyB is ready, willing and capable to receive the Bank Instruments (BG).

　　從簽署本協(xié)議后72個(gè)銀行工作小時(shí)內(nèi), 甲方將指示其銀行官員向乙方銀行官員確認(rèn)乙方是已準(zhǔn)備、愿意和有能力接受銀行工具(銀行保函)。

　　3. Within 48 banking hours after confirmation partyB is capable to receive the Bank Instruments. partyA arrange its issuing bank to issue BG MT760 swift in favor of partyB as beneficiary.

　　在確認(rèn)乙方能夠接受銀行工具的48個(gè)銀行工作小時(shí)內(nèi), 甲方安排他的開證銀行開出一份以乙方為受益人的 銀行備用信用證 (BG) MT- 760 SWIFT.

　　4. Within 72 banking hours after the BG MT- 760 swift is received and confirmed at partyB's bank, the partyB will instruct his Bank to issue a MT103 or TT in the amount of 12% DEAL FEE of the face value of the Bank Instrument directly to the partyA nominated bank accounts.

　　乙方銀行確認(rèn)收到銀行保函MT- 760 - SWIFT之后的72個(gè)銀行工作小時(shí)內(nèi)需指示其銀行向甲方指定銀行賬戶開出 一 MT- 103 或 TT, 金額為銀行工具的票面值之12%費(fèi)用。

　　5. Within Seven (7) banking days after confirmation of receipt of payment of the DEAL FEE for the BG in partyA's bank account, the partyA will deliver the hard copy of the BG via bank bonded courier to partyB Bank.

　　當(dāng)甲方銀行在確認(rèn)收到乙方費(fèi)用后之7個(gè)銀行工作日內(nèi), 甲方將銀行保函正本通過(guò)銀行信使派送至乙方銀行。

　　6. Should partyB default to pay the dealing fees to the partyA and the commission fees as agreed after 72 banking hours of confirmation of BG MT- 760 in partyB's bank account, partyA will instruct the issuing bank to put a claim on the BG thereby forcing the partyB's bankers to return the BG MT- 760 to the issuing Bank.

　　如果乙方拖欠而不付 交易費(fèi)用以及傭金費(fèi), 甲方會(huì)指示開狀銀行強(qiáng)迫乙方銀行退回銀行保函 MT- 760給原開證銀行。

　　SELLER RESERVES the right TO USE ANY OF HIS BANK ACCOUNTS TO RECEIVE HIS PAYMENT. (IT’S OUR BANK REGULATIONS AND PROCEDURE).

　　買方保留其用任意銀行賬戶接受支付的權(quán)利。(這是我方銀行的規(guī)定和程序)

　　Improper release of the above banking information, for any reason, without the written prior authorization of other party, shall be considered as a Breach of Contract and will make a defaulted party to be actionable for damages sustained hereby. Each party is not allowed to contact the other party's bank without expressed written permission. Any party attempting to do so will lead to cancellation of the transaction.

　　未經(jīng)書面授權(quán)，不得以任何不恰當(dāng)方式泄露銀行的相關(guān)信息,否則將被視為違約，受害一方將有權(quán)要求違約方對(duì)其損失進(jìn)行法律賠償。合同的任意一方未經(jīng)書面允許不得解除另一方銀行，否則將導(dǎo)致此次交易無(wú)效。

　　CONDITION合同生效條件:

　　This Agreement shall remain valid and full force for thirty international banking days from the date of issue. After such time it shall expire. This Agreement, if unsigned, shall be rendered NULL and VOID.

　　此項(xiàng)合約在開證后的三個(gè)銀行工作日內(nèi)保持有效，三個(gè)銀行工作日到期后，如果此合約還未經(jīng)簽署將被視為無(wú)效。

　　ARBITRATION仲裁方式：

　　The Parties agree to settle any dispute arising between them on an amicable manner. In the event of failure to an amicable settlement, the Parties agree to submit any irreconcilable to ICC office in Geneva, Switzerland, by three arbitrary appointed in accordance with ICC rules.

　　首先，雙方堅(jiān)持以友好協(xié)商的方式來(lái)解決任何爭(zhēng)端。如果未能通過(guò)協(xié)商方式解決，根據(jù)國(guó)際商會(huì)(ICC)法則，雙方同意將其不可調(diào)解的爭(zhēng)端交由瑞士日內(nèi)瓦國(guó)際商會(huì)組織(ICC)，通過(guò)第三方仲裁方式解決。

　　All disputes and questions whatsoever which arises between the parties to this agreement and touching on this agreement on the construction or application thereof or any account cost, liability to be made hereunder or as to any act or way relating to this agreement shall be settled by the arbitration in accordance with the arbitration laws of the ICC.

　　根據(jù)國(guó)際商會(huì)組織(ICC)規(guī)定，合同雙方在合同履行和交易的中產(chǎn)生的任何糾紛與爭(zhēng)端如:任何關(guān)于該合同的賬戶的建立與應(yīng)用的成本、責(zé)任問(wèn)題等等。都將按照國(guó)際商會(huì)仲裁法律仲裁解決。

　　ASSIGNMENT轉(zhuǎn)讓：

　　Neither Party may assign or delegate its interest or duties without prior written consent of the other Party.

　　任何一方未經(jīng)另一方的事先書面同意，不能將其利益與職責(zé)轉(zhuǎn)讓或委托給他人。

　　ENTIRE AGREEMENT & SEVERABILITY完整性和分割性：

　　In the event that one of the articles or addendum of this Agreement is considered void and enforceable, the whole Agreement is considered enforceable and cease to exist. The Parties shall in good faith negotiate with any possible correction to the above even in order to prevent the dissolution of the entire Agreement.

　　本合約之任何條款或附件，如部分條款與法律抵觸而失效，本合約在整體上仍有強(qiáng)制法律效力。締約雙方應(yīng)本著誠(chéng)意進(jìn)行協(xié)商談判，對(duì)以上無(wú)效條款進(jìn)行可行性修正，以防整個(gè)合約失效。

　　This agreement contains the entire agreement and understanding concerning the subject matter hereof and supersedes and replaces all prior negotiations and proposed agreements, written or oral .這個(gè)合約包含整體協(xié)議和理解關(guān)于主題所達(dá)成的協(xié)議,取代和替換了以前所有的談判、書面或口頭協(xié)議。

　　AGREEMENT EXECUTION協(xié)議執(zhí)行：

　　Each party to this Agreement represent that it has Full Legal Authority to execute this Agreement and that each party agrees to be bound by Terms and Conditions set forth herein each Party agrees that this Agreement may be executed simultaneously by and between Parties via Email or Facsimile Transmission which should be deemed as Original. All statements made by either party are under penalty of perjury.

　　合約雙方聲明，同意該合約所列的條款和約束條件，締約雙方同意通過(guò)電子郵件和傳真(被視為原件)的方式執(zhí)行該合約。如有違約，受害一方將追究違約方的法律責(zé)任。

　　FORCE MAJEURE不可抗力：

　　Neither Party to this Agreement shall be responsible for Breach of Contract caused by an act of God, Civil Insurrections, Military War Operation or local Emergency – The Parties hereby accept the International Provision of the FORCE MAJEURE as defined by ICC 458, Publications, whichever relates to the Bank Guarantee issuance applies.

　　根據(jù)國(guó)際商會(huì)組織(ICC)458條適用于銀行保函(BG)的不可抗力規(guī)定，締約雙方由于自然災(zāi)難、民間暴動(dòng)、軍事戰(zhàn)爭(zhēng)或其它緊急行動(dòng)等不可抗力因素造成的合同違約，違約一方不需要承擔(dān)違約責(zé)任。

　　Any delay in or failure of performance by either party of their respective obligations under this agreement shall not constitute a breach hereunder or give rise to any claims for damages if, and to the extent that such delays or failures in performance are caused by events or circumstance beyond the control of such party.

　　The term Beyond the Control of Such Party Include Lawful order of Government or Authority, Act of War, Rebellion or Sabotage, Fire, Flood, Earthquake or other natural disasters. Any other cause not within the control of such party or which is by exercise of reasonable diligence, the party will be unable to foresee or prevent or remedy.

　　如果是由于不可抗拒導(dǎo)致合約中的一方未能按合約規(guī)定履行合約，造成遲延履約或操作失敗而給另一方帶來(lái)?yè)p害，違約方不需要承擔(dān)責(zé)任繳納罰款。

　　不可抗拒包括，政府或當(dāng)局的合法行政命令、戰(zhàn)爭(zhēng)、叛亂、火災(zāi)、洪災(zāi)、地震或其它自然災(zāi)害，或者經(jīng)該方合理預(yù)見(jiàn)，合理防止與合理補(bǔ)救后的其它不屬于該方過(guò)失造成的損失。

　　NON CIRCUMVENTION & NON DISCLOSURE非欺詐/非公開：

　　The parties herein agree the non-circumvention / non-disclosure rules of all issues from ICC, and the latest edition shall apply to the transaction for a period of (5) five years from the date of execution of this agreement by the undersigned, his / her assigns, agents, and / or heirs. This NC/ND also applies to any and all other transactions direct or indirect. Regarding this transaction and its possible extension and roll over, each Party and their respective intermediaries warrant not revealing the Banking Coordinates, provided herein, to any individual or institution other than those Banking Officers necessary for completion of this transaction.

　　本合約以國(guó)際商會(huì)組織(ICC)為規(guī)定，合約雙方自簽約起5年內(nèi)，不得公開，不得泄密相關(guān)信息。此項(xiàng)非欺詐/非公開條款也適用于其它與本合約有直接或間接關(guān)系的交易?？紤]到本合約可能會(huì)延長(zhǎng)期限，合約的任意一方及其中間代理人都應(yīng)保證不得透露將銀行坐標(biāo)透露給除了操作本合約的銀行職員外其它個(gè)人或其它機(jī)構(gòu)。若一方違約，受害一方有權(quán)追求法律上之賠償。

　　MISCELLANEOUS 其他約定

　　The Lessee hereby confirms and declares that the Lessor, its associates or representatives or any person or persons on its behalf has/have never ever solicited the Lessee, its shareholders or associates or representatives in any way whatsoever that can be construed as a solicitation for this transaction or for future transactions.

　　承租人在此確認(rèn)并宣布，出租人及其合伙人或法人代表，或其它承租人的股東或聯(lián)營(yíng)公司或法人表，以任何方式，可以征求本次交易或?yàn)槲磥?lái)的交易。

　　Any delay in or failure of performance by either party of their respective obligations under this agreement they shall pay 2% as penalty.

　　根據(jù)合約中雙方義務(wù)的規(guī)定，任何一方遲延履約或操作失敗，都將受到BG總金額2%的罰金。

　　After confirming, by signature and seal, this Agreement/ Contract will be effective equal as an agreement. Each party holds one of the effective Agreement/Contract. By their execution below, the parties hereto agree to the general terms and conditions herein and warrant onto the other the entire agreement between parties.

　　在合約雙方簽字和蓋章后，該合約將成產(chǎn)生法律等同效力，雙方都應(yīng)持有有效協(xié)議/合同。在以下執(zhí)行合同的過(guò)程中，合約雙方都應(yīng)保證遵守合同一般條款和約束條件，以及整合約的其它各方面。
