AGREEMENT OF MACHINERY PURCHASE AND SALE

　　立合約書人：買方：超能國(guó)際有限公司(以下簡(jiǎn)稱甲方)賣方:萬金科技股份有限公司(以下簡(jiǎn)稱乙方)。

　　This agreement is entered into by Buyer Super International limited.(Hereinafter referred as Buyer), and Seller Van king Technology Co., Ltd. (Hereinafter referred as Seller).

　　茲因甲方向乙方訂購(gòu)設(shè)備，雙方同意訂定買賣條款如下:

　　Whereas, Buyer wishes to purchase certain machinery from Seller and Seller wishes to sell certain machinery to Buyer. The terms and conditions of the agreement are as following:

　　第一條、買賣標(biāo)的物Article 1　Objective

　　第2款、乙方應(yīng)向甲方提供買賣標(biāo)的機(jī)械的設(shè)備操作守則與教育訓(xùn)練資料。

　　Seller shall provide Buyer with operation manuals and training materials for the said machinery to be sold to Buyer.

　　第3款、乙方應(yīng)向甲方提供2日，共計(jì)16 時(shí)，針對(duì)買賣標(biāo)的機(jī)械的設(shè)備操作的免費(fèi)教育訓(xùn)練。甲方在乙方提供的免費(fèi)教育訓(xùn)練時(shí)程之外，尚有培訓(xùn)人員的需求時(shí)，得請(qǐng)求乙方協(xié)助進(jìn)行教育訓(xùn)練，惟甲方必須承擔(dān)因教育訓(xùn)練所發(fā)生的相關(guān)費(fèi)用。

　　Seller shall provide a 2 day (total of 16 hours) training, free of charge, on operating the said machinery. Buyer may request Seller to provide additional trainings if necessary. Notwithstanding the foregoing, all fees and expenses incurred due to the additional trainings shall be paid by Buyer.

　　Total：US DOLLARS SEVENTEEN THOUSDAD FIVE HUNDRED ONLY.

　　第二條、出貨與裝機(jī)Article 2　Delivery and installment

　　第4款、裝機(jī)地點(diǎn)：香港九龍?zhí)撩魃?號(hào)興業(yè)大廈6樓

　　(4) Installment destination: 6F ,HSIN YEN INDUSTRIAL BUILDING,NO.6,MING SHANG STEET,KWUN TONG ,KLN ,HONG KONG

　　第5款、試車日期：設(shè)備安裝完畢后2個(gè)工作日內(nèi)進(jìn)行試車。設(shè)備裝機(jī)試車期間，甲方應(yīng)自行購(gòu)買安裝工程的一切保險(xiǎn)。

　　Date of testing: The testing shall be conducted within two days after completion of the installment of the machinery. Buyer shall be solely responsible for all insurance during installment and testing.

　　第三條、交貨方式 Article3　Method of delivery

　　第四條、付款方式及條件Article 4　Payment terms

　　第1款、付款方式： L/C Payment: L/C

　　第2款、付款條件：Terms: By Irrevocable 100% L/C at Sight

　　第五條、保固期間Article 5　 Warranty

　　乙方交付之買賣標(biāo)的物，自裝機(jī)日起，提供壹年之保固維修服務(wù)(不包含消耗性零件及材料)。保固期間內(nèi)，乙方應(yīng)負(fù)責(zé)修復(fù)標(biāo)的設(shè)備在甲方正常操作下的毀損。對(duì)于保固期間內(nèi)屬于甲方不當(dāng)操作及自然災(zāi)害等不可抗力所發(fā)生的毀壞，甲方得請(qǐng)求乙方協(xié)助修護(hù)，惟甲方必須承擔(dān)因修護(hù)所發(fā)生的相關(guān)費(fèi)用。

　　The warranty provided by Seller is one year after Seller’s delivery and installment of said machinery. During the warranty period, Seller shall repair all damages arising from Buyer’s normal business conduct and operation of said machinery. Buyer may request Seller’s assistance in repair the damages cause by Buyer’s negligence and natural causes beyond controls, nevertheless, Buyer shall be responsible for all expenses and fees related to such repair.

　　第七條、維修服務(wù)Article7　Services

　　第1款、乙方承諾在保固期內(nèi)向甲方提供現(xiàn)場(chǎng)維修服務(wù)，乙方應(yīng)在接獲甲方之維修請(qǐng)求通知后6小時(shí)內(nèi)到達(dá)現(xiàn)場(chǎng)進(jìn)行維修作業(yè)。

　　Seller agrees to provide on-site services with Buyer during the period of warranty. Seller shall be present at the site for services 6 hours after a service request is made to Seller.

　　第2款、保固期間內(nèi)的現(xiàn)場(chǎng)維修作業(yè)之服務(wù)費(fèi)用，由乙方免費(fèi)提供.保固期間屆滿后的現(xiàn)場(chǎng)維修作業(yè)之服務(wù)費(fèi)用，則由甲方負(fù)擔(dān)。惟，乙方承諾給予甲方最優(yōu)惠費(fèi)率的年度保養(yǎng)及現(xiàn)場(chǎng)維修服務(wù)。

　　Seller shall be responsible for the repairs conducted during warranty period. Upon expiration of the warranty, Buyer shall be responsible for all fees and expenses incurred due to on-site repairs. However, Seller agrees to provide favored rate of annual services and on-site repairs to Buyer.

　　第八條、不可抗力Article8　Force Majeure

　　第1款、遇有自然災(zāi)害、武力戰(zhàn)爭(zhēng)、內(nèi)亂、恐怖攻擊等不可抗力之情事時(shí)得作為本合約實(shí)行之免責(zé)事由，甲、乙雙方得另行議定本合約第二條與第四條約定之各項(xiàng)期日。

　　Neither party shall be liable to the other party for any failure to perform, or delay in the performance of that party’s obligations, when such failure to perform or delay in performance is caused by an event of force majeure, including but not limited to war, rebellion, civil disturbance, and natural disasters. In the event that force Majeure occurs, the dates specified in article2 and article4 shall be rescheduled by both parties.

　　第2款、當(dāng)不可抗力之事由持續(xù)逾6個(gè)月時(shí)，任何一方當(dāng)事方得解除本合約。

　　Either party is entitled to terminate this agreement if the force majeure exceeds more than six months.

　　第九條、合約解除Article 9　Termination

　　第1款、甲、乙雙方基于第八條之事由，得解除本合約。

　　Both Seller and Buyer may terminate the agreement pursuant to article 8.

　　第2款、合約解除后，甲、乙雙方應(yīng)在不可抗力事由結(jié)束后立即將因本合約受領(lǐng)之買賣標(biāo)的物或價(jià)金返還給他方。不可抗力事由結(jié)束后6個(gè)月內(nèi)仍未返還者，得按日計(jì)付總價(jià)金千分之

　　三作為遲延補(bǔ)償金，惟，不得超過總價(jià)金的千分之三十。

　　Any party shall return the said machinery or money in possession due to this agreement to the other party immediately after the event of force majeure. In the event that one fails to return six months after the event of force majeure, the late charge shall be 3/1000 of total purchase price per day. However, the late charge accrued cannot exceed 30/1000 of total purchase price.

　　第十條、買賣標(biāo)的物之變更Article11　Modification

　　第1款、非經(jīng)甲方同意，乙方不得任意變更規(guī)格或設(shè)計(jì)。

　　Seller shall not unilaterally modify any design or specification without Buyer’s consent.

　　第2款、甲方于買賣標(biāo)的物交貨 個(gè)工作日前，確有特殊需要，得要求乙方修改買賣標(biāo)的物規(guī)格﹔如該項(xiàng)變更將導(dǎo)致成本之增加者，悉數(shù)由甲方自行負(fù)擔(dān)。甲、乙雙方應(yīng)就此變更另行協(xié)商相關(guān)的履約期限。

　　Buyer may request Seller for any change or modification of specification of said machinery ____ business days prior to scheduled delivery date. In the event that such change or modification results in increase or decrease of the cost, the total purchase price or performance date may be re-negotiated by both parties. Buyer shall be responsible for all liabilities to the increase of the cost.

　　第十一條　爭(zhēng)議解決Article 13　Dispute resolution

　　本合約的成立、生效、解釋及履行，均依 法律為準(zhǔn)據(jù)法。甲、乙雙方就任何因本合約、訂單或附件之條款或違約所生之爭(zhēng)議請(qǐng)求，應(yīng)通過友好協(xié)商的方式解決。倘甲、乙雙方當(dāng)事人尚不能因而達(dá)成解決之合意而必須提起訴訟，應(yīng)以甲方所在地法院為第一審管轄法院。

　　The interpretation, validity and enforcement of this agreement shall be governed by laws of Republic of China. Any dispute or claims concerning breach of this agreement, purchase order or attachment shall be resolved amicably in good faith. In the event that the dispute cannot be resolved amicably, each of the parties hereby consents and submits to jurisdiction of the District Court situated in the city of Seller’s place of business.

　　第十二條　附則Article 14　Miscellaneous

　　第1款、本合約書正本乙式貳份，經(jīng)甲、乙雙方有權(quán)代表人簽字后生效。并由甲、乙雙方各執(zhí)乙份為憑。

　　This agreement may be executed in two counterparts, each of which shall be original, but all of which together shall constitute one and same instrument. The agreement is effective upon execution by representatives of both parties. Both Buyer and Seller keep one copy of the executed agreement.

　　第2款、本合約的修改，應(yīng)經(jīng)甲、乙雙方協(xié)商同意并以書面做成。至于，本合約未盡約定之事項(xiàng)，得以附件完善之。附件亦為本合約之組成部份，惟與合約條款有所抵觸時(shí)，以合約條款為主。

　　Any modification of this agreement shall be agreed upon by both parties and shall be in writing. For matters not indicated in this agreement, they may be enclosed in the attachments. The attachments are part of the agreement in whole. Nonetheless, in the event that the attachments conflict with any provisions in the agreement, the agreement provision governs.

　　第3款、本合約書中英文文本具有同等效力，中英文文本發(fā)生歧義時(shí)，以中文文本為主。

　　This agreement is effective both in English and in Chinese. However, the Chinese version governs when a dispute arises.
