19. Test 工程試車
19.1 If it is agreed to execute the acceptance test for a specific item like the cranes or the air conditioning, the scope of the test must reflect strictly the content of the technical attachment of the contract.
雙方約定需要對特派項(xiàng)目進(jìn)行試車的,比如:行車、空調(diào),試車內(nèi)容必須嚴(yán)格按照本合同技術(shù)附件的要求進(jìn)行。
19.2 When a machine or an equipment is ready for test, the contractor shall advise the engineer in writing 48 hours in advance. The notice shall clarify the scope of the test, time and place the test to be carried out. The engineer shall prepare the test report. The landlord shall provide the necessary conditions for the test as requested by the contractor. If the test is successful, the engineer will sign the test report.
設(shè)備安裝工程具備試車條件,承包人組織試車,并在試車前48小時(shí)以書面形式通知工程師。通知包括試車內(nèi)容、時(shí)間、地點(diǎn)。工程師準(zhǔn)備試車記錄,發(fā)包人根據(jù)承包人要求為試車提供必要條件。試車合格,工程師在試車記錄上簽字。
19.3 The engineer shall note in writing to the contractor and ask to postpone the test if he cannot attend on time, and both parts will negotiate a new date to perform the test before 48 hours.
工程師不能按時(shí)參加試車,須以書面形式向承包人提出延期要求:雙方應(yīng)提前48小時(shí)另行約定試車日期。
19.4 Liabilities of each part 雙方責(zé)任
(1) If a design mistake causes the test failure, the landlord shall request the design institute for re-designing, and the contractor will re-install according to the new design. The extra costs for design modification, breakage, re-installation and supplemental payment will be supported by the landlord, and the completion date will be postponed if necessary.
由于設(shè)計(jì)原因試車達(dá)不到驗(yàn)收要求,發(fā)包人應(yīng)要求設(shè)計(jì)單位修改設(shè)計(jì),承包人按修改后的設(shè)計(jì)重新安裝。發(fā)包人承擔(dān)修改設(shè)計(jì)、拆除及重新安裝的額外費(fèi)用,工期相應(yīng)順延。
(2) If the quality of the machine causes the test failure, the test failure, the part that makes the machine purchasing shall buy a new one or repair it. If it is the contractor who makes the procurement, the contractor shall bear the cost of repair, and re-installation, no extension shall be given. If it is the landlord who makes the procurement, the cost will be born by the landlord and the completion date will be postponed if necessary.
由于設(shè)備本身的質(zhì)量原因試車達(dá)不到驗(yàn)收要求,由該設(shè)備采購一方負(fù)責(zé)重新購置或修理,承包人負(fù)責(zé)拆除和重新安裝。設(shè)備由承包人采購的,由承包人承擔(dān)修理或重新購置、拆除及重新安裝的費(fèi)用,工期不予順延;設(shè)備由發(fā)包人采購的,發(fā)包人承擔(dān)上述各項(xiàng)追加合同價(jià)款,工期相應(yīng)順延。
(3) If the test failure is due to installation defaults, the contractor shall re-install and test as request by the engineer and bear all of the relevant charges. The completion date cannot be postponed.
由于承包人施工原因試車不到驗(yàn)收要求,承包人按工程師要求重新安裝和試車,并承擔(dān)重新安裝和試車的費(fèi)用,工期不予順延。
(4) When the test is successful, but the engineer does not sign the test report 48 hours after the test, it will be deemed that the engineer accepts the trial record. The contractor may continue the construction or the completion procedure.
工程師在試車合格后不在試車記錄上簽字,試車48小時(shí)之后,視為工程師已經(jīng)認(rèn)可試車記錄,承包人可繼續(xù)施工或辦理竣工手續(xù)。
Safety安全施工
20.Safety and safety inspection安全施工與檢查
20.1 The contractor shall obey the relevant safety regulations, carry out all necessary safety protection procedures, and prepare for safety inspection. The contractor shall take the consequences because of any accidents for his faults, and bear the relevant charges.
承包人應(yīng)遵守工程建設(shè)安全生產(chǎn)有關(guān)管理規(guī)定,嚴(yán)格按安全標(biāo)準(zhǔn)組織施工,并隨時(shí)接受行業(yè)安全檢查人員依法實(shí)施的監(jiān)督檢查,采取必要的安全防護(hù)措施,消除事故隱患。由于承包人安全措施不力造成事故的責(zé)任和因此發(fā)生的費(fèi)用,由承包人承擔(dān)。
20.2 All the consequences(including harm on the contractor party and third party)arising form accidents happening in the construction site during construction should be undertaken by the contractor.
在施工過程中在施工現(xiàn)場發(fā)生的承包方人員以及第三方的人身損害以及財(cái)產(chǎn)損失由承包人承擔(dān)。
21.Security 安全防護(hù)
21.1 The contractor shall submit a safety protection procedure to the engineer, and carry out the work when receiving the approval from the engineer before carry out the works associated with power supply equipment, electricity lines, underground pipes and flammable area and area adjacent to the major public transport intersection.
承包人在動(dòng)力設(shè)備、輸電線路、地下管道、密封防震車間、易燃易爆地段以及臨街交通要道附近施工時(shí),施工開始前應(yīng)向工程師提出安全防護(hù)措施,經(jīng)工程師認(rèn)可后實(shí)施。
21.2 For the explosion work or work to be carried out in the radioactive or noxious environment (incl.store, deliver and use) or involving use toxic, corrosive material, the contractor shall note the engineer in writing 14 days in advance, and provide safety protection procedures. The work can be carried out when receiving the approval from the engineer.
實(shí)施爆破作業(yè),在放射、毒害性環(huán)境中施工(含儲(chǔ)存、運(yùn)輸、使用)及使用毒害性、腐蝕性物品施工時(shí),承包人應(yīng)在施工前14天以書面通知工程師,并提出相應(yīng)的安全防護(hù)措施,經(jīng)工程師認(rèn)可后實(shí)施。
22. Accidents handling 事故處理
22.1 Any casualties or other safety accidents occurring during the construction shall be born by the constructor, no matter the accident is caused to the contractor’s own people or to the people from the client or to any third party. So the contractor shall do the safety work very well or to get the project insured by itself. In case the client is required by law to compensate for any third party or for its own people due to the safety problem of the contractor, the client has the right of deducting the compensation directly from the contract price.
在施工過程中如發(fā)生安全事故,無論是對承包方人員,發(fā)包方人員,或是對任何第三方造成損害,都由承包方承擔(dān)責(zé)任。因此,承包方應(yīng)認(rèn)真做好安全工作,或?yàn)楣こ瘫kU(xiǎn)。如果發(fā)包方應(yīng)法律要求對任何第三方賠償?shù)脑?,發(fā)包方有權(quán)直接在承包方的合同價(jià)款中將賠償費(fèi)扣除。
22.2 If there is a disputation to judge the responsibility part of the accident, it shall be decided by the relevant government authorities.
發(fā)包人承包人對事故責(zé)任有爭議時(shí),應(yīng)按政府有關(guān)部門的認(rèn)定處理。
Payment合同價(jià)款與支付
23.Contracted amount and adjustment合同價(jià)款及調(diào)整
23.1 The contract price shall be stated in this agreement on the basis of the value agreed between the landlord and the contractor, as shown in the bid and its attachments.
合同價(jià)款由發(fā)包人承包人在本協(xié)議書內(nèi)約定,如合同在標(biāo)書及附件中所說明的。
23.2 The contracted price calculation method is Fixed price, in which the price contracted includes all risks associated to the realization of the project.
本合同為固定合同價(jià)款,包括建設(shè)本工程期間的一切風(fēng)險(xiǎn)費(fèi)用。
23.3 Any changing of the quantity of the project asked by the landlord shall be priced in accordance with the unit price of the bidding documents. For the items without prices in the bidding documents the prices will be settled after negotiation between the landlord and the contractor.
因業(yè)主原因提出的功能變更,而引起的工程量變更按招標(biāo)文件的單價(jià)及費(fèi)用執(zhí)行。無單價(jià)的由甲方施工單位協(xié)商解決。
23.4 If the contractor confirms in writing its proposal, the engineer shall reply within 14 days after receives the confirmation.
如果承包人對自己的調(diào)整作書面確認(rèn),工程師應(yīng)該在收到承包人的書面確認(rèn)通知后14天內(nèi)作出回復(fù)。
24. Confirmation of the project quantity工程量的確認(rèn)
24.1 The contractor shall present to the engineer the quantity progress report each week before Saturday noon and before the 25th of each month. The engineer shall check it against the design drawings(hereinafter referred to as quantity checking) within 7 days after receipt of the report, and makes its observation to the contractor; the contractor shall appoint his staff to realize the quantity checking if necessary.
承包人應(yīng)于每周周六中午之前以及每月的25日之前,向工程師提交已完工程量的報(bào)告。工程師接到報(bào)告后7天內(nèi)按設(shè)計(jì)圖紙核實(shí)已完工程量(以下稱計(jì)量),并在計(jì)量前通知承包人,承包人為計(jì)量提供便利條件并派人參加。
24.2 If the engineer does not carry out measure during 7 days after receiving the report, the quantity in the report will be deemed as approved. The project estimation result will not come into effect if the engineer does not inform the contractor of participating in estimation on time.
工程師收到承包人報(bào)告后7天內(nèi)未進(jìn)行計(jì)量,承包人報(bào)告中開列的工程量即視為被確認(rèn)。工程師不按約定時(shí)間通知承包人,致使承包人未能參加計(jì)量,計(jì)量結(jié)果無效。
24.3 The engineer will not check the quantities which are excluded form the contracted scope of the contractor and the cost will be born by the contractor.
對承包人超出設(shè)計(jì)圖紙范圍工程量,工程師不予計(jì)量。該工程量由承包人自負(fù)。
25.Payment terms:工程款支付
---10% of the contracted amount will be paid after the temporary site office, toilets, etc. are set up
在臨時(shí)辦公市、衛(wèi)生間等設(shè)施建好后支付合同總價(jià)的10%;
--- 15% of the contracted amount will be paid after foundation, concrete are finished and pass the government approval.
地基、混凝土部分結(jié)束并通過政府驗(yàn)收后支付合同總價(jià)的15%;
---13% of the contracted amount will be paid after steel construction is approved by the government.
鋼結(jié)構(gòu)通過政府部門驗(yàn)收后支付合同總價(jià)的13%;
---7% of the contracted amount will be paid after finishing of the steel construction。
鋼結(jié)構(gòu)完成后支付合同總價(jià)的7%;
---10% of the contracted amount will be paid after government approval of the concrete construction。
混凝土建筑通過政府驗(yàn)收后支付合同總價(jià)的10%;
---15% of the contracted amount will be paid after accepting of the floor coating and the ditches;
地面涂層和地溝驗(yàn)收后支付合同總價(jià)的15%;
---10% of the contracted amount will be paid after the approval of the building and the exterior site work form the client;
建筑和廠房外部工程通過業(yè)主驗(yàn)收后支付合同總價(jià)的10%;
---10% of the contracted amount will be paid after the final government approval;
政府竣工驗(yàn)收后支付10%;
---7% of the contracted amount will be paid 6 months after government approval and finishing all remedial action

---3% of the contracted amount will be paid 2 years after government approval.

All the fees for government approval and similar fees is in the lump sum included. Building should take into consideration all Chinese construction standard, regulation, even if they are not included in the drawing.
所有政府驗(yàn)收發(fā)生的有關(guān)費(fèi)用都已包含在上述費(fèi)用中,工程必須符合中國有關(guān)法律規(guī)定和建筑標(biāo)準(zhǔn),即使設(shè)計(jì)圖紙中未寫明。
26. Supply of Materials and Machine材料設(shè)備供應(yīng)
Supplied by the contractor 承包人采購材料設(shè)備
26.1 The contractor shall make purchase in accordance with what is specified in the scope of supply and the technical attachments in accordance with the relevant standards, and will provide the quality certificates. The contractor shall inform the landlord for checking the delivered materials 24 hours before the delivery to the site field. The engineer shall approve the quality of the delivered materials and equipments before use and communicates its approval in writing.
承包人負(fù)責(zé)采購材料設(shè)備的,應(yīng)按照附件規(guī)定及設(shè)計(jì)和有關(guān)標(biāo)準(zhǔn)采購,并提供產(chǎn)品合格證明,對材料設(shè)備質(zhì)量負(fù)責(zé)。承包人在材料設(shè)備到貨前24小時(shí)通知工程師清點(diǎn)。工程師在材料使用前必須書面核準(zhǔn)到場材料的質(zhì)量,交將核準(zhǔn)書遞交工程各方。
26.2 The contractor shall withdraw the non-conform materials out from the site field and make repurchase. The resulting charges caused by which will be on his account, and the completion date will not be postponed.
承包人采購的材料設(shè)備與設(shè)計(jì)標(biāo)準(zhǔn)要求不符時(shí),承包人應(yīng)按工程師要求的時(shí)間運(yùn)出施工場地,重新采購符合要求的產(chǎn)品,承擔(dān)由此發(fā)生的費(fèi)用,由此延誤的工期不予順延。
26.3 Before use, the contractor shall check the materials according to the engineers requirements. The unqualified materials cannot be used for construction, and the charges for test are on the contractors account.
承包人采購的材料設(shè)備在使用前,承包人應(yīng)按工程師的要求進(jìn)行檢驗(yàn)或試驗(yàn),不合格的不得使用,檢驗(yàn)或試驗(yàn)費(fèi)用由承包人承擔(dān)。
26.4 Once the engineer finds that materials supplied by the contractor are different with the requirements of the design and the standards or what has been chosen by the landlord and agreed & purchased by the contractor, he shall ask the contractor to repair, remove or repurchase. All the charges will be on the contractors account, and the completion date will not be postponed.
工程師發(fā)現(xiàn)承包人采購并使用不符合設(shè)計(jì)和標(biāo)準(zhǔn)要求的材料設(shè)備時(shí)或該材料由發(fā)包人挑選但經(jīng)承包人同意并由承包人購買,應(yīng)要求承包人負(fù)責(zé)修復(fù)、拆除或重新采購,由承包人承擔(dān)發(fā)生的費(fèi)用,由此延誤的工期不予順延。
26.5 The contractor shall obtain the engineers prior approval before he uses substitute materials if necessary, the prices will be fixed by negotiation between the two parts.
承包人需要使用代用材料時(shí),應(yīng)經(jīng)工程師認(rèn)可后才能使用,由此增減的合同價(jià)款雙方以書面形式議定。
26.6 If in order to guarantee the quality of the project, the landlord requires the contractor to purchase the goods of a certain brand which are described in the contract and attachments., the contractor shall sign the purchase contracts with the appropriate supplier. The contractor shall also cooperate with or supervise the supplier for the installation. If quality problem or the installation problems occur, the contractor shall be responsible for the landlord.
如發(fā)包人為保證項(xiàng)目質(zhì)量而指定承包方采購某一廠家的商品時(shí)(限定在承包合同及附件中),應(yīng)由承包方具體與該廠家簽訂合同,配合或監(jiān)督供應(yīng)商做好所供產(chǎn)品的安裝等工作。承包方須對產(chǎn)品的安裝及質(zhì)量與供貨商一起對發(fā)包方承擔(dān)責(zé)任。
Changes of the project scope工程變更
27. Modification of the design工程設(shè)計(jì)變更
27.1 The landlord shall inform the contractor in writing for any modification of the original design 14 days in advance during construction. If the design variation is beyond the original size of the approved size of the project, the landlord shall report to the planning administration and other associated authorities for approval. The relevant drawing and description regarding the variations shall be provided by the design institute. The contractor shall carry out the following works in accordance with the requirement of the engineer.
施工中發(fā)包人需對原工程設(shè)計(jì)變更,應(yīng)提前14天以書面形式向承包人發(fā)出變更通知。變更超過原設(shè)計(jì)標(biāo)準(zhǔn)或批準(zhǔn)的建設(shè)規(guī)模時(shí),發(fā)包人應(yīng)報(bào)規(guī)劃管理部門和其他有關(guān)部門重新審查批準(zhǔn),并由原設(shè)計(jì)單位提供變更的相應(yīng)圖紙和說明。承包人按照工程師發(fā)出的變更通知及有關(guān)要求,進(jìn)行下列需要的變更:
(1) Change certain elevation, baselines, locations and dimension
更改工程有關(guān)部分的標(biāo)高、基線、位置和尺寸
(2) Increase/decrease the contracted quality of the project增減合同中約定的工程量
(3) Adjust the schedule or order of certain sub-projects.改變有關(guān)工程的施工時(shí)間和順序
(4) Other necessary works associated with the modification.其他有關(guān)工程變更需要的附加工作
The landlord should bear relevant charges, and the completion date will be postponed if necessary.
因變更導(dǎo)致合同價(jià)款的增減及造成的承包人損失,由發(fā)包人承擔(dān),延誤的工期相應(yīng)延誤。
27.2 During construction, the contractor cannot make any changes to the original design. Any charges or losses will be on the contractors account if he makes unauthorized modification, and the completion date will be postponed if necessary.
施工中承包人不得對原工程設(shè)計(jì)進(jìn)行變更。因承包人擅自變更設(shè)計(jì)發(fā)生的費(fèi)用和由此導(dǎo)致發(fā)包人的直接損失,由承包人承擔(dān),延誤的工期不予順延。
27.3 The contractor shall obtain the engineers approval for any modification to the design and material replacement. Any charges or losses will be on the contractors account if he makes unauthorized modification, and the completion date will not be postponed.
承包人在施工中提出的合理化建設(shè)涉及到對設(shè)計(jì)圖紙或施工組織設(shè)計(jì)的更改及對材料、設(shè)備的換用,須經(jīng)工程師同意。未經(jīng)同意擅自更改或換用時(shí),承包人承擔(dān)由此發(fā)生的費(fèi)用,并賠償發(fā)包人、的有關(guān)損失,延誤的工期不予順延。
28. Other modification 其他變更
If the landlord requires any modification to the contracted scope, it will be negotiated and agreed by the two parts.
合同履行中發(fā)包人要求變更工程質(zhì)量標(biāo)準(zhǔn)及發(fā)生其他實(shí)質(zhì)性變更,由雙方協(xié)商解決。
29.Confirmation of the contracted amount確定變更價(jià)款
29.1 The contractor shall submit report for correcting the contracted amount within 14 days as soon as the above-mentioned modification has been approved, and the contracted amount will be corrected after negotiation with the landlord. The contractor must base its price modification on a detailed price schedule agreed by the landlord.
承包人在工程變更確定后14天內(nèi),提出變更工程價(jià)款的報(bào)告,經(jīng)工程師確認(rèn)并與發(fā)包人協(xié)商后調(diào)整合同價(jià)款。承包人必須按照由發(fā)包人同意詳細(xì)的價(jià)款變更表進(jìn)行變更。
29.2 The adjustment confirmed by the contractor will become the additional contract sum, to be paid together with the progress payment.
工程師確認(rèn)增加的工程變更價(jià)款作為追加合同價(jià)款,與工程款同期支付。
29.3 Any modification caused by the contractor himself, will not be considered as a justification to ask for adjustment or surcharge of the contract price.
因承包人自身原因?qū)е碌墓こ套兏?,承包人無權(quán)要求追加合同價(jià)款。
Final acceptance and Settlement 竣工驗(yàn)收與結(jié)算
30. Final acceptance 竣工驗(yàn)收
30.1 The contractor shall present the landlord the full set of completed documents and the report for final inspection in accordance with the relevant regulations when it is ready for final inspection. The contractor must supply 3 sets of as-built drawing within one week after completion.
工程具備竣工驗(yàn)收條件,承包人按國家工程竣工驗(yàn)收有關(guān)規(guī)定,向發(fā)包人提供完整竣工資料及竣工驗(yàn)收報(bào)告,承包人應(yīng)當(dāng)在竣工后一周內(nèi)提供3套竣工圖。
30.2 After the contractor passes the government acceptance, it shall also pass the acceptance by the landlord, meeting the landlord’s quality requirement in the contract and the attachments.
承包方通過政府竣工驗(yàn)收后,還必須通過發(fā)包方在合同及附件中規(guī)定的具體標(biāo)準(zhǔn)。
30.3 If the inspection date is passed, the date where the completion report is submitted shall be the final completion date. If the project has to be rectified to meet the completion requirement, the final completion date shall be the date when the request or re-inspection is submitted.
工程竣工驗(yàn)收通過,承包人送交竣工驗(yàn)收報(bào)告的日期為實(shí)際竣工日期。工程按發(fā)包人要求修改后通過竣工驗(yàn)收的,實(shí)際竣工日期為承包人修改后提請發(fā)包人驗(yàn)收的日期。
30.4 The two parts should sign an agreement to clarify the liabilities and payment if the landlord asks the contractor to leave over some parts of the project.
發(fā)包人要求部分單位工程或工程部位甩項(xiàng)竣工的,雙方另行簽訂甩項(xiàng)竣工協(xié)議,明確雙方責(zé)任和工程價(jià)款的支付方法。
30.5 The landlord cannot use the project site until inspection or acceptance has been carried out and passed; otherwise, he will bear any quality problem and/or other accidents that would result under his responsibility.
工程未經(jīng)竣工驗(yàn)收或竣工驗(yàn)收未通過的,發(fā)包人不得使用。發(fā)包人強(qiáng)行使用時(shí),由此發(fā)生的質(zhì)量問題及其他問題,由發(fā)包人承擔(dān)。
30.6The contractor can’t prevent the landlord from organizing the check & acceptance after the construction is finished, and by this way (such as refuse to put stamp on the documents required by the government) to force the client to make compromise in quality complaining, or forcing the client to pay money ahead of time. If the contractor fails to cooperate with the landlord in check & acceptance, it shall compensate the landlord for its losses. From third day after the landlord sends written notice to the contractor asking it to put stamps (or other formalities), the contractor shall pay 5,000 yuan RMB to the landlord for every delayed day, the maximum could be 10,000 yuan RMB.
在工程結(jié)束組織竣工驗(yàn)收前,承包方不得采取不蓋章等手段阻撓發(fā)包方組織竣工驗(yàn)收,以此來要挾發(fā)包方放棄質(zhì)量要求或提前付款等。如因承包方不配合導(dǎo)致發(fā)包方不能及時(shí)組織驗(yàn)收,承包方應(yīng)賠償發(fā)包方損失。以發(fā)包方書面通知承包方辦理有關(guān)手續(xù)(如蓋章等)后第三天開始計(jì)算,每拖延一天,承包方應(yīng)賠償發(fā)包方5,000元人民幣。最高不超過10,000元。
31. Settlement 竣工結(jié)算
31.1 The contractor has to submit to the landlord a final claim report attached with all the required accounting documents within 28 days after the approval of the completion report by the landlord.
工程竣工驗(yàn)收報(bào)告經(jīng)發(fā)包人認(rèn)可后28天內(nèi),承包人向發(fā)包人遞交竣工結(jié)算報(bào)告及完整的結(jié)算資料。
31.2 Within 28 days after reception of the final claim report, the landlord can either send his comments to the contractor, or approve the claims. Within 10 days after claims are approved by the landlord, the landlord shall make the payment to the contractor in accordance with the payment schedule (see item 25 payment). The contractor shall hand over the completed project to the landlord within 14 days after the payment is received.
發(fā)包人收到承包人遞交的竣工結(jié)算報(bào)告及結(jié)算資料后28天內(nèi)進(jìn)行核實(shí),給予確認(rèn)或者提出修改意見。發(fā)包人確認(rèn)竣工結(jié)算報(bào)告后10天內(nèi),按付款計(jì)劃向承包人支付工程價(jià)款(詳見25條:付款條件)。承包人收到進(jìn)度價(jià)款后14天內(nèi)將竣工工程交付發(fā)包人。
31.3 If the contractor fails to submit the final claim for completion to the contractor 28 days after the completion reports is approved by the landlord, the contractor shall hand over the completed project to the landlord at the landlords request, and will renounce to the final claims.
工程竣工驗(yàn)收報(bào)告經(jīng)發(fā)包人認(rèn)可后28天內(nèi),承包人未能向發(fā)包人遞交竣工結(jié)算報(bào)告及完整的結(jié)算資料,發(fā)包人要求交付工程的,承包人應(yīng)當(dāng)交付,并無權(quán)申訴。
31.4 Any disputes concerning the settlement will be handled according to item 36 of the general items.
發(fā)包人承包人對工程竣工結(jié)算價(jià)款發(fā)生爭議時(shí),按本合同條款第36條關(guān)于爭議的約定處理。
32. Quality warranty 質(zhì)量保修
32.1 The contractor shall take warranty responsibility for the project after hand-over in accordance with the quality maintenance agreement signed between the two parties.
承包人應(yīng)按法律、行政法規(guī)或國家關(guān)于工程質(zhì)量保修的有關(guān)規(guī)定以及雙方簽訂的質(zhì)量保證書,對交付發(fā)包人使用的工程在質(zhì)量保修期內(nèi)承擔(dān)質(zhì)量保修責(zé)任。
32.2 Contents of the quality warranty agreement:質(zhì)量保修書的主要內(nèi)容包括:
(1) Items and scope of work to be covered in the warranty contract.質(zhì)量保修項(xiàng)目內(nèi)容及范圍
(2) Warranty period質(zhì)量保修期
(3) Liabilities質(zhì)量保修責(zé)任
(4) Money retention質(zhì)量保修金的支付方法
Breach, Compensation and Disputation違約、索賠和爭議
33.Breach 違約
33.1 If any of the following happens, the landlord breaks the contract:
發(fā)包人違約。當(dāng)發(fā)生下列情況時(shí):
(1) As it is specified in item 25, the landlord does not make the payment on time.
本合同條款第25條提到的發(fā)包人不按時(shí)支付工程預(yù)付款。
(2) As specified in item 25, the landlord does not respect the payment schedule in accordance with the contract, which causes the project cannot be continued.
本合同條款第25款提到的發(fā)包人不按合同約定支付工程款,導(dǎo)致施工無法進(jìn)行。
(3) Other situation where the landlord does not perform his liabilities.
發(fā)包人不履行合同義務(wù)或不按合同約定履行義務(wù)的其他情況。
If the landlord is responsible for the above defaults, he is liable for any loss suffered by the contractor. Both parties shall reach an agreement to determine the compensation for the loss of the contractor.
發(fā)包人承擔(dān)違約責(zé)任,賠償因其違約給承包人造成的經(jīng)濟(jì)損失。雙方約定發(fā)包人賠償承包人損失的計(jì)算方法或者發(fā)包人應(yīng)當(dāng)支付違約金的數(shù)額或計(jì)算方法。
33.2 The contractor breaks the contract if any of the following happens:
承包人違約。當(dāng)發(fā)生下列情況時(shí):
(1) As that has been specified in item 14.2, the contractor cannot complete the project within the contracted period or the period approved by the engineer, due to his fault. The contractor shall pay to the landlord 5000 yuan RMB for each delayed day, but no more than 300,000 yuan RMB. It ca be deducted from the amount directly.
本合同條款第14.2款提到的因承包人原因不能按照協(xié)議書約定的竣工日期或工程師同意順延的工期竣工;每延遲一天竣工,承包人應(yīng)向發(fā)包人支付5000元RMB滯納金,最高不超過300,000元。罰金在工程款中直接扣除。
(2) The contractor doesn’t cooperate with the landlord in the formalities while organizing the check & acceptance by the government.
在發(fā)包方組織竣工驗(yàn)收時(shí)承包方不予配合。
(3)未經(jīng)發(fā)包人事先書面同意,承包人不得將本工程的任何部分轉(zhuǎn)包或分包出去,否則承包人應(yīng)向發(fā)包人支付違約金300萬元,該違約金可直接從工程款中扣除。如該違約金不足以彌補(bǔ)分包商對發(fā)包方造成損失的話,承包方還應(yīng)對發(fā)包方的實(shí)際損失部分承擔(dān)責(zé)任。
The contractor is not allowed to contract any part of this project to any third party without the advance written approval from the landlord. Otherwise the contractor shall pay the compensation of 3 million RMB to the landlord. This 3 million can be deducted directly from the contract payment. If this default compensation can’t make up with the actual losses occurred to the landlord, the contractor shall also pay the landlord for its actual losses.
(4)Other situation in which that the contractor fails to perform his liabilities.
承包人不履行合同義務(wù)或不按合同約定履行義務(wù)的其他情況。
The contractor shall be responsible for the above faults, be liable for any loss suffered by the landlord.
承包人承擔(dān)違約責(zé)任,賠償因其違約給發(fā)包人造成的損失。承包人必須完成所有必需的工作來確保工程項(xiàng)目的質(zhì)量。
33.3 If one part breaks the contract and if at the same time the other part requests the default part to keep executing the contract, the default part shall execute the contract and will be responsible for all the delays, loss, or quality defaults generated by his action.
一方違約后,另一方要求違約方繼續(xù)履行合同時(shí),違約方承擔(dān)上述違約責(zé)任后仍應(yīng)繼續(xù)履行合同。
34. Compensation 索賠
34.1 Claims for compensation must be based on facts and material evidence.
當(dāng)一方向另一方提出索賠時(shí),要有正當(dāng)索賠理由,且有索賠事件發(fā)生時(shí)的有效證據(jù)。
34.2 If the landlord fails to execute its obligations in accordance with the contract agreement or causes delay in the project execution and/or the contractor cannot get the contractual payment on time and generates loss to the contractor, the contractor shall follow procedures to claim the compensation from the landlord.
發(fā)包人未能按合同約定履行自己的各項(xiàng)義務(wù)或發(fā)生錯(cuò)誤以及應(yīng)由發(fā)包人承擔(dān)責(zé)任的其他情況,造成工期延誤和(或)承包人不能及時(shí)得到合同價(jià)款及承包人的其他經(jīng)濟(jì)損失,承包人可按下列程序以書面形式向發(fā)包人索賠。
(1) Inform the engineer in writing that he intents to ask for compensation within 28 days after such event happens.
索賠事件發(fā)生后28天內(nèi),向工程師發(fā)出索賠意向通知。
(2) He must submit the claim of delivery time extension and/or loss compensation together with the relevant information to the engineer, within 7 days after notifying the engineer the intent to claim.
發(fā)出索賠意向通知后7天內(nèi),向工程師提出延長工期和(或)補(bǔ)償經(jīng)濟(jì)損失的索賠報(bào)告及有關(guān)資料。
(3) The engineer shall reply to the claim for compensation or request the contractor to provide further information and evidence.
工程師在收到承包人送交的索賠報(bào)告和有關(guān)資料后,于28天內(nèi)給予答復(fù),或要求承包人進(jìn)一步補(bǔ)充索賠理由和證據(jù)。
34.3 If the contractor cannot execute his liabilities and makes faults, which causes loss to the landlord, the landlord can claim for compensation within the period as specified in item 35.2.
承包人未能按合同約定履行自己的各項(xiàng)義務(wù)或發(fā)生錯(cuò)誤,給發(fā)包人造成經(jīng)濟(jì)損失,發(fā)包人可按35.2款確定的時(shí)限向承包人提出索賠。
35. Disputes 爭議
35.1 If a dispute occurs, an agreement may be reached through negotiation or mediation by relevant authorities. If the negotiation is not successful, or if there is no result after mediation, one of the following measures shall be used to resolve dispute.
發(fā)包人承包人在履行合同時(shí)發(fā)生爭議,可以協(xié)商或者要求有關(guān)主管部門調(diào)解。當(dāng)事人協(xié)商、調(diào)解不成的,雙方可以以下一種方式解決爭議:
a. Apply for arbitration to the agreed arbitration committee
第一種解決方式:雙方達(dá)成仲裁協(xié)議,向約定的仲裁委員會(huì)申請仲裁;
b. Submit to the court第二種解決方式:向有管轄權(quán)的人民法院起訴。
35.2 The two parts should continue the construction and protect the finished buildings unless one of the following mentioned situation occurs:
發(fā)生爭議后,除非出現(xiàn)下列情況的,雙方都應(yīng)繼續(xù)履行合同,保持施工連續(xù),保護(hù)好已完成工程:
(1) The contract cannot be executed because of one parts default, or an agreement for stopping the project has been reached by the two parts.
單方違約導(dǎo)致合同確已無法履行,或雙方協(xié)議停止施止。
(2) It is required for stopping the project as the result of the mediation and has been accepted by the two parts.
調(diào)解要求停止施工,且為雙方接受。
(3) It is required by the arbitration committee for stopping the project.仲裁機(jī)構(gòu)要求停止施工。
(4) It is required by the court for stopping the project.法院要求停止施工。
Others其他
36. Sub-contractor 工程分包
36.1 The contractor can only sub-contracts part of the contracted works as described after the landlord has approved it . He cannot sub-contract with any other company without the landlords approval.
承包人在得到發(fā)包人允許之后,才能將所承包的部分工程分包,并與分包單位簽訂分包合同。非經(jīng)發(fā)包人同意,承包人不得將承包工程的任何部分分包。
36.2 The contractor shall not sub-contract the whole project or divide the whole project into parts and then sub-contract to the third party.
承包人不得將其承包的全部工程轉(zhuǎn)包給他人,也不得將其承包的全部工程肢解以后以分包的名義分別轉(zhuǎn)包給他人。
36.3 The subcontracts will not release the contractor from any responsibilities or liabilities. The contractor shall dispatch relevant engineer or ensure the execution of the site field of the subcontract. It shall bear the consequences for any damage or losses caused by the sub-contractors fault.
工程分包不能解除承包人任何責(zé)任與義務(wù)。承包人應(yīng)在分包場地派駐相應(yīng)管理人員,保證本合同的履行。分包單位的任何違約行為或疏忽導(dǎo)致工程損害或給發(fā)包人造成其他損失,承包人承擔(dān)連帶責(zé)任。
36.4 The contractual payment between the contractor and the sub-contractor shall be paid directly by the contractor to the sub-contractor. Without the consent from the contractor, the landlord shall not in any make payment to the sub-contractor.
分包工程價(jià)款由承包人與分包單位結(jié)算。發(fā)包人未經(jīng)承包人同意不得以任何形式向分包單位支付各種工程款項(xiàng)。
37. Force majeure 不可抗力
37.1 The force majeure includes war, revolution, falling of flying items, fire, explosion, and other natural disasters (storm, rain, snow, flood, earthquake and etc.)
不可抗力包括因戰(zhàn)爭、動(dòng)亂、空中飛行物體墜落或其他非發(fā)包人承包人責(zé)任造成的爆炸、火災(zāi),以及約定的風(fēng)雨、雪、洪、震等自然災(zāi)害。
37.2 In case of there is a force majeure, the contractor shall immediately take the measures to minimize the losses and report to the landlord. The landlord shall provide assistance to the contractor to adopt measures. If the landlord believes the construction must be suspended, the contractor shall stop the construction. Within 48 hours after the event is over, the contractor shall report to the engineer for the losses and casualties as while as the estimated cost for cleaning and repairing. If the event continues, such report shall be made to engineer in every 7 days and when the event is over, the contractor must provide a final report.
不可抗力事件發(fā)生后,承包人應(yīng)立即通知工程師,在力所能及的條件下迅速采取措施,盡力減少損失,發(fā)包人應(yīng)協(xié)助承包人采取措施。不可抗力事件結(jié)束后48小時(shí)內(nèi)承包人向發(fā)包人通報(bào)受害情況和損失情況,及預(yù)計(jì)清理和修復(fù)的費(fèi)用。不可抗力事件持續(xù)發(fā)生,承包人應(yīng)每隔7天向發(fā)包人報(bào)告一次受害情況。不可抗力事件結(jié)束后14天內(nèi),承包人向工程師提交清理和修復(fù)費(fèi)用的最后的正式報(bào)告及有關(guān)資料。
37.3 The charges and liabilities caused by the force majeure will be shared by both parts in accordance with the following methods.
因不可抗力事件導(dǎo)致的費(fèi)用及延誤的工期由雙方按以下方法分別承擔(dān):
(1) The losses and damages to the project itself and of the third parties resulted form the damage of the project, the loss and damage of the material and equipment on site shall be covered by the landlord.
工程本身的損害、因工程損害導(dǎo)致第三人人員傷亡和財(cái)產(chǎn)損失以及運(yùn)至施工場地用于施工的材料和待安裝的設(shè)備的損害,由發(fā)包人承擔(dān)。
(2) Each party shall be responsible for the casualties of its own personnel.
發(fā)包人承包人人員傷亡由其所在單位負(fù)責(zé),并承擔(dān)相應(yīng)費(fèi)用。
(3) The contractor shall bear the losses and damages to his own equipment and machinery.
承包人機(jī)械設(shè)備損壞及停工損失,由承包人承擔(dān)。
(4) The landlord shall bear the cost of the necessary management and security personnel remain on site as request of the engineer during the suspension of the project.
停工期間,承包人應(yīng)工程師要求留在施工場地的必要的管理人員及保衛(wèi)人員的費(fèi)用由發(fā)包人承擔(dān)。
(5) The landlord shall bear the cost of cleaning and repairing of the project.
工程所需清理、修復(fù)費(fèi)用,由發(fā)包人承擔(dān)。
(6) The completion date can be postponed if necessary.延誤的工期相應(yīng)順延。
37.4 If the force majeure happens after one part delays the contract execution, he will not be released of its responsibilities.
因合同一方遲延履行合同后發(fā)生不可抗力的,不能免除遲延履行方的相應(yīng)責(zé)任。
38. Insurance 保險(xiǎn)
38.1 Before start-up, the contractor should insure the projects. The insurance will cover the life and material losses of its own employees or people from any third party. The insurance fee has already been included in the contract price.
工程開工前,承包人為建設(shè)工程和施工場內(nèi)的自有人員及第三人人員生命財(cái)產(chǎn)辦理保險(xiǎn),保險(xiǎn)費(fèi)由業(yè)主承擔(dān),該保險(xiǎn)費(fèi)已包含在本合同價(jià)款中。
38.2 The landlord shall take all insurance for the materials and equipment of the project which located on the site field.
運(yùn)至施工場地內(nèi)用于工程的材料和待安裝設(shè)備,由發(fā)包人辦理保險(xiǎn),并支付保險(xiǎn)費(fèi)用。
38.3 The contractor shall insure for his workers executing risky works, his own personnel on site and his own construction tools and materials.
承包人必須為從事危險(xiǎn)作業(yè)的職工辦理意外傷害保險(xiǎn),并為施工場地內(nèi)自有人員生命財(cái)產(chǎn)
38.4 When an accident occurs, both parties shall adopt all the possible measures to prevent and minimize the loss and damage.
保險(xiǎn)事故發(fā)生時(shí),發(fā)包人承包人有責(zé)任盡力采取必要的措施,防止或者減少損失。
39. Guarantees 擔(dān)保
39.1 The two parts should offer each other the following guarantee for executing the contract.
發(fā)包人承包人為了全面履行合同,應(yīng)互相提供以下?lián)#?/span>
(1) The landlord shall provide the guarantee to the contractor for execution of the contract, making payments as per the agreed payment schedule.
發(fā)包人向承包人提供履約擔(dān)保,按合同約定支付工程價(jià)款及履行合同約定的其他義務(wù)。
(2) The contractor shall provide the guarantee to the landlord for execution of the contract and respects his obligations as per the agreement.
承包人向發(fā)包人提供履約擔(dān)保,按合同約定履行自己的各項(xiàng)義務(wù)。
39.2 When one party violates the contract, the other party may request it to answer the default.
一方違約后,另一方可要求提供擔(dān)保的第三人承擔(dān)相應(yīng)責(zé)任。
39.3 The contractor and the landlord shall specify the content of the guarantee. A guarantee contract is attached to the contract.
提供擔(dān)保的內(nèi)容、方式和相關(guān)責(zé)任,發(fā)包人承包人除如下約定外,被擔(dān)保方與擔(dān)保方還應(yīng)簽訂擔(dān)保合同,作為本合同附件。
40. Patent and special techniques 專利技術(shù)及特殊工藝
40.1 If the landlord requests to use patented technology or special technology, he shall be responsible for the application, and will bear the extra cost. If the contractor intends to use patented technology or special technology, he shall obtain the approval form the engineer and will make the necessary application and bear the charges.
發(fā)包人要求使用專利技術(shù)或特殊工藝,就負(fù)責(zé)辦理相應(yīng)的申報(bào)手續(xù),承擔(dān)申報(bào)、試驗(yàn)、使用等費(fèi)用;承包人提出使用專利技術(shù)或特殊工藝,應(yīng)取得工程師認(rèn)可,承包人負(fù)責(zé)辦理申報(bào)手續(xù)并承擔(dān)有關(guān)費(fèi)用。
40.2 The part that will use third parts patent techniques without authorization, shall be liable for the legal and financial consequences.
擅自使用專利技術(shù)侵犯他人專利權(quán)的,責(zé)任者依法承擔(dān)相應(yīng)法律及經(jīng)濟(jì)責(zé)任。
41. Underground obstruction and historical relic 文物和地下障礙物
41.1 The contractor shall inform the engineer in writing for the discovery of historical relic, ancient tomb, ancient building foundation, fossil, ancient coin etc. which are of value for geological research within 4 hours. The engineer shall report to the local historical relics administration authority within 24 hours after receiving the notice from the contractor. Both parties shall take proper measures for protection as the requirement of the relevant authorities. The cost will be bore on the landlords account and the completion date will be postponed if necessary.
在施工中發(fā)現(xiàn)古墓、古建筑遺址等文物及化石或其他有考古、地質(zhì)研究等價(jià)值的物品時(shí),承包人應(yīng)立即保護(hù)好現(xiàn)場并于4小時(shí)內(nèi)以書面形式通知工程師,工程師應(yīng)于收到書面通知后24小時(shí)內(nèi)報(bào)告當(dāng)?shù)匚奈锕芾聿块T,發(fā)包人承包人按文物管理部門的要求采取妥善保護(hù)措施。發(fā)包人承擔(dān)由此發(fā)生的費(fèi)用,順延延誤的工期。
41.2 The part that fails to make such report and causes the damage to the historical relics, shall be liable for the legal and financial consequences.
如發(fā)現(xiàn)后隱瞞不報(bào),致使文物遭受破壞,責(zé)任者依法承擔(dān)相應(yīng)法律及經(jīng)濟(jì)責(zé)任。
41.3 During the construction, if the contractor finds underground structures which interferes the construction, he shall inform the engineer in writing within 8 hours and provide measures to resolve the problem. The engineer shall provide confirmation or an alternative plan within 24 hours after receiving such measures .The cost shall be on the landlords account and the completion date will be postponed if necessary.
施工中發(fā)現(xiàn)影響施工的地下障礙物時(shí),承包人應(yīng)于8小時(shí)內(nèi)以書面形式通知工程師,同時(shí)提出處置方案,工程師收到處置方案后24小時(shí)內(nèi)予以認(rèn)可或提出修正方案。發(fā)包人承擔(dān)由此發(fā)生的費(fèi)用,順延延誤的工期。
If the underground structure belongs to a third part, the landlord shall inform and deal together with the authority for assistance.
所發(fā)現(xiàn)的地下障礙物有歸屬單位時(shí),發(fā)包人應(yīng)報(bào)請有關(guān)部門協(xié)同處置。
42. Cancellation 合同解除
42.1 The contract can be canceled if it is agreed by both parts.
發(fā)包人承包人協(xié)商一致,可以解除合同。
42.2 The contractor has the right to cancel the contract if the landlord has not made the payment (or progress payment) after 60 days of stopping construction once the problem as indicated in item 26.4 occurs.
發(fā)生本合同條款第26.4款情況,停止施工超過60天,發(fā)包人仍不支付工程款(進(jìn)度款),承包人有權(quán)解除合同。
42.3 Both of the parts have the right to cancel the contract if the following situation occurs:
有下情形之一的,發(fā)包人承包人可以解除合同:
(1) The contract cannot be completed because of the force majeure.
因不可抗力致使合同無法履行。
(2) The contract cannot be completed because of one parts breach (incl.project shut-down and delay caused by the landlord).
因一方違約(包括因發(fā)包人原因造成工程停建或緩建)致使合同無法履行。
42.4 When one part cancels the contract in accordance with the items 43.243.3, he shall notify the other part in writing for the cancellation of the contract 7 days before the notice in writing is delivered, he shall inform the other part. The contract will be canceled upon the receipt of the notice. If there is a dispute on the cancel of the contract, the item 36 of this contract terms shall be used.
一方依據(jù)43.2、43.3款約定要求解除合同的,應(yīng)以書面形式向?qū)Ψ桨l(fā)出解除合同的通知,并在發(fā)出通知前7天告知對方,通知到達(dá)對方時(shí)合同解除。對解除合同有爭議的,按本合同條款第36條關(guān)于爭議的約定處理。
42.5 After the cancellation of the contract, the contractor shall properly protect and hand over the finished work and the material and equipment purchased. The contractor shall remove his machinery, equipment and personnel from the site field at the landlords request. The landlord shall provide necessary conditions for the removal and bear the charges of the removal and pay for the finished work. Each part shall be responsible for the refunding or canceling the order of the material and equipment ordered by himself. If the contract is cancelled , the landlord will pay for any supply and materials accepted and delivered on site. If materials can be returned to the supplier, the charge associated has to be supported by the landlord. The faulty part shall compensate the loss to the other part resulted from the termination of the contract.
合同解除后,承包人應(yīng)妥善做好已完工程和已購材料、設(shè)備的保護(hù)和移交工作,按發(fā)包人要求將自有機(jī)械設(shè)備和人員撤出施工場地。發(fā)包人應(yīng)為承包人撤出提供必要條件,支付以上所發(fā)生的費(fèi)用,并按合同約定支付已完工程價(jià)款。已經(jīng)訂貨的材料、設(shè)備由訂貨方負(fù)責(zé)退貨或解除訂貨合同,不能退還的貨款和因退貨、解除訂貨合同發(fā)生的費(fèi)用,由發(fā)包人承擔(dān),因未及時(shí)退貨造成的損失由責(zé)任方承擔(dān)。除此之外,有過錯(cuò)的一方應(yīng)當(dāng)賠償因合同解除給對方造成的損失。
42.6 If the contract is canceled, the landlord will pay contractor the part of the project which is completed in accordance with the contract.
合同解除后,發(fā)包人將向承包人支付按合同要求已完工工程價(jià)款。
43. Validity and expiry of the contract 合同生效與終止
43.1 The contract will be stopped in force when the landlord and contractor execute all their contractual obligations except for those stated in the item 33 of this contract terms, and the contractor hands over the completed project to the landlord.
除本合同條款第33條外,發(fā)包人承包人履行合同全部義務(wù),竣工結(jié)算價(jià)款支付完畢,承包人向發(fā)包人交付竣工工程后,本合同即告終止。
43.2 After termination, both the parts should follow the principle of credibility and sincerity to fulfill the obligations of informing, assisting and confidentiality.
合同的權(quán)利義務(wù)終止后,發(fā)包人承包人應(yīng)當(dāng)遵循誠實(shí)信用原則,履行通知、協(xié)助、保密等 義務(wù)。
44. Copies of this contract 合同份數(shù)
44.1 The contract has four originals, among which three for the landlord. Both of them have the same effectiveness and to be held by each part.
本合同正本四份,具有同等效力,其中三份由發(fā)包人保存。
45. Confidentiality 保密條款
Any information including (but not limited to ) drawings, contracts, prices of the project couldn’t be leaked out by the contractor during and after the implementation of this contract, unless get the approval from the landlord.
承包人在履行合同過程中獲知的有關(guān)發(fā)包人的任何情況,包括但不限于設(shè)計(jì)圖紙,各類合同,合同價(jià)款等,未經(jīng)發(fā)包方同意,在本合同履行過程中以及履行完畢后,都不得向外泄露。
