　　SCHEDULE 5 TESTING AND COMMISSIONING 測試和試運(yùn)行

　　1.0 Test objectives; Types 測試目標(biāo)、類型

　　The objectives of the Tests are to demonstrate the performance and operational characteristics each Unit/Project. There are two types of tests: (i) Capacity Test (including the Initial Capacity Test and an Annual Capacity Test) and (ii) Commissioning Tests (any of which would include a Capacity Test in addition to the tests described in paragraphs 5 and 6 of this Schedule 5). Each is described below.

　　測試目的是進(jìn)行各臺(tái)機(jī)組的性能和運(yùn)行特點(diǎn)的演示。測試類型分兩類：1. 容量測試(包括初始容量測試和年度容量測試)2. 試運(yùn)行測試(除了本表5和6中所述的測試之外，上述任何一種測試都應(yīng)進(jìn)行容量測試。)詳見下文。

　　2.0 General 概述

　　The following procedures set forth in this Schedule are to be used to determine the net electrical generating capacity of each Unit (Tested Capacity) for purposes of (i) the initial Capacity Test, and (ii) the annual Capacity Tests.

　　下述流程，可用于對確定上述1和2類測試類型進(jìn)行每臺(tái)機(jī)組(測試的容量)的凈電氣發(fā)電容量。

　　1. The Company will determine and prepare the procedures for the test in accordance with the most recent issue of applicable ASME performance test codes.

　　公司會(huì)根據(jù)ASME最新發(fā)布的文件確定和準(zhǔn)備測試程序;

　　2. The Tests shall be conducted in accordance with the procedures and methodologies recommended by the most recent issue of applicable ASME performance test codes or other industry testing procedures mutually acceptable to the Parties. The Tests shall be conducted by the Company or at the option of the Company, the Construction Contractor. The Company shall be responsible for providing additional instrumentation to the extent such instrumentation is not in place. All instrumentation will be properly calibrated and installed to predefined international standards, consistent with the Standards.

　　測試操作應(yīng)根據(jù)ASME最新發(fā)布的文件和雙方接受的其他行業(yè)測試流程所推薦的程序和方法論進(jìn)行。測試由公司進(jìn)行，或者有公司和施工方選擇進(jìn)行。公司負(fù)責(zé)提供所需的額外設(shè)備。所有的設(shè)備都應(yīng)該根據(jù)國際標(biāo)準(zhǔn)進(jìn)行校準(zhǔn)和安裝。

　　3. These tests will be coordinated between the Company and EDC. The Commissioning Tests schedule will be agreed in not less than sixty (60) Days prior to the initial synchronization of each Unit.

　　4. Prior to conducting any Test, (i) the necessary plant systems shall have been cleaned, checked and commissioned, (ii) the Unit shall be inspected and corrective maintenance, if required, shall be performed to repair any damaged equipment, (iii) the tightness of the condenser and boiler shall be checked and (iv) the boiler shall be operated at test load for at least two hours in order to verify a steady state.

　　5. The Company shall be entitled to declare the occurrence of a Capacity Test at any time in order to establish the Dependable Capacity of a Unit or the Plant. The results of any Capacity Test shall establish the Dependable Capacity of a Unit or the Plant, if and as applicable, until the next Capacity Test.

　　3.0 Testing Procedures for Initial Capacity Test and Annual Capacity Test

　　3.1 The periods for all Capacity Tests required under this Agreement shall be mutually agreed to by the Parties consistent with customary practice and Prudent Utility Practices, provided that the period for the Initial Capacity Test and Annual Capacity Test (and any retests thereof) shall be 2 hours duration at stable load.

　　本協(xié)議規(guī)定的所有容量測試周期，都應(yīng)在雙方根據(jù)慣例和完善的應(yīng)用慣例確定，但前提是初始容量測試和年度容量測試(和其他任何測試)周期都應(yīng)為穩(wěn)定負(fù)載狀態(tài)下的2個(gè)小時(shí)。

　　3.2 Each Unit shall be in its full base-load operating mode with its voltage regulator and governor in service. All major components should be operating at their normal pressures, temperatures and flows. All necessary safety and environmental equipment and systems shall be in service. No special adjustments to the Unit will be made that are inappropriate for normal base load operation, except that the turbine inlet valve start-up strainers may be removed prior to any Test.

　　3.3 Tested Capacity of a Unit and Dependable Capacity shall be based on actual conditions at the Site (the "Site Conditions") in accordance with ASME standard procedures.

　　測得的機(jī)組可靠容量均應(yīng)在ASME標(biāo)準(zhǔn)程序規(guī)定的現(xiàn)場實(shí)際條件(現(xiàn)場條件)下測得。

　　3.4 The net power, voltage, power factor and current output will be measured at the Metering Point (the high side of the generator step-up transformers). The three-wattmeter method shall be used for Test measurements.

　　凈功率、電壓、因數(shù)和電流輸出都應(yīng)在測量點(diǎn)(發(fā)電機(jī)升壓變壓器較高一段)進(jìn)行測量。測試可采用三瓦特計(jì)方法。

　　3.5 Critical pressures, temperatures and the net electrical generating capacity shall be recorded for every hour during the Test period. The net electrical generating capacity for each hour shall equal the average capacity during such hour. Tested Capacity with respect to any Test shall be the average of each of the hourly capacity values during the period of the Test.

　　3.6 The tested Dependable Capacity of the Project shall be equal to the sum of the Dependable Capacities of all Units. At any time upon seventy-two (72) hours notice, the Company may declare a test or re-test of the any and all Units in order to establish the Dependable Capacity of such Units and the Project.

　　測得的電廠可靠容量應(yīng)等于所有機(jī)組的可靠容量和。任何情況下，只要有事先72(七十二)小時(shí)的通知，公司就可以宣布進(jìn)行所有機(jī)組的測試或再測試，以便獲取該機(jī)組和電廠的可靠容量。

　　4.0 Function Verification Test for Electrical Metering and Relaying

　　The Company shall perform functional verification tests of the protection, control and metering system of the generating station as well as the Switchyard and transmission facilities. The purpose of the functional verification tests is to ensure that power equipment protection and control system will perform as designed to protect the electrical power system in a reliable manner and not jeopardize the Company or Grid facilities.

　　公司應(yīng)對電廠的保護(hù)、控制和測量系統(tǒng)，以及開關(guān)站和傳輸設(shè)施進(jìn)行功能驗(yàn)證測試。功能驗(yàn)證測試的目的是保證設(shè)計(jì)的電站設(shè)備保護(hù)和控制系統(tǒng)能夠有效保護(hù)電力系統(tǒng)、不會(huì)損壞公司或電網(wǎng)設(shè)施。

　　The design of the protection control and metering system shall include adequate test facilities so that functional tests can be properly performed.

　　保護(hù)控制和測量系統(tǒng)應(yīng)包括充分的測量設(shè)備，這樣才能適時(shí)進(jìn)行功能測試。

　　The tests shall be conducted to satisfy Grid requirements. Periodic verification of protection and control in accordance with an agreed maintenance schedule shall be performed by the Company as well as Grid in a coordinated manner to ensure the integrity of the protection and control system of both facilities.

　　測試要滿足電網(wǎng)要求。公司應(yīng)根據(jù)雙方同意的維護(hù)進(jìn)度表，對保護(hù)和控制系統(tǒng)進(jìn)行定期驗(yàn)證，以保證保護(hù)和控制系統(tǒng)的完整性。

　　5.0 Unit Operating Characteristic Test(s) 機(jī)組運(yùn)行特點(diǎn)測試

　　Unit operating characteristic test(s) as under shall be carried out to meet requirements of this Agreement: 要實(shí)現(xiàn)下述機(jī)組運(yùn)行特點(diǎn)，以滿足協(xié)議要求：

　　- To verify voltage variation range. 驗(yàn)證電壓變化范圍

　　- To verify frequency variation range. 驗(yàn)證頻率變化范圍

　　- Functional tests to demonstrate performance of auxiliary equipment.

　　進(jìn)行功能測試，以演示輔助設(shè)備的性能

　　All of the foregoing tests shall be conducted to the extent allowed by the actual grid conditions at the time and shall meet relevant IEC Standards.

　　所有上述測試類型，都應(yīng)在實(shí)際電網(wǎng)條件允許的情況下進(jìn)行，并滿足相關(guān)IEC標(biāo)準(zhǔn)。

　　6.0 Date Recording and Measurement 日期記錄和測量

　　1. The Company will provide the necessary labor, material, instrumentation and controls to record observe and evaluate the Test date and maintain the logs of all date taken.

　　公司應(yīng)提供必要的勞力、材料、計(jì)量設(shè)備和控制設(shè)備，來記錄和評估所有測試記錄。

　　2. Date will be recorded in electronic form as far as practical. Date, which can not be recorded in electronic form, shall be recorded manually.

　　日期會(huì)以電子表格形式記錄。無法以電子表格形式記錄的日期，應(yīng)手工記錄。

　　3. Company shall specify the variables that will be recorded, the form of recording and the frequency of recording of each variable during each Test.

　　公司應(yīng)確定被記錄的變量數(shù)據(jù)、記錄表格和每次測試的記錄頻率。

　　4. All instruments and meters will be calibrated in accordance with prudent utility Practice prior to the Tests.所有的一期和儀表均應(yīng)在測試之前根據(jù)慣例進(jìn)行校準(zhǔn)。

　　7.0 Test Reports測試報(bào)告

　　1. The Company will provide to EDC a Test report of the Test results of the Initial Capacity Tests and other relevant data. Test reports for periodic Capacity Tests after the Initial Capacity Tests shall be based on the data of the Metering System.

　　公司應(yīng)向EDC提供初始容量測試結(jié)果的測試報(bào)告，以及其他相關(guān)數(shù)據(jù)。初始容量測試之后的定期容量測試報(bào)告應(yīng)基于計(jì)量系統(tǒng)的數(shù)據(jù)。

　　2. The format and contents to the Test reports may be modified by mutual agreement between the company and EDC in order to meet the Test objectives.

　　測試報(bào)告的格式和內(nèi)容，可通過公司和EDC的互相同意進(jìn)行修改，以便滿足測試目標(biāo)。

　　8.0 Commissioning試運(yùn)行

　　Each Unit in the Project shall be commissioned and available for Commercial Operation following the successful completion of the Commissioning Tests for that Unit.

　　項(xiàng)目的每臺(tái)機(jī)組都應(yīng)進(jìn)行試運(yùn)行，并且在商業(yè)運(yùn)行時(shí)要完成試運(yùn)行。

　　SCHEDULE 6 附錄6

　　SCHEDULE 6 OPERATING COMMITTEE 運(yùn)行委員會(huì)

　　1. DESIGNATION OF COMMITTEE 委員會(huì)指派

　　The Operating Committee shall consist of six members. Three members shall be designated by both sides respectively to participate in the committee at least 60 days before the pre-commissioning of the First Unit or at an earlier date agreed by both sides. The company and EDC shall designate their own representatives respectively. The name list of representatives together with alternate members shall be supplied to each other in writing. The Chairman shall be appointed by EDC.

　　運(yùn)行委員會(huì)由六名成員組成。雙方分別在第一臺(tái)機(jī)組預(yù)試運(yùn)行前至少60天或者雙方事先同意的時(shí)間，各自委派三名成員加入到委員會(huì)。公司和EDC分別指派各自的代表。代表名單和候補(bǔ)委員名單應(yīng)以書面形式提供給對方。委員會(huì)主席由EDC指派。

　　2. RESPONSIBILITIES OF COMMITTEE委員會(huì)的責(zé)任

　　The committee shall be responsible for the liaison between the Company and EDC as well as Cambodian Electric Dispatching Centre, if any, or the relevant authority or company undertaken such obligations during production, transmission, dispatching and sales of Electricity of the Project. The Committee shall be responsible for coordination of repairing of EDC’s 230 kV Terminal Substation and New Interconnection Facilities and coordination of the construction, operation, maintenance and repair of the PROJECT. Based on, but not limited to, the above principles, rights and responsibilities of the Committee shall include:

　　c. To make proposals to Cambodian Electric Power Dispatching Centre or EDC on procedures of dispatching and safety of the power system related to this project to assure safe operation of the Project and smooth delivery of power output to the EDC System;

　　就電力系統(tǒng)的調(diào)度規(guī)程和安全，向柬埔寨電力調(diào)度中心或EDC提供建議，以保證項(xiàng)目的安全運(yùn)行和向EDC系統(tǒng)的順利輸電。

　　d. To coordinate the plans on construction, commissioning and testing for facilities and connecting facilities of both sides and to reach an agreement on the respective commissioning procedures of both sides if necessary.

　　就雙方設(shè)施和連接設(shè)施的施工、試運(yùn)行和擦拭進(jìn)行協(xié)調(diào)，如有必要，可進(jìn)一步就雙方各自的試運(yùn)行規(guī)程達(dá)成協(xié)議。

　　e. To study the operation procedure. 研究運(yùn)行規(guī)程

　　f. To study the necessary countermeasures against shut-down of facilities or connecting facilities or capacity reduction induced by Force Majeure or any other reason. 就因不可抗力或任何其他原因因其的設(shè)備停機(jī)、連接設(shè)備停機(jī)或容量降低等提出必要的對策。

　　g. To coordinate the maintenance schedule in the plan.協(xié)調(diào)計(jì)劃中的維護(hù)進(jìn)度。

　　h. To study procedure on reporting, accounting and recording.研究報(bào)告、統(tǒng)計(jì)和記錄等的流程。

　　i. To coordinate the insurance arrangement of the companies for the purposes of this Agreement.就公司因協(xié)議進(jìn)行的保險(xiǎn)安排進(jìn)行協(xié)調(diào)。

　　j. To prepare a policy on the security of the contractors of each of EDC and the Company. 為EDC和公司的各個(gè)承包商制定安全政策。

　　k. To report daily, weekly, monthly and yearly weather forecasting, or to report power output, spinning reserve or Reactive Power.

　　提供每日、每周、每月和每年的天氣預(yù)報(bào);或報(bào)告電力輸出、熱備用或無功功率。

　　3. PROCEDURE 程序

　　Meeting system of the committee shall be of a combination of regular meetings and irregular ones. The regular meetings shall be held once a month at the first week of each month.

　　The committee shall also hold irregular meetings whenever it deems proper at site or out of site to discuss the issues regarding its responsibilities.

　　The committee shall pass resolutions, comments and proposals by simple majority polls.

　　The committee is of a standing committee. The committee shall work out and implement policies on meeting schedule meeting minutes, polling procedure and composition of group established by the committee if necessary.

　　委員會(huì)為常務(wù)委員會(huì)。委員會(huì)應(yīng)制定并執(zhí)行與會(huì)議時(shí)間表、會(huì)議記錄、投票程序、各組組成等相關(guān)的政策。

　　However, the committee does not have any authority to modify or, by any other means to vary the rights and responsibilities of both sides stipulated in this Agreement.但是，委員會(huì)無權(quán)以任何形式修改或變更協(xié)議賦予雙方的權(quán)利和職責(zé)。

　　SCHEDULE79 附錄7

　　SCHEDULE7 INSURANCE 保險(xiǎn)

　　The Company’s insurance program will comply with the requirements of this Schedule 9 in all cases where the insurance either meets the stated requirements in the Company’s financing agreements or the Lenders have waived any requirements based on the lack of availability of any coverage or term in the market for commercially reasonable premiums based on the risk insured.任何情況下，無論是保險(xiǎn)滿足公司融資協(xié)議中的要求，還是貸款人在投保風(fēng)險(xiǎn)中因缺少保險(xiǎn)條款和范圍而放棄了任何保險(xiǎn)要求，公司的保險(xiǎn)計(jì)劃都應(yīng)符合本表中的要求。

　　1. CONSTRUCTION / ERECTION ALL RISKS (CEAR) INSURANCE 建安一切險(xiǎn)(CEAR)

　　(a) Coverage保險(xiǎn)范圍: This insurance shall cover physical loss of or damage to the permanent and temporary works of the Project by the Company, and the Contractor Group, including materials and equipment supplied for incorporation therein. Scope of cover is to be All Risks subject to standard exclusions and deductibles. Faulty design coverage to be included to the extent available.

　　該保險(xiǎn)涵蓋由公司、承包商組給項(xiàng)目帶來的永久性或短期工作量的物理損失或損毀，包括提供的用于公司組建的材料和設(shè)備。保險(xiǎn)范圍為全險(xiǎn)。如因設(shè)計(jì)失誤，也應(yīng)包含在保險(xiǎn)范圍內(nèi)。

　　(b) Amount Insured投保金額: Not less than the value of the Project and equipment installed and in transit.不得少于項(xiàng)目金額和已安裝的、運(yùn)輸中的設(shè)備金額。

　　(c) Period期限: From the Effective Date to the Commercial Operation Date, subject to changes for Provisional Operation. 自生效日期起至商業(yè)運(yùn)行日期，受限于臨時(shí)運(yùn)行的變化。

　　2. CARGO TRANSPORTATION INSURANCE 貨物運(yùn)輸保險(xiǎn)

　　(a) Coverage 保險(xiǎn)范圍: This insurance shall cover physical loss of or damage to the materials, equipment and supplies for incorporation or consumption in the Project and for the Interconnection Facilities occurring during transportation to the Site.

　　保險(xiǎn)應(yīng)涵蓋項(xiàng)目公司組建和消耗用的材料、設(shè)備和供應(yīng)物品的物理損耗和損毀，以及連接設(shè)備運(yùn)往現(xiàn)場過程中的損毀。

　　(b) Amount Insured投保金額: 110% of CIF purchase price of the insured goods, subject to availability on commercially reasonable terms taking into account the risk insured. 投保商品CIF采購價(jià)的110%。

　　(c) Period期限:

　　Materials, equipment and supplies for the Project and Interconnection Facilities: during the period of shipment and transshipment

　　發(fā)貨和轉(zhuǎn)運(yùn)期間，為項(xiàng)目和連接設(shè)備而提供的材料、設(shè)備和供應(yīng)物品。

　　(d) Deductible免賠額: Per Lenders’ requirements 按照貸款人的要求

　　3. ALL RISKS PROPERTY/MACHINERY BREAKDOWN INSURANCE 財(cái)產(chǎn)/機(jī)械故障 全險(xiǎn)

　　(a) Coverage保險(xiǎn)范圍:

　　This insurance shall cover physical loss of or damage to the Project and machinery breakdown during operation. The Company shall not be required to procure insurance for the Interconnection Facilities at any time.

　　保險(xiǎn)應(yīng)涵蓋運(yùn)行期間，項(xiàng)目和機(jī)械故障產(chǎn)生的物理損失和損壞。不得要求公司隨時(shí)為連接設(shè)備購買保險(xiǎn)。

　　(b) Amount Insured投保金額:

　　Not less than the Cost of replacement of the Project at the time of inception of a policy and taking into account availability in the market for commercially reasonable premiums taking into account the risk insured.

　　不得少于更換成本，并且要考慮到市場上能否買到、以及商業(yè)上的合理保險(xiǎn)費(fèi)等因素。

　　(c) Period期限: From the Commercial Operation Date until the Expiry Date, subject to insurance market requirements and periodic expiration and renewal.

　　自商業(yè)運(yùn)行日期起直至過期，受限于保險(xiǎn)市場要求和定期過期和更新。

　　4. BUSINESS INTERRUPTION INSURANCE 營業(yè)中斷保險(xiǎn)

　　(a) Coverage保險(xiǎn)范圍:

　　This insurance shall cover loss of revenue arising from loss of or damage to the Project.

　　保險(xiǎn)應(yīng)涵蓋項(xiàng)目損失和損毀造成的稅收損失。

　　(b) Amount Insured投保金額: As required by the Lenders.按照貸款人的要求。

　　(c) Period期限: From the Commercial Operation Date until the Expiry Date, with cover for Provisional Operation. All policies will expire periodically and be subject to new underwriting and renewal requirements.

　　從商業(yè)運(yùn)行之日起直至過期包括臨時(shí)運(yùn)行階段。所有的保單都應(yīng)定期過期，并受限于新的保險(xiǎn)和更新要求。

　　5. COMPREHENSIVE GENERAL LIABILITY INSURANCE全面一般責(zé)任險(xiǎn)

　　(a) Coverage保險(xiǎn)范圍: This insurance shall cover legal liability for damage to property of or bodily injury to third parties arising out of the design, engineering, supply, construction, erection, testing, commissioning, ownership, operation and maintenance of the Project.

　　保險(xiǎn)應(yīng)涵蓋項(xiàng)目設(shè)計(jì)、工程設(shè)計(jì)、供貨、施工、搭建、測試、試運(yùn)行、所有權(quán)、運(yùn)行和維護(hù)期間第三方財(cái)產(chǎn)或人身傷害的法律責(zé)任保險(xiǎn)。

　　(b) Amount Insured投保金額: One Million USD (1,000,000) 100萬美元。

　　(c) Period期限: From the Effective Date until the Expiry Date, subject to periodic expiration and renewal.

　　自生效之日起直至過期，受限于定期過期和更新。

　　6. AUTOMOBILE LIABILITY INSURANCE汽車責(zé)任險(xiǎn)

　　(a) Coverage保險(xiǎn)范圍: This insurance shall cover legal liability for damage to property of or bodily injury to third parties arising out of the ownership, use and maintenance of motor vehicles owned by the Company.

　　保險(xiǎn)應(yīng)涵蓋公司所有機(jī)動(dòng)車輛的所有權(quán)、使用和維護(hù)導(dǎo)致的財(cái)產(chǎn)或第三方人身傷害的法律責(zé)任保險(xiǎn)。

　　7. WORKMEN’S COMPENSATION INSURANCE 工人補(bǔ)償保險(xiǎn)

　　(a) Coverage保險(xiǎn)范圍:

　　Workmen’s compensation insurance coverage as required by applicable Law and those otherwise applicable to the Company.

　　(b) Amount Insured投保金額: The amount required under relevant law.相關(guān)法律要求的金額。

　　SCHEDULE 8 FORM OF DIRECT AGREEMENT 直接協(xié)議格式

　　THIS DIRECT AGREEMENT (this Direct Agreement) is made on the ___ day of __________, 201____. 該直接協(xié)議(直接協(xié)議)于 年 月 日簽訂，

　　(1) ELECTRICITE DU CAMBODGE, with its principal office at Street 19, Wat Phnom, Daun Penh District, Phnom Penh, in the Kingdom of Cambodia, including its successors in title and assignees (EDC);

　　柬埔寨電力局，其主要辦公地點(diǎn)為柬埔寨王國，金邊市 Wat Phnom, Daun Penh區(qū)，19號(hào)街，包括其繼任者和受讓人(EDC)。

　　(2) CAMBODIA INTERNATIONAL INVESTMENT DEVELOPMENT GROUP CO., LTD, a company incorporated under the laws of the Kingdom of Cambodia, with company number ,with its principal office located at ,Phnom Penh, Kingdom of Cambodia, including its successors in title and permitted assignees (the Company); 柬埔寨國際投資發(fā)展集團(tuán)有限責(zé)任公司，包括其法定受讓人(公司)，根據(jù)柬埔寨王國 法律成立，注冊地址為_____金邊,柬埔寨。AND 以及

　　WHEREAS: 鑒于：

　　A. The Company and EDC entered into a power purchase agreement dated___, 2010 (the Contract) for the sale and purchase of Electricity from a power station to be constructed and operated at Oddar Meanchy, Cambodia (the Project) and the Contract was subsequently transferred to the Company under the terms of a novation agreement dated _________, 201- among EDC, Han Seng Coal Mine Co; Ltd. of Cambodia and the Company;

　　B. The Lenders have agreed to provide financing for the Project in accordance with the terms of the Financing Agreements; 貸款人已經(jīng)同意根據(jù)融資協(xié)議向項(xiàng)目提供融資。

　　C. It is a requirement of the financing that (i) the Company makes a collateral assignment by way of first ranking security for the financing of its rights, title, benefit and interest under the Contract, including all monies payable under the Contract, to the Lenders and (ii) that certain rights are granted by EDC directly to the Lenders;

　　D. EDC has agreed to grant certain direct rights to the Lenders as hereinafter set forth; and the Parties have agreed to enter into this Direct Agreement on the terms set out herein.

　　EDC同意將相關(guān)直接權(quán)力授予貸款人;各方在此同意加入直接協(xié)議。

　　IT IS HEREBY AGREED: 各方在此同意：

　　1. Definitions 定義

　　Unless otherwise defined herein, defined terms used in this Agreement shall have the meaning ascribed to them in the Contract.

　　除非另有規(guī)定，否則本協(xié)議中使用的術(shù)語與合同中的術(shù)語意思相同。

　　2. Notice of Assignment and Consent協(xié)議通知

　　2.1 The Company hereby gives EDC notice of the collateral assignment of all its rights, title, benefit and interest under the Contract and all monies payable under the Contract (the Assignment) to the Agent by way of first ranking security for the financing.

　　公司在此通知EDC：其出于融資目的，將其在本合同中的所有權(quán)力、名義、收益和利益，以及合同規(guī)定的應(yīng)付款項(xiàng)，以有價(jià)證券的形式轉(zhuǎn)讓給代理人。

　　2.2 The Company acknowledges to EDC that it remains liable to EDC to perform all the liabilities and obligations assumed by the Company under the Contract.

　　公司向EDC承諾仍然承擔(dān)合同規(guī)定的應(yīng)向EDC履行的相關(guān)責(zé)任和義務(wù)。

　　2.3 EDC consents to the Assignment and confirms to the Agent that it has not received notice of any prior charge or assignment by the Company of any of its rights, title, benefit or interest under the Contract to any other party.

　　EDC同意上述委托并向代理方確認(rèn)：此前沒有收到任何關(guān)于公司就其在合同中享有的權(quán)利、名義和利益再分配的一方提前收費(fèi)或另行委托的通知。

　　3. Payments 支付

　　3.1 EDC will make all payments under the Contract to the benefit of the Agent at the following accounts: EDC會(huì)根據(jù)合同，按照下述賬戶向代理方支付所有款項(xiàng)。

　　or as otherwise notified by the Agent to EDC from time to time and the Agent agrees to give a copy of such notice simultaneously to the Company. The Company consents and agrees to such payment arrangements.

　　或者根據(jù)代理方給EDC的通知，代理方同意將通知副本同時(shí)發(fā)給公司。公司也許可并同意該付款安排。

　　3.2 The Company acknowledges that any payment made under the Contract to the Agent in accordance with Section 3.1 of this Agreement shall constitute satisfaction of EDC’s obligation to make such payment to the Company as provided under the Contract.

　　公司承認(rèn)根據(jù)本合同向代理方做得任何款項(xiàng)支付，都會(huì)依據(jù)協(xié)條款3.1之規(guī)定進(jìn)行，向公司所做的支付應(yīng)作為EDC的義務(wù)。

　　3.3 EDC agrees to make all payments under the Contract in accordance with Section 3.1 of this Agreement, subject only to any right EDC may have to withhold amounts in accordance with the terms of the Contract.

　　EDC同意根據(jù)協(xié)議條款3.1支付所有款項(xiàng)，僅限于合同條款規(guī)定的數(shù)額。

　　4. Lenders’ Rights: Lenders’ Notice Period 貸款人權(quán)利：貸款人的通知期限

　　EDC agrees that it will not exercise any right that it may have under the Contract to terminate the Contract or to purchase the Project under Section 15.5 of the Contract, in either case as a result of a Company Event of Default:

　　EDC同意不會(huì)由于本公司的下述違約行為而行使合同賦予其的終止合同或條款15.5規(guī)定的采購項(xiàng)目的權(quán)力：

　　(a) without first giving the Agent not less than ninety (90) Days’ written notice (the Lenders’ Notice Period), with a copy of the relevant EDC Notice of Default served by EDC on the Company, such Lenders’ Notice Period being the period from the last date that the Company was entitled under the Contract to rectify or cure such Company Event of Default until the date falling ninety (90) Days thereafter with respect to a Company Remedial Event of Default or the date of such notice by EDC to the Agent with respect to a Company Non-Remedial Event of Default; and 沒有在90日內(nèi)給代理方書面通知(貸款人通知期限)，也未提供EDC對公司相關(guān)違約通知的副本;該貸款人通知期限為合同指定該公司可以對違約行為進(jìn)行補(bǔ)救和更正的最后一天起算，直至公司補(bǔ)救措施經(jīng)過90天，或者EDC向代理方發(fā)出的關(guān)于公司非補(bǔ)救性措施通知當(dāng)日。

　　(b)

　　(b) if, within the Lenders’ Notice Period, each Company Event of Default specified in the EDC Notice of Default which is capable of being remedied has been remedied and all losses suffered by EDC for which the Company is liable under the Contract have been made good or if, in respect of each Company Event of Default which is not capable of being remedied, all losses suffered by EDC have been made good and arrangements acceptable to EDC have been effected to protect EDC’s position.

　　在貸款人通知期限內(nèi)，如果在EDC通知內(nèi)涉及的所有公司違約得到補(bǔ)救，EDC遭受的損失按照合同規(guī)定得到彌補(bǔ);或者，如果無法彌補(bǔ)的公司違約事件未能得到補(bǔ)救，EDC遭受的所有損失應(yīng)得到妥善的安排并征得EDC同意。

　　5. Lenders’ Rights: Substitution 貸款人的權(quán)利：替代

　　EDC agrees that it shall, upon written request received from the Agent during the pendency of the circumstances noted in Sections (a) or (b) below at any time prior to termination of the Contract, enter into an agreement for the substitution of the Company under the Contract in the form set out in the Schedule hereto (the Substitution Agreement) with a third party which has the financial and technical ability to perform the obligations of the Company under the Contract (the Nominated Company) in the following circumstances:

　　EDC同意，在合同終止之前，若收到代理方就下述a、b方面的書面請求，會(huì)與第三方簽訂替代協(xié)議，該第三方應(yīng)具備履行合同賦予公司(指定公司)的權(quán)利和義務(wù)的經(jīng)濟(jì)和技術(shù)能力。

　　6. Lenders’ Rights: Substitute Operators 貸款人的權(quán)利：替代經(jīng)營方

　　EDC agrees that it shall, upon written request received from the Agent following service by EDC on the Company of a EDC Notice of Default and during the pendency of such circumstance, at any time prior to termination of the Contract, accept the performance of a substitute operator (Substitute Operator) (which can also be the Nominated Company) designated by the Agent which meets the requirements for approval by EDC of the O&M Contractor set forth in Section 4.2(b) of the Contract, provided that such party agrees to assume and be bound by all the terms and conditions of an O&M Agreement on substantially similar terms as the initial O&M agreement entered into by the Company and that any amendment, modification or supplement of the O&M Agreement shall require EDC’s consent as provided under the Contract.

　　在合同終止之前，EDC同意在接受代理商后續(xù)服務(wù)及書面要求后，就EDC向公司發(fā)出的違約通知事項(xiàng)，接受替代經(jīng)營方的服務(wù)(替代經(jīng)營方)。該替代經(jīng)營方需符合代理方指定的要求并得到EDC認(rèn)可其符合電力購買協(xié)議第4.2(b)項(xiàng)對分包商的要求，才能作為替代經(jīng)營方完成相關(guān)工作(也可以由指定公司完成)。如果上述單位同意接手相關(guān)工作并承諾遵守O&M 協(xié)議、修訂文件或執(zhí)行文件中的相關(guān)條款要求，應(yīng)按照合同中的相關(guān)規(guī)定獲得EDC的批準(zhǔn)。

　　7. Acknowledgement by the Agent代理商的確認(rèn)

　　Acting on behalf of itself and as agent for the Lenders, the Agent confirms and agrees that EDC has, subject to Section 4 of this Agreement, the right to purchase the Project on the terms set out in Section 15.5 of the Contract and that, subject to EDC’s compliance with that Section 15.5 of the Contract and Section 4 of this Agreement, the Lenders shall execute all documents and do all such further things as may be necessary to facilitate EDC’s purchase of the Project free from all liens, charges, mortgages or other encumbrances which may exist in favor of the Lenders.

　　作為貸款人的代理，代理商確認(rèn)并同意EDC依據(jù)電力購買協(xié)議的第4條和第15.5條的規(guī)定享有購買本項(xiàng)目所發(fā)電力的權(quán)力，同時(shí)按照上述各項(xiàng)條款要求，貸款人應(yīng)執(zhí)行相關(guān)規(guī)定并采取一切必要措施協(xié)助EDC在不負(fù)擔(dān)任何抵押利息、質(zhì)押或其它類似障礙的前提下購買上述項(xiàng)目所發(fā)電力。

　　8. Release of Security upon Termination 項(xiàng)目終止時(shí)釋放擔(dān)保

　　The Agent shall, upon either EDC’s or the Company’s exercise of their rights under Section 15.5 of the Contract, relinquish all its rights, security, liens or any interest in the Project.

　　代理商應(yīng)當(dāng)按照電力購買協(xié)議第15條第5款的規(guī)定，根據(jù)EDC和公司由此享有的權(quán)力，放棄所有項(xiàng)目相關(guān)的權(quán)利、股份、抵押利息或利益。

　　9. Miscellaneous Provisions其它規(guī)定

　　9.1 EDC confirms that neither the Agent nor any of the Lenders assumes any liabilities or obligations under the Contract by virtue of this Agreement.

　　EDC確認(rèn)無論是代理商抑或是貸款人均不會(huì)因本協(xié)議對合同承擔(dān)任何責(zé)任或義務(wù)。

　　9.2 Notices and Approvals 通知和審批

　　All notices, approvals or other communications (hereinafter called notices), to be given hereunder shall be in writing,in English and addressed for the attention of the person indicated below and shall either be delivered personally or sent by pre-paid post or by facsimile.

　　所有通知，批準(zhǔn)或其他溝通(以下稱為通知)，應(yīng)以書面形式、英文，親自遞送或以傳真或預(yù)付費(fèi)郵寄的方式送達(dá)下列聯(lián)系人。

　　All notices given by facsimile shall be confirmed in writing delivered or sent as aforesaid but the failure to so confirrm shall not vitiate the original notice PROVIDED THAT the party sending the facsimile has evidence that all pages were sent without error and the facsimile was legible when received. The addresses for service of the parties and their respective facsimile and addressee shall be:

　　所有以傳真發(fā)送的通知，應(yīng)經(jīng)過書面確認(rèn)或上述的方式郵寄確認(rèn)。前提是傳真的通知清晰，且所有頁數(shù)都準(zhǔn)確無誤。各方的郵寄地址及傳真都準(zhǔn)確無誤。

　　9.2.2 Receipt of Notices 通知的送達(dá)

　　(a) in the case of a document addressed in accordance with Clause 9.2.1 and delivered by hand , on the date of delivery;

　　符合9.2.1條款規(guī)定的文件，為通知實(shí)際送達(dá)的日期。

　　(b) in the case of a facsimile, on the date of transmission of the facsimile PROVIDED THAT the party sending the facsimile has evidence that all pages of the facsimile were transmitted without error and the facsimile was legible when received.

　　在傳真情況下，發(fā)送傳真一方證明所有傳真頁準(zhǔn)確無誤且清晰，以收到的時(shí)間為準(zhǔn)。

　　10. Governing Law政府法律法規(guī)

　　This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. In the event there are no applicable Cambodian laws,the laws of the United Kingdom shall govern..

　　本協(xié)議應(yīng)受到柬埔寨王國的相關(guān)法律制約并按照相關(guān)法律法規(guī)解讀。如果柬埔寨王國沒有適用的法律，應(yīng)按照英國相關(guān)法律解讀。
