責(zé)任LIABILITIES

　　根據(jù)第20.2條，由于協(xié)議一方(以下簡稱違約方)對本協(xié)議項下的任何責(zé)任產(chǎn)生違約行為，而直接導(dǎo)致另一方所承擔(dān)的損失或損害，且違約方本應(yīng)預(yù)見到該損失或損害的，違約方需向該方承擔(dān)責(zé)任，前提是：
 

　　Subject to Clause 20.2, a Party (the Defaulting Party) shall be liable to the other Party for loss or damage which has been suffered as a direct result of default of any of such Defaulting Party’s obligations hereunder, to the extent that the Defaulting Party should reasonably have foreseen the loss or damage, provided that:

　　由于買方未能根據(jù)本協(xié)議進行LNG接收，買方根據(jù)第13. 3條進行一定款項的支付需為賣方的唯一補救措施;

　　payment by Buyer of any amount in accordance with Clause 13.3 shall be Seller’s sole and exclusive remedy for the failure on the part of Buyer to take LNG in accordance with this Agreement;

　　由于賣方未能根據(jù)本協(xié)議進行LNG交付，賣方根據(jù)第14. 3條進行一定款項的支付需為買方的唯一補救措施;

　　payment by Seller of any amount in accordance with Clause 14.3 shall be Buyer’s sole and exclusive remedy for the failure on part of Seller to deliver LNG in accordance with this Agreement;

　　由于LNG船舶的靠泊和/或卸貨發(fā)生延誤，買方根據(jù)第12.6條進行一定款項的支付需為賣方的唯一補救措施;

　　payment by Buyer of any amount in accordance with Clause 12.6 shall be Seller’s sole and exclusive remedy for delay in berthing and/or discharge of an LNG Ship; and

　　由于賣方未能交付符合規(guī)范的LNG，賣方根據(jù)第4條進行一定款項的支付需為買方的唯一補救措施。

　　payment by Seller of any amount in accordance with Clause 4 shall be Buyer’s sole and exclusive remedy for the failure on the part of Seller to deliver LNG which meets the Specification.

　　除非本協(xié)議或交易中另行明確規(guī)定，協(xié)議一方根據(jù)本協(xié)議，或由于過錯或在本協(xié)議的實施過程中或與本協(xié)議的實施相關(guān)的任何行為或不作為所導(dǎo)致的其它原因，無需就以下方面向另一方負責(zé)：

　　Except as expressly provided in this Agreement or a Transaction, a Party shall not be liable to another Party under this Agreement, or in negligence or otherwise howsoever as a result of any act or omission in the course of or in connection with the performance of this Agreement, for or in respect of:

　　任何間接或附帶性損失或損害賠償;any indirect or consequential loss or damages;

　　任何收入、利潤、產(chǎn)量或收益的減少;any loss of income, profits, production or revenue;

　　任何業(yè)務(wù)中斷;any business interruption;

　　第三方針對另一方要求或采取的任何索賠、指示或訴訟;和/或

　　any claim, demand or action made or brought against that other Party by a Third Party; and/or

　　根據(jù)第19條中規(guī)定的不可抗力條款予以免責(zé)的任何未能履職或延遲履職的情況。

　　any failure of performance or delay in performance which is relieved by the application of the Force Majeure provisions as provided for in Clause 19.

　　對于不履行或違反本協(xié)議，或由于本協(xié)議產(chǎn)生或與本協(xié)議相關(guān)的任何性質(zhì)的其它要求，協(xié)議一方向另一方的唯一補救措施應(yīng)根據(jù)合同規(guī)定。由于法定責(zé)任或侵權(quán)行為或不作為或其他事項而導(dǎo)致的任何損害或損失或要求，任一方均無需對另一方(或其附屬公司和承包方及其各自的董事、管理人員、員工和代理人員)進行負責(zé);但是此項不應(yīng)排除任何衡平法的救濟方案。

　　A Party's sole remedy against the other Party for non-performance or breach of this Agreement or for any other claim of whatsoever nature arising out of or in relation to this Agreement shall be in contract and no Party shall be liable to the other Party (or its Affiliates and contractors and their respective directors, officers, employees and agents) in respect of any damages or losses suffered or claims which arise out of, under or in any alleged breach of statutory duty or tortious act or omission or otherwise; provided that this shall not operate to exclude any equitable remedies.

　　轉(zhuǎn)讓ASSIGNMENT

　　除第21.2條中規(guī)定以外，未經(jīng)另一方事先書面批準(zhǔn)(該批準(zhǔn)不得予以無理拒絕)，協(xié)議一方不得將本協(xié)議項下自身的任何權(quán)利或義務(wù)進行轉(zhuǎn)讓。

　　Except as provided in Clause 21.2, a Party shall not assign any of its rights or obligations under this Agreement without the prior written consent of the other Party, which consent shall not be unreasonably withheld.

　　盡管有上述規(guī)定，協(xié)議一方在提前通知另一方之后，無需得到另一方的同意，便可以自由地將本協(xié)議項下自身的權(quán)利與義務(wù)轉(zhuǎn)讓給任何附屬公司。但是，上述轉(zhuǎn)讓行為不應(yīng)以任何形式免除轉(zhuǎn)讓方根據(jù)本協(xié)議完全履職的責(zé)任，且上述受讓方同意受本協(xié)議的條款所約束。Notwithstanding the above, a Party may freely assign its rights and obligations under this Agreement to an Affiliate upon prior notice to, but without requiring the consent of the other Party, provided, however, that no such assignment shall in any way relieve the assigning Party from liability for full performance under this Agreement and that any such assignee agrees to be bound by the terms and conditions of this Agreement.

　　適用法律APPLICABLE LAW

　　本協(xié)議應(yīng)遵守英國和威爾士法律，并按照英國和威爾士法律進行解釋。

　　This Agreement is governed by and shall be construed in accordance with the laws of England and Wales.

　　爭議解決SETTLEMENT OF DISPUTES

　　任何因本總協(xié)議或交易而產(chǎn)生的或與之相關(guān)原因而導(dǎo)致的任何爭議，協(xié)議雙方在合理期間內(nèi)通過真誠協(xié)商無法解決，且未根據(jù)第23.2條提交專家解決的，需通過倫敦國際仲裁中心(以下簡稱LCIA)根據(jù)相關(guān)交易之日有效的LCIA仲裁規(guī)則進行解決。仲裁員數(shù)量應(yīng)為三(3)名。如果協(xié)議任一方未能指定仲裁員，或者協(xié)議雙方指定的兩(2)名仲裁員無法就仲裁庭庭長的選定達成一致意見，則需由LCIA指定相關(guān)仲裁員。仲裁地應(yīng)在英國倫敦。仲裁過程中使用的語言為英語。任何仲裁裁決需為最終不可更改的，并對相關(guān)協(xié)議方具備約束力，協(xié)議雙方不可撤銷地放棄向任何國家法院或其它司法機關(guān)提出任何形式的上訴、復(fù)審、追索的權(quán)利。仲裁人員的裁決可提交任何對相關(guān)方具備管轄權(quán)的法庭予以判決。

　　Any dispute arising out of or in connection with or otherwise relating to this Agreement or a Transaction, which cannot be resolved by discussion in good faith between the Parties within a reasonable period of time and which is not referred for resolution by an expert under Clause 23.2, shall be settled by arbitration administered by the London Court of International Arbitration ("LCIA") in accordance with the LCIA Arbitration Rules as in force at the date of the relevant Transaction. The number of arbitrators shall be three (3). If either Party fails to appoint an arbitrator or the two (2) arbitrators appointed by the Parties fail to agree on the choice of the presiding arbitrator, the appointing authority shall be the LCIA. The place of arbitration shall be London, England. The language to be used in the arbitration shall be English. Any award shall be final and binding upon the Parties concerned and the Parties waive irrevocably their right to any form of appeal, review or recourse to any state court or other judicial authority. Judgment on any award rendered by the arbitrators may be entered in any court having jurisdiction over the Party or Parties concerned.

　　如果從爭議本質(zhì)方面考慮，認為將爭議提交給具備貿(mào)易專業(yè)知識的獨立人員或機構(gòu)處理比尋求仲裁解決更為合適的，則協(xié)議雙方可以書面約定將任何爭議提交上述人員或機構(gòu)處理，但是協(xié)議雙方需就上述人員或機構(gòu)的選擇達成約定。爭議解決的使用語言需為英語。上述人員或機構(gòu)的決策需為最終不可更改的，并對相關(guān)協(xié)議方具備約束力，協(xié)議雙方不可撤銷地放棄向任何國家法院或其它司法機關(guān)提出任何形式的上訴、復(fù)審、追索的權(quán)利。

　　The Parties may agree in writing to refer any dispute to an independent person or body possessing expert trade knowledge, if it is considered, in view of the nature of that dispute, to be more suitable than resorting to arbitration provided that agreement is reached by both Parties on the choice of such a person or a body. The language to be used for the determination of the dispute shall be English. The decision of such a person or a body shall be final and binding upon the Parties concerned and the Parties waive irrevocably their right to any form of appeal, review or recourse to any state court or other judicial authority.

　　如有爭議事項采用本條第23條中的方法提交解決，不應(yīng)妨礙任一方履行本協(xié)議項下的自身相關(guān)職責(zé)，或構(gòu)成任意一方不履行本協(xié)議項下自身相關(guān)職責(zé)的有效理由。

　　When a matter is referred for resolution under this Clause 23, it shall not prevent or constitute a valid excuse for either Party from performing their respective obligations under this Agreement.

　　協(xié)議任一方不可撤銷地放棄由于本協(xié)議產(chǎn)生或與本協(xié)議相關(guān)的，涉及任何仲裁或訴訟程序的請求豁免權(quán)，包括以下豁免：

　　Each Party irrevocably waives any claim to immunity in relation to any arbitration or court proceedings arising out of or connected with this Agreement, including immunity from:

　　任何法院或法庭的管轄權(quán);jurisdiction of any court or tribunal;

　　傳票送達;service of process;

　　強制救濟或其它臨時救濟，或任何對實際履行或收回土地的任何命令;和

　　injunctive or other interim relief, or any order for specific performance or recovery of land; and

　　任何對其資產(chǎn)的裁決或?qū)徟械膶嵤┝鞒獭?/span>

　　any process for execution of any award or judgement against its property.

　　批準(zhǔn)和許可APPROVALS AND PERMISSIONS

　　任意一方需從該方居住國政府機構(gòu)，或從任何對該方或其相關(guān)活動具備管轄權(quán)的其它正式設(shè)立的機構(gòu)取得或促成他方取得所有必要的許可、授權(quán)、批復(fù)或因履行本協(xié)議項下的自身職責(zé)所需的其它必要材料。

　　Each Party shall obtain or cause to be obtained all necessary permissions, authorisations, approvals and other requirements from the Governmental Authorities in its country of domicile, or any other duly constituted authority having jurisdiction over it or its activities, which are necessary to enable it to perform its obligations under this Agreement.

　　買方需從卸貨港所有相關(guān)政府機構(gòu)，或從任何對該方或其相關(guān)活動具備管轄權(quán)的正式設(shè)立的機構(gòu)取得或促成他方取得所有必要的許可、授權(quán)、批復(fù)或根據(jù)特定交易履行自身職責(zé)所需的其它必要材料。

　　Buyer shall obtain or cause to be obtained all necessary permissions, authorisations, approvals and other requirements from all relevant Governmental Authorities of the Unloading Country or any duly constituted authority having jurisdiction over it or its activities, which are necessary to enable Buyer to perform its obligations pursuant to a given Transaction.

　　賣方需從裝貨港所有相關(guān)政府機構(gòu)，或從任何對該方或其相關(guān)活動具備管轄權(quán)的正式設(shè)立的機構(gòu)取得或促成他方取得所有必要的許可、授權(quán)、批復(fù)或根據(jù)特定交易履行自身職責(zé)所需的其它必要材料。

　　Seller shall obtain or cause to be obtained all necessary permissions, authorisations, approvals and other requirements from all relevant Governmental Authorities of the Loading Country or any duly constituted authority having jurisdiction over it or its activities, which are necessary to enable Seller to perform its obligations pursuant to a given Transaction.

　　完整協(xié)議和修訂ENTIRE AGREEMENT AND AMENDMENT

　　本協(xié)議構(gòu)成協(xié)議雙方就本協(xié)議標(biāo)的達成的完整協(xié)議。協(xié)議雙方簽訂的確認通知書需取代并替換協(xié)議雙方在簽訂本協(xié)議和相關(guān)確認通知書之日以前在任何其它協(xié)議(無論以書面或口頭)中就相同主題項所達成的任何規(guī)定。

　　This Agreement constitutes the entire agreement between the Parties on the subject matter of this Agreement, and any Confirmation Notice entered into by the Parties shall supersede and replace any provisions on the same subject contained in any other agreement between the Parties, whether written or oral, entered into by the Parties prior to the date of signature of this Agreement and such Confirmation Notice.

　　本協(xié)議或任何交易需通過協(xié)議雙方簽署書面文件的形式進行修訂。

　　No amendment to this Agreement or any Transaction shall be made otherwise than by an instrument in writing executed by the Parties.

　　不棄權(quán)NON-WAIVER

　　協(xié)議一方在任何時候未要求另一方履行本協(xié)議任意條款，并不影響其以后根據(jù)相關(guān)條款要求另一方履行其應(yīng)盡職責(zé);同時，協(xié)議一方對另一方違反本協(xié)議任何條款所做出的豁免，不應(yīng)視為協(xié)議一方對另一方以后違反任何條款也做出豁免。

　　The failure of a Party at any time to require performance of any of the provisions contained in this Agreement shall in no way affect the right of a Party to require any performance which may be due thereafter pursuant to such provision; nor shall the waiver by a Party of any breach of any provision of this Agreement be taken or held to be a waiver of any subsequent breach of such provision.

　　保密條款CONFIDENTIALITY

　　協(xié)議任一方需對以下信息予以保密，不得向任何第三方進行披露：本協(xié)議和交易內(nèi)容，或協(xié)議方在本協(xié)議或交易的談判和執(zhí)行過程中，或根據(jù)本協(xié)議或交易或因本協(xié)議或交易而實施的任何專家決議或仲裁程序中所得到的其它保密信息或文件，除非該方得到上述信息提供方的事先許可。但是，本協(xié)議或交易中的如下內(nèi)容或如下信息或文件不受本項限制條件約束：Neither Party shall communicate to any Third Party, and each Party shall keep confidential and prevent disclosure of, the contents of this Agreement or a Transaction or other confidential information or documents that may come into the possession of such Party in connection with the negotiation or performance of this Agreement or a Transaction or any expert determination or arbitration proceedings conducted under or in relation to this Agreement or a Transaction unless it shall have obtained the prior agreement of the Party providing same. This restriction shall not, however, apply to the contents of this Agreement or a Transaction or information or documents which:

　　已經(jīng)為公眾所知的信息，除非是由于信息接收方的行為或不作為而導(dǎo)致信息的公開;或have entered into the public domain otherwise than through the act or failure to act of the Party receiving them hereunder; or

　　已經(jīng)告知如下人員的信息：are communicated to:

　　協(xié)議任一方的任何附屬公司;或any Affiliate of either Party; or

　　參與實施本協(xié)議或交易中指定活動的人員，包括法律顧問、會計師、其他專業(yè)人員、商業(yè)或技術(shù)顧問、擔(dān)保人或貸款方、或承運方，但是需告知信息接收方有責(zé)任進行相關(guān)信息的保密性;或

　　persons participating in the implementation of the arrangements contemplated by this Agreement or a Transaction, including legal counsel, accountants, other professional, business or technical consultants and advisers, underwriters or lenders, or the Transporter, provided the receiving persons are made aware of the obligation to maintain confidentiality; or

　　對任意一方(或任意一方的任何附屬公司)擁有管轄權(quán)的任何政府機關(guān)，但是上述機構(gòu)需有權(quán)要求進行相關(guān)信息的披露，且根據(jù)上述機構(gòu)要求進行信息披露;或

　　any Governmental Authority having jurisdiction over either Party (or any Affiliate of either Party), provided that such agency has authority to require such disclosure and that such disclosure is made in accordance with that authority; or

　　受到協(xié)議雙方委托，進行任何爭議解決的任何專家、仲裁員或法院;或

　　any expert, arbitrator or court to which any dispute between the Parties has been referred; or

　　為符合相關(guān)法律或金融機構(gòu)或其它融資、發(fā)行或銷售參與方(包括評級機構(gòu))的批復(fù)或其它要求，協(xié)議一方(或協(xié)議一方的任何附屬公司)就任何現(xiàn)有或?qū)淼淖C券融資、發(fā)行或銷售方面所提供的信息。

　　are communicated in connection with any existing or future financing or offering or sale of securities by a Party (or any Affiliate of a Party) to comply with the disclosure or other requirements of applicable law or of financial institutions or other participants (including rating agencies) in the financing, offering or sale.

　　就每項交易和本協(xié)議而言，本條第27條將在相關(guān)交易和本協(xié)議分別終止之后繼續(xù)有效，且維持三(3)年的效力。

　　In respect of each Transaction and this Agreement, this Clause 27 shall survive, and shall remain in force for a period of three (3) years following, termination of such Transaction and this Agreement, respectively.

　　通知NOTICES

　　協(xié)議一方在本協(xié)議或任何交易項下向另一方發(fā)出的所有通知需采用英語，除非在相關(guān)確認通知書中另行約定。

　　All notices to be given under this Agreement or any Transaction by one Party to the other shall be in writing in English, unless otherwise agreed in the relevant Confirmation Notice.

　　LNG船舶與買方設(shè)施之間的通知(日常運營溝通除外)可以采用無線電通信方式發(fā)出，需在實際接收之時生效。在以下情況下，視作協(xié)議一方已經(jīng)收到相關(guān)通知：

　　A notice, other than routine operational communications between the LNG Ship and Buyer’s Facilities which may also be given by radio and which shall be effective upon actual receipt, shall be deemed to have been received by a Party as follows:

　　由專人遞送時，完成投遞之時;if personally delivered, at the time of delivery;

　　以郵件寄送時，當(dāng)指定的通知接收方收到郵件之時;

　　if sent by courier, when received by the Party to which the notice is directed;

　　根據(jù)第28.3條，如果以傳真發(fā)出，在傳真發(fā)出后的十二(12)小時期期滿之時;以及subject to Clause 28.3, if sent by facsimile at the expiration of twelve (12) hours after the same was dispatched; and

　　以電子郵件發(fā)出時，接收方實際收到的電子郵件為可讀形式之時。

　　if sent by electronic mail when actually received by the intended recipient in a readable form.

　　在對上述服務(wù)進行證明時，需有足夠證據(jù)已進行了專人遞送;或封裝上述通知的信封填寫了正確地址，并交往投遞商;或傳真發(fā)送往了正確地址，同時，通過傳真或電子郵件發(fā)送的任何上述通知，需在發(fā)出后的兩(2)個工作日之后，其紙質(zhì)版需由專人遞送或以郵件寄送至第30條中規(guī)定的相關(guān)方地址。

　　In proving such service it shall be sufficient to prove that personal delivery was made or that the envelope containing such notice was properly addressed and delivered into the custody of the courier service, or that the facsimile was properly addressed and dispatched provided that any such notice sent by facsimile or electronic mail shall also be followed up within two (2) Working Days with a hard copy to be personally delivered or sent by courier to the address of the relevant Party as set forth in Clause 30.

　　本條第28條中，如果認定的接收日期對于接收地點為非工作日，則需認定在該地點的下一個工作日開始之時接收了該通知。如果采用傳真方式發(fā)出通知，但收件方收到的傳真內(nèi)容無法辨認的，僅可以識別出由協(xié)議方發(fā)出的，且收件方在收到該傳真件的四十八(48)小時內(nèi)通知發(fā)件方的，可認定為該收件方未收到相關(guān)傳真件。本條第28條中，工作日是指協(xié)議一方的主要辦公場所正常對外營業(yè)的日期。

　　For the purposes of this Clause 28, if the date of deemed receipt is not a Working Day in the place of receipt, the notice is deemed to have been received at the commencement of the next Working Day in that place. Indecipherable facsimiles which are identifiable as having been sent by a Party are deemed not to have been received by the addressee if the addressee notifies the sender within forty-eight (48) hours after receipt that the facsimile has been received in that form. For the purpose of this Clause 28, Working Day shall mean a day when a Party’s principal office is normally open for business.

　　反賄賂和反洗錢ANTI-BRIBERY OR ANTI-MONEY LAUNDERING

　　協(xié)議各方同意并向另一方承諾，就本協(xié)議和任何交易而言，其了解并將遵守為本協(xié)議和任何交易的履行所適用，與反賄賂或反洗錢相關(guān)的所有法律、法規(guī)、規(guī)則和要求。

　　Each Party agrees and undertakes to the other that, in connection with this Agreement and any Transaction, it is knowledgeable about and will comply with all laws, regulations, rules and requirements relation to anti-bribery or anti-money laundering applicable to the performance of this Agreement and any Transaction.

　　協(xié)議雙方需向?qū)Ψ铰暶鞑⒈ＷC，該方此前沒有，將來也不會向本合同項下LNG銷售和購買、發(fā)生任何交易或交付活動(視情況而定)的所在國的政府官員、管理人員或員工，或政府機關(guān)、部門或機構(gòu)，或與上述LNG相關(guān)且與上文所述法律不符或相抵觸的其他人員提供任何報酬或有價之物。

　　In particular, each Party represents and warrants to the other that it has not made and will not make any payments or give anything of value to officials, officers or employees of the government of the country in which the LNG to be sold and purchase under this Agreement and any Transaction originated or was delivered, as the case may be, or to any agency, department or instrumentality of such government, or to any other person, in connection with such LNG which would be inconsistent with or contravene any of the above referenced legislation.

　　若協(xié)議一方就另一方對第29.1條中的上述條款的執(zhí)行存在任何疑問，該另一方需立即進行答復(fù)，并在合適時，提供合理的詳細資料和相關(guān)文件，作為上述答復(fù)的支撐。在上述流程后，若協(xié)議一方在通過合理判斷，并具備可靠證據(jù)的情況下，認為另一方違反了第29.1條中的任何條款，則該方可以提前三十(30)天以書面形式通知另一方終止本協(xié)議和任何交易。

　　A Party shall promptly respond to any query from the other Party in connection with the above provisions under this Clause 29.1, and shall where appropriate, provide reasonable details and applicable documents in support for such response. Following this process, the requesting Party may terminate this Agreement and any Transaction by providing thirty (30) days written notice to the other, if in its reasonable judgment supported by credible evidence, the other Party is in breach of any of the provisions of this Clause 29.1.

　　協(xié)議一方因違反第29.1條協(xié)議而產(chǎn)生的或相關(guān)的任何索賠、賠償金、損失、處罰、成本和費用，該方需對另一方進行賠償，并保護其免于承擔(dān)上述費用。該賠償責(zé)任需在本協(xié)議和任何交易終止或者期滿之后繼續(xù)有效。

　　Each Party shall indemnify and hold the other Party harmless against any and all claims, damages, losses, penalties, costs and expenses arising from or related to any breach by such indemnifying Party of this Clause 29.1. This indemnity obligation shall survive termination or expiration of this Agreement and any Transaction.

　　一般條款GENERAL

　　如果本協(xié)議或任何交易中的任何條款或某一條款中的部分約定經(jīng)法院或具備司法管轄權(quán)的機關(guān)認定為無效的或不能強制執(zhí)行的，需將該條款或其中部分約定視為已從本協(xié)議或任何交易中刪除，同時，協(xié)議的剩余條款繼續(xù)具備完全效力。

　　If any provision or part of a provision of this Agreement or any Transaction is found by a court or authority of competent jurisdiction to be void or unenforceable, that provision or part of a provision shall be deemed to be deleted from this Agreement or the Transaction and the remaining provisions shall continue in full force and effect.

　　協(xié)議雙方約定，任何非本協(xié)議相關(guān)方(第三方)的人員不得根據(jù)《1999年合同法(第三方權(quán)利)》執(zhí)行本協(xié)議任何條款或任何交易。協(xié)議雙方可以在不經(jīng)過任何第三方同意的情況下對本協(xié)議進行整體或部分的廢除或變更。

　　The Parties do not intend any term of this Agreement or any Transaction to be enforceable under the Contract (Rights of Third Parties) Act 1999 by any person who is not a party to this Agreement (Third Party). The Parties may rescind or vary this Agreement, in whole or in part, without the consent of any Third Party.

　　《聯(lián)合國國際貨物銷售合同公約》(另稱維也納銷售公約)和《聯(lián)合國國際貨物買賣時效期限公約》不適用于本協(xié)議。

　　各LNG船應(yīng)安排具備相關(guān)資格的獨立檢驗員負責(zé)編制液位計表，其中包括測深表、橫傾與縱傾校正表、儲罐使用溫度校正表，[密度校正表]，以及其他校正表(如有必要)。液位計表應(yīng)以立方米為體積單位，精確到千分之一(1/1000)，LNG儲罐深度以米為單位，精確到千分之一(1/1000)。賣方應(yīng)向買方提供相關(guān)校準(zhǔn)證明。買方和買方設(shè)施處的獨立檢驗員可對賣方所提供的液位計表進行檢查，以確認該類表格已經(jīng)由行業(yè)認證機構(gòu)所批準(zhǔn)。

　　Each LNG Ship shall have tank gauge tables prepared by a qualified independent surveyor, which shall include sounding tables, correction tables for list and trim, volume corrections to tank service temperature, [density correction], and other corrections if necessary. The tank gauge tables shall indicate volumes in cubic metres expressed to the nearest one thousandth (1/1000), with LNG tank depths expressed in metres to the nearest one hundredth (1/100). Seller shall provide to Buyer evidence of such calibration. Buyer and the attending independent surveyor at Buyer’s Facilities may examine the Seller provided tank gauge tables to verify that such tables have been approved by an industry recognised authority.

　　計量裝置的選擇SELECTION OF GAUGING DEVICES

　　計量裝置應(yīng)符合ISO13398標(biāo)準(zhǔn)。Gauging devices will confirm to ISO13398.

　　液位計量裝置Liquid Level Gauging Devices

　　Each LNG tank of the LNG Ship shall be equipped with main and auxiliary liquid level gauging devices.

　　主要計量裝置的計量精度需在正負七點五(± 7.5)毫米以內(nèi)，輔助液位計量裝置的精度需在正負十(± 10)毫米以內(nèi)。

　　The measurement accuracy of the main gauging devices shall be no less accurate than plus or minus seven decimal five (± 7.5) millimetres and of the auxiliary liquid level gauging devices shall be plus or minus ten (± 10) millimetres.

　　溫度計量裝置Temperature Gauging Devices

　　The temperature of the LNG and of the vapour space in each LNG tank shall be measured by means of a number of properly located temperature-measuring devices sufficient to permit the determination of average temperature. The minimum number of temperature-measuring devices shall be five (5).

　　壓力計量裝置的計量精度應(yīng)達到計量范圍的正負百分之一(± 1%)。

　　The measurement accuracy of the pressure gauging device shall be plus or minus one percent (±1%) of the measuring range.

　　應(yīng)記錄或打印各LNG儲罐中的壓力情況。

　　The pressure in each LNG tank shall be logged or printed.

　　橫傾和縱傾計量裝置List and Trim Gauging Devices

　　應(yīng)在LNG船上安裝橫傾計量裝置和縱傾計量裝置。這些裝置應(yīng)與輸送計量系統(tǒng)相連接。A list gauging device and a trim gauging device shall be installed on the LNG Ship. These shall be interfaced with the custody transfer system.

　　計量過程MEASUREMENT PROCEDURES

　　液位Liquid Level

　　LNG船的各個LNG儲罐的液位計量應(yīng)精確到毫米，計量采用第2.1條中提及的主要液位計量裝置。如果主要計量裝置失效，應(yīng)使用輔助計量裝置。

　　Measurement of the liquid level in each LNG tank of the LNG Ship shall be made to the nearest millimetre by using the main liquid level gauging devices referred to in Section 2.1. Should the main devices fail, the auxiliary device shall be used.

　　按照制造商建議的讀數(shù)間隔讀取五(5)個數(shù)值。將讀取數(shù)值的算數(shù)平均數(shù)四舍五入至小數(shù)點后一(1)位，即得出液位值。

　　Five (5) readings shall be made following manufacturer’s recommendations on reading interval. The arithmetic average of the readings rounded to one (1) decimal place shall be deemed the liquid level.

　　溫度Temperature

　　為分別測定LNG船上各個儲罐中的液體和閃蒸氣溫度，各LNG儲罐內(nèi)的每個溫度計量裝置均需讀取一(1)個數(shù)值

　　。In order to determine the temperature of liquid and vapour respectively in the tanks of the LNG Ship, one (1) reading shall be taken at each temperature gauging device in each LNG tank.

　　將上述讀數(shù)的算數(shù)平均數(shù)四舍五入到零點一攝氏度(0.1 °C)，即得出閃蒸氣("Tv")和液體各自的最終溫度。

　　An arithmetic average of such readings rounded to the nearest zero decimal one degree Celsius (0.1 °C) shall be deemed the final temperature of the vapour (Tv) and liquid respectively.

　　壓力Pressure

　　各LNG儲罐的絕對壓力("Pv")應(yīng)精確到零點一(0.1)kPa，計量應(yīng)采用第2.4條中提及的壓力計量裝置。

　　The absolute pressure in each LNG tank (Pv) shall be measured to the nearest zero decimal one (0.1) kPa by using the pressure gauging device referred to in Section 2.4

　　LNG船的各LNG儲罐的絕對壓力測定過程中，需對各LNG儲罐的壓力計量裝置讀取一(1)個數(shù)值，再將讀數(shù)的算數(shù)平均數(shù)四舍五入到零點一(0.1)kPa。

　　The determination of the absolute pressure in the LNG tanks of the LNG Ship shall be made by taking one (1) reading of the pressure gauging device in each LNG tank, and then by taking an arithmetic average rounded to the nearest zero decimal one (0.1) kPa.

　　橫傾與縱傾List and Trim

　　橫傾的計量應(yīng)精確至零點零一(0.01)度?？v傾的計量應(yīng)精確至零點零一(0.01)度。

　　The measurement of list shall be conducted to the nearest zero decimal zero one (0.01) degree. The measurement of trim shall be conducted to the nearest zero decimal zero one (0.01) degree.

　　通過對橫傾與縱傾計量裝置各讀取一(1)個數(shù)值，進行LNG船的橫傾與縱傾的測定。The determination of the list and the trim of the LNG Ship shall be made by taking one (1) reading of the list and the trim gauging devices.

　　計量裝置故障的處理流程Procedure in Case of Gauging Device Failure

　　如果附件A中的第3.1、3.2、3.3和3.4條中的計量作業(yè)由于計量裝置故障而無法執(zhí)行的，則協(xié)議雙方應(yīng)通過商定，選用其它計量程序進行替代。

　　Should the measurements referred to in Sections 3.1, 3.2, 3.3 and 3.4 of this Schedule A become impossible to perform due to a failure of gauging devices, alternative gauging procedures shall be determined by mutual agreement between the Parties.

　　LNG卸載量的確定Determination of Volume of LNG Unloaded

　　在卸貨開始前，以及卸貨完成后需及時進行附件A第3.1、3.2、3.3條和3.4條中規(guī)定的測量工作。LNG量(以立方米計)應(yīng)精確至零點零零一(0.001)立方米，通過附件A第1條中規(guī)定的液位計表以及體積校正表進行測定。

　　The measurements referred to in Sections 3.1, 3.2, 3.3 and 3.4 of this Schedule A shall be made immediately before unloading commences and immediately after unloading is completed. The volume of LNG stated in cubic metres to the nearest zero decimal zero zero one (0.001) cubic metre, shall be determined by using the tank gauge tables referred to in Section 1 of this Schedule A and by applying the volume corrections set forth therein.

　　通過從卸貨完成后立即測定的所有儲罐的液化天然氣總量中扣除卸貨開始前即刻測定的所有儲罐的LNG總量，得出LNG的卸貨量("V")。液化天然氣的卸載量應(yīng)精確到立方米。The volume of LNG unloaded (V) shall be determined by deducting the total volume of LNG in all LNG tanks immediately after unloading is completed from the total volume in all LNG tanks immediately before unloading commences. This volume of LNG unloaded is then rounded to the nearest cubic metre.

　　LNG組分的確定DETERMINATION OF COMPOSITION OF LNG

　　取樣程序Sampling Procedures

　　為方便開具發(fā)票，需根據(jù)ISO 8943標(biāo)準(zhǔn)在穩(wěn)定卸貨期間以均勻的采樣率不間斷選取代表性樣品，選用取樣器的設(shè)計能保證上述取樣服務(wù)，并在LNG行業(yè)中較為常用，并根據(jù)LNG行業(yè)內(nèi)的公認標(biāo)準(zhǔn)進行操作。保留樣本的連續(xù)聯(lián)機氣象色譜分析或脫機氣象色譜分析需根據(jù)買方設(shè)施處的慣例和流程用于輸送計量。

　　For invoicing purposes, representative samples shall be obtained continuously and at an even flow proportional rate during the period of stable unloading in accordance with ISO8943 using a sampler of a design proven in service and customarily in use in the LNG industry, and operated in accordance with generally accepted standards in the LNG industry. Either continuous on-line gas chromatography or off-line gas chromatography analysis of retained samples shall be used for custody transfer purposes in accordance with the customary practices and procedures at Buyer’s Facilities.

　　在卸貨時，根據(jù)附件A第4.1(a)條規(guī)定收集的樣本中，需將其中合適的一部分轉(zhuǎn)移至三個相同的樣品杯組，作為保留樣本根據(jù)第4.2(c)條規(guī)定進行分配。每組均應(yīng)包含交付LNG產(chǎn)品的代表性部分(氣態(tài))。如果買方設(shè)施采用定點取樣程序，每小時應(yīng)至少收集一個樣本(各組)，最少應(yīng)收集八個樣本(各組)。如果買方設(shè)施采用連續(xù)取樣程序，則每組應(yīng)具備一個樣品杯，其中裝有卸貨期間收集的氣態(tài)樣本的代表性部分。

　　An adequate portion of the sample collected in Section 4.1(a) of this Schedule A shall be transferred to three (3) identical sets of sample cylinders during unloading, for distribution in accordance with Section 4.2(c) as retained samples. Each set shall contain a representative portion of the LNG delivered, in a gaseous state. Where Buyer’s Facilities uses a spot sampling procedure, at least one sample (for each set) shall be collected each hour, with a minimum of 8 samples (for each set) to be collected. Where Buyer’s Facilities uses a continuous sampling procedure, each set shall contain one sample cylinder containing a representative portion of the gaseous sample collected during discharge.

　　買方應(yīng)使用一(1)個樣品杯組根據(jù)附件A第4.2條的規(guī)定進行分析。一(1)個樣品杯組交需向賣方公開，另一(1)個樣品杯組應(yīng)進行密封，并由協(xié)議雙方(或其代表)簽署后交由買方留存至少三十(30)天。如果雙方對任何分析的準(zhǔn)確性產(chǎn)生爭議，應(yīng)繼續(xù)留存相關(guān)樣本組，直至協(xié)議雙方認為無需繼續(xù)保留為止。樣品杯需由買方提供。

　　Buyer shall use one (1) sample cylinder set for the purpose of analysis pursuant to Section 4.2 of this Schedule A. One (1) sample cylinder set shall be made available to Seller, and one (1) other sample cylinder set shall be sealed and signed by the Parties (or their representatives) and retained by Buyer for at least thirty (30) days. In case of any dispute as to the accuracy of any analysis, such sample set shall be further retained until Buyer and Seller agree to retain it no longer. Sample cylinders shall be provided by Buyer.

　　分析過程Analysis Procedures

　　根據(jù)附件A第4.1條中規(guī)定的取樣程序獲得氣體樣本后，買方應(yīng)盡快通過氣相色譜儀進行分析，測定樣本中組分的克分子分?jǐn)?shù)("Xi")。上述分析應(yīng)根據(jù)ISO 6974(第3、4或5部分)和其同等GPA 2261標(biāo)準(zhǔn)，或根據(jù)LNG行業(yè)內(nèi)普遍使用的慣例或流程進行。

　　Gas samples obtained as per the agreed sampling procedure specified in Section 4.1 of this Schedule A shall be analysed as soon as possible by Buyer to determine, by gas chromatography, the molar fraction of the components in the sample (Xi). Such analysis shall be carried out in accordance with ISO 6974 (part 3, 4 or 5) or its equivalent GPA 2261 standard, or otherwise in accordance with practises and procedures customarily in use in the LNG industry.

　　批量卸貨前，買方需對用于輸送計量的氣相色譜儀采用標(biāo)準(zhǔn)氣體進行校準(zhǔn)(在獨立檢驗員和/或賣方或其代表的見證下)，該標(biāo)準(zhǔn)氣體需由聲譽良好的可靠制造商提供，其精確度和可追溯性已知。標(biāo)準(zhǔn)氣體的質(zhì)量應(yīng)符合ISO 6142 或 GPA 2198標(biāo)準(zhǔn)，或符合LNG行業(yè)內(nèi)普遍使用的慣例或流程。標(biāo)準(zhǔn)氣體的組分需與通常交付往買方設(shè)施的LNG的代表性樣本相似。The gas chromatograph used for custody transfer shall be calibrated by Buyer (witnessed by the independent surveyor and/or Seller or its representative) prior to the start of bulk unloading using a standard gas supplied by a reliable and reputable manufacturer with known accuracy and traceability. The quality of the standard gas shall be in accordance with ISO 6142 or GPA 2198 or otherwise in accordance with practises and procedures customarily in use in the LNG industry. The composition of the standard gas shall be similar to representative samples of LNG customarily delivered to Buyer’s Facilities.

　　買方設(shè)施處的氣相色譜儀每年需至少進行一次查驗，脫機氣相色譜儀和聯(lián)機標(biāo)準(zhǔn)氣相色譜儀的查驗需分別以查驗時最新版本的ISO 6974(第1部分)和ISO 10723為依據(jù)，或根據(jù)LNG行業(yè)內(nèi)普遍使用的慣例或流程進行。

　　The gas chromatograph at Buyer’s Facilities shall be validated at least once per year in accordance with the latest version of ISO 6974 (part 1) for an off-line gas chromatograph and ISO 10723 for an on-line gas chromatograph current at the time of validation, or otherwise in accordance with practises and procedures customarily in use in the LNG industry.

　　協(xié)議任一方均有權(quán)見證LNG的取樣和分析，但協(xié)議任一方代表的缺席不影響樣本選取或分析工作的正常進行。

　　Each Party shall have the right to witness the sampling and analyses of the LNG, however the absence of either Party's representatives shall not prevent the taking or analysis of samples.

　　樣品中發(fā)現(xiàn)的任何四甲基甲烷需增加入正丁烷濃度中，以進一步計算。

　　Any neo-pentane detected in samples shall be added to the concentration of normal butane for further calculations.

　　The composition of the LNG unloaded will be determined by calculation of the arithmetic average of the composition of the samples. This average composition is then used to calculate the Gross Heating Value (Volume Based) and Gross Heating Value (Mass Based) of the LNG unloaded in accordance with Section 5 of this Schedule A.

　　Sampling for impurities shall be done in accordance with GPA 2166 or ISO 10715, or otherwise in accordance with practises and procedures customarily in use in the LNG industry. The hydrogen sulphide content of the LNG unloaded shall be determined in accordance ISO 19739, ASTM D5504 or GPA 2199, or otherwise in accordance with practises and procedures customarily in use in the LNG industry.

　　LNG的總含硫量需根據(jù)ASTM D6667進行確定，或根據(jù)LNG行業(yè)內(nèi)普遍使用的慣例或流程進行確定。如果總含硫量低于五(5)mg / 標(biāo)準(zhǔn)立方米，則無需進行硫化氫的樣本分析。

　　The total sulphur content of the LNG unloaded shall be determined in accordance with ASTM D6667, or otherwise in accordance with practises and procedures customarily in use in the LNG industry. If the total sulphur content is less than five (5) mg/standard cubic metre, it is not necessary to analyse the sample for hydrogen sulphide.

　　If testing for mercury is done by Buyer’s Facilities, the mercury content of the LNG unloaded shall be determined in accordance with ISO 6978 part 2 or otherwise in accordance with practises and procedures customarily in use in the LNG industry.

　　如果取樣和/或分析由于任何原因發(fā)生故障，根據(jù)從裝貨港接收的LNG貨品數(shù)據(jù)以及預(yù)期計算值，并在可能情況下根據(jù)來自相同裝貨港的歷史交付貨品的情況，協(xié)議雙方應(yīng)本著真誠善意的原則就LNG的質(zhì)量和/或數(shù)量的近似值達成一致意見。

　　If sampling and/or analysis fails for any reason, the Parties shall use good faith efforts to agree an approximate value for the quality and/or quantity of LNG unloaded based on data for the LNG cargo received from the Loading Port and expected enrichment calculations, where possible based on historical deliveries from the same Loading Port.

　　The calculation of the Gross Heating Value (Volume Based) of LNG unloaded, for the purpose of determining the quality of such LNG for comparison with the Specification, shall be derived from the same compositional analysis as is used for the purposes of calculating the Gross Heating Value (Mass Based) and be calculated using ISO 6976 with the Reference Conditions.

　　Where specified in the Confirmation Notice, the Wobbe Index of LNG delivered in a given Transaction shall be calculated in accordance with the formula in ISO 6976 and using the Reference Conditions.
